The project will incorporate the entirety of the proposed plat with buildings, right of way and professionally designed green space. It will consist of three story structures and a single story structures. It is being developed consistent with a development agreement 112033247 and as amended by 112107771, CC&ii's, and conditional use permit al! having been approved by the city. The buildings will be constructed of high quality materials and have a variation of architecture. There will be large open green space to provide quality on sight amenities to the future residents. Ail parking, both covered and open, are designed per city code. The preliminary plat was approved by the City of Meridian. When the property was purchased it was necessary to combine a number of lots into one as to allow for the proper design of the project. There were also a number of easements that have been properly relinquished as evidenced by included relinquishment forms. The road 5 LoftusAve. (now S. Wells Ave.) has been completed and we have dedicated the right of way within S Loftus to ACHq as well as a sidewalk easement. All required public utility easements are described herein. All changes to the preliminary plat are in conformance with the site plan approval of the project and use as outlined in the development agreement. We have conformedto all requirements and provisions of the UDC as well as acceptable engineering, architectural and surveying practices as well as local standards. N{)tiV THERrFORE, in consideration of the foregoing, of mutual promises of the pazla es lzereta and otlzex good and valuable consideration, the receipt: and sufficiency of which is hereby acknowledged, the parties hereby agree as follows: 1. Association agrees to maintain the Maintained Parcels in accordance with the plrysical and financial standards set forth in the CC&R Agreement and to maintain insurance on the Maintained Parcels within the Gramercy Subdivision as required by the CC~R Agreement. 2. Costs of maintaining the Maintained Parcels axe those reasonable costs required to maintain the Ivlaintained Parcels to the standard set Earth in the CC&R Agreement, including but not limited to, contracted landscape maintenance costs, plant replacement costs, irrigation system repairs and refurbishments costs, irrigation water costs, and flower pot repair ax replacement casts ("Billable Costs"). 3. Association agrees to invoice Fields or its successors in interest, and Fields or its successors in interest agree to remit to Association, Fields's or its successors in interest's proportionate Billable Casts based on a ratio, the numerator of which is the land area within the Fields Parcel, and the denominator of which is the total land area lying within the Gramercy Subdivision plat plus the land area within the Fields Parcel. A schedule showing such ratios for all entities benefitted by the Maintained Parcels as of the date of this agreement is at Exhibit C attached hereto and incorporated by reference herein. 4. The invoice for Billable Costs will be due upon receipt and will reflect Billable Costs incurred during the previous twelve month period beginning on January 1. If'the invoice is not paid in fizll within 30 days of receipt by Fields or its successors in interest, interest of one-percent (1 %} on the unpaid amount will be added each month. 5. Fields agrees to pay Association a fee of Three Thousand Nine Hundred Seventy-Eight and 21/100 Dollars ($3,978.21) in lieu of the start-up fee described in 5.9(b)(i) of the CC&R Agreement that it would have paid on Lots 1, 2, and 3 of Block 8, Gramercy Subdivision No. 1 had the Abandonment not been executed. Such fee is due and collectible upon the effective date of this agreement and will be collected and paid at closing of the purchase and sale agreement between Gramercy, LLC, an Idaho limited liability company ("Gramercy") as seller, and Fields as buyer for the Fields Parcel. 6. Fields agrees to pay Association its share of the 2012 Billable Costs computed in accordance with the ratio shown in Exhibit C, except that fvx 2012 only the amount of Two Thousand Five Hundred Seventeen and 38/100 Dollars ($2,517.38) will be multiplied by a ratio, the numerator of which is the number of days beginning with the effective date of this Agxeeznent and ending on December 31, 2012, and the denominator of which is 365. The resulting 2012 amount will be collected and paid at closing of the purchase and sale agreement between Gramercy and Fields. ~. Fields and its successors in interest or their duly authorized representatives, may, at their awn expense and with 30 day notice; inspect. the invoices, contracts, and related records that support. the Billable Cosi:s invoiced. Such inspection will 'be done at the Association offices 8. Association hereby grants fields and all owners and occupants of the Fields Parcel anon- exclusive,perpetual easement: for pedestrian grid recreational access, ingress and egress on, over and across all of the Maintained Parcels. No buildings shall be placed aver the Maintained Parcels. 9. Fields shall have the right: to install code compliant temporary maxketing and leasing signage on Overland Road on the Maintained Parcels during a period of thirty months after the completion of construction of Fields's improvements an the Fields Parcel. Thereaf~:er, upon thirty days written notice from the Association, Fields shall remove the temporary signage from the Maintained Parcels. At any point in the future, if a common pylon sign for the Gramercy Project is approved and erected, Fields shall be entitled to install its signage advertising the project constnzcted on the Fields Parcel on a panel agreed among the Parties an the pylon sign and Fields shall pay its pro rata share of said signage construction costs based on the panel on the pylon sign that Fields ultimately utilizes. 10. In the event that the Maintenance Parcels are damaged or destroyed by any cause whatsoever, and whether insured or uninsured, the Association shall repair or restore the Maintenance Parcels with all due diligence. In the event that the Maintenance Paxcels are damaged or destroyed by the gross negligence of Fields, Fields shall be obligated for the costs of repair or replacement thereof. In the event that the whole or any part of the Maintenance Parcels shall be taken by right of eminent domain or any similax authority, the entire award shall belong to the Association. Notwithstanding however, Fields shall be entitled to pursue its own claim against a condemning authority for i:he impacts on the Fields Parcel resulting from any taking. 11. The effective date of this Agreement will be the date equal to the effective date of the Abandonment. 12. In order for Fields to have a reasonable degree of certainty with respect to its allocated portion of the Billable Costs, the Maintained Parcels may not be expanded or enlarged without the express written consent of Fields and the property contained within the Gramercy Subdivision and subject to the CC&R Agrcexnent shall not: be reduced without the express written consent of Fields. l3. This Agreement may be executed in any number of counterparts, provided each counterpart is identical in its terms. Each such countezpart, when executed and delivered will be deemed to be an original, and all such cauni.erparts shall be deemed to constitute one and the same instrument.
