South East 5th Way runs north-south trough an ingress/egress easement that allows access to residential neighborhoods to the south. Eightmile canal flows through the eastern portion of the parcel in an irrigation easement controlled by Nampa Meridian Irrigation District. The Meridian Greens Units 1-3 are located to the west and south of the proposed development. Hunts Bluff Subdivisions are located east of the proposed development. Caterpillar Equipment is located north of Overland Road adjacent to the proposed development. The current zoning for the parcel is R-4. PROPOSED USE A 16 lot (13 residential lots) subdivision is proposed for this parcel. The proposed development complies with current R-4 zoning requirements. Southeast 5th Way is defined as a residential collector. Twenty-foot wide landscape buffers will be constructed on dedicated landscape easements. The landscape easements shall be constructed in conjunction with the roadway construction. Berms shall be constructed, and trees and shrubs will be planted. Maintenance of these landscape easements will be the responsibility of the individual home owner. Common landscape lots will also be constructed. The Home Owner's Association will maintain the common lots. The total combined landscape area including deeded common area lots and easements is 0.71 acres or approximately 9% of the total development. Block 2, Lot 6 is a common lot that mostly consists of the Eight Mile Lateral. This lot is 1.07 acres or approximately 13.5% of the total development. Houses will be single family residents. Home values shall have a minimum value of $250,000.00 and a minimum 2000 square foot living area (excluding garage area). Minimum two car garages will be constructed with each house as well. Minimum lot sizes for R-4 is 8,000 square feet, but lots in this subdivision average over 16,000 square feet. House styles, colors, roofs, and landscaping will compliment the existing houses in the area. OPEN AREAS Approximately 22.5 percent of this subdivision is reserved for open area. These open areas consist of both landscape lots/easements and canal open area. The landscaping lots will be maintained and controlled by the Homeowner's Association as set forth in the covenants of the subdivision. The landscape easements on the east and west sides of SE 5th Way will be initially constructed by developer and maintained by each property owner. The landscape areas will be lined with a combination of deciduous and evergreen trees and shrubs that will provide year around foliage. The existing mature trees lining the north end of the development will be saved and incorporated into the landscaping plan. Sod will be placed in the landscape areas to help prevent erosion. The existing six foot cedar fence located on the south and west borders of the development will be maintained. A four-foot berm will be constructed along the north boundary and along the west side of SE 5th Way. CITY WELL LOT Preliminary discussions with the City of Meridian indicate that the City is willing to dedicate the westerly 10-foot strip of the City's well lot to be used as right-of--way along SE 5th Way. This additional 10-foot strip is necessary to construct both right-turn and left-turn exit lanes from the subdivision onto Overland Road. The City's only concern regarding this dedication of the 10-foot strip is replacing the landscape berm to help screen the well house from traffic on SE 5th Way. Based on existing topography, there will be room to construct a minimum 10-foot wide landscape strip behind the back of new sidewalk. Construction of the landscape berm will be performed by the Developer and incorporated into the landscaping style of the rest of the subdivision. ~ ~, A legal description for the dedicated 10-foot strip has been prepared and submitted with this application. The Developer realizes this dedication is contingent upon satisfying the screening and landscaping requirements of the City Engineer's Office. Additional plans for the landscaping strip on the City's well lot will be provided upon request. EIGHTMILE LATERAL The Eightmile Lateral runs across the easterly edge of this development in an 80-foot wide easement to be granted to the Nampa Meridian Irrigation District. The maintenance road for the canal is located on the east side of the canal. This proposed development will plat Lots 1-5 of Block 2 to the centerline of the canal. Homeowners can have the option of landscaping up to the banks of the canal, but no permanent structures can be erected within the 80-foot irrigation easement. The east half of the canal easement behind these lots, as well as a 430 lineal foot stretch of 80-foot wide irrigation easement to the south of these lots will be deeded as a common open area lot. TRAFFIC IMPACT This development will generate approximately 130 additional trips per day based on an average 10 trips per household. Southeast 5th Way is classified as a residential collector street that serves the subdivisions to the south. The 130 trips/day increase caused by this development will not have a negative impact on the surrounding area. The intersection of SE St" Way and Overland Road will be improved with 21-foot wide (back of curb to back of curb) entrance lane, one 12-foot wide left turn and one 12-foot wide right turn exit lanes. UTILITIES AND DRAINAGE The developer plans to incorporate City water and sewer systems to serve this development. The City has existing water and sewer lines running through an easement along SE 5th Way. The existing sanitary sewer is deep enough to allow gravity sewer systems to serve all the lots. Both the water and sewer systems will be expanded to serve the needs of this development. An existing pressure irrigation system borders the boundary of this development. This system can be tapped into and a looped system can be run through this proposed subdivision to provide irrigation water to every lot as well as the landscaped areas. By following the natural fall of the land, the streets can be graded to a low spot near the north end of the development on S.E. 5th Way. Drop inlets followed by a sediment box and subsurface drainage trench will be installed to handle the 100-year storm run-off. The underground seepage bed will be installed in public right-of--way. High seasonal groundwater was monitored in the fall 1997. ARTICLE 1 DEFII~IITIONS SECTION 1. "OWNER" shall mean and refer to the record owner, whether one or more persons or entities, of a fee simple title to any lot which is part of the properties, including contract sellers, but excluding those having such interest merely as security for the performance of an obligation. SECTION 2. "PROPERTIES' shall mean and refer to that certain real property hereinbefore described, and such additions to said property thereto as may be added and 4 therefore come under the terms of this declaration. SECTION 3. "LOT" shall mean and refer to any plot of land shown upon a recorded subdivision map of the properties with the exception of the common area. SECTION 4. "DECLARANT" shall mean and refer to Fuller Scott Investment Company., its successors and assigns or such successors or assigns who acquire more than one undeveloped lot form the Declarant for the purpose of development. SECTION 6. "SPECIAL USE AREA" shall mean an area approved by the Architectural Control Committee for storage of R.V.'s, boats, etc. SECTION 7. "COMMON AREA" shall mean all real property, landscaped area in cul-de- sacs, water and sewer systems owned by the Association for the common use and enjoyment of the Owners. SECTION 8. SECTION 9. "OCCUPANCY LIMITATIONS" No dwelling or residence on any lot or other property area created under any Supplemental Declaration shall be used for living purposes by more persons than it was designed to accommodate comfortably. ARTICLE II AREA COVENANTS No lot shall be used except for single family residential and common area purposes. SECTION 1. "ARCHITECTURAL CONTROL COl~IlVIITTEE" No building shall be erected, placed or altered on any lot until the construction, specifications and a plan showing the location of the structure have been approved by the Architectural Control Committee as to quality workmanship and materials, harmony of exterior design with respect to topography and finish grade elevation. No fence or wall shall be erected, placed or altered on any lot nearer to any street than the minimum building setback line unless similarly approved. No building shall be considered without plans showing possible effects on view, parking, loading, unloading, trash storage and removal. Approval shall be as provided in Article III, Section 2. SECTION 1 A. The approval of the Architectural Control Committee of any plans or specifications submitted for approval, as herein specified, shall not be deemed to be a waiver by the Architectural Control Committee of its right to object to any specifications submitted for approval as herein provided for use on any other building site, nor shall such approval be 6 construed as in any manner modifying, altering or waiving any of the conditions or restrictions set forth herein as to location or otherwise. SECTION 1B. If after such plans and specifications have approved, the building, altering or maintaining of a fence or other structures, otherwise than approved by the Architectural Control Committee, such alterations, erections, and maintenance shall be deemed to have been undertaken without the approval of the Architectural Control Committee ever having been obtained as required by this Declaration. SECTION 2. "BUILDING AND STORAGE SHED LOCATIONS" (a) No building shall be located on any lot nearer to the side street line than the minimum building setback line shown on the recorded plat. In any event no building shall be located on any lot nearer than twenty (20) feet to the front property line and five (5) feet from side yard property line. R.V. garages shall be a minimum of (10) feet behind the front plane of the attached standard garage. (b) No building shall be located nearer than the applicable Meridian City and Idaho Fire Code allows. Some lots may have buildings with common walls and common walls and common access for utilities. The declaration of this common wall covenant and easement is contained hereinafter in Article IV, Section 1. These lots will be designated and approved by the Architectural Control Committee prior to the construction of the buildings. SECTION 3. "EASEMENTS" Easements for installation and maintenance of utilities, irrigation and drainage facilities are reserved as shown on the recorded plat and over the rear (5) 7 feet of each lot. Also on lots containing dwelling units joined together by common walls in groups or clusters of three or more of the said dwelling units, the first five feet of each lot shall be maintained as an access walkway, providing real lot access to other wise inaccessible interior dwelling units. Also lots containing dwelling units joined together by common walls in groups or cluster of three or more will have easements as shown on the recorded plat over the side two and one-half (2 1/2) feet of those lots, said easements if for the purpose of providing walkways from the streets to the rear access walkways. Within these easements, no structure, planting or other matter shall be placed or permitted to remain which may damage or interfere with the installation and maintenance of utilities, or which may change the direction of flow of drainage channels in the easements. Except that in the easements reserved for and maintained as walkways. The purpose of these improvements shall be to limit maintenance, improve appearance and provide use as a walkway. The easements are of each lot and all improvements in it shall be maintained continuously by the owner of the lot, except for those improvements for which public authority of utility company is responsible. SECTION 4. "DWELLING SALES PRICE, QUALITY AND SIZE" No dwelling shall be permitted on any lot at a certified sales price of less than $250,000 including lot and front yard landscaping. If in question, it will be verified by a sales agreement, based on cost levels prevailing on the date these covenants are recorded, it being the intention and purpose of the covenants to assure that all dwellings shall be of quality workmanship, materials substantially the same or better than that of which can be produced on the date these covenants are recorded at the minimum sales price stated herein for the minimum permitted building size. The ground floor area of the main structure, exclusive of open porches and garages shall not be less than 2000 sq.ft. for a one (1) 8 story dwelling, no less than a total of 2400 sq.ft. for a split level, (1 1/2) or two (2) story dwelling, excluding basements. SECTION 4A. All buildings shall have wood shingles, wood shakes, the roofs or any other roofing material product that may become available in the future, would definitely need to be specifically approved by the Architectural Control Committee. SECTION 4B. Each dwelling building shall be provided with a minimum of a suitable 2 car garage and a minimum of permanently off street parking space of 2 cars. SECTION 4C. The work of constructing any residence or building shall be prosecuted diligently and continuously from the commencement thereof until the same is completed. All structures shall be suitably painted, colored or stained immediately upon completion, weather permitting. SECTION 4D. The Architectural Control Committee or its authorized agent shall have the right at all times to enter on or upon any lot, or building site, to plant or replant, trim, cutback, remove, replace and or maintain hedges, trees, shrubs, flowers and any other landscaping on said property, and / or keep cultivated and / or remove plants on any portion of any lot or building site, including landscape easement on Overland Road and S.E. 5th Way, of said property and the Architectural Control Committee, or any agent thereof shall not thereby be deemed guilty in any manner of trespass. When the owner of a parcel or lot so planted and maintained by the Architectural Control Committee shall give written notice to the Architectural Control Committee of his intentions to improve the same within thirty (30) days, and upon the approval of the owners proposal by the ACC, the Committee may, within thirty (30) days, and thereafter until work on 9 said improvements is commenced, transplant, remove or dispose of any and all of the plantings which may have been made by it. SECTION 4E. The cost of any planting or maintenance undertaken in Section 4D, shall be assessed against the lot or building sites upon which such maintenance is done and shall be added to and become a part of the regular maintenance assessment or charge to which such lot or building site is subject under Section 23 hereof and as part of such regular assessments or charge, it shall be a lien and obligation of the owner and shall become due and payable in all respects as provided in Section 23 hereof. Any dispute relating to the assessed costs shall be reviewed by the Architectural Control Committee upon petition by the owner aggrieved by the assessment. The Architectural Control Committee may conduct a hearing on any petition filed, but in any event shall render a decision within a thirty (30) days following filing of the petition and shall make its findings available to the aggrieved owner. Failure within said thirty (30) day period shall render the assessment costs for maintenance void and shall cease to be a lien against the property. SECTION 5 "SIGNS' No signs or other advertising device of any character (including religious) shall be erected or maintained upon any part of said property which is residential, except that (A) on any one lot or building site one sign, not larger than eighteen (18 ") inches by twenty-four (24") inches, advertising the property for sale or rent, may be erected and maintained; (B) the Developer or its agents may erect and maintain on said property such signs and other advertising devices as it may deem necessary or proper in connection with the conduct of its operations for the development, improvement, subdivision or sale of said property. SECTION 6. "LANDSCAPING" Prior to occupancy of the dwelling structure, the front yard area, side yards facing onto streets and all areas abutting a Common Area, shall be 10 landscaped, sodded and maintained as specified in a plan presented to and approved by the Architectural Control Committee, provided, however, that if placement and planting of landscaping is made impractical by inclement weather during the months of November, December, January, February, or March, completion of landscaping may be deferred a reasonable period of time in the discretion of the Architectural Control Committee (but shall be completed no later than the next Apri130 following occupancy). (A) Homeowners shall be responsible for landscaping rear and side yards not abutting on streets or Common Areas. (B) Landscaping and vegetation shall be watered, pruned, cut and maintained weed-free according to good landscape practice and in good appearance. SECTION 7. "UNSIGHTLY STRUCTURES OR PRACTICES" No unsightliness shall be permitted on any lot. Without limiting the generality of the foregoing, all unsightly facilities, equipment or structures shall be enclosed within approved structures or appropriately screened from view. All refuse, garbage and trash shall be kept at all times in covered, reasonably noiseless containers, which shall be kept and maintained within an enclosed structure or appropriately screened from view, except when necessarily placed for pickup by garbage removal services. Wood piles, compost piles and facilities for hanging drying or airing clothing or household fabrics shall be appropriately screened from view. No lumber, grass, shrubs or tree clippings, scrap, refuse or trash shall be kept, stored or allowed to accumulate on any lot. SECTION 8. "VEHICLE AND EQUIPMENT PARKING' No campers, recreational vehicles, trailers boats, motorcycles, snowmobiles, snow removal equipment, golf carts, or similar equipment or vehicles, except those owned and or leased by the lot owner and for the personal 11 use of the lot owner and or his family, shall be kept or stored upon any lot. Such vehicles or equipment shall not be parked on any street, nor shall they be parked or stored in the area between the front plane of the dwelling unit or on any lot or street. Such vehicles or equipment as permitted hereunder shall be appropriately screened from the street view and by a 6' privacy fence. No working or commercial vehicles larger than three-quarter ton, and no junk cars, shall be parked upon any lot. SECTION 9. "MATERIAL STORAGE' No building material of any kind shall be placed or stored upon a building site until the lot owner or his builder is ready and able to commence construction and then such material shall be placed within the property lines of the building site upon which the structure is to be erected. The Architectural Control Committee and/or Association, through its agents, shall have the right to enter upon any vacant building site for the purpose of burning or removing weeds, brush, growth or refuse. SECTION 10. "EXTERIOR ANTENNAS' No outside television antennas, radio aerials, or similar devices or structures shall be installed on any lot or the exterior of any structure located thereon. Satellite dishes shall be permitted only if located behind the front plane of the dwelling structure (toward the rear of the lot) outside of any building site setbacks, and if appropriately screened from view of front plane of house. SECTION 11. "CONTROL OF EXTERIOR WALLS, ROOF, ETC." The visual harmony and aesthetic appeal of the project being of mutual concern to all owners and having a direct bearing on the value of lots and improvements thereon, the Architectural Control Committee shall have the right to control the texture, design and color scheme of the outside walls, fences, roofs and patio roofs of all structures erected upon lots, and to require basic 12 landscaping. The owner shall not repaint the outside walls or fences without first obtaining approval of the Architectural Control Committee as to the color. All patio roofs shall be of design and color consistent with the roof of the dwelling unit. SECTION 12. EXTERIOR LIGHTING' No exterior lighting shall be installed or maintained on any lot (or structure thereon) which interferes with the use and enjoyment of adjacent lots, or without prior approval of the proposed installation by the Architectural Control Committee. SECTION 13. "FRONT YARD LIGHT' Each building site shall be improved by the owner thereof, prior to the occupancy of any structure thereon, by the installation of a front yard light, style and design approved by the Architectural Control Committee, Such light mechanism shall include aphoto-cell device which causes the light to automatically illuminate during the period from sunset to sunrise. It is the lot owners responsibility to insure that the front yard light operates as approves by the Architectural Control Committee at all times. If the lot owners desire other street lighting, the cost thereof shall be the responsibility of the lot owners. SECTION 14. "IRRIGATION' In accordance with the provisions of Idaho Code Section 31-3805 the declarant assumes no responsibility for providing water for irrigations purposes and the purchaser acknowledged the following: A) that irrigation water may or may not be available B) that the purchaser of the lot must remain subject to all assessments levied by the imgation entity; C) that the purchaser shall be responsible to pay such legal assessments, D) that the assessments are a lien on the land within the irrigation entity 13 SECTION 14A. ""IRRIGATION SYSTEM" All lots to which delivery of irrigation water from the Common facility is feasible in the Declarant's and or Irrigation Districts discretion, as well as the Association with respect to Common Area, shall have access to a pressurized irrigation water system ("irrigation system") to be constructed by Irrigation District and owned and operated by the Association or Irrigation District for the benefit of the Association, declarant and Lot Owners. Owners of lots to which the system has been extended shall be required to pay the assessment therefor regardless of actual use or nonuse of water from the irrigation system. Use of the irrigation system shall be subject to such rules and regulations of the Association and Irrigation District as may from time to time be adopted by the Association and Irrigation District, the right to receive water therefore is, in any event, subject to availability of the water. The Association and or Irrigation District shall regulate the use of water to conserve its availability for lots and for the Common Area. WATER FROM THE IRRIGATION SYSTEM IS NOT DRINKABLE; EACH LOT OWNER SHALL BE RESPONSIBLE TO ENSURE THAT IRRIGATION WATER WITHIN THE BOUNDARIES OF HIS LOT IS NOT CONSUMED BY ANY PERSON OR USED FOR CULINARY PURPOSES. SECTION 15. "MOVING OF BUILDINGS; CONSTRUCTION OF OUTBUILDINGS" No buildings or structures shall be moved onto the property except a new prefabricated structure of a type and design approved by the architecture of the residence including the same roofing material. No trailer houses or similar mobile unit designed for overnight accommodations shall be parked in any street or within front building setback lines. No trailer, basement, tent ,shack, garage, barn or other outbuilding erected on a lot shall at any time be used as a residence, temporary character be permitted. No building of any kind shall be erected or maintained on a -''~, 14 building site prior to the construction of a permanent dwelling. Not withstanding the foregoing restrictions, a portable construction office may be placed upon any lot during the period in which construction of a dwelling unit thereon is in progress, provided that such office may not remain or be kept upon such lot for more than three (3) months: a temporary sales office of a portable nature may be placed upon a lot by declarant to facilitate lot sales. SECTION 16. "LIVESTOCK & POULTRY" No animals. livestock, or poultry of any kind shall be raised, bred, or kept on any lot except dogs, cats or other household pets may be kept provided that they are not kept, bred or maintained for any commercial purpose. The applicable City of Meridian ordinance providing for leashes or pens will be strictly observed with reference to all household pets. SECTION 17. "OIL AND MINING OPERATIONS" No oil drilling, oil development operation, oil refining quarrying or mining operations of any kind shall be permitted upon or in any lot. No derrick or other structure designed for use in boring for oil or natural gas shall be erected, maintained or permitted upon any lot. SECTION 18. "SEWAGE DISPOSAL" No individual sewage disposal system shall be permitted on any lot unless such system is designed, located and constructed in accordance with the requirements, standards and recommendations of the Central District Health Department and the City of Meridian. Approval of such systems installed shall be obtained from such authority. SECTION 19. Members of the Associations Easement of Enjoyment in and to the Common area which shall pass with the title to every lot, subject to the following provisions: (A) The right of the Association to charge reasonable admission and other fees for the use of any recreational, storage, water or sewer facility, situated upon the Common 15 Area. (B) The right of the Association to suspend the voting right and right of use to the common area by an owner for any period during which any assessment against his lot remains unpaid, and for a period not to exceed sixty (60) days for any infraction of its published rules and regulations. (C) The right of the Association to dedicate or transfer all or any part of the Common Area to any public agency authority, or utility for such purpose and subject to such conditions as may be agreed to by the members. No such dedication or transfer signed by two-thirds (2/3) of members has been recorded, except the irrigation system may be transferred to the irrigation District by the Declarant. SECTION 20. "CREATION OF THE LIEN AND PERSONAL OBLIGATION OF ASSESSMENTS" The Declarant, for each lot owned, hereby covenants, and each owner of any lot by acceptance of a deed therefore, whether or not it shall be so expressed in such deed, is deemed to covenant and agree to pay to the association: (1) annual assessments or charges and (2) special assessments for capital improvements, such assessments to be established and collected as hereinafter provided. The annual and special assessments, together with interest, costs, and reasonable attorney's fees, shall be a charge on the land and shall be a continuing lien upon the property against which assessment is made. Each such assessment, together with interest, costs and reasonable attorney's fees shall also be the personal obligation of the person who was the owner of such property at the time when the assessment fell due. The personal obligation for delinquent assessments shall not pass to his successors in title unless expressly assumed by them. SECTION 21. "PURPOSE OF ASSESSMENTS" The assessments levied by the 16 Association shall be used exclusively for the purpose of promoting the recreation, health, safety, and welfare of the residents in the Properties and in particular for the improvements and maintenance of properties, services and facilities devoted to this purpose and related to the use and enjoyment of the Common Properties situated upon the Properties, including, bur not limited to, the payment of taxes and insurance thereon and repair, replacement, and additions thereto, and for the cost of labor and equipment, materials, management, and supervision thereof, and to pay the reasonable and necessary costs of the standing committees of the Association and the Architectural Control Committee. Owners of lots in Meridian Greens Subdivision, Unit #4, shall be charged an additional assessment for the maintenance of the alley in Unit #4. SECTION 22. "MAXIMUM ANNUAL ASSESSMENTS" Until July 1, of the year immediately following the conveyance of the first lot to an owner, the annual assessment shall be determined by the Homeowners Corporation-Board of Directors, plus if any fees for storage, domestic and/or irrigation water and/or sewer. The Declarant is exempt from all assessments. (A) From and after Julyl of the year immediately following the conveyance of the first lot to an the owner annual assessment may be increased by a vote oftwo-thirds (2/3) of each class of members who are voting in person or by proxy, at a meeting duly called for this purpose. (B) The Board Of Directors may fix the annual assessment at an amount not in excess of the maximum. 17 SECTION 23. "SPECIAL ASSESSMENTS FOR CAPITAL IMPROVEMENTS" In addition to the annual assessments authorized above, the Association or Irrigation District may levy, in any assessment year, a special assessment applicable to that year only for the purpose of defraying, in whole or in part, the cost of any construction, reconstruction, repair or replacement of a capital improvement upon the Common Area, including fixtures and personal property related thereto, provided that any such assessment shall have the assent oftwo-thirds (2/3) of the votes of each class of members who are voting in person or by proxy at a meeting duly called for this purpose. SECTION 24. "UNIFORM RATE AND DATE OF COMMENCEMENT OF ASSESSMENTS DUE DATE" The annual assessments provided for herein shall commence as to all lots on the first day of the month following the conveyance of the Common Areas. Both annual and special assessments must be fixed at a uniform rate for all lots. The Board of Directors shall fix the amount of the monthly assessment against each lot by December 1 preceding the annual assessment period beginning January 1. No further notice of the annual assessment is required by the association. The due dates shall be established by the Board of Directors. The association shall upon demand, and for a reasonable charge, furnish a certificate signed by an officer of the Association setting forth whether the assessments on a specified lot have been paid. SECTION 25. "AFFECT OF NON-PAYMENT OF ASSESSMENTS, REMEDIES OF THE ASSOCIATION" Any assessment not paid within thirty (30) days after due date shall bear interest from the due date at a rate of twelve (12) percent per annum. The Association may bring an action at law against the owner personally obligated to pay same, or foreclose the lien against 18 the property. No owner may waive or other wise escape liability for assessments provided herein by nonuse of the Common area or abandonment of his lot. SECTION 26. "SUBORDINATION OF THE LIEN TO MORTGAGES" The lien of the assessments provided for herein shall be subordinate to the lien of any first or second mortgage. Sale or transfer of any lot shall not effect the assessment lien. However, the sale or transfer of any lot pursuant to mortgage foreclosure or any proceeding in lien thereof, shall extinguish the lien of such assessments as to payments which became due prior to such sale or transfer. No sale or transfer shall relieve such lot from liability for any assessment thereafter becoming due or from the lien thereof. ARTICLE 111 ARCHITECTURAL CONTROL COMMITTEE SECTION 1. "MEMBERSHIP" (A) The Architectural Control Committee is composed of the following: Norman G. Fuller H.G. Scott Shannon L. Spencer (B) A majority of the Board of Directors of the Association shall designate a new Architectural Control Committee to act for it after 95% of the lots in each phase are sold. In the event of death or resignation of any member of the committee, the remaining members shall have full authority to designate a successor. 19 SECTION 2. "PROCEDURE" The committees approval or disapproval as required in these covenants shall be in writing. In the event the committee or its designated representative, fails to approve or disapprove within thirty (30) days after plans and specifications have been submitted to it, or in any event, if no suit to enjoin the construction has been commenced prior to the approval thereof, approval will not be required and the related covenants shall be deemed to have been fully complied with. ARTICLE IV GENERAL PROVISIONS SECTION 1. "DECLARATION OF FENCE AND PARTY WALL COVENANT AND EASEMENT" (A) Some of the buildings may be constructed on lots with common walls and common access utilities. (B) These common walls and common access areas require covenants and easements for the use enjoyment and benefit of the subsequent individual, separate owners succeeding to the ownership of the several units and parcels. (C) The Declarant or its assigns shall commence and complete construction upon the parcels of land certain dwelling units or buildings which have common party walls upon the lines forming the boundary between said parcels or property. (D) The owner or part owner of either or any of said parcels shall have the right to enter upon over under or through the parcel and premises opposite the side of such common party wall or structure wall which faces the wall of such owner or occupant for the purposes of repairing, replacing, maintaining and renovating such wall or the 19 SECTION 2. (D) The owner or part owner of either or any of said parcels shall have the right to enter upon over under or through the parcel and premises opposite the side of such common party wall or structure wall which faces the wall of such owner or occupant for the purposes of repairing, replacing, maintaining and renovating such wall or the ~'`,, 20 utilities serving the premises. (E) The owner or occupant of any of the above described parcels shall not drive, place or cause be driven or placed, any nails, screws, bolts, or other objects into the party or structural wall or that wall which forms a common boundary and line with the lot and unit of any other owner. Excepting however, that any party may use screws or nails or similar objects to attach paneling, pictures or decorative objects to such wall which do not penetrate to a depth of over one-half (1/2) inch. (F) The owner of any lot or unit herein described, shall not erect or maintain, within a distance of four (4) feet of any common party wall or structural wall forming the boundary between such lot and the lot or unit of any other owner, any structure which may impede or interfere with any necessary maintenance, repairs or restoration of the party or structural wall. (G) The wall constructed or to be constructed shall form a common wall or party wall, and each of the adjoining properties described, and shall remain a party wall, and each of the adjoining owners shall have the right to use such as a common parry wall jointly with the other adjoining owner. (I~ The respective owners or occupants of each of the parcels and units shall be responsible for any marks, scratches, redecorating, or refencing of the wall on that portion of the wall which forms a party wall or structural wall on that side facing their particular unit or lot. That any repairs or replacements necessary through ordinary wear and tear shall be the joint responsibility of the joint owners. (K) "Common -Party Walls -Arbitration" In the event of any dispute arising concerning a party wall, or under the provisions of this Article, each party shall choose one arbitrator and the decision of a majority of all arbitrators shall be final and conclusive of the question involved. SECTION 2. "TERM" These covenants are to run with the land and shall be binding on all parties and all persons claiming under them for a period of thirty (30) years from the date of these covenants are recorded, after which time said covenants shall be automatically extended for successive period often (10) years unless an instrument signed by a majority of the then owners of the lots has recorded, agreeing to change said covenants in whole or in part. SECTION 3. "ENFORCEMENT" Enforcement shall be by proceedings at law or in 22 equity against any person or persons violating or attempting to violate any covenant either to restrain violation or to recover damage. SECTION 4. "SEVERABILITY" Invalidation of any of these covenants by judgement or court order shall in no way affect any of the other provisions which shall remain in full force and effect. ARTICLE V RIGHTS RESERVED BY DECLARING Not withstanding anything to the contrary contained in this Declaration, the Declarant expressly reserves unto: (A) Itself, its employees, successors and assigns, its agents, representatives, contractors and their employees, easements and right-of--way on, over and across all or any part of the streets for vehicular and pedestrian ingress and egress to and from any part of the Property, or any adjacent real property owned by Declarant, or its successors or assigns. (B) Itself, its successors and assigns (including any district or other entity providing water, sewer, gas, oil, electricity, telephone, cable television, or other similar service), easements on over, under and across all or part of the Common Area, and the utility easements as provided on the recorded subdivision plat of Meridian Greens Subdivision, and any subsequent subdivision plat of Annexed property, for installation, use, and maintenance and repair of all lines, wires or pipes shall be underground and further, provided that all work done in connection therewith shall be performed with reasonable care and that the surface of said easement area shall be restored to the level and condition that existed prior to the doing of such work; 23 (C) Itself, its employees, successors, assigns, agents, representatives, contractors and their employees, the right to use the Common Area, where applicable, to facilitate and complete the development of the Property, and any Annexed Property, including without limitation the use of the Common Area where applicable for: 1.
