The closing on the Property is contingent upon finalizing certain entitlements with the city of Meridian. The Applicant is working closely with Taylor Merrill, representative of the current owner Gramercy LLC during the development agreement amendment process. Gramercy LLC and Meridian City originally entered into a development agreement signed on April 2, 2012 and recorded on April 11, 2012 instrument number 112033247, "Original Development Agreement". The Applicant is requesting a modification to the Original Development Agreement to allow for a multifamily development that will utilize the property to its greatest potential, maximize usable open space for future residents and create an architectural theme consistent with the existing features within Gramercy Park. The requested modifications are primarily derived from creating a space in which residents can feel safe, enjoy onsite amenities, be connected to the amenities the surrounding area provides, and promote a more timeless architectural style within the proposed buildings. The Applicant is requesting the following to be added to or modified within the Original Development Agreement: - Allow for Z76 units on the Property o This density is still well within the existing zoning of R i-40 and provides the parking and landscaping ratios as outlined by city code - The Property will be described as a single lot and wholly owned by a single owner and will be maintained by a high standard of care o This will be written into the development agreement and recorded against the property to insure that any future owner will be bound by this commitment and that the Property wilt never be sold off piece mill or maintained in a subpar condition - Allow for 138 garages to be built as a part of the project o Residents prefer the convenience and safety of a garage over a carport. This feature will add significantly to the upscale feel of the project upon completion - Allow for there to be no carports over the ACRD easement on the south west corner of the property but allow surface parking in this area. The number of required carports on the property will be reduced by 28 due to the encroachment of the ACRD easement. o ACRD has stated in our meetings with them that they will not allow any permanent structures or significant landscaping, i.e. trees or large shrubs with deep root systems, to be placed within their storm drain easement. They are, although, willing to permit surface parking within their easement. !t is vital to the functionality of the project to have surface parking over the ACRD easement. Allow for elevation change on buildings showing a more traditional style architecture o The Applicant owns and manages over 1300 units in Idaho and Utah and is experienced in developing projects that portray timeless architectural themes. The proposed themes are much more conventional than those portrayed in the Original Development Agreement. The flat roof style is very concerning to the Applicant due to aesthetics as well as significant maintenance issues over time compared to a pitched roof. - Third access point to be located on the south end of the Property o This access point will be accessible to emergency personnel and will be more fully improved by the property owner to the south upon the development of the south property. No other access points will be provided on the Property. - Allow for a car port design as is shown on the attached exhibit - Allow for vinyl dumpster enclosures per the attached exhibit - Landscaping along the south and east property lines be limited to what is depicted on the attached landscaping plan o Landscaping behind the garages will be of no benefit to the residents. The garages will create a barrier from adjacent properties and thereby protect from any light pollution traveling to the surrounding neighborhoods. As we understand it this was the primary reason behind the landscaping plan as outlined in the previous development agreement. - No fencing will be required around the perimeter of the Property All other changes and modifications to the Original Development Agreement would be per the attached site plan and conceptual elevations that will be included in the new development agreement. The sections of the Original Development Agreement that will be modified are primarily section 5 a, b, d, e. We are excited about the prospect of this project and commencing a long term relationship with Meridian City. We look forward to working with the departments of the City in mutually developing a successful project that will be a valuable asset to the community for many years to come. B. CITY and OWNER/DEVELOPER entered into that certain SECOND DEVELOPMENT AGREEMENT recorded on April 11, 2012 as Instrument # 112033247 and amended by Instrument #112033248 on real property more particularly described in the Agreement and attached as revised Exhibit B. C. On March 20, 2012 the Meridian City Council approved an application by Gramercy, LLC as Accolade Apartments (RZ-11-007, and MDA 11- 013) wherein a portion of the property originally part of the First Development Agreement and the Initial Development Agreement was removed from coverage under each of the foregoing with the intention that said property be bound by the terms of the Second Development Agreement which this 3rd Amendment amends. The property encumbered by the Second Development Agreement and all amendments AMENDMENT TO DEVELOPMENT AGREEMENT (MDA 11-013) ACCOLADE APARTMENTS -PAGE 1 OF 5 thereto, including this 3ra Amendment is set froth on attached Exhibit D, incorporated herein by this reference (the "Apartment Property"). CITY and OWNER/DEVELOPER now desire to amend the Second Development Agreement and all existing Amendments there to pursuant to this Amendment 3 and to specifically remove the Apartment Property from coverage under the First Development Agreement and the Initial Development Agreement. Development of the Apartment Property shall be restricted to a multi- family development consisting of 276 multi-family units, a clubhouse, not more than 160 garages and not less than 248 carports. Amenities on the Apartment Property shall include the following: a swimming pool, aclubhouse/rental office, internal pathway network, central park. II. Development of the Apartment Property shall substantially comply with the site plan, landscape plan and building elevations attached as Exhibit E. III. Maximum height of the structures constructed on the Apartment Property shall not exceed 35 feet as defined by section 502 of the 2009 IBC. IV. Owner/Developer agrees to plat the Apartment Property under a single owned legal entity that will be responsible for the ongoing current and future maintenance of the improvements constructed on the Apartment Property. V. Owner/Developer shall provide a private street connection to Lott, Block2 (Please insert the subdivision name) along the southern boundary of the Apartment Property. Carports and dumpster enclosures on the Apartment Property shall be constructed to substantially comply with the drawings attached as a part of Exhibit F. VII. No structures or plantings with deep root systems shall be allowed over the ACHD drainage easement on the south west corner of the Apartment property. The city of Meridian will allow approximately 28 stalls of uncovered surface parking to be installed over said easement. VIII. Owner/Developer shall construct all improvements on the Apartment Property in a single phase. 3. Owner/Developer agrees to abide by all ordinances of the City of Meridian and the Property shall be subj ect to de-annexation of the Owner/Developer, or their assigns, heirs, or successor shall not meet the conditions of this amendment to the Development Agreement, and any new Ordinances of the City of Meridian as herein provided. 4. This amendment shall be binding upon and insure to the benefit of the parties' respective heirs, successors, assigns and personal representatives, including City's corporate authorities and their successors in office. This amendment shall be binding on the Owner/Developer of the Property, each subsequent owner and any other person(s) acquiring an interest in the Property. Nothing herein shall in any way prevent sale or alienation of the Property, or portions thereof, except that any sale or alienation shall be subject to the provisions hereon and any successor owner or owners shall be both benefited and bound by the conditions and restrictions herein expressed. City agrees, upon written request of Owner/Developer, to execute appropriate and recordable evidence of termination of this amendment if City, in its sole and reasonable discretion, had determined that Owner/Developer has fully performed its obligations under this amendment. 5. If any provision of this amendment is held not valid by a court of competent jurisdiction, such provision shall be deemed to be excised from this amendment and the invalidity thereof shall not affect any of the other provisions contained herein. 6. This amendment sets forth all promises, inducements, agreements, condition, and understandings between Owner/Developer and City relative to the subject matter herein, and there are no promises, agreements, conditions or under-standing, either oral or written, express or implied, between Owner/ Developer and City, other than as are stated herein. Except as herein otherwise provided, no subsequent alteration, amendment, change or addition to this amendment shall be binding upon the parties hereto unless reduced to writing and signed by them or their successors in interest or their assigns, and pursuant, with respect to City, to a duly adopted ordinance or resolution of City. a.
