1981-7040 Agreement between Boise and Meridian to provide Dispatch Services1` ~ ~~ .. RESOLUTION N0. r(/ -/ `' BY THE COUNCIL: ANDERSON, BUERSMEYER, EWING, KOPKE, McADAMS AND SELANDER P. RESOLUTION APPROVING AN AGREEMENT BETWEEN CITY OF BOISE CITY AND THE CITY OF MERIDIAN TO PROVIDE RADIO AND TELEPHONE. COMMUNICATIONS (DISPATCH) SERVICE TO THE CITY OF MERIDIAN; AUTHORIZING THE MAYOR AND CITY CLERK TO EXECUTE AND ATTEST SAID AGREEMENT; AND PROVIDING AN EFFECTIVE DATE. WHEREAS, the City of Boise City and the City of Meridian pursuant to the pertinent provisions of Chapter 23, Title 67, Idaho Code, may enter into agreements enabling each to cooperate with the other for providing services and facilities to their mutual socio-political economic advantage; WHEREAS, the Mayor of the City of Meridian has found and deemed it necessary to enter into an agreement with the City of Boise City for providing radio and telephone communication (dispatch) services and facilities for the benefit of the City of Meridian; and WHEREAS, the Council at its regular meeting of December 14, 1981, approved the form and content of a proposed agreement between Boise City and the City of Meridian to provide the City's Department of Fire Radio and telephone communication (dispatch) services and facilities to and for the use and benefit of the City of Meridian. NOW, THEREFORE, BE IT RESOLVED BY THE MAYOR AND COUNCIL OF THE CITY OF BOISE CITY, IDAHO: Section 1. That the Agreement between the City of Boise City and the City of Meridian, a copy of which marked Exhibit "A" is attached hereto and incorporated herein as part hereof by reference and attachment, be, and the same hereby is, approved both as to form and content. Section 2. That the Mayor and City Clerk be, and they hereby are, directed to respectively execute and attest said agreement for and on behalf of Boise City. R-425-81 Section 3. APPROVED: ~~ Mayor ATTEST: ~, City Clerk AGREEMENT ~~~AGREEMENT made and entered into this day of ~~ 19 ~~, by and between MERIDIAN CITY, hereinafter called "MERIDIAN CITY," as first party, and BOISE CITY, a municipal corporation of the State of Idaho, hereinafter called "CITY" as second party. W I T N E S S E T H: WHEREAS, the MERIDIAN CITY and the CITY desire to enter into an agreement for the purpose of furnishing the CITY'S Department of Fire radio and telephone communication (dispatch) services and facilities to MERIDIAN CITY. NOW, THEREFORE, the parties hereto mutually agree as follows: 1. The term of this Agreement shall commence on the first day of January, 1982, and terminate on December 31, 1982. 2. The CITY shall maintain, establish and furnish the place or building and facilities for radio and telephone communication (dispatch) services, maintenance and operation costs including all necessary employees and equipment at CITY expense, all of the foregoing to be under the sole and exclusive dominion, control and jurisdiction of CITY. 3. CITY agrees to furnish the full services and facilities of CITY'S Department of Fire radio and telephone communication (dispatch) system to MERIDIAN CITY, including the receipt, transmission and transfer of all communications made at the request or discretion of the Mayor of MERIDIAN CITY. However, all directives from the Mayor of MERIDIAN CITY must first be given to the CITY'S Department of Fire for clearance to CITY'S Department of Fire Dispatch Center. 4. CITY shall, at its own expense, obtain all licenses or permits which may be required for the maintenance and operation by CITY of a radio and telephone communication (dispatch) system for MERIDIAN CITY'S use and benefit. AGREEMENT - 1 EXHIBIT "A" .... ~"'~ 5. MERIDIAN CITY will purchase and maintain all radios, pagers, and telephones necessary and related to the dispatching of personnel and equipment within MERIDIAN CITY. All equipment purchased must be compatible with the CITY'S Department of Fire dispatching equipment and all purchases of communications equipment by MERIDIAN CITY shall be reviewed by CITY'S communications officer. 6. If MERIDIAN CITY requires or provides additional radios or frequencies, MERIDIAN CITY shall have the responsibility to obtain all necessary licenses or permits which may be required for the maintenance and operation of such additional radios or frequencies. 7. MERIDIAN CITY agrees to have at least one individual who will be responsible to take all emergency alarms in MERIDIAN CITY. 8. CITY and MERIDIAN CITY shall each comply with all laws, orders and regulations of the Federal Communications Commission or any directions of any public officer given pursuant to law, which shall impose any duty upon either party in the performance of this Agreement. MERIDIAN CITY agrees to save and hold harmless CITY in the event of any violation of the foregoing. 9. In consideration for the services to be provided by CITY, MERIDIAN CITY agrees to pay to CITY as its total monetary obligation the amount of ($363.00) three hundred sixty-three dollars which shall be payable in monthly installments of $ payable on or before the 15th day of each month. 10. CITY or MERIDIAN CITY has the right to terminate this agreement during the course of this agreement upon written ngtice being served upon the other party within thirty (30) days prior to the requested termination date, if any, of tie following circumstances exist: AGREEMENT - 2 ~ ~ t~ ` - - /~, a. Failure of either party to meet the conditions and provisions of this Agreement. 11. MERIDIAN CITY shall have an option to extend this Agreement for an additional one year term upon the same terms and conditions stated herein, except that the CITY shall have the right to an increase in the compensation for providing its services, the exact amount of which shall be negotiated between the parties. In no event, however, shall the increase in compensation exceed the increase in actual cost to the CITY to provide such service. MI'F.IDIAN CITY shall notify CITY thirty (30) days prior to the expiration of this Agreement, of its intent to exercise the option to extend. 12, The Agreement and conditions herein contained shall apply to and bind the successors and assigns of all the parties hereto.
