As the Project Manager of the Meridian Development Corporation [MDC], please accept this Short Plat
Application. Renewal Place Subdivision is a three [3] lot subdivision that includes the following
existing properties:
*703 North Main Street: MDC-owned; current location of The Ground Floor business incubator
and commonly known as the former Bank of the Cascades building.
*713 North Main Street: MDC-owned; known as the former Washington Federal Savings
building.
*30 East Broadway Avenue: The existing Bank of the Cascades Building.
As part of the purchase agreement with the Bank of the Cascades [BOTC], MDC is required to legally
divide the property in which both the BOTC and The Ground Floor buildings occupy. In addition,
Planning Staff has requested that we include 713 North Main Street in the overall plat to "clean up"
some boundary issues. There will be shared parking between 703 North Main and 30 East Broadway
Avenue and an agreement will be created and recorded prior to recordation of the plat.
The plat is merely a procedural process and no improvements/construction is planned as a part of
this platting process. The BOTC Building was only constructed a few years ago and had to go through
an extensive review and Certificate of Zoning Compliance [CZC] process. The Ground Floor underwent
a CZC process in late 2011 with the recent move of The Ground Floor business incubator into this
building. Therefore, there is no landscape, engineering or construction drawings submitted as part of
this short plat.
MDC has worked with our professional partner Civil Survey Consultants to ensure that this project
meets all of the requirements and provisions of the Uniform Development Code and conforms with all
acceptable engineering, architectural and surveying practices/standards. We respectfully request

CONDITIONS
1. The term mortgage, when used herein, shall include deed of trust, trust deed, or other security
instrument.
2. If the proposed Insured has or acquired actual knowledge of any defect, lien, encumbrance, adverse claim
or other matter affecting the estate or interest or mortgage thereon covered by this Commitment other than
those shown in Schedule B hereof, and shall fail to disclose such knowledge to the Company in writing, the
Company shall be relieved from liability for any loss or damage resulting from any act of reliance hereon
to the extent the Company is prejudiced by failure to so disclose such knowledge. If the proposed Insured
shall disclose such knowledge to the Company, or if the Company otherwise acquires actual knowledge of
any such defect, lien, encumbrance, adverse claim or other matter, the Company at its option may amend
Schedule B of this Commitment accordingly, but such amendment shall not relieve the Company from
liability previously incwmed pursuant to paragraph 3 of these Conditions.
3. Liability of the Company under this Commitment shall be only to the named proposed Insured and such
parties included under the definition of Insured in the form of policy or policies committed for and only for
actual loss incurred in reliance hereon in undertaking in good faith (a) to comply with the requirements
hereof, or (b) to eliminate exceptions shown in Schedule B, or (c) to acquire or create the estate or interest
or mortgage thereon covered by this Commitment. In no event shall such liability exceed the amount stated
in Schedule A for the policy or policies committed for and such liability is subject to the insuring provisions
and Conditions and the Exclusions from Coverage of the form of policy or policies committed for in favor of
the proposed Insured which are hereby incorporated by reference and are made a part of this Commitment
except as expressly modified herein.
4. This Commitment is a contract to issue one or more title insw•ance policies and is not an abstract of title or
a report of the condition of title. Any action or actions or rights of action that the proposed Insured may have
or may bring against the Company arising out of the status of the title to the estate or interest or the status
of the mortgage thereon covered by this Commitment must be based on and are subject to the provisions of
this Commitment.
5. The policy to be issued contains an arbitrotion clause. All arbitrable matters when the Amount of Insurance
tis $2,000,000 or less shall be arbitrated at the option of either t)te Company or the Insured as the exclusive

PUBLIC RIGHT-OF-WAY EASEMENT
(SIDEWALK)
THIS RIGHT-OF-WAY EASEMENT (SIDEWALK) (the "Easement"), is made and
entered into this ,~{tlay of ~, 2004, by and between Farmers and
Merchants State Bank, an aho corporation, hereinafter referred to as "GRANTOR,"
and ADA COUNTY HIGHWAY DISTRICT, a body politic and corporate of the State of
Idaho, hereinafter referred to as "ACRD";
WITNESSETH:
FOR GOOD AND SUFFICIENT CONSIDERATION IT IS AGREED:
SECTION 1. Recitals.
• '1.1 GRANTOR owns the real property located in ~,-Ada County, Idaho more ° .
particularly described on Exhibit "A".attached hereto, and by this reference incorporated.: ••
.herein (hereinafter "Servient Estate") and is in the process of developing the property. :.
adjoining the Servient Estate, .:and on the terms and conditions. hereinafter set :forth; :.
GRANTOR desires to grant this easement on, over and across the Servient Estate to.
ACRD for the public uses and purposes hereinafter described, reserving tht3 ~ right;
however, to construct a concrete sidewalk (hereinafter the "Improvement") thereon.
1.2 On the terms and conditions hereinafter set forth ACRD desires to extend
its system of public sidewalks to include that to be constructed by GRANTOR on the
Servient Estate, and upon GRANTOR's completion of construction of the Improvement
on, over and across the Servient Estate, and when ACRD has accepted the same,
ACRD desires that the Improvement and the Servient Estate become a part of its
system of Highways (hereinafter "Highways") as that term is defined in Idaho Code,
section 40-109(5), for ACRD and the public use hereinafter described. ACHD's system
of Highways is hereinafter referred to as the "Dominant Estate".
1.3 As provided in Idaho Code, section 40-1412, ACRD Ordinance Number
190 and the ACRD Policy Manual, the adjacent property owner has the responsibility to
pay for the repair and maintenance of the Improvement.
SECTION 2. Grant and Authorized Use.

GRANTOR hereby grants to ACRD a perpetual and exclusive easement for a
public right of-way on, over and across the Servient Estate for the Improvement, for use
by those members of the public who are pedestrians (as defined in Idaho Code, section
49-117) and by bicyclists (if the Servient Estate is located in an area where bicycles are
allowed to be ridden on sidewalks), and the statutory rights, if any, of utilities to use the
public right-of--way, and for ACRD, its employees, agents and contractors access to
inspect, repair and maintain the Improvement.
SECTION 3. Reservation of Access for Construction by GRANTOR: Covenant to
!, Construct Repair and Maintenance.
3.1 GRANTOR reserves access to and from the Servient Estate for
GRANTOR and GRANTOR's employees, agents and contractors to construct the
Improvements thereon.
3.2 GRANTOR covenants and agrees to construct the Improvements on the
Servient Estate in accordance with designs approved in advance by ACRD, in writing,
ACRD policies and good engineering practices, at no cost or expense to ACRD.
SECTION 4. GRANTOR's Indemnification GRANTOR shall indemnify and save and
hold harmless ACRD, its Commissioners and employees, from and against all claims,
.actions or judgments: for damages, .injury or death ,caused by or arising out : of the= ~ -
.construction of the Improvement,.and;including reimbursement for any costs of suit and.:

SECTION 5. Term of Easement The term of the Easement'herein granted to ACHD`is
perpetual.
SECTION 6. Covenants Run with the Land.
This Easement is a burden upon the Servient Estate and appurtenant to and for
the benefit of the Dominant Estate, and shall run with the land.
SECTION 7. Recordation.
This Easement shall be recorded in the Official Real Property Records of Ada
County, Idaho.
TO HAVE AND TO HOLD this Easement unto the ACHD forever.
GRANTOR covenants to ACRD that ACRD shall enjoy the quiet and peaceful
possession of the Servient Estate throughout the term hereof; and, (b) GRANTOR

IT Is THEREFORE ORDERED that said lands be excluded from the
assessment rolls of the District for purposes of irrigation but not
for purposes of drainage, effective this date, and that all levies
of the District heretofore entered upon the assessment rolls of the
District against said described lands shall remain collectible in
accordance with Title 43 of the Idaho Code and that no further
levies for irrigation, subsequent to the date oP this order shall
be made upon said described lands but further levies for drainage
shall be made upon described lands in accordance with the
provisions of Title 43 of the Idaho Code;
IT Is BURTBER ORDERED that in accordance with the provisions of
Idaho Code, Title 43, said described lands shall not hereinafter be
entitled to receive water from the water rights or from the
irrigation works and system of the Nampa & Meridian Irrigation
District, and shall not hereafter be entitled to any of the
benefits of said District except for drainage benefits for which
assessments shall be levied against said described lands;
IT IS FDRTHER ORDERED that the Secretary of the District shall

This Memorandum ("Memorandum") is entered into as of the day of ,
2004, by and between the Urban Renewal Agency of the City of Meridian, Idaho, also known as
the Meridian Development Corporation (the "Agency"), and Farmers & Merchants State Bank
(the "Participant").
1. Urban Renewal Plan.
On December 3, 2002, the City Council of the City of Meridian adopted
Ordinance No. 02-987 approving the Meridian Revitalization Urban Renewal Plan (hereinafter
the "Meridian Revitalization Plan"), which is a matter of the public records of the City of
Meridian.
2. Owner Participation Agreement:
On the f' ~r day of ~6~' , 2004,~the Agency and the Participant
entered into that certain Owner.Participation Agreement to effectuate the Meridian Revitalization
Plan and the Downtown Project to improve the "Site" which is legally described on Exhibit A
attached hereto. For purposes of this Memorandum; the Site as described consists of the first
phase of Participant's project. Both Agency and Participant agree to record a revised map and `
legal description of the entire private development project site, upon completion of the property
survey.
3. Owner Participation Agreement Incorporated:
All the terms, conditions, and covenants of the Owner Participation Agreement,
which may be inspected at the offices of the Agency at the Offices of the Meridian City Clerk,
City of Meridian, 33 East Idaho Avenue, Meridian, Idaho, 83642, or at the offices of Farmers &
Merchants State Bank, 703 North Main Street, Meridian, Idaho 83642, are hereby incorporated
herein by this reference and notice is hereby given of the terms and conditions thereof.

4. No Claim of Interest:
This Memorandum and the Owner Participation Agreement shall not encumber or
bind any part of the Site until the date on which Participant acquires and records evidence of
conveyance to Participant of fee title to the Site, or portions thereof and nothing herein shall
constitute a claim by Participant of any interest therein solely by virtue of the Owner
Participation Agreement. Upon Participant's acquisition and recordation of evidence of title to
any parcel within the Site, said parcels, which Participant has acquired title to, shall
automatically be subject to, and encumbered and bound by this Owner Participation Agreement
and each and every provision thereof from and after the date of such recordation, and subject to
any existing easements, restrictions, agreements or other matters of record or record notice on the
date thereof.
5. Counterparts:
This Memorandum has been executed in counterparts, which, together, constitute
one complete integrated agreement, evidenced by the signature of the parties hereto.
