Recitals 2.1 GRANTOR owns that certain parcel of real property located in Ada County, Idaho, more particularly described and depicted on Exhibit "A" attached hereto (hereinafter "Parcel "A"), and has applied for the approval of ACRD of a development project on Parcel "A". 2.2 In giving its approval for the requested development ACRD has asked that GRANTOR provide a cross access easement to and from the parcel(s) adjoining Parcel "A" more particularly described and depicted on Exhibit "B" attached hereto (hereinafter the "Dominant Estate") over and across Parcel "A" at the location generally depicted on Exhibit "C~~ hereto (hereinafter "Servient Estate") to and from the public street which provides public access to Parcel "A". Cross Access Easement Agreement - Pec~e 1 (0 /0.00) 1 2.3 ACHD has a traffic safety interest in encouraging cross access easements between owners of adjacent properties because minimizing the frequency, width and location of the private driveways which provide access to commercial and other developments to and from public streets designated as arterials or collectors improves the flow and safety of traffic using those streets. 2.4 GRANTOR acknowledges the safety interest of ACHD and agrees to provide this cross access easement, subject to the terms and conditions set forth in this Agreement. Section 3. Grant of Easement, in Trust 3.1 Subject to the terms and conditions set forth in this Agreement, GRANTOR grants to ACHD for the benefit of the owner of the Dominant Estate and for his tenants, employees, agents and contractors and the successors and assigns to the Dominant Estate, and the guests and invitees of the same (hereinafter collectively "Authorized Users"), an easement for travel by vehicles and bikes whose occupants are, and by pedestrians who are, Authorized Users, to and from the Dominant Estate over and across the Servient Estate to and from the public street which provides public access to Parcel "A" (hereinafter "Cross Access Easement"). 3.2 This Agreement and the rights herein granted shall be held in trust by ACHD for the benefit of the owner of the Dominant Estate and his successors and assigns until such time as the owner of the Dominant Estate shall apply to ACRD for its approval of a development of the same, and comply with the conditions to assignment set forth in Section 45 and ACRD has given such approval and assigned this Agreement and the Cross Access Easement herein granted to such owner, in writing, and recorded the assignment thereof in the official records of Ada County. Section 4. No Dedication ACRD is not an Authorized User of this Cross Access Easement, and neither ACHD nor its Commissioners, employees, contractors and agents shall have any right to use this Cross Access Easement. Nor is the public an Authorized User, and nothing contained herein shall constitute any rights in the Servient Estate in favor of or for the benefit of the general public. Section 5. Asst nment by ACHD. 5.1 This Agreement and the Cross Access Easement herein granted shall be assignable by ACHD to the owner of the Dominant Estate without the consent of the GRANTOR only on the following terms and conditions: Cross Access Easement Agreement - Page 2 (05!08100) J (1) only if and when the owner of the Dominant Estate applies to ACHD for its approval of a development thereon. Such applications include, but are not limited to, applications for a conditional use permit, rezoning, planned unit development, subdivision preliminary or final plat approval, a variance or conditional use, and for a building permit for an enlargement of the useable space of any building or other structure by a square footage factor of ten percent (10%) or more; and (2) only if the land use proposed for the Dominant Estate is consistent and compatible with the then existing land use on GRANTOR's Parcel "A"; and (3) only if the owner of the Dominant Estate shall enter into a written agreement with GRANTOR pursuant to which such owner agrees: (a) to equitably and proportionately share the cost of maintenance and repair of the pavement and other improvements on the Servient Estate, on the basis of anticipated or actual use by the Authorized Users from the Dominant Estate as compared with use of the Servient Estate by GRANTOR, his tenants, employees, agents and contractors and his successors and assigns to the Servient Estate, and the guests and invitees of the same; and (b) to indemnify and hold GRANTOR harmless from any loss or damage, injury or death arising out of the use of the Cross Access Easement by Authorized Users, or the failure and neglect of the owner of the Dominant Estate to perform any and all of the obligations incumbent upon such owner to perform under the agreement; and (c) to pay the cost of placing two (2) signs on the Dominant Estate at each side of the common boundary line of the Dominant Estate and the Servient Estate (facing those parcels) which signs shall state that the parking in Parcel "A" is limited to the invitees, tenants, employees and guests of the GRANTOR and the vehicles of unauthorized persons shall be towed away at the vehicle owner's expense; and (d) to install and maintain on the common boundary line of the Dominant Estate and the Servient Estate, or other location agreed to by the parties, a speed bump and stop sign; and (e) that the use of the Servient Estate by Authorized Users shall be subject to: (i) a weight limit on the vehicles (to be established by, and which may be modified by, ACHD from time to time), (ii) a limit on the number of daily vehicular trips to no more than trips, and (iii) a limit on the times of use; and Cross Access Easement Agreement -Page i05-G°,001 (f) that if there is a limit on the times of use by Authorized Users, to pay the cost of installation of a gate at the common property line between the Dominant Estate and the Servient Estate which GRANTOR may freely close during those times when this Cross Access Easement is not open for use; and (e) that operators of tractor trailer vehicles and buses are not Authorized Users and such vehicles shall not use the Servient Estate and this Cross Access Easement; and (f) that the owners of the Dominant Estate shall not use the Cross Access Easement in any manner such as to result in traffic congestion on Parcel "A"; and (g) that GRANTOR may terminate .this Agreement and the Cross Access Easement herein granted in the- event of a default by the owner of the Dominant Estate and the failure of such owner to cure the same within thirty (30) days after notice of default, specifying the same, is given the such owner and to ACHD by GRANTOR; and (h) that if either party shall seek to enforce their agreement or recover damages for any default in a court of law or equity, the successful party shall be entitled to his reasonable attorney's fee; and (4) if the development proposed by the owner of the Dominant Estate includes direct access onto the public streets, only if the owner of the Dominant Estate has agreed in writing to grant GRANTOR and/or ACHD, in trust for the benefit of owners of other properties which adjoin the Dominant Estate, a cross access easement over and across the Dominant Estate generally on the same terms and conditions as set forth in this Agreement, to and from Parcel "A" and/or other properties adjoining the Dominant Estate, for the benefit of GRANTOR and the owners of such other adjoining properties, their tenants, employees, agents and contractors and their successors and assigns, and the guests and invitees of the same, for travel by vehicles and bikes and by pedestrians over and across the Dominant Estate to and from an adjoining public street which provides public access to the Dominant Estate. 5.2 Upon the assignment by ACHD of this Agreement and the Cross Access Agreement herein granted to the owner of the Dominant Estate, and such owner's assumption of the obligations and responsibilities of ACRD hereunder, ACRD shall be released from any further responsibilities or obligations hereunder. Covenant Running with the Land All rights and obligations arising or described hereunder are intended to be burdens and covenants running with the title to Parcel "A" and shall be binding upon and inure to the benefit of the parties and their respective successors in title. Section 7. Condition Subsequent If this Agreement has not been assigned by ACHD to the owner of the Dominant Estate within years of the date hereof, it shall be null and void and of no further force and effect, and shall not thereafter be assigned by ACHD. Section 8. Consent and Subordination If requested by ACHD, the GRANTOR agrees to make a good faith effort to obtain the consent to the grant of the Cross Access Easement under this Agreement from the holder of any superior interest, right, title, lien or encumbrance in Parcel "A". The consent shall subordinate the particular interest to the Cross Access Easement. Section 9. Captions. Number and Gender The captions and headings are for convenience only and are not intended to be used in construing any provision of this Agreement. The singular and plural shall each include the other were appropriate, or if any genders shall include other genders when the content so permits. Section 10. Governing Law and Venue The laws of the State of Idaho shall govern this Agreement. Any legal action instituted herein shall be brought in Ada County, Idaho. Section 11. Modification or Termination The terms and provisions of this Agreement may be modified, supplemented or terminated only by a written instrument executed by the GRANTOR and ACRD, their successors or assigns. Section 12. Recording This Agreement shall be recorded in the official records of Ada County, Idaho by ACRD at its sole cost and expense. It has been determined that the Right-of- Way and Development Services Department has two site specific requirement for you at this time • Construct sidewalk abutting the site to match existing improvement to the east and west of the site. • Utilize the existing shared driveway as proposed. If the site plan or use should change in the future, ACRD will review the site plan and may require improvements to the transportation system at that time. Prior to the construction or installation of any roadway improvements (curb, gutter, sidewalk, pavement widening, driveways, culverts, etc), a permit or license agreement must be obtained from ACRD. In addition to any costs associated with a permit or license agreement, a roadway impact fee will be assessed by ACRD and will be due prior to the issuance of a building permit. In accordance with ACHD's standard requirements, the applicant shall: • Meet District drainage requirements, • Replace or repair any damaged curb, gutter and sidewalk (as determined by Construction Services), • Bear all costs for the relocation of utilities associated with improving street frontages, • Contact the District's Utility Coordinator or Construction Services Department in regard to all utility street cuts to determine if the pavement is less than five years old. These provisions are in accordance with the Ada County Highway District Policy Manual, ISPWC Standards, Construction Services policies and procedures as well as all applicable ACRD Ordinances.
