The Licensee shall have the right to encroach upon ..he District's easement in the manner generally described in the "purpose of License" attached hereto as Bxhiblt C and by this reference made part hereof, and in accordance with the "special Conditions" stated in Exhibit D, attached hereto and by this reference made part hereof. enrxaachment uponithe Districts easement far the pthurpoeeaeana in the manner described herein. The Licensee shall not change the location of the ditch or canal, bury the ditch or canal in pipe on the Licensee's Property, or otherwise alter the ditch or canal without first obtaining the written permission of the District. 3. Bach facility {„facility" as used 3n this agreement means any object or thing of any nnture installed in or ii~ on the District's easement by the Licensee) shall be constructed, f installed, operated, and maintained at all times by the Licensee and at the cost and expense of the Licensee. 4. The Licensee agrees to construct, install, operate, and maintain each facility in a safe manner and condition so that it will not constitute or cause a hazard to any person or property. The Licensee agrees to indemnify, hold ' harmless, and defend the District from all claims for damages arising out of any hazard or unsafe condition in or arising from the construction, installation, operation, and maintenance of such facility. 5. The Licensee agrees to construct, install, operate, and maintain each facility at such times and in such seasons and in a manner that will not interrupt or interfere with the Plow of irrigation water in said ditch or canal or the delivery of irrigation water by the District. The Licensee agrees to indemnify, hold harmless, and defend the District from all claims for damages arising out of any impairment of the flow or delivery of irrigation water in said ditch or canal which may be caused by the construction, installation, operation, or maintenance, and any use or condition of any facility. 6. The Licensee agrees to construct, install, operate, and maintain each facility in a manner that will not cause•an increase in seepage or any other incxease in the lass aP water from the ditch or canal, the subsidence of soil within the easement, or any other damage to the easement and irrigation works. The Licensee agrees to indemnify, hold harmless, and defend the District from all claims for damages arising out of any increase in seepage or other water loss from the ditch or LICENSE AGREEMENT - page 2 197;UU1315 canal, subsidence of coil in the easement, or any other damage to the easement and irrigation works which may be caused by the } construction, installation, operatign,. and maintenance, and any use or condition of any facility. ~ 7. Any alteration of the District's easement by the Licensee, and any alteratior. of property adjoining the Districts easement by the Licensee, including, bat not limited to, the excavation of soil, shall be performed and maintained in a manner that will not cause an increase in seepage or any other increase in the lose of water from the ditch or canal, the subsidence of soil within the easement, ar any other damage to the easement end irrigation works. The Liaeneee shall provide the District reasonable prior notice of any such alteration not identified in this agreement. The Licensee agrees to indemnify, hold harmless, and defend the District from all claims far damages arising out of any increase in seepage or other water loss from the ditch or canal, subsidence of soil in the easement, or any other damage to the easement and ~.rrigation works which may be caused by the performance and maintenance, and any use or condition, of any alteration of the eassment by the Licensee, and any alteration of property adjoining the easement by the Licensee. 8. The District reserves the xight, at the District's option, tv remove any facility installed by the Licensee and to repair any alteration by the Licensee of said ditch ar canal and the easement therefor which does not comply with the terms of this agreement, and to remove any impediment to the flow aP water in said ditch or canal and any unsafe condition or hazard caused by the Licensee, at any time, and the Licensee agrees to pay to the District, on demand, the oasts which shall be reasonably expended by the District for such purposes. It the Licensee shall fail in any respect to properly maintain and repair such facility, then the District, at its option, and without impairing or in anywise affecting its other rights and remedies hereunder, shall have the right to perform the necessary maintenance and repairs and the Licensee agrees to pay to the District, on demand, the cost or expense which shall be reasonably expended or incurred by the District for such purposes. The District shai2 give reasonable notice to the Licensee prior to the Districts performing such maintenance, repair or other work except that in cases of emergency the District shall attempt to give such notice as reasonable under the circumstances. Nothing in this paragraph shall create yr support any claim of any kind by Licensee or any third party against the District for failure to exercise the options stated in this paragraph, and Licensee shall indemnify, hold harmless and defend the District from any claims made against the District arising out of or relating to the terms of this paragraph except for claims arising solely o~tt o! the negligence or fault of the District. The Licensee understands and agrees that Licensee has no right to drain or waste into said ditch or canal more surface or ground water than drains or wastes from said property in its present state or condition (predevelopment Llow~. The Licensee expressly agrees that it shall not cause, suffer or permit any such additional surface or ground water to drain or waste into said facilities of the District unless the Licensee shall have (I.~ obtained all necessary rights of way or easements for the draining or wasting of such additional water and (2) created the necessary additional carrying capacity in the ditches, pipelines or other facilities through which such additional water is to be carried and (3) complied with all statutes, regulations ordinances, and ether laws regarding 'the discharge o! drainage or waste water into surface streams, whether natural or artificial, and into aquifers or other bodies of ground water and (4~ removed all pollutants, contaminants, debris and other foroign material which itt any manner have been placed in or mixed with such additional water while on the said a property of the Licensee, and in the event of any dispute as to - the source .of such pollutants, contaminants, debris or other foreign material, the burden shall be upon the Licensee to show that the pollutants, contaminants, de3~ris ar foreign material does not come from the Licensee+s said pxoperty. The Licensee expressly agrees that the District shall be entitled to enforce compliance with the provisions of this paragraph by injunction and that violation of the provisions of this parag Q~ hpermanent sufficient cause for issuance of a preliminary injunction. Party of the first part, hcreinat>~x re#'err+ed to as the "District", and WILD SHAMROCK PARTNERSHIP., an Idaho partnership, 12301 West Explorer Drive, Suite 240, Boise, Idaho 83713 Party or Parties of the second Fart, hereinafter referred to as the "Li~~, ~ITLI` E~~~~H: WHEREAS, Licensee is the owner of real Property (brndenesi with We ~"~ n~ahonedj P~1ar1y desadbed in the "Legal Description" attached heretobit A and by this reference made a part hereof; and, WHEREAS, the District owns the inigation ditch or canal known as EI~ii1T~II,E LATFRAt ' >' to as "ditch or c~nal'~, ~ integral part of the Distrid's irri anon with the easement therefor to cx~avey irrigatioa water g a'~ and system, together access the ditch or canal for those ' ~~' cleasl, ~~ and repair the ditch or canal, and PmP~; and, WHEREAS, said ditch or canal and easement crosses and 'intersects Licensee s real ro on Exhibit B attached hereto and by this reference made a part hereof; and, ~ P ~3' as shown WHEREAS, the Licensee desires a license to approve and authorize previous construction or activity a8'ecting said ditch or canal a the District`s easement in its course across the leads of the Licensee in the manner and under the Lenms and conditions hereinafter set forth; and, WHEREAS, it is necessary that the District protect absolutely its right to control aay modi#xcation or alteration of its watercourses and its right of way along its watercourses; NOW, THEREFORE, for and in consideration of the premises and of the covenants, agreements and conditions hereinafter set forth, the parties agree as follows: I . The Licensee shall have the right to modify the said ditch ar canal or encroach upon the District's easement along said ditch or canal in the manner generally described in the "Purpose of License" attached hereto as Exhibit C and by this reference made a part hereof. Any modification of said ditch or canal try the Licensee or encroachment upon the Iistrict's easement along said ditch or canal shall be perfom~ed and maintained ~ ~ with the "Special Conditions" stated in Exhibit D, attached hereto and by this reference made a part hereof. ~ ~ 2. This agreeme.t pertains only to the Licensee's modification of said ditch or canal or ~ ~ tip D~trict's easement for the purposes and in the manner described herein. The Licensce shell not change the Iacatien of the ditch or canal, bury the ditch or canal in pipe, or otherwise alter the ditch or canal in any manner not described in this agreement without first obtaining the written permission of the District,. 3. Each facility ("facility" as used in this agreement means arr}- object or thing of a~+ nature installed in or on the District's easement by the Licensee or the Licensee s predecessor in interest} shall be ~ installed, operated, maintained, and repaired at all times by the Licensee at the cost and expense of the licensee. 4. Lioerisee agrees to construct, install, operate, maintain and repair each facility and conduct its activities within or affecting the District's easement so as not to constitute or cause: a. a hazard to any person or property; b. an nrterruptiar or interference with the flow of irrigation water in the ditch or canal or the delivery of irrigation water by the District; c• an increase in seepage or any other incense in the loss of water from the ditch or canal; d the subsidence of soil within or adjacent to the mot; e. asiy other damage to the District's easement and irrigation works. 5. The Licensee agrees to indemnify, hold harniless, and defend the District from all claims for damages arising art of a~ of the Licensee's construction or activity which constitutes or causes arty of the ~ eaumraeted in the preceding paragraph, 4, a. through 4.e., or any other damage to the easement and itrigadar works which may be caused by the construction, instapatioq operation, maintenance, repair, and arty use or condition of arty facility. 6. Liceasoe agrees that the work performed and the materials used in such construction shall at all times be subject to inspection by the District and the Districts engineers, and that final acceptance of the such work shall rat be made urttd all arch work and materials shall have been expressly approved by the District. Such approval by the District shall not be unreasansbFy withheld. 7'. The District reserves the right: at the District's option, to remove any facility installed by the ~e ~ ~ reP~ ~Y aheratien by the Licensee of said ditch or canal and the easement therefor which does not earrply with the lamas ofthis agreement, and to remove any impediment to the flow of water irr said ditch or canal and any unsafe condition or hazard caused by the Liceagee, at arty time, and the Licensee agrees to pay to the District, on demand, the costs which shall be reasonably expended by the District for such purposes. If the Licensee shall fail in arty to properly. maintaur and repair such facility, then the District, at its option, and without impairing a in anywise affecing its other rights and remedies her~erntder, shall have the right to perform the necessary maintenance and repairs and the Licensee agrees to Pay to the District, on demand, the cost or expense which shall be reasonably expended or incrrned by the District for such purposes. The District shall give neasanable notice to the Lic~see prior to the District's perfomring such maintenance, repay or other work except that in cases of emergency the District shall attempt to give such notice as reasonable under the circrmrstances. Nothing in this paragraph shall create or support any claim of any kind by Licensee or a~ third party against the District for fa>Yure to exercise the options stated in this paragraph, and Licensee shall indemnify, hold harmless and defend the District from arry claims made against the District arising out of or relating to the terns of this paragraph except for claims arising solely out of the negligence of the District. Neither the terms of this agreement, the pernussion granted by the District to the Licensee, the ..Licensee's activity which is the subject of this agreement, nor the parties exec~cise of amy rights or performance of eery abligatians of this a}p~t, shall be construed or asseatod to extend the application of auy statute, Wile, regulation, directive or other requirement, or the jurisdicion of any federal, state, or other agency or official to the Districts ownership, operation, and mainte of its ditches, canals, drains, irrigadon works and facilities which did not apply to rho District's operations and activities prior to and without execution of this agreement. In the event District is required to caanply with any sbch requtrements or is subject to the jurisdiction of any such agency as a result of exeattioa of this agreement or the Lioe:rsee's activity authorized hereunder, Licensee shall indemnify, hold harmless and defend the District from all crosts and liabilities associated with the application of such laws or the asserti~ of such jurisdiction or, at the option of the District, this agreement shall be of no force and effect and the Licensee shall cease all activity and remove any facility authorized by this agreement. 9. In addition to ell ofhe~'indemnification provisions herein, Licensee further agrees to indenmify hold harmless and defend the District from arty injury, damages, claim, lien, cost and/or expense (including reasonable attorney's fees) insarrred by, or asserted against, the District by reason of the negligent acts or omissions of Licensee or its agents, contrac~lors or subcontractors in performing the construction and activities authorized by this agreement. 10. The Licensee egress that tbe District shall not be liable for any damages which shall occur to any facility, structure, plarrt, or erry other improve~nrent of any kind or natv<e whatsoever which the Licensee shall install on the said easemcet area of the District in the reasonable exercise of the rights of the District in the course of performance of maintenance or repair of said ditch or canal. The Licensee further agrees to suspend its use afthe said ea9en~t aces when the use of the easement area is required by the District for maintenance or repair under this or a~- other paragraph of this agreement. 11. Licensee shall place no structures or landscaping of arty kind above within the District's easeaarerrt area except as referred to in this agreement or exhibits hereto without the prior written consent of the District. 12. Should either party incur costs or attorney fees in connection with efforts to enforce the provisions of this agreement, whether by institution of suit or not, the party rightfully enforcing or rightfully resisting en#'arcement of the provisions of this agreement, or tbe prevailing party in case suit is instituted, shall be entitled to reimbursemend for its costs and reasonable attorney fees from the offer party. 13. The parties hereto understand and agree that the District has no right in atry respeck to impair the uses and purposes of the irrigation works and system of the District by this agreement, nor to grant any rights in its irrigation works and syst$m incompatible with the uses to which such irrigation works and system are devoted and dedicated and that this contract shall be at all times construed according to such principles. Nothing herein cantairred shall be canstruad to impair the right of way of the District in the said ditch or canal and all uses of said ditch or canal by the Licensee and the license herein provided therefor shall rernainind'eriarend subservient to the rights of the District to the use of said ditch or canal for the transmission and delivery of irrigation water. 15. 1n the event of the failure, refusal ar neglect of the Licensee to comply with aII of the terms and conditions oftiris agreement the license of the I:icdrrsee under the tams hereof may be terminated by the District, and say facility, structure, Plant, or any other improvement in or over said ditch or canal, and the right of way therefor, which may impacts or restrict the maintenance and operation of such ditch or canal by the District with its es{uipment for the maintenance of its said ditch or canal may be removed by the District. 16. The Licensee agrees to pay attorney fees or engineering fees charged by the attorney for the District or by the engineers for the District in connection with the preparation of this License Agreement or in connection with negotiations covering the terms and conditions of this License Agreement. 17. Nothing in this agreement shall create or support a claim of estoppel, waiver, prescription or adverse possession by the Licensed or any third party against District. 18. This agreement is not intended for the benefit of arty third party and is not enforceable by arty third party, 19. ff arry provision of this agreement is determined by a csxnrt of t jurisdiction to be invalid ar otherwise rnnenforceable, all remaining provisions of this agreement shall remain in full force and affect. 20. The covenants, conditions and agreements herein contained shall constitute covenants to run with, and running with, aIi of the leads of the Licensee described in said Exhibit A, and shall be binding on each of the parties hereto and on all parties and all parades claiming under them ar either of them, and the advantages hereof shall inure to the benefit of each of the parties hereto and their respective successors and assigns.
