Remarks:
Rick - Here's a copy of the United Heritage drawing showing proposed hook-ups for water and
sewer to the existing lines east of the building. They aze not intending to utilize the existing stubs
out at Industry Way and appazently had conversations with Gary about this last Fall.
Maurice Gregory would appreciate a call from you telling him if a pre-con meeting is required on
the driveway. I asked Bruce Freckleton yesterday and he said P.W. would not require apre-con
for the driveway construction -only when they submit for building permits. But please call
Maurice anyway and confirm this. His number is 322-8532.
Also, in Nahas' letter, he cites the Record of Survey which moved the lot lines south. The
proposed drive boundaries match these new lot lines and no new easements should be necessary.
I have a copy of the Lot Line Adjustment signed by Gary if you're interested.

Hubble En nearing reached with Gary Smith last fall. The Plans for
United Heri age already anticipate tapping the utility services in that
location. ~
2. The location of the flag lots was adjusted by Record of Survey for a
property lin adjustment recorded last fall prior to transferring the lot to
United Heri ge. That Property Line Adjustment was signed by the City
Engineer; copy will be delivered to you. This should make it
unnecessa to grant further easements across Lot 16, however, if such
easements re required, we will grant them.

Maurice Gregory, Rick Clinton (Meridian Public Works Dept.) and I met today and discussed the plans for the
construction of the private driveway to serve the United Heritage building. In concept, the City has no problems with
approving the driveway construction prior to issuing zoning or public works approval for the actual site. However,
there are two outstanding concerns which came up that Maurice said he would follow-up on. The City needs a
response on these issues prior to moving ahead.
The Final Plat for Central Corp. Valley Park No. 6 shows sewer and water services for Lots 17 and 18
(the flag lots) stubbed out of S. Industry Way into the proposed E. United Heritage Ct. access point.
Since these services already exist (built), we need to know how they will be removed and where the
new services will be taken from. None of the civil or architectural sheets submitted to date show where
new services will come from since the existing will need to be removed. Services could be taken off
the sanitary sewer and water easement to the east of the site, but we need to see civil plans to
confirm.
2. In looking closer at the proposed alignment for E. United Heritage Court, we noticed that the 62-foot
right-0f-way for the road does not align with the existing flag lot lines on the plat. The road actually
extends approximately 45 feet into Lot 16 (south of the road) at the Industry Way access point and
meanders outside of the flag lot lines for Lot 17 & 18 the full 590 feet of the cul-de-sac. In other words,
the lot size of Lot 16 will be reduced by more than 10,000 s.f. and a cross access easement wilt be
required for this lot as well. Your 4-14-00 letter only addresses egress across Lots 18 and 22 to the
north. So, a reciprocal easement will need to be in place for Lot 16. Please add this to your letter
and/or send an additional letter noting that you will give this easement and recognize the lot size
reduction of Lot 16.

I've done an initial review of the United Heritage site and landscape plans for the Certificate of Zoning
Compliance submitted to P&Z on 3/27. My comments are below:
~ 1. The landscape plan (Sheet L-1) will need to be revised to remove all trees from the 32-foot sewer
and water easement along the east property line. I count approximately ten (10) trees within the
easement. The trees between the property line and the easement are fine. Since you exceed the
minimum number of required trees on the site, these trees may be omitted and do not have to be
relocated. But this is your landscape architects call. Please submit a revised Sheet L-1 reflecting
this change.
/2. Ordinance 11-13-4.G. (Zoning & Development Ordinance) requires compact parking spaces to be
V approved by petitioning the P8Z Commission. Since these stalls are provided in excess to the
minimum required number of stalls, we will not require the petition. However, the widths must meet
the minimum nine feet for the row of compact stalls in the western-most lot (you'll lose 2-3 stalls).
The 7'/Moot widths are fine for the NE lot. Its not necessary to revise the plan. We will make this
redline comment on the set you already submitted.
3. The other issue pertains to the new public cul-de-sac. This road is not a part of the recorded plat for
Central Valley Corporate Park #6 and was not reflected on the Lot Line Adjustment (LLA)
approved by Gary Smith in December 1999. City of Meridian zoning ordinance defines a
subdivision as "the result of an act of dividing an original lot or parcel of land into two or more parts.
The term "subdivision" shall also include the dedication of a public street. . ." So, this new
dedication will require a re-subdivision of CVCP #6 in order to reflect the new public right-of--way in
the public record. We (staff) do not see any other options that will permanently clean-up the plat to
show the new parcel sizes, new parcel configurations and new public street. If it was kept a private
drive or private road, this would not be necessary.

The LLA shows Parcel "B" and "C" as flag lots with frontage taken off Industry Way. As it is now
proposed, their frontage would be taken off E. United Heritage Court and the parcel configuration
would change (each parcel would be reduced in total area by approximately 13,000 -14,000 s.f.).
These discrepancies need to be corrected for the public record.
4. The proposed E. United Heritage Court cul-de-sac exceeds the maximum length allowed by
Meridian's subdivision ordinance (450 feet). It appears to be approximately 590 feet. A Variance
application must be submitted and approved by City Council to permit this length. A Variance is
required for either a public or private street.
Once we receive the revised landscape plan, we will issue the Certificate of Zoning Compliance. We
will not hold up the Certificate of Zoning Compliance for the public street issues above. However, we
need a statement of intent for how United Heritage plans to address our concerns. A condition will be
placed in the CZC that will not allow occupancy of the building until the re-subdivision and vesatieft are

COMMON DRIVEWAY EASEMENT AGREEMENT
THIS COMMON DRIVEWAY EASEMENT AGREEMENT ("Agreement") made as of
the 27th day of July, 2001, between United Heritage Mutuaf Life Insurance Company, an
Idaho Corporation whose address is 707 East United Heritage Court, Meridian, Idaho 83642
(hereafter "Heritage"), and RAFANELLI and NAHAS, a California General Partnership,
whose address is 1 Bates Boulevard, Suite 200, Orinda, Califomia 94563 (hereafter "R&N");
W1TNESSETH:
WHEREAS, Heritage is the owner of the following described real property located in
Ada County, Idaho (hereafter "Heritage Property"):
Parcel C as specifically described on Exhibit C attached hereto, a
portion of which lies within the boundaries of East United Heritage
Court, said portion being referred to herein as the "Heritage Joint Use
Easement" and fully described on Exhibit E, attached hereto.
WHEREAS, R&N is the owner of the following described real property located in Ada
County, Idaho (hereafter "R&N Property"):
Parcel A, Parcel B, and Parcel D, as specifically described on Exhibits A,
B, and D attached hereto. A portion of Parcel B lies within the
boundaries of East United Heritage Court, said portion being referred to
herein as "RN Joint Use Easement" and fully described in Exhibit F,
attached hereto.
WHEREAS, the Heritage Property and the R&N Property are abutting parcels;
WHEREAS, the Heritage Property is improved with amulti-tenant office building and
related improvements, including an off-street parking lot;
WHEREAS, the R&N Property will be improved with amulti-tenant office or flex
building(s);
WHEREAS, it is the purpose and intent of this Agreement to create perpetual mutual
non-exclusive easements for ingress to and egress from the Heritage Property and the R&N
Property to and from South Industry Way, a public right-of-way which abuts the RN
Property, said easements to be on, over, along and across the Common Driveway
Easement (East United Heritage Court) as the same is hereafter defined, and to provide for
the improvement, maintenance and repair of the Common Driveway Easement; and
WHEREAS, it is the express purpose and intent of Heritage and R8~N, by and
through this Agreement, that the common driveway easement hereafter described shall be
limited to access, ingress and egress only, and by this Agreement, the parties do not intend,
nor shall this Agreement be construed, to create any cross parking rights by Heritage or its
tenants, licensees and invitees (hereafter "Heritage Authorized Users") on the R&N
Property, or by R&N or its tenants, licensees and invitees (hereafter "R&N Authorized
Users") on the Heritage Property.
COMMON DRIVEWAY EASEMENT AGREEMENT -1
NOW, THEREFORE, IN CONSIDERATION OF the mutual agreements by Heritage
and R&N as contained herein, and for other good and valuable consideration, the existence
and sufficiency of which is acknowledged, IT IS AGREED:
1. Creation of Common Driveway Easement. Heritage and R&N agree that there
are hereby created permanent and perpetual non-exclusive easements for ingress to and
egress from the Heritage Property and the R&N Property to and from South Industry Way
on, over, along and across the Heritage Joint Use Easement and the RN Joint Use
Easement.
2. Easement Appurtenant. The Common Driveway Easement herein created shall
be an easement appurtenant to and a covenant that shall run with the Heritage Property and
the R&N Property, and shall inure to the benefit of and be binding upon the parties hereto
and their respective heirs, personal representatives, successors and assigns including,
without limitation, all subsequent owners of either the Heritage Property or the R&N
Property, and all persons claiming under and through them.
3. Purpose of Common Driveway Easement. The purpose of the Common
Driveway Easement herein created, granted and conveyed shall be for adriveway/road for
ingress to and egress from the Heritage Property and the R&N Property to and from South
Industry Way, which driveway/road shall provide vehicular and pedestrian access to and
from the Heritage Property and the R&N Property. Said Common Driveway Easement shall
be permanent and perpetual and shall not terminate by lapse of time or non-use, or any
other cause or circumstance, other than the mutual agreement in writing by the record
owners of the Heritage Property and the R&N Property, and recorded in the official records
of Ada County, Idaho. The Common Driveway Easement herein created shall be used in
common by the record owner of the Heritage Property and the Heritage Authorized Users,
and by the record owner of the R&N Property and the R&N Authorized Users, for ingress to
and egress from the Heritage Property and the R&N Property, to and from South Industry
Way.
4. Prohibited Uses. No party shall construct or place any improvements or other
property on the Common Driveway Easement or otherwise use the Common Driveway
Easement for any purpose which would interfere with or prevent the free and unrestricted
ingress and egress to and from the Heritage Property and the R&N Property to and from
South Industry Way.
5. Maintenance and Repairs of Common Driveway Easement. Following the
completion of the construction of the Improvements, the cost of all maintenance and repairs
of the Common Driveway Easement, shall be paid thirty five percent (35%) by the owner of
the Heritage Property and sixty five percent (65%) by the owner of the R&N Property. The
landscape islands lying between R&N Parcels A and D shall be maintained by the owner of
the R&N Property. The landscape islands lying further to the East or within the cul de sac
shall be maintained by the owner of the Heritage Property.
The owners of the Heritage Property and the R&N Property agree to cooperate with
each other with respect to the repair and maintenance of the Common Driveway Easement
to the end that the improvements on the Common Driveway Easement shall be kept and
maintained in a uniform, useable and safe condition and appearance.

The parties agree that if any extraordinary repair or maintenance is necessitated on
the Common Driveway Easement by the negligent or intentional act of the owner of the
Heritage Property or a Heritage Authorized User, or the owner of the R&N Property or a
R&N Authorized User, then the cost of the extraordinary maintenance and/or the repairs
shall be paid by the party who, or whose Authorized User caused the same.
6. Agreement to Grant Additional Easements. Heritage and R&N each agree to
timely grant and convey, without cost or other consideration, such additional easements
as may be required by any governmental entity having jurisdiction as a condition of
approving the construction of the Improvements on the Common Driveway.
Such easement or related improvements shall include, but shall not be limited to,
easements for poles or equipment in connection with the signalization at the intersection
of the Common Driveway Easement and South Industry Way.
7. Encumbrances and Taxes. The owner of the Heritage Property and the owner
of the R&N Property each agree to timely pay all encumbrances and taxes which
constitute liens against their respective Properties which are senior and paramount to the
Common Driveway Easement created hereby and which could defeat the purpose of this
Agreement.
8. Right to Mortgage. The owner of the Heritage Property and the owner of the
R&N Property shall each have the right to mortgage such party's rights under this
Agreement and the Common Driveway Easement, if required by the mortgagee, and in
such event the mortgagee of a party's interest under this Agreement and the Common
Driveway Easement shall have no obligation hereunder unless and until the mortgagee
acquires the fee title to the mortgaged property.
9. Prohibition on Cross-Parking. It is expressly agreed that the Common
Driveway Easement created by this Agreement is not intended, nor shall the same be
construed, to permit or authorize the cross-parking of vehicles on any portion of the
Heritage Property by R&N or a R&N Authorized User, or the parking of vehicles on any
portion of the R&N Property by Heritage or a Heritage Authorized User, which cross-
parking is expressly prohibited and Heritage and R&N agree that each shall promptly take
all steps reasonably required to enforce such prohibited cross-parking.
10. Subordination by Mortgagees. Heritage agrees that it shall promptly obtain
from the holder of each mortgage or deed of trust (hereafter "Heritage Mortgage") which
now or hereafter encumbers the Heritage Property (hereafter "Heritage Mortgagee") a
written agreement (hereafter "Heritage Subordination Agreement") in recordable form to
the effect that the Heritage Mortgage held by the Heritage Mortgagee is junior and
subordinate to this Agreement and the Common Driveway Easement created hereby,
insofar as the Common Driveway Easement is located on the Heritage Property, to the
end that, in the event of a foreclosure by a Heritage Mortgagee of a Heritage Mortgage,
this Agreement and the Common Driveway Easement created hereby, insofar as -the
same is located on the Heritage Property, will remain in force and effect and shall not be
affected thereby. The Heritage Subordination Agreement shall be recorded in the official
records of Ada County, Idaho.

R&N agrees that it shall promptly obtain from the holder of each mortgage or deed
of trust (hereafter "R&N Mortgage") which now or hereafter encumbers the R&N Property
(hereafter "R&N Mortgagee") a written agreement (hereafter "R&N Subordination
Agreement") in recordable form to the effect that the R&N Mortgage held by the R&N
Mortgagee is junior and subordinate to this Agreement and the Common Driveway
Easement created hereby, insofar as the Common Driveway Easement is located on the
R&N Property, to the end that, in the event of a foreclosure by a R&N Mortgagee of a R&N
Mortgage, this Agreement and the Common Driveway Easement created hereby, insofar
as the same is located on the R&N Property, will remain in force and effect and shall not be
affected thereby. The R&N Subordination Agreement shall be recorded in the official
records of Ada County, Idaho.
11. Acceptance of Terms of Agreement. Each successor owner of the Heritage
Property and the R&N Property, by acceptance of a deed to the Heritage Property or the
R&N Property, as the case may be, agrees to be bound by all of the terms of this
Agreement.
12. Attorney's Fees. In the event suit or action is brought to interpret or enforce
this Agreement, the party prevailing shall be entitled to be awarded such party's
reasonable attorney's fees, in addition to other costs and disbursements allowed by law,
including the same with respect to an appeal.
13. Construction. Both Heritage and R&N have been, or have had the opportunity
to be, represented by legal counsel in the course of the negotiations for and the
preparation of this Agreement. Accordingly, in all cases, the language of this Agreement
shall be construed simply, according to its fair meaning, and not strictly for or against
either party regardless of which party caused the preparation of this Agreement.
14. Modification. The owner of the Heritage Property and the owner(s) of the
R&N Property may at any time hereafter modify or amend this Agreement by a
subsequent written agreement executed by all parties. This Agreement shall not, however,
be changed orally, nor shall it be deemed modified in any way by the act of any of the
parties hereto. Nothing herein is intended, nor shall it be construed, as obligating either
party to agree to any modification to this Agreement.
15. Governing Law. This Agreement shall be governed by the laws of the State of
Idaho.
16. Severabilitv. If any provision of this Agreement is held to be invalid, illegal,
unconscionable or unenforceable in any respect, such shall not affect any other provisions
hereof and this Agreement shall be construed as if such invalid, illegal, unconscionable or
unenforceable provision had never been included herein, all other terms and provisions
remaining effective and in force to the fullest extent permitted by law.
17. No Third Party Beneficiary Rights. This Agreement is not intended to create,
nor shall it be in any way interpreted or construed to create, any third party beneficiary
rights in any person not a party hereto unless otherwise expressly provided herein.
18. Not a Public Dedication. Nothing herein contained shall be deemed to be a
gift or dedication of any portion of the Heritage Property or the R&N Property to the
general public or for any public purpose whatsoever, it being the intention of the parties
that this Agreement shall be strictly limited to and for the purposes herein expressed.

19. No Waiver. The failure of a party to insist, in one or more instances, upon
strict performance of any term, covenant or condition of this Agreement, shall not be
construed as a waiver or a relinquishment for the future of such term, covenant or
condition, but the same shall remain and continue in full force and effect.
20. Succession. The rights and obligations contained in this Agreement shall be
binding upon and shall inure to the benefit of the parties and the successors in ownership
of the Heritage Property and the R&N Property.
21. Entire Agreement. This Agreement constitutes the entire agreement between
the parties concerning the subject matter covered hereby; there are no oral or parol
agreements existing between the parties relative to the subject matter hereof which are
not expressly set forth herein. This Agreement supersedes all prior agreements, whether
oral or written, between the parties relating to the subject matter hereof.
