The original front setback along 2"d Street per the CUP was 4'-4"; the modification makes the setback 7'-4". The original rear setback along the alley was 9 feet; the modification makes the setback 6 feet. This creates an offset of 11'-2" from the new location of the irrigafion pipe. Staff has determined that this is not a significant enough modification to warrant a formal CUP modification and will be approved at staff level. (h) The term "Meridian Fire Department Requirements" refers to the Meridian City/Rural Fire Department's requirements for the 20 feet by 70 feet hammer head turn-around proposed to be constructed on, over and adjacent to West 2nd Street. Attached hereto as Exhibit "A" is a copy of the Meridian Fire Department Requirements. (i) The term "Servient Estates" refers to Parcel 1 and Parcel 2, which parcels are owned by the Developer and Grantor, and described as follows: 1. Parcel 1 is the parcel of real property on which the Developer is constructing the Schroeder Apartment 4-flex, a four unit multi-family complex with attached garages, which parcel is more particularly described on Exhibit "B" which is attached hereto. Easement "A" is located on Parcel 1. 2. Parcel 2 is the parcel of real property which has a pre-existing 4-plex apartments and garages, which parcel is more particularly described on Exhibit "C" which is attached hereto. Easement B is located on Parcel 2. Section 2: Recitals. 2.1 Grantor is developing a four unit multi-family complex with attached garages on Parcel 1, the parcel of real property located at 917, 919, 921, and 923 West 2nd Street, Meridian, Ada County, Idaho, which parcel is more particularly described and depicted on Exhibit "B". In connection with such development, Grantor has been required to improve the adjacent public street under the jurisdiction of ACHD, which is municipally known as West 2nd Street, and the Dedicated Alley, which Alley is more particularly described and depicted in Exhibit "F", to current ACHD standards where they adjoin the parcel, including, among Agreement for Right-of-Way Easements and Improvements (1/09/2004 Schroeder) Page 2 ~ ` other improvements, the installation of a curb and gutter and drainage facilities. The ACRD Conditions of Approval are set forth in the ACHD Staff Report. 2.2 Grantor owns Parcel 2, the parcel of real property, which is located immediately south of Parcel 1. Parcel 2 has a pre-existing 4-Plex and garages. Parcel 2 is more particularly described on Exhibit "C". 2.3 The Meridian City/Rural Fire Department (hereinafter "Meridian Fire Department") has reviewed the site plans with respect to the Schroeder Apartment 4-flex, and it has required Developer to construct a 20 feet by 70 feet hammerhead turn- around on and adjacent to West 2nd Street. The Meridian Fire Department Requirements are set forth in Exhibit "A". 2.4 This Agreement is entered into by the parties to create the easements for the purposes hereinafter described, and to ensure that Grantor complies with the ACHD standards, specification, and policies with respect to the construction of Improvements in the public rights-of-way associated with the Development, and also comply with the requirements of the Meridian Fire Department. NOW, THEREFORE, for good and valuable consideration, including the definitions and recitals above which are incorporated below, the receipt and sufficiency of which are hereby acknowledged, the following grants, declarations, covenants and restrictions are made: Section 3.0 Grant of Easements. 3.1 Grantors, and their heirs, successors and assigns, hereby grant to ACHD two (2) perpetual easements for vehicular turn-arounds on, over, across and through the Servient Estates for the purposes of public use. The easements shall be designated as Easement A and Easement B, the location of the easements are more particularly described and depicted on Exhibit "D". Easement A is an easement for vehicular turn around to serve the public use of the dedicated alley, and is located on Parcel 1. Such consent may not be given, if in its sole discretion, ACHD determines the proposed improvement and/or landscaping may interfere with ACHD's Authorized Use of the Easements. Section 4. Covenant to Construct Improvements, and to Repair and Maintain the Easements and Easement Signage. 4.1 At Grantor's sole cost and expense, Grantor shall construct and install the Improvements associated with the Development, including the Alley and Hammerhead Turn-Around on, over and adjacent to West 2nd Street, in accordance with designs, plans and specifications approved by ACRD in advance and in writing. Grantor shall comply with all ACRD standards, specifications and policies, including without limitation, the following sections of ACHD's policy manual, roadway design standards in section 3004, construction standards set forth in section 6003, requirements for Temporary Highway Use Permit set forth in section 6008 and the Construction Site Discharge Control Program set forth in section 8000. Grantor shall construct street drainage facilities associated with the street improvements for West 2nd Street and the Alley. Such drainage facilities shall comply with ACHD standards, specifications and policies. Grantor shall also comply with the Meridian Fire Department's requirements and its plans already approved in writing with respect to the Hammerhead Turn-Around to be constructed on, over and adjacent to West 2nd Street. 4.2 Throughout-the perpetual term of the Easements, Grantor and their heirs, successors and assigns, shall at all times maintain the turn-around easements on Parcel 1 and Parcel 2 in good condition and repair, and shall maintain the signage for the Easements in good condition and repair. 4.3 Parking Restrictions. a. The Developer shall prohibit parking on Easement B, and along the western and eastern sides of the right-of-way on West 2nd Street, by appropriate signage or striping of the pavement as required by both the Meridian Fire Department and ACHD. b. Grantor shall prohibit. permanent parking on Easement A with appropriate signage or striping of the pavement as required by ACHD. If the City of Meridian Planning and Zoning Commission finds that the permanent parking prohibition with respect to Easement A violates its parking per unit requirement, the Grantor shall propose alternatives to ACHD, which alternatives shall comply Agreement for Right-of-Way Easements and Improvements (1/09/2004 Schroeder) Page 4 C.~ with the City of Meridian Planning and Zoning Commission and ACHD requirements. Any agreement reached by ACHD and Developer with respect to the aforementioned parking issue shall be in writing. The terms of this subsection shall not be construed as a waiver of ACHD's requirement for a turn around to service the Alley. c. Grantor and their heirs, successors and assigns, shall enforce the "no parking" restriction with respect to the Easements. Section 5. Construction and Maintenance of Irrigation System 5.1 Construction. At Grantor's sole cost and expense, Grantor shall construct and install the Irrigation System for the Development in accordance with designs, plans and specifications approved by ACHD and Nampa-Meridian Irrigation District in advance and in writing. Exhibit "E" is a copy of the Irrigation System plan. 5.2 Maintenance. Nampa-Meridian Irrigation District shall maintain the Irrigation System in good condition and repair. Grantor shall be responsible for any restoration, repair and reconstruction of ACHD's public rights-of-way affected by Nampa- Meridian Irrigation District's repair and maintenance activities, to the Irrigation System. Grantor shall restore the Right-of-Way to at least it prior condition before Nampa-Meridian Irrigation District's repair or maintenance activities. Section 6. Inspections. The Developer shall pay the applicable inspection fees and arrange for timely inspection of the Improvements in the right-of-way. The inspection shall be conducted in accordance with the Quality Assurance Manual, standard plans and specifications and good engineering and construction practices. If a change in the approved plans or design becomes necessary, the change shall be submitted by the design engineer to the District for review and approval prior to any change being implemented on the Project. During construction, Grantor shall give ACHD reasonable written notice and opportunity to inspect the same. Upon giving of written notice, ACHD will inspectthe same as soon as practicable to avoid any delay in construction. Section 7. Grantor shall enforce for the benefit of ACHD any warranties contained in the contract for the construction and installation of improvements in the public-rights-of-way. When, by written notice given to Grantor, ACHD accepts the improvements constructed and installed by Grantor in the public rights-of-way, ACRD shall maintain and repair the same thereafter, at its sole cost and expense. ACHD's maintenance and repair of the public rights-of-way does not include the restoration of the same after Boise-Meridian Irrigation District's repair and maintenance of the Irrigation System. Developer is responsible for restoration of the public rights-of- way after repair to the Irrigation System. Section 9. Indemnification. Grantor, and/or their heirs, successors and assigns, shall indemnify, defend and save and hold harmless ACHD, its Commissioners and employees, from and against all claims, actions, judgments and expenses (including, without limitation, reasonable attorney's fees incurred by ACHD in defense thereof), which in any manner be imposed or incurred as a consequence of, or arising out of, the Grantor's construction and installation of Improvements in the public rights-of-way, and Grantor's or Grantor's heirs, successors and assign's repair, reconstruction and maintenance of the easements located on Parcel 1 and Parcel2. Section 10. Default. In the event of the failure or neglect of either party in the performance under this Agreement, the other party shall be entitled to enforce this Agreement, and in any. such enforcement action, the prevailing party shall be awarded. their Attorney's fees and costs, including Attorney's fees. and costs on any appeal. Section 11. Term. The term of the Easements granted by this Agreement is perpetual. Section 12. Covenants Run with the Land. Throughout the term of the Easements granted by Land shallmbetappurtenantltoeandbforethe upon the Servient Estates benefit of the Dominant Estates, and shall run with the land. Section 13. Amendments. This Agreement may not be modified, amended or altered except in writing signed by both parties. Section 14. Attorneys Fees and Costs. In any suit,, action or appeal therefrom to enforce or interpret this Agreement, the prevailing party shall be entitled to recover its costs incurred therein, including reasonable attorney's fees. Section 15. Exhibits- All exhibits attached hereto and the recitals contained herein are incorporated as if set forth in full .
