In response to your request for comment, the Ada County Highway District (ACRD) staff has
reviewed the submitted application and site plan for the item referenced above. It has been
determined that the Right-of--Way and Development Services Department does not have any site
specific requirements for you at this time due to the fact that:
- On January 16, 2002, the Ada County Highway District acted on Bonito
Subdivision/CUP-Ol-037 (originally El Dorado Business Campus).
- The same Conditions and Requirements also apply to MCZC-OS-001.
If the site plan or use should change in the future, ACRD will review the site plan and may require
improvements to the transportation system at that time.
A traffic impact fee will be assessed by ACRD and will be due prior to the issuance of a
building permit. Contact ACRD Planning & Development Services at 387-6170 for information
regarding impact fees.

DECLARATION Op CR05S ACCESS EASEMENT

1. GRANT AND DECLAI7ATIQN. Kimball
Properties tirnlted Partnership, an Idaho general
partnership, th® Grantor Declarant, is the owner
of the properly comprls~zd of all of Lots 2 and 3 M
Stock 4 of Bonito Subdivision (Which subdivlston
is also known a5 E1 Dorado Business Campus),
according to the official plat thereof as fled in the
records of Ada County, Idaho ("Property). To
gnhance the value and desirability of the
Property and reduce the number of public street
access points serving the Property, Grantor
Declarant hereby declares that all of the
Property, end each parcel thereof, Is end shall
be subject to the mutual easements and
covenants contained herein, which shall run with
the land and each estate therein and shall
forever be binding upon and inure to the benefit
of all persons and legal entitles having or
acquiring any tntarest in the Property or portion
thereof,
2. CROSS I:ASEM@NT AREA. The Cross
Easement Area is oompr~s®d cf the driving and
maneuvering lanes from time to time constructed
upon the Property to the extent such lanes lead
to any point of v®hicular access to a public street
("Public Street Access Point").
3. PERMITTED USES. The owner of each
parcel of the Property ("Owner'), the I®sseea of
space In the Property, and their invitees,
licensees and other permittees 6hall have -he
right to use the Cross Easement Area in
common with one another for vehicular ingress
and egress to and from the Public Street Access
Points. Each Owner shall have the full right of
ownership to that portion of the Cross Easement
Area lying within its parcel not Inconsistent with
the terms hereof. This easement shall not be
construed as eglablishing any right of cross
parking- Thls is a private easement and shall
not confer any rights upon the general public,
other than as set forth above.
4. CONSTRUCTION. Construction of the
eriving lane Improvements within each parcel
shall be pro~ded by the Owner of that parcel at
its cost, when that parcel is improved for
occupancy.
4.1 ALtGNAAENT. The d®sign of the driving
lanes construct®d within each p®rcel sh811 allow
for interconnection with the driving lanes on
adjoining parcels in order to effect free
circulation of traffic from parcel to parcel within
the property. The EI Dorado Development
Review Comrnlttee ("Committee") as
established pursuant to the Declaration of
Covenants, Conditions and Res#rktions for EI
Dorado Business Campus ("Coven®nts") shall
have the authority to review end approve ale
proposed driving lanes vrlthln each parcel in
relation to the objectives set forth herein.
4.2 TEMPQRARY LANES. Any Owner
desiring to establish access from its parcel
aCro65 one or more Intervening pa~fc6ls to arty
Public Street Access POlnt before the
intervening parcels have been developed and
b,nproved with driving lanes, may at its cost
install temporary driving Ian®s upon such
Intervening parcels, which may iher~ tae
recor~'~gured by the intervening parcel Owners
at their cost with permanent driving lanes when
such parcels are developed for occupancy.
4.8 MODIFICATION. An Owner may re-align
and re-construct any driving lanes within its
parcel subject to the following restrictions. The
modiflsd driving lanes shalt preserve, for ell
adjoining parcels, the serte (though re-aligned)
access across such parcel that existed before
such modiflcation_ Without limiting the
generality of the foregoing, nellher the polr~t
where a permanent or temporary driving lane
crosses the property Ilse between tvt-o percale
(forming an interconnection), nor any section of
a permanent driving lane which straddles a
common properly line, nor any section of a
driving lane which forms a natural future
connection point with an adjoining undeveloped
parcel (es contemplated by §4.4.2), may be
relocated except with the written consent of the
pwnsrs of the parcels sharing the common

4.d CONSTRUCTION EASEMENTS. Each
Owner grants to the other Owners the follovring
construction easements. Each Owner
exeresing its rights under these construction
easements indemnlflea the other Owner
against any loss or damage arising ther®from.
4.4,1 TEMPORARY LANE. Each Owner
grants to the other Owners an easement for
canstructlon of temporary driving lanes which
have been approved pursuant to §4.2. and
§4.5.
4.4.2 INYERCONNEGTION LANE. An
Owner may elect. or be required by the
Committee pursuant to g4.1, to construct a
driving lane on its Parc ~ line I(sep~arated

5. MAINTENANCE OF GRU3S E.ABEMENT
AREA, Each Owner shall at its cost maintain
that port~n of the Cross Easement Area lying

defects and other obsiructlons and hazards

enjoyment of the Cross Easement Aron by any
parties entitled to its use.
5-1 TEMPORARY LANES. Nolwithstending
the foregoing, maintenance of any temporary
canes installed pursuant to §4.2 shell be
provided by and at the cost of the Owner who

installed them, rather than by the Owners of
the parrsls upon which such temporary lanes
ors installed.
8. ENpORGEMEMT. This peciaration may be
enforced by any affected Owner, or on that
Owners behalf by Declarant or the FJ Dorado
Owner`s ASSociation as that Association Is
estabhshed pursuant Ca the provisions of the
Covenants. Neither Declarant nor the
Assoc{anon shall be obligated to enforce this
easement on behalf of any owner, and neither of
them shall be liable to any owner for any
violation of this r®striction by any other owners.
6.1 SPECIFIC REMEDIES. If a violation is
not cured within 30 days after written notice to
the Owner upon vuhose parcel the violation
exists, or In the case of emergenry violatbn as
defined below, if not cured within A8 hours after
such notice, the enforcing party may, in
addition to any other remedy evadable at law or
in equity, (a) at the cost of the defaulting Owner
enter upon that Owners parcel and summarily
abate and remove tho violation; (b) prosecute a
proceeding at law or in equity against the
defaulting Owner to enjoin such violation and
recover damages; or (c) otherwise remedy
Such violation and recover damages therefor.
The election of any one remedy shall not
constitute a waiver of any other remedy.
®.1.1 EMERGENG~r VIOLATION DEFINEf).
An emergency violation means only those

6.2 LIEN. All costs reasonabry incurred by
any party in enforcing this easement puusuant
to the provisions of this §6, together with
interest as set forth below, and all costs of
collecting the same, shall constitute a Iten on
the defaulting Owners property superior and
prior to au cellar liens and encumbrances
except those for taxes levied by any
jurisdictional authority, subject to the provisions
of §6.2.1 _ The enforcing party shall execute
end mall to the defaulting Owner a written
notice of such costs, stating the amount and
basis thereof, the reputed name of the

defaulting Owner, the name of the enforcing
party, and th®Isgel description of the defaulting
Owner's property No sooner than 3a days
after suds mailing, the enfoncing party may
record such notice in Ada County. whereupon
such lien shall attach and interest shell
thereafter accrue at 126 per annum until paid.
6.2.1 M~TGAC3EE RIGHTS. Any such
lien shall be subordinate to the lien of any first
mortgage or other first posltbn security
instrument that is of record prior to the
recording of such lien. The severed party
may at its option pay the amount necessary
to satisfy such lien, and shall thereupon have
a Ilan on the defaulting Owner's Property in
the amount paid and of the same priority sa
the original lien.
6.3 FORECLOSURE. Any such lien may
upon its attaehment be enforced by foredosure
upon the defaulting Owner's property in the
same manner as a mortgage on real property
i5 foreclosed under the laws of the State of
Idaho.
8.4 OWNER'S DEBT. Such costs of
enforcement shad also be the personal and
indiv'KJual debt of the defaulting Qwner at the
time Incurred, and salt to recover a money
judgment, together with costs, may be
prosecuted without foreciosinq or waiving the
Ilene securing the same.

enforce arty provision of this easement shall
not be deemed a waiver of the right to do so
subsequently for the same or any other
violation.
7. NOTICE. All notices required hereunder
shall be given in writing and shall b® deemed
affective {a) upon delivery, if delivered in person;
{b) upon transmission if delivered electronically
with receipt acknowledged; (c) one business day
after deposited for overnight delivery with arty
reputable overnight courier service; or (d) two
business days after deposited wIM the US Postal
Service as registered or certified mall. Notices
shall be addressed to the last known address of
the intended rec~ient, ar if no address is known,
to the address contained in the Ada County tax
assessors rolls for the related properly.
8. RdDEMNITY. Each Owner indemnifies the
other Owners against all claims. anti all
reasonable expenses incurred In investigating or
resisting the gamE, for Injury to persons or loss
pf or damage to property arising from the
indemnifying Owner's use of the Cro65
Easement Area.
9, AMENDMENT. This easement may not be
amended except In writfng signed by the Owners
of each parcel and duty r®corded in the office of
the Ada County Recorder.
