OF NATIONAL SECURITY BANK HOLDING COMPANY
BOISE, IDAHO, November 10, 1994 -- West One Bancorp (NASDAQ: WEST) today
announced the completion of its acquisition of National Security Bank Holding Company,
a five -branch $13 5 million asset institution serving the cities of Newport, Toledo, Lincoln
City, Yachats and Siletz, Oregon.

ZONING OF CERTAIN REAL PROPERTY IN THE CITY OF MERIDIAN WHICH IS
DESCRIBED AS A TRACT OF LAND SITUATE IN A PORTION OF THE SOUTHEAST

Kingsford: At this time I will open the public hearing and invite anyone from the public to
offer testimony and invite the owner or his representative to speak first if they wish.
Bill Manning, 10538 Wild Rose Court, Boise, was sworn by the City Attorney.
Manning: First of all I would like to express my appreciation to Mayor Kingsford and the
Council for having this special meeting to hear the rezone application of West One Bank
for rezoning of the property on Cherry Lane. As has been announced in the newspaper our
branch at the Cherry Plaza location is going to be moved into the store and in order to
continue to provide drive in service and expanded banking services to the community it is
our intent to locate a bigger facility down onto the property on Cherry Lane that property
being occupied by Mrs. Carpenter. The property is zoned R-8 and we are requesting that
it be rezoned to Limited Office use somewhat consistent with some of the other properties
in the neighboring area. It is our intention to move on that property and start construction
in a timely as possible. Hopefully having the branch open and ready to serve the
community in December of 1994. Mrs. Carpenter is in the process of moving now and it
scheduled to be out of her house on the 6th day of July. I have read all the documents
relative to this rezone application that have been provided by the City and the only
concern that I have at this point in satisfying all of those requirements is the issue on

If the rezone is approved and development proceeds, the District
will provide the following recommendations to Meridian Planning &
Zoning . as conditions for approval.
SITE SPECIFIC REQUIREMEWS•
1. Construct 34 --foot (minimum) wide curb return -type (15 -foot
radii) driveway approaches for access from Cherry Lane. A
maximum of 2 will lie allowed (cane is. preferred) . Coordinate

2. Replace unused curb cuts on Cherry Lane with standard curb,
gutter and sidewalk.
STANDARD REQUIRES:_

shall conform to the requirements of the City of Meridian and
shall retain all starm water on-site.
2. A right-of-way permit must be obtained from ACIM for any

FINDINGS OF FACT AND CONCLUSIONS
The above entitled matter having come on for public hearing
April 26, 1994, at the hour of 7:30 o'clock p.m., the Petitioner,
Ethel Carpenter not appearing and the Petitioner, West One Bank,
appearing through its representative, Bill Manning. The Planning
and Zoning Commission of the City of Meridian having duly
considered the evidence and the matter, makes the following
Findings of Fact and Conclusions:
FINDINGS OF FACT
1. That notice of a public hearing on the Rezone Application
was published for two (2) consecutive weeks prior to the said
public hearing scheduled for April 26, 1994, the first publication
of which was fifteen (15) days prior to said hearing; that the
matter was duly considered at the April 26, 1994, hearing; that the
public was given full opportunity to express comments and submit
evidence; and that copies of all notices were available to
newspaper, radio and television stations.
2. ' That this property is located within the City of Meridian
and is owned by Ethel Carpenter. The property is described in the

application which description is incorporated herein; that the
property is presently zoned R-8 Residential; the area surrounding
is a mix of commercial and residential use properties and vacant
ground to the east.
3. That the property to be re -zoned from R-8 to L -O is
proposed to be used for a bank.
4. That this zone change request complies with the Meridian
Comprehensive Plan and development objectives in this portion of
the City.
5. That the L -O District is described in the Zoning
Ordinance, 11-2-408 B. 7 as follows:
(L -O) LIMITED OFFICE DISTRICT: The purpose of the (L-0)
District is to permit the establishment of groupings of
professional, research, executive, administrative,
accounting, clerical, stenographic, public service and
similar uses. Research uses shall not involve heavy
testing operations of any kind or product manufacturing
of such a nature to create noise, vibration or emissions
•of a nature offensive to the overall purpose of this
district. The L -O District is designed to act as a
buffer between other more intense non-residential uses
and high density residential uses, and is thus a
transitional use. Connection to the Municipal Water and
Sewer System of the City of Meridian is a requirement in
this district.
6. That the property is located approximately 600 feet west
of Meridian Road on Cherry Lane in area of mixed residential and
commercial uses; that there have been other rezone requests in this
area that have been approved.
7. The Applicant's representative stated that the bank had
had contact with all of the property owners within 300 feet of the
parcel except one; that those that they were able to contact had no

objection to the rezone.
8. The Applicant's representative stated that the bank to be
constructed would be about 5,000 square feet in size; that there
would be landscaping on the perimeter and in the setback
requirements that would include a combination of shrubs and trees;
that the other bank branches are well landscaped and that this
branch would be no different; that they would meet the City
requirements on lighting; that the Bank did not intend fencing at
this time but would have to see what the neighboring property
owners desired.
9. That the Nampa & Meridian Irrigation District, Ada County
Highway District, Meridian Fire Department, Meridian Police
Department, Central District Health Department, and the Meridian
Planning Director submitted comments, which are incorporated herein
as if set forth in full; that the Irrigation District commented
that all lateral and waste ways must be protected; that municipal
drainage must be retained on site; and that irrigation water me
made available to the development.
10. That the Ada County Highway District stated that the
right-of-way was 80 feet and that no additional right-of-way was
required.
11. That the property is located on Cherry Lane and it is
designated an Entryway Corridor in the Comprehensive Plan; the
Entryway Corridors Goal Statement includes the following statement:
4.4U Encourage 35 -foot landscaped setbacks for new
development on entrance corridors. The City shall require, as
a condition of development approval, landscaping along all

entrance corridors.
12. That there have been recent zoning changes along Cherry
Lane to allow commercial and limited office uses, including dental
and orthodontic offices, insurance offices, day care, construction
offices, real estate offices and there have been such uses along
Cherry Lane for some period of time.
13. That Section 11-9-605 G 1. states as follows:
"Planting strips shall be required 'to be placed next to
incompatible features such as highways, railroads, commercial
or industrial uses to screen the view from residential
properties. Such screening shall be a minimum of twenty feet
(20') wide, and shall not be a part of the normal street right
of way or utility easement."
14. That Section 11-9-605 H 2. states as follows:
"Existing natural features which add value to residential
development and enhance the attractiveness of the community
(such as trees, watercourses, historic spots and similar
irreplaceable amenities) shall be preserved in the design of
the subdivision;"
•15. That Section 11-6-606 B 14, requires pressurized
irrigation.
16. That the property will be zoned L-0, Limited Office, if
this Application is granted; that a conditional use permit is
required for the operation of a drive-in facility, which the Bank's
representative stated would be included in the facilities proposed
by West One Bank.
17. There were no comments given at the public hearing
objecting to the application.
CONCLUSIONS
1. That all the procedural requirements of the Local
WEST ONE BANK FINDINGS OF FACT & CONSLUSIONS OF LAW Page - 4
Planning Act and of the Ordinances of the City of Meridian have
been met including the mailing of notice to owners of property
within 300 feet of the external boundaries of the Applicants,
property.
2. That the City has the authority to take judicial notice
of its own ordinances, other governmental statues and ordinances,
and of actual conditions existing within the City and state.
3. That the City of Meridian has authority to place
conditions upon granting a zoning amendment.
4. That the City has judged this Application for a zoning
amendment upon the basis of guidelines contained in Section 11-2-
416 of the Revised and Compiled Ordinances of the City of Meridian
and upon the basis of the Local Planning Act of 1975, Title 67
Chapter 65, Idaho Code, the Comprehensive Plan of the City of
Meridian, and the record submitted to it and the things of which it
can take judicial notice.
5. That 11-2-416 (K) of the Revised and Compiled Ordinances
of the City of Meridian sets forth standards under which the City
shall review applications for zoning amendments; that upon a review
of those requirements and a review of the facts presented and
conditions of the area, the Planning and Zoning Commission
specifically concludes as follows:
(a) The new zoning would be harmonious with and in accordance
with the Comprehensive Plan and no Comprehensive Plan
amendment is required.
(b) The property located on 220 West Cherry Lane is now a
house designed for residential use but there are other uses in
the area which support residential needs and a mix of those

uses and a rezone of the subject property for use as a bank is
in line with those uses.
(c) The area around the proposed zoning amendment property is
in the proximity of an existing concentrated commercial
neighborhood and other Limited Office Zoning which promotes
the City's goal of clustered business uses.
(d) There have been changes in the area which tend to dictate
that the property should be rezoned, and the property is
designed to be developed in a fashion which comports with the
existing development and the residential uses in the area.
(e) That the property must be designed and constructed to be
harmonious with the surrounding area.-

the existing or future uses of the neighborhood.
(g) The property will be able to be adequately served with
public facilities, and connection to municipal sewer and water
is required.
(h) The proposed use would not create excessive additional
requirements at public cost for public facilities and services
and would not be detrimental to the economic welfare of the
community.
(i) The proposed use should not involve any detrimental
•activity to any person's property or the general welfare.
(j) Development as a bank will likely cause a significant
increase in vehicular traffic and all efforts will have to be
made to resolve traffic issues.
(k) That this rezone will not result in the destruction, loss
or damage of any natural or scenic feature of major
importance.
(1) The proposed zoning amendment is in the best interest of
City of Meridian.
6. It is further concluded that the recommendations,
comments, and requirements of the City Engineer, if submitted,
shall be met and complied with.
7. The requirements of the Ada County Highway District and
Nampa Meridian Irrigation District shall have to be complied with.

8. As a condition of rezoning, if there is room, the
property shall meet the requirements of the Entryway standard of a
35 foot landscaped set back, which must be landscaped.
9. That it is concluded that the rezone is appropriate and
should be granted, but if the Applicant desires to include drive-in
windows for bank service and condition use must be applied for and
granted.
10 That it is further concluded that, the Applicant must, as
a condition of rezone, look into whether or not irrigation water
can be supplied by an irrigation district and a pressurized
irrigation system installed that uses the irrigation water from the
irrigation district; if irrigation water from an irrigation
district can not be used, that the Applicant shall look into
supplying irriagtion water from a well; it is further recommended
to the City Council that if irrigation water from a district can be
used that such water use be required as a condition of rezone; that
if irrigation water from an irrigation district cannot be used,
that the Applicant be required to drill a well for its water for
sprinkler use, as a condition of rezone. It is further concluded
that if irrigation water from an irrigation district is not
available or if a well cannot be drilled to supply water for
irrigation, that this paragraph not be a condition of the rezone.
APPROVAL OF FINDINGS OF FACT AND CONCLUSIONS
The Meridian Planning and Zoning Commission hereby adopts and
approves these Findings of Fact and Conclusions.

The Meridian Planning and Zoning Commission hereby recommends
to the City Council of the City of Meridian that they approve the
Rezone requested by the Applicant for the property described in the
application with the conditions set forth in these Findings of Fact
and Conclusions of Law and that the property be required to meet
the water and sewer requirements, the Nampa Meridian Irrigation
requirements, Ada County Highway District requirments, the Uniform
Building Code, the fire and life safety codes, and the Uniform
Building Code, and other Ordinances of the City of Meridian; that
the Applicant meet the requirements of paragraph 10 of the
Conclusions regarding irrigation water; and that the Applicant meet
the 35 foot landscaped set back required under the Meridian
Comprehensive Plan.

Thank you for the opportunity to visit with you and Terry Smith, and for the lunch. Pursuant to your
offer, here are some thoughts, as I see them, with regard to West One in Meridian.
While West One has already made plans to upgrade its Cherry Plaza office, there are perhaps other
changes for its banking service to the Meridian community that need to be considered. It would be
unrealistic for West One Bank to expect to continue as Meridian's leading bank if improvements/
changes aren't made in the near future.
At the south end of town, commercial construction near the I-84 Interchange has attracted the
attention of most area banks. R.T. Nahas Company advised that they are currently negotiating with
several banks, including First Interstate. First Security could place a facility on property near the
KFC acquired through its purchase of American Bank of Commerce. There is little question that
banking services are overdue in that part of Meridian. This is particularly important when both
residential and commercial growth is expected to accelerate after the new City sewer line links up
soon-to-be annexed areas near the Eagle Interchange for the new St. Luke's facility and subdivision
planned for the Overland -Eagle Road area.
Terry tells me that most all of the businesses near the Interchange and the south end of the community
are, at this time, West One customers. Since you have the largest market share and the greatest
number of current customers, you have the most to lose and are the best target. An ATM in a kiosk
would be the next best solution if West One feels it cannot justify another full service branch in the
Meridian area.

It is not likely that a competing bank will locate in downtown Meridian. However, West One appears
to need a more visible presence from East First Street. Also, today's consumers seem to want easy
access to an ATM, which, when added to the downtown branch, would further assist West One's
dominance of market share. Acquisition of the Intermountain Arms building for parking or
motorbank services would be a big plus for Meridian and the Meridian West One.
When the City of Meridian committed to its presence in the core area with a new City Hall in 1987,
and the purchase of the Old Post Office building, which we have remodeled into a nice Police Station,
it was my hope that the bank would not only remain Downtown, but hopefully increase it presence.
This kind of a partnership, I believe, would be mutually beneficial. Meridian is now moving through
18,000 population and will no doubt continue to grow. I would encourage you to look at both Idaho
Power and Ada Planning Association figures.

Johnson: At this time I will open the public hearing, is there a representative of West
One Bank that would like to address the Commission at this time please come
forward.
Bill Manning, 10538 Wild Rose Court, Boise, was sworn by the City Clerk
Manning: Mr. Chairman and Commission, I wanted to make you aware that West
One's bank intention is to relocate the branch facility we currently have in the Cherry
Plaza shopping center and we have purchased the land at 220 West Cherry Lane
owned by Mrs. Ethel Carpenter. We acquired that property approximately 2 weeks
ago and we are requesting that the Commission favorably review our request to
rezone that property from its current designation from R-8 to a Limited Office LO
usage that will allow us to develop a branch bank with drive in facilities at that site.
We have further through the help of Terry Smith, our local manager, and our real
estate agent we have gone to each of the property owners within a 300 foot radius
of the subject property and obtained their signatures stating that they do not oppose
in anyway the Limited Office designation for this particular site. The one property
owner we are missing is Leon Smith out of Twin Falls. We have not been successful
in getting Mr. Smith to send us a written notice, but we do have everyone else's
signature including the LDS church. I would be happy to answer any questions the
commission might have.

Manning: We would go by the City ordinance on that we are not allowed a
(inaudible) over property lines to adjoining properties.
Hepper: Okay, what about fencing?'
Manning: We don't anticipate fencing at this time, we would have to work with our
neighbors to see how that would work out. The church that is immediately behind
us on the north side may want to have some sort of a protection fence. If we went
in with a fence, we would try to screen it and make it look as unobtrusive as possible.
Well landscaped and screened.
Hepper: Have you seen the comments from Ada County Highway Department.
Manning: We have not
Johnson: What we have from ACHD is basically a draft it has not gone to their
committee, they just haven't been able to do it. Have you had any discussions with
them at all?
Manning: Not at this point, we were waiting until we had some kind of an idea on
the zoning. The issue with ACHD would be the curb cut, there is a 50 foot access
easement that provides a driveway to the property immediately west of us and back
to the church, their parking facility as well as their chapel.
Johnson: I don't see any reason why I can't release this draft to you if you want to
review that. I realize you can't do it right now. Anyone else have any questions?
You might want to take a look at that and if we have some public testimony and you
had a comment before we wrap it up.

anybody else like to address the Commission on this issue? Seeing none and hearing

The purpose of my letter is to request from the Meridian Planning and Zoning Commission a
zone change from my current residential zoning to a L -O or Office zoning category. I am
requesting this on the property in which I now reside, which consists of approximately one
acre and is located at 220 W. Cherry Lane.
At the present time I am considering relocating to a newer home and am requesting that you
allow the prospective purchaser, West One Bank, to have this zoning to allow them to build a
new bank branch at this address.
You will find attached to this letter a legal description of my property, a site map showing
the property, a list of all of the recorded owners of property within 300 feet of my property,
and copies of the maps at the scales requested.
I think you will find that the change from the current zoning to limited office zoning will fit
well within the directives as set forth by the Ada Planning Association and as indicated by a
logical use of property on Cherry Lane and in this immediate area. The request for office
zoning is a much softer use of the property than commercial zoning. This will create a
harmonious buffer between the residential community surrounding me and the non-residential
uses that are imminent and existing in my neighborhood.
Finally; you will find attached to this letter a check for $400.00 to cover the cost of this
application. If you will indicate how much further I need to pay for the certified mailings, I
will be happy to pay that as per your request.
