I would like to ask for your help in getting the bonds re-
leased on Tuthill Estates #2 City of Meridian for Lake Jenning
Vista.
Will Berg,the City Clerk, said he was waiting for an inspection.
These bonds were placed in service in the beginning of 1999 and
all work has been completed for almost a year.
The Bonds that require to be released are:
1. Bond #135 38 19 Fencing along Nine Mile Drain.
Amount: $7,012.50
This work has been completed for over a year.
2. Bond #135 38 21 Pressurized Irrigation for lawn irrigation.
Amount: $34,295.00
This work has been completed for over a year.
3. Bond #135 38 22 Street Lights with City of Meridian
Amount: $9,000.00
These lights are working wonderful and the City still
has my Bond on them.
We are sending to you a copy of our letter dated 3-16-95.
I am hopeful you can get these released for me, it is causing
a hardship because my bonding Company refuses to issue any new
Bonds until these are cleared up.

Dear Brian:
We briefly reviewed the advantages of a.Surety Bond vs Letter of
Credit in our telephone conversation of last week. Let me take
just a moment to outline surety information in a letter.
Mr. Tuthill's Surety for the past 15 years is Insurance Company
of the West (ICW). The Surety is on the Federal Register of the
Department of the Treasury with an Underwriting Limitation of
$10,639,000. ICW is licensed in 29 States including Idaho. The
current A.M. Best Rating is A VIII. I attach copies from the Best
Guide as well as the Treasury List for your reference.
ICW was established in 1972 and is a major player in Subdivision
Improvement Bonds. I have personal experience with ICW since 1978.
Some advantages of Surety Bonds are as follows:
1. Surety Bonds transfer the risk from the owner or Munici-
pality to the Surety Company.
2. Since contractors undergo extensive financial and back-
ground experience review before a Surety will extend
Surety credit, this can serve as a prequalification to
the owner or Municipality.

3. A Surety Bond provides a 1 year warranty after
completion and acceptance of work.
4. A Contract Bond consists of two separate parts -
a "performance" bond and a "payment" bond.
The Surety, within the terms of its performance bond,
guarantees the owner or Municipality completion of the
project. It also guarantees reimbursement for any
reasonable cost in completing the project when such
cost is in excess of the agreed contract price. Thus
the owner or Municipality contracting for the work can
be more certain of actually having a fixed cost contract.
The second part of the bonding package is the payment
bond which evolved to give financial protection to laborers,
subcontractors and suppliers who do work or supply materials.
Claims under the payment bond are handled and paid directly
by the Surety.
5. In cases of default Sureties must be responsive to the facts
of each situation. They may elect to hire a second contractor
to complete the work or they may undertake to finance the
original contractor to completion. In either case the Surety
guarantees to the owner or Municipality completion of the
project as well as payment of all laborers, subcontractors,
suppliers etc. In the absence of a Surety Bond, the owner
or municipality would then have to become project manager in
order to bring the project to comletion.

above bounden Principal, his or its heirs, executors, administrators
successors, or assigns, shall in all things stand by and abide by, and
well and truly keep and perform the covenants, conditions and
provisions in the said Agreement and any alteration thereof made as
therein provided, on his or their part, to be kept and performed at
the time and in the manner therein specified, and in all respects
according to their true intent and meaning, and shall indemnify and
save harmless Obligee, its officers, agents and employees as therein
stipulated, then this obligation shall become null and void,
otherwise it shall be and remain in full force and effect. It is
further provided that the prior written approval of Surety shall be
required with regard to any change or alteration in said Agreement,
such approval not to be unreasonably withheld.

AS A PART of the obligation secured hereby and in addition to the
face amount specified therefore, there shall be included costs and
reasonable expenses and fees, including reasonable attorney's fees,
incurred by Obligee in successfully enforcing such obligation, all
to be taxed as costs and included in any judgement rendered.
IT IS FURTHER provided, that the aggregate liability of the Surety
hereunder to the Obligee or their assigns is limited to the Penal
sum above stated, and if the Principal shall default in the per-
formance of their obligations under said Development Agreement, the
Surety shall have the right, at its option, to either proceed or
procure others to proceed with the performance of such obligations,
and the Surety, upon giving written notice of its intentions to
exercise such option, shall be entitled to an assignment of all
rights of the Obligee, either against Principal or against any other
party liable to Obligee in connection with the loss which is the
subject of the default.

the time and in the manner therein specified, and in all respects
according to their true intent and meaning, and shall indemnify and
save harmless Obligee, its officers, agents and employees as therein
stipulated, then this obligation shall become null and void,
otherwise it shall be and remain in full force and effect. It is
further provided that the prior written approval of Surety shall be
required with regard to any change or alteration in said Agreement,
such approval not to be unreasonably withheld.

AS A PART of the obligation secured hereby and in addition to the
face amount specified therefore, there shall be included costs and
reasonable expenses and fees, including reasonable attorney's fees,
incurred by Obligee in successfully enforcing such obligation, all
to be taxed as costs and included in any judgement rendered.
IT IS FURTHER provided, that the aggregate liability of the Surety
hereunder to the Obligee or their assigns is limited to the Penal
sum above stated, and if the Principal shall default in the per-
formance of their obligations under said Development Agreement, the
Surety shall have the right, at its option, to either proceed or
procure others to proceed with the performance of such obligations,
and the Surety, upon giving written notice of its intentions to
exercise such option, shall be entitled to an assignment of all
rights of the Obligee, either against Principal or against any other
party liable to Obligee in connection with the loss which is the
subject of the default.

IMPORTANT INFORMATION
Inspection requests must be made 24 hours prior to the need for inspection. Persons making the requests must provide the
following information:• 1) owner/contractor, 2) project location, 3) date and time when the inspection is needed, 4) type of inspection,
5) permit number. The inspection request line is available 24 hours a day, 365 days a year, inspections will be performed Monday -
Friday, between 8:00 AM and 5:00 PM, excluding holidays.
Other Permits are Required for the installation of any electrical wiring, plumbing piping and mechanical installations
related to gas fired equipment.
Permit Revocation/Expiration. The Building Official reserves the right to revoke any permit issued in error or on the basis
of incorrect information. Permits expire in 180 days if: work is never commenced, or is discontinued fora period exceeding 180 days
or 6 months.

Dear Gene:
The Nampa & Meridian Irrigation District has received and reviewed the pressure
irrigation plans and pump station package for the above mentioned project. The
system appears to be adequate for the requirements that Nampa & Meridian Irrigation
District have with the exception of a few changes.
The plans indicate that a gate valve at the irrigation riser will be 1 inch, as with other
subdivisions, I don't understand why Hubble Engineering cannot follow the District's
specifications. This gate valve cannot be any larger that 3/4 inch, the 1 inch poly
pipe which is shown also needs to be reduced to the 3/4 inch as per Nampa &
Meridian Irrigation District's specifications.
The plans also indicate a tee connection at the southern boundary of the system. I
am assuming this is for future connection of additional phases. if a connection is
made in the future, the District will need to review the plans and calculations to
demonstrate the system so it will adequately handle the additional demands.

of the State of Idaho, party of the first part, hereinafter called the '6TY , and -LAKE--, _ *"
JENNINGS VISTA, a California General Partnership, party of the second pait hereinafter calted " t
the "DEVELOPER", whose address is 4500 Imperial Avenue, San Diego, California 92113 .
WITNESSETH:
WHEREAS, DEVELOPER is the sole owner, in law and/or equity, of a certain tract of
land in the County of Ada, State of Idaho, described in Exhibit "A", which is attached hereto
and by this reference incorporated herein as if set forth in full; and
WHEREAS, the State of Idaho legislature, in 1991, passed Idaho Code, 67-6511A,
Development Agreements, which provides that cities may enter into development agreements
with developers upon rezoning of land; and
WHEREAS, the CITY has passed two development agreement ordinances, one when land
is rezoned, 11-2-416 L, and one when land is annexed, which is when it is also rezoned,
11-2-417 D; and
WHEREAS, the DEVELOPER has submitted an application for annexation and zoning,
or an application for rezone, of that certain property described in Exhibit "A", and requested
zoning of RR=4 and has submitted a subdivision preliminary plat for said property which has been
recommended for approval by the Meridian Planning and Zoning Commission; and
WHEREAS, the DEVELOPER made some representations at the public hearing before
the Meridian Planning and Zoning Commission as to how the land would be developed and what
improvements would be made; and
WHEREAS, the CITY has authority to place conditions and restrictions upon annexation
or rezoning of property; and
WHEREAS, DEVELOPER deems it to be in its best interest to be able to enter into this
agreement and acknowledges that this agreement was entered into voluntarily and at its urging
and request; and
WHEREAS, the DEVELOPER, as sole owner of said land, has made request to the CITY
to have the same annexed to said CITY, or rezoned, and has submitted to the CITY a Plat
thereof which has been approved for annexation by the CITY and as part of the annexation or
rezone the CITY adopted and approved Findings of Fact and Conclusions of Law; and,

WHEREAS, the Findings of Fact and Conclusions of Law required that the
DEVELOPER enter into a Development Agreement; and
WHEREAS, the said City Council in the Findings of Fact and Conclusions of Law
annexed or rezoned the property subject to de -annexation if the DEVELOPER did not enter into
a Development Agreement.
NOW, THEREFORE, IT IS HEREBY AGREED AS FOLLOWS:
DEVELOPER agrees, and hereby binds his, its, or their heirs, successors and assigns to
this agreement, in consideration for the annexation, rezone, or the non -de -annexation of the area,
as follows:
That the above recitals are contractual and binding and are incorporated herein as
if set forth in full.
2. That DEVELOPER, in accordance with its representations before the CITY, shall,
on the land described in Exhibit "A", only construct single-family houses and that
all such single-family houses shall have at least 1.400 square feet of floor space,
exclusive of garages.
3. That the property zoned RR=4, described in "Exhibit A", shall have lot sizes of at
least eight thousand (8.000) square feet, which is the size represented at the City
hearings, and shall meet all of the requirements of the R-4 zone and have no
duplex units, townhouses, or patio homes constructed on said property.
4. That there shall be no change to increase the number of lots or reduce the size of
lots as shown in the preliminary plat submitted with the request for annexation,
zoning and preliminary plat approval, which is incorporated herein as if set forth
in full herein.
5. That DEVELOPER will, before annexation, or de -annexation, file or cause to be
filed with the City Engineer, a complete set of "Subdivision Improvement Plans"
showing all streets, utilities, pressurized irrigation facilities, sewer, water,
drainage, street and other similar signing and barricades, and other such
improvements contemplated within the subdivision, which Plans and all
improvements shown thereon shall meet the approval of the City Engineer. The
Subdivision Improvement Plan, or Plans supplemental thereto, shall also show the
proposed location of pressurized irrigation facilities within or that may affect or
be affected by the development. Said Subdivision Improvement Plans are
incorporated herein and made a part hereof by reference.
6. That DEVELOPER will, at his or their own expense, construct and install all
sanitary sewers, storm drains, pumping stations, water mains and appurtenances,
fire hydrants, curbs, gutters and sidewalks, pressurized irrigation system,

electrical transmission lines, natural gas lines, telephone lines, sidewalks, cross
drains, street, street surfacing, street signs, and barricades as well as any and all
other improvements shown on the Subdivision Improvement Plans. DEVELOPER
shall also install telephone, electrical power, and gas lines as required for the
development.
7. That DEVELOPER will construct and install all such improvements in strict
accordance with the filed and approved plat and Subdivision Improvement Plans,
and the City Standard Engineering Drawings and Standard Engineering
Specifications current and in effect at the time the construction of said
improvements is accomplished, or as otherwise agreed between the DEVELOPER
and the CITY if the standards and specifications are more restrictive and onerous
at the time of construction than at the time of execution of this Agreement.
8. That DEVELOPER will provide the City Engineer with at least fifteen (15) days
advance written notification of when and of what portion, or portions, of said
improvements he intends to complete and the time schedule therefor; and agrees
to make such modifications and/or construct any temporary facilities necessitated
by such phased construction work as shall be required and approved by the City
Engineer.
9. That DEVELOPER will have "corrected" original drawings of the Subdivision
Improvement Plans of all said improvements prepared by a Registered
Professional Engineer and will provide the CITY with said Plans or a duplicate
mylar copy of said Plans. The Subdivision Improvement Plans of the proposed
improvements shall be "corrected" to show the actual constructed location (both
horizontally and vertically) of the various water and sewer lines, all utility lines,
and pressurized irrigation lines and their individual building service lines, the curb
and gutter alignment and grades, etc. The "corrected" Subdivision Improvement
Plans shall include a "Certification" thereon, signed by the Registered Professional
Engineer in charge of the work, that said Plans of the various improvements are
true and correct.
10. That DEVELOPER will, immediately upon the completion of any such
constructed portion, portions, or the entirety of said development, notify the City
Engineer and request his inspection and written acceptance of such completed
improvements.
11. That DEVELOPER agrees, that upon a finding by the City Council, duly entered
in the official minutes of the proceedings of the City Council, that a portion, or
portions, or the entirety of said improvements need to be completed in the interest
of the health, welfare and/or safety of the inhabitants of the CITY, the
DEVELOPER will thereupon, within a reasonable time, construct said needed
improvements, or, if he does not so construct within a reasonable time after
written notification of such Council action, and the CITY thereafter determines

to construct, and does construct such improvement, or improvements, the
DEVELOPER will pay to the CITY the cost of such construction, in such manner
and under such terms as the CITY shall order after conference with the
DEVELOPER. Provided, however, the City Council shall not make the finding
set forth in this paragraph except at a regular or special meeting of the City
Council and unless the DEVELOPER has been notified in writing of the time and
place of such meeting at least three (3) days prior thereto and has been given an
opportunity to be present in person or by counsel, and to be heard on the merits
of the proposed finding.
12. That DEVELOPER agrees that upon his, its, or their having received written
notification from the City Engineer, that any of the requirements herein specified
have not been complied with, that the CITY shall have the right to withhold the
issuance of any Certificates of Occupancy within such annexed area and/or shall
have the right to withhold the providing of culinary water service to any part,
parcel, or portion of such annexed area until such time as all requirements
specified herein have been complied with; provided, however, the DEVELOPER
shall have the right to appear before the City Council at any regular meeting after
any Certificate of Occupancy or any water service shall have been withheld for
reasons set forth in this paragraph, and shall have the right to be heard as to why
such Certificate of Occupancy should be issued or water service allowed. The
Council shall then decide whether said Certificate of Occupancy shall be issued
or water service to said property allowed, and its decision shall be final, except
that the rights of the parties are preserved at law and equity.
13. DEVELOPER agrees that, in the event any of the improvements required herein
are not timely installed, the CITY may, at its sole option, install the
improvements and declare the entire cost of said improvements to be immediately
due and payable and may seek to collect such sums in the manner provided by
law, or may pursue any other remedy set forth herein or as may be available in
law or equity. In the event of such declaration, all sums due shall bear interest
at the prime interest rate of First Security Bank of Idaho, plus five percent (5%)
per annum, until paid.
14. That DEVELOPER agrees to, and does hereby, grant a security interest in the
land which is the subject of this Agreement, to secure the installation of all
improvements including, but not limited to, sewer, water, irrigation and drainage
piping, pressurized irrigation system, landscaping and berming, and fencing. In
the event of DEVELOPER's failure to complete such installation, the CITY may
install such improvements and, without notice, foreclose this Agreement as a
mortgage in accordance with the mortgage foreclosure laws of the State of Idaho;
provided further that upon request of the DEVELOPER, the CITY will execute
and deliver a partial release of the lien created herein against all or any portion
of the subject land, upon completion of that portion of the total improvements

installed which relates to the percentage of improvements that have been installed
as compared to the total amount of improvements.
The CITY further agrees that, upon request of DEVELOPER, the CITY will, by
written agreement, subordinate the lien created hereby, to any mortgage, deed of
trust, or other security device required to secure the payment of any loan or
advance made to DEVELOPER for the sole purpose of financing the construction
of improvements upon the land which is the subject of this Agreement; provided,
however, that the financing entity shall first warrant and represent in writing that
it understands that the contemplated loan or advances will be used solely for the
construction of improvements upon the land and that it will take reasonable
precautions usual and customary to the financing and lending industry to ensure
that the loan proceeds or advances will not be used for any other purpose.
The CITY may also require surety bonds, irrevocable letters of credit, cash
deposits, certified checks or negotiable bonds, as allowed under 11-9-606 C of the
Revised and Compiled Ordinances of the CITY of Meridian, to insure the
installation of the improvements, and the DEVELOPER agrees to provide such,
if required by the CITY.
15. That DEVELOPER agrees that no Certificates of Occupancy will be issued until
all improvements are completed, unless the CITY and the DEVELOPER have
entered into an addendum agreement stating when the improvements will be
completed in a phased development; in any event, no Certificates of Oc==Y
shall be issued in any phase in which the improvements have not been installed,
completed, and accepted by the CITY.
16. That DEVELOPER agrees, in recognition of the unique and peculiar
circumstances relative to this development, to the special conditions set forth in
Exhibit "B" attached hereto and by this reference made a part hereof, and agrees
to construct a perimeter fence around the entire parcel prior to any construction,
except where roadways and streets for access are located and except where the
CITY has agreed in writing that such fencing is not necessary.
17. That DEVELOPER agrees that any notice required by this Agreement shall be
given at the following address:

19. All covenants and conditions set forth herein shall be appurtenant to and run with
the land and shall be binding upon DEVELOPER's heirs, successors or assigns.
20. This Agreement shall become valid and binding only upon its approval by the City
Council and execution of the Mayor and City Clerk.
21. That DEVELOPER agrees to abide by all ordinances of the CITY of Meridian
and the property shall be subject to de -annexation if the owner or his assigns,
heirs, or successors shall not meet the conditions contained in the Findings of Fact
and Conclusions of Law, this Development Agreement, and the Ordinances of the
CITY of Meridian.

TO THE DEVELOPMENT AGREEMENT
BY AND BETWEEN THE
CITY OF MERIDIAN, IDAHO
AND
LAKE JENNINGS VISTA
This subdivision is for 42 single-family dwelling units with an overall density of 3.41 dwelling
units per acre. The DEVELOPER shall:
1. Tile all ditches, canals and waterways, including those that are property boundaries or
only partially located on the property; submit approvals and/or executed license
agreements from appropriate agency.
2. Extend and construct water and sewer line extensions to serve the property and connect
to Meridian water and sewer lines.
3. Construct curbs, gutters, sidewalks and streets to and within the property.
4. Pay any development, impact or transfer fee adopted by the CITY.
5. Meet the requirements and conditions of the Findings of Fact and Conclusions of Law
and meet the Ordinances of the CITY.
6. Construct and install pressurized irrigation to all lots within this subdivision, with
evidence of approvals from appropriate irrigation district/canal company and downstream
water users submitted to the City.
7. Provide perimeter fencing except where such requirement has been waived in writing by
the City.
8. Provide pedestrian walkways in accordance with Meridian City Ordinance 11-9-605 C.
9. Provide necessary area for pedestrian/bike path along Nine Mile Creek Drain.
10. Not encroach the easement along the Nine Mile Drain (50' from centerline) with fences
or other structures; provide a non-combustible fence along the Nine Mile Drain outside
of this easement prior to building construction.
11. Provide a permanent fifteen -foot (15') sewer easement within Common Lot 18 which
shall be paved in accordance with City of Meridian Public Works Department Standards.

Kingsford: It is my understanding Will that has not been finished, we don't have a signed
copy Shari, where are we at with that?
Stiles: Mr. Mayor and Council the previous development agreement for this development
was approved by the Council some months ago. There have been revisions to incorporate
new findings that have been prepared as a result of the conditional use permits. Wayne
has looked over, Wayne and 1 have gone over this latest version, we haven't heard back
from Avest, but with some wording changes that Wayne has requested I would ask that
you authorize your signatures based on that review if that is possible.
Kingsford: Do you have any problem with that Counselor?
Crookston: No I do not.
Morrow: Mr. Mayor I would move that we authorize the Mayor to sign and the City Clerk
to attest the pending development agreement with Avest Limited Partnership.

ITEM #10: TIME EXTENSION FOR TUTHILL ESTATES NO. 2 SUBDIVISION:
Kingsford: Mr. Smith do you want to give us an update on that?
Brian Smith: Mr. Mayor members of the Council, the final plat for Tuthill Estates No. 2 was
approved by the Council April 5, 1994. Currently the plat is at the City with a development
agreement that is signed by the developer waiting to come before the Council. I believe
that all the conditions other than that development agreement have been met and that is
the last thing that we need to do. However, the one year time frame for recording the plat
is up tomorrow which is why I am here tonight. It should be recorded if everything is
accepted with the development. I would suspect that next council meeting it should be up
before you maybe. It possibly could be recorded by the end of April.
Kingsford: We have received the monetary compensation to record and so forth.

ITEM #11: HISTORIC PLACES NOMINATION AGREEMENT:
Kingsford: Counselor, do you have any update to meet Mr. Morrow's questions or maybe
Mr. Morrow would like to direct those either to you or perhaps Frank who is here might be
able to shed some light on that issue.
Crookston: Mr. Morrow and I have discussed it I think it would be appropriate for Walt to
make his comments (inaudible).
Morrow: I had a couple of concerns with respect to that document. And I understand in
talking to Wayne apparently that appears to be a done deal. We submit $1200 to Plan
Makers a check for $1200. As I understand when we activated the Historic Preservation
Council there would be no monies come from the City ultimately. It is my understanding
the grant that we applied for will reimburse us for this $1200 expenditure. It does say in
this document that Plan Makers, if this building is turned down as I understnad it keeps the
money and I am assuming that we would keep the money in terms of reimbursement from
the Historic Preservation Council. That has been cleared up by I believe Mr. Crookston
and yourself. The other major issue or problem that I have with this at this time is that I
don't see in this document anything from both property owners given the nature the
problems that the property owners are currently having it appears to me and the other
thing is that this sale is a contingent sale and it is only in earnest money. It appears to me
that it would be in our best interest to have a document for those property owners
requesting and agreeing to this recognizing that if their sale falls through they are stuck
with the preservation. Now what was told to us was that their former buyer whose sale did
fall through had requested preservation status so that they had to comply with a less
stringent building code and than the current UBC code of which we adopted a Historic
Preservation UBC type code. So my concern here is that it seems to me it would be in the
City's best interest to have a document coming from the Alidjani's signed by each
recognizing what was going on here and that if their sale falls they are still stuck with a
Historic Preservation.

was the same but there were changes regarding the landscape strips and there was more
land put into the landscape strips; that there was twenty feet all the way around the
subdivision; that there was a sidewalk on the south next to Turtle Creek. Councilman
Corrie requested that there be an extension until February 7, 1995 so that Shari Stiles
could look at the changes. Councilman Morrow questioned whether there was a change
in the lot depth and had questions pertaining to the lot depth and the landscape easement;
he stated there should be another public hearing and there was a lot of "grey" area; he
additionally stated that the City does not have a preliminary plat. Arnold Stubblefield
stated they would allow the map to stand as it was; that there has been three public
hearings already.
The motion was made by Councilman Corrie and seconded by Councilman Yerrington to
table the issue until the February 7, 1995 meeting. There was a discussion.

Kingsford: Any questions of the Council, I believe you have had that.
Morrow: My only question would be to Shari, is that she is comfortable with the
development agreement as written?
Stiles: I am sorry, I haven't had a chance to review it even though I have had that one for
quite a while. Wayne has also not been able to review it.
Morrow. So this development agreement has not been reviewed by either yourself or Mr.
Crookston?
Stiles: No it has not. In fact none of them -on the agenda tonight have been reviewed by
Wayne or myself.
Morrow. When did these development agreements come from the respective development
folks?
Stiles: I am not sure, the first one, Tuthill, probably was a month ago.
Morrow. You have not reviewed any of them either?
Crookston: No I haven't.
Kingsford: Well, I don't know how we could approve something that the staff hasn't
reviewed. I am a little bit distraught that we would have something for a month that hasn't
been.
Morrow. Well, that echo's my thoughts. I am not willing to make a motion to approve these
without having staffs review in essence. I am not particularly happy that we have these
for a month and nobody has reviewed them.
Kingsford: I assume that we are talking about agenda items 10, 11 and 12 as well then?
Stiles: Yes
Crookston: I have not even seen them.
Kingsford: They have not been forwarded to your office?

Stiles: It was my understanding that Wayne had received a copy of each of these.
Because if 1 have them I don't distribute them if they are delivered just to me. I don't know
what happens when they are received, if they are distributed to anybody.
Kingsford: It sounds like we've got a paperwork problem. When those come in Shari I
think you need to get those copied to Mr. Berg so that he distributes them just as soon as
they come in. I think our only option is to table until the next meeting but let's certainly
have those reviewed by the next week.

DEVELOPMENT AGREEMENT
THIS AGREEMENT, made and entered into this day of
, 1994, by and between the CITY OF MERIDIAN, a municipal corporation
of the State of Idaho, party of the first part, hereinafter called the "CITY", and LAKE
JENNINGS VISTA. A CALIFORNIA GENERAL PARTNERSHIP, parry of the second part,
hereinafter called the "DEVELOPER", whose address is 4500 Imperial Avenue, San Diego,
California 92113 .
WITNESSETH:
WHEREAS, DEVELOPER is the sole owner, in law and/or equity, of a certain tract of
land in the County of Ada, State of Idaho, described in Exhibit "A", which is attached hereto
and by this reference incorporated herein as if set forth in full; and
WHEREAS, the State of Idaho legislature, in 1991, passed Idaho Code, 67-6511A,
Development Agreements, which provides that cities may enter into development agreements
with developers upon rezoning of land; and
WHEREAS, the CITY has passed two development agreement ordinances, one when land
is rezoned, 11-2-416 L, and one when land is annexed, which is when it is also rezoned,
11-2-417 D; and
WHEREAS, the DEVELOPER has submitted an application for annexation and zoning,
or an application for rezone, of that certain property described in Exhibit "A", and requested
zoning of R-4 and has submitted a subdivision preliminary plat for said property which
has been recommended for approval by the Meridian Planning and Zoning Commission; and
WHEREAS, the DEVELOPER made some representations at the public hearing before
the Meridian Planning and Zoning Commission as to how the land would be developed and what
improvements would be made; and
WHEREAS, the CITY has authority to place conditions and restrictions upon annexation
or rezoning of property; and
WHEREAS, DEVELOPER deems it to be in its best interest to be able to enter into this
agreement and acknowledges that this agreement was entered into voluntarily and at its urging
and request; and
WHEREAS, the DEVELOPER, as sole owner of said land, has made request to the
CITY to have the same annexed to said CITY, or rezoned, and has submitted to the CITY a Plat
thereof which has been approved for annexation by the CITY and as part of the annexation or
rezone the CITY adopted and approved Findings of Fact and Conclusions of Law; and,

WHEREAS, the Findings of Fact and Conclusions of Law required that the
DEVELOPER enter into a Development Agreement; and
WHEREAS, the said City Council in the Findings of Fact and Conclusions of Law
annexed or rezoned the property subject to de -annexation if the DEVELOPER did not enter into
a Development Agreement.
NOW, THEREFORE, IT IS HEREBY AGREED AS FOLLOWS:
DEVELOPER agrees, and hereby binds his, its, or their heirs, successors and assigns
to this agreement, in consideration for the annexation, rezone, or the non -de -annexation of the
area, as follows:
1. That the above recitals are contractual and binding and are incorporated herein
as if set forth in full.
2. That DEVELOPER, in accordance with its representations before the CITY,
shall, on the land described in Exhibit "A", only construct single-family houses
and that all such single-family houses shall have at least 1,400 square feet
of floor space, exclusive of garages.
3. That the property zoned R-4 , described in "Exhibit A", shall have lot sizes
of at least Eight Thousand ( 8.000 ) square feet, which is the size
represented at the City hearings, and shall meet all of the requirements of the
R-4 zone and have no duplex units, townhouses, or patio homes constructed
on said property.
4. That there shall be no change to increase the number of lots or the size of lots as
shown in the preliminary plat submitted with the request for annexation, zoning
and preliminary plat approval, which is incorporated herein as if set forth in full
herein.
5. That DEVELOPER will, before annexation, or de -annexation, file or cause to be
filed with the City Engineer, a complete set of "Subdivision Improvement Plans"
showing all streets, utilities, pressurized irrigation facilities, sewer, water,
drainage, street and other similar signing and barricades, and other such
improvements contemplated within the subdivision, which Plans and all
improvements shown thereon shall meet the approval of the City Engineer. Said
Subdivision Improvement Plans are incorporated herein and made a part hereof
by reference.
6. That DEVELOPER will, at his or their own expense, construct and install all
sanitary sewers, storm drains, pumping stations, water mains and appurtenances,
fire hydrants, curbs and gutters, pressurized irrigation system, electrical
transmission lines, natural gas lines, telephone lines, sidewalks, cross drains,
street, street surfacing, street signs, and barricades as well as any and all other

improvements shown on the Subdivision Improvement Plans. DEVELOPER shall
also install telephone, electrical power, gas lines, and television as required for
the development.
7. That DEVELOPER will construct and install all such improvements in strict
accordance with the filed and approved plat and Subdivision Improvement Plans,
and the City Standard Engineering Drawings and Standard Engineering
Specifications current and in effect at the time the construction of said
improvements is accomplished, or as otherwise agreed between the DEVELOPER
and the CITY if the standards and specifications are more restrictive and onerous
at the time of construction than at the time of execution of this Agreement.
8. That DEVELOPER will provide the City Engineer with at least fifteen (15) days
advance written notification of when and of what portion, or portions, of said
improvements he intends to complete and the time schedule therefore; and agrees
to make such modifications and/or construct any temporary facilities necessitated
by such phased construction work as shall be required and approved by the City
Engineer.
9. That DEVELOPER will have "corrected" original drawings of the Subdivision
Improvement Plans of all said improvements prepared by a Registered
Professional Engineer and will provide the CITY with said Plans or a duplicate
mylar copy of said Plans. The Subdivision Improvement Plans of the proposed
improvements shall be "corrected" to show the actual constructed location (both
horizontally and vertically) of the various water and sewer lines, all utility lines,
and pressurized irrigation lines and their individual building service lines, the
curb and gutter alignment and grades, etc. The "corrected" Subdivision
Improvement Plans shall include a "Certification" thereon, signed by the
Registered Professional Engineer in charge of the work, that said Plans of the
various improvements are true and correct and that he (the Registered
Professional Engineer) has inspected the construction of the various improvements
(water lines, sanitary sewer lines, pressurized irrigation lines, gas lines, electricity
lines, storm drain lines, curb and gutter, street paving, etc.) and that the materials
for and the installation of the same were all done in conformance with the
applicable City Standard Engineering Drawings and Standard Engineering
Specifications governing the construction of these facilities.
10. That DEVELOPER will, immediately upon the completion of any such
constructed portion, portions, or the entirety of said development, notify the City
Engineer and request his inspection and written acceptance of such completed
improvements.
11. That DEVELOPER agrees, that upon a finding by the City Council, duly entered
in the official minutes of the proceedings of the City Council, that a portion, or
portions, or the entirety of said improvements need to be completed in the interest
of the health, welfare and/or safety of the inhabitants of the CITY, the
TUTHILL ESTATES NO. 2 SUBDIVISION DEVELOPMENT AGREEMENT Page 3
DEVELOPER will thereupon, within a reasonable time, construct said needed
improvements, or, if he does not so construct within a reasonable time after
written notification of such Council action, and the CITY thereafter determines
to construct, and does construct such improvement, or improvements, the
DEVELOPER will pay to the CITY the cost of such construction, in such manner
and under such terms as the CITY shall order after conference with the
DEVELOPER. Provided, however, the City Council shall not make the finding
set forth in this paragraph except at a regular or special meeting of the City
Council and unless the DEVELOPER has been notified in writing of the time and
place of such meeting at least three (3) days prior thereto and has been given an
opportunity to be present in person or by counsel, and to be heard on the merits
of the proposed finding.
12. That DEVELOPER agrees that upon his, its, or their having received written
notification from the City Engineer, that any of the requirements herein specified
have not been complied with, that the CITY shall have the right to withhold the
issuance of any Certificates of Occupancy within such annexed area and/or shall
have the right to withhold the providing of culinary water service to any part,
parcel, or portion of such annexed area until such time as all requirements
specified herein have been complied with; provided, however, the DEVELOPER
shall have the right to appear before the City Council at any regular meeting after
any Certificate of Occupancy or any water service shall have been withheld for
reasons set forth in this paragraph, and shall have the right to be heard as to why
such Certificate of Occupancy should be issued or water service allowed. The
Council shall then decide whether said Certificate of Occupancy shall be issued
or water service to said property allowed, and its decision shall be final, except
that the rights of the parties are preserved at law and equity.
13. DEVELOPER agrees that, in the event any of the improvements required herein
are not timely installed, the CITY may, at its sole option, install the
improvements and declare the entire cost of said improvements to be immediately
due and payable and may seek to collect such sums in the manner provided by
law, or may pursue any other remedy set forth herein or as may be available in
law or equity. In the event of such declaration, all sums due shall bear interest
at the prime interest rate of First Security Bank of Idaho, plus five percent (5 %)
per annum, until paid.
14. That DEVELOPER agrees to, and does hereby, grant a security interest in the
land which is the subject of this Agreement, to secure the installation of all
improvements including, but not limited to, sewer, water, irrigation and drainage
piping, and fencing. In the event of DEVELOPER's failure to complete such
installation, the CITY may install such improvements and, without notice,
foreclose this Agreement as a mortgage in accordance with the mortgage
foreclosure laws of the State of Idaho; provided further that upon request of the
DEVELOPER, the CITY will execute and deliver a partial release of the lien
created herein against all or any portion of the subject land, upon completion of

that portion of the total improvements installed which relates to the percentage of
improvements that have been installed as compared to the total amount of
improvements.
The CITY further agrees that, upon request of DEVELOPER, the CITY will, by
written agreement, subordinate the lien created hereby, to any mortgage, deed of
trust, or other security device required to secure the payment of any loan or
advance made to DEVELOPER for the sole purpose of financing the construction
of improvements upon the land which is the subject of this Agreement; provided,
however, that the financing entity shall first warrant and represent in writing that
it understands that the contemplated loan or advances will be used solely for the
construction of improvements upon the land and that it will take reasonable
precautions usual and customary to the financing and lending industry to ensure
that the loan proceeds or advances will not be used for any other purpose.
The CITY may also require surety bonds, irrevocable letters of credit, cash
deposits, certified checks or negotiable bonds, as allowed under 11-9-606 C of
the Revised and Compiled Ordinances of the CITY of Meridian, to insure the
installation of the improvements, and the DEVELOPER agrees to provide such,
if required by the CITY.
15. That DEVELOPER agrees that those portions of the water main or the sanitary
sewer line, for which the CITY has expressly agreed to enter into a late comers
agreement, if any, for including any water or sewer line extensions, increased
line size or capacity, are required because of future service needs originating
from properties not owned by DEVELOPER and located within the vicinity of the
subject development; that sound planning requires construction thereof at the
present time in order to accommodate future expansion and development. In
recognition of the cost savings which can be accomplished by construction of such
excess capacity and/or improvements concurrently with the facilities to be
constructed for DEVELOPER's purposes, and the impracticality or impossibility
of constructing such excess capacity and/or improvements separately or at a later
time, DEVELOPER agrees to design and construct such facilities subject to the
CITY's agreement to enter into a late comers agreement to reimburse
DEVELOPER for a portion of the costs of such excess capacity. DEVELOPER
agrees to obtain three independent bona fide bids for the performance of such
work from qualified and responsible contractors and shall deliver copies of such
bids to the CITY prior to the commencement of such work. Such bids shall be
solicited and itemized in a manner which allows clear and specific identification
of that portion of the construction work for which the CITY may possibly agree
to enter into a late comers agreement. The CITY's obligation to enter into a late
comers agreement to help DEVELOPER to pay for such costs shall be limited to
the lowest of such bids irrespective of whether the lowest bidder is in fact
selected by DEVELOPER to perform the work.

16. That DEVELOPER agrees that no Certificates of Occupancy will be issued until
all improvements are completed, unless the CITY and the DEVELOPER have
entered into an addendum agreement stating when the improvements will be
completed in a phased development; in any event, no Certificates of Occupancy
shall be issued in any phase in which the improvements have not been installed,
completed, and accepted by the CITY.
17. That DEVELOPER agrees, in recognition of the unique and peculiar
circumstances relative to this development, to the special conditions set forth in
Exhibit "B" attached hereto and by this reference made a part hereof; and agrees
to construct a perimeter fence around the entire parcel prior to any construction,
except where roadways and streets for access are located and except where the
CITY has agreed that such fencing is not necessary.

The Nampa & Meridian Irrigation District has reviewed the plans for
the above mentioned project. The plans show that storm water run-
off from a small portion of the project site will discharge into
the Ninemile Drain which is located on the east side of the
subdivision. The District's easement on the Ninemile Drain is 100
feet: 50 feet from the center each way. If there are any
encroachments within this area, please send us a diagram that shows
the encroachments. If you are planning on staying outside of the
easement, the diagram will not be necessary.
Prior to the start of construction, Nampa & Meridian Irrigation
District will need an agreement for discharge. Contact the
District's attorney, Andy Harrington, at 342-4591 and request that
he prepare a License Agreement for discharge and for any
encroachments. Contact John Caywood, Bureau of Reclamation, 214
Broadway, Boise, Idaho, as the Bureau of Reclamation may have
further requirements regarding the Ninemile Drain.

Kingsford: Is the engineer or representative present? Are there any questions?
Morrow: Gary, your comments with respect to this have been fairly well addressed?
Smith: Mr. Mayor, Councilman Morrow, Council members, my comments on the final
plat were minor. I haven't heard from the engineer, but generally speaking these
minor comments are just checked off when the plat comes in for signature. If they
haven't been made I won't sign the plat.
Morrow: I have a question of Shari, you indicated in your letter to us that the City
needs evidence of the approval of compliance by the Bureau of Reclamation, is that
proceeding on schedule or what feedback do you have for that?
Stiles: Mr. Mayor and Council members, the main thing I'm concerned about is that
you have this plan to preserve future pathway development and we are not getting
things worked out with some of the developments. I think this particular project has
had some problems, closed off from the Nine Mile Drain to one side of them. I said
I was going in 2 weeks with John Anderson, Gary and I are going tomorrow to a
development with Nampa Meridian Irrigation District and see if it is possible to meet
their requirements and get the Bureau of Reclamations approval and try to if we can.
I would hate to say we can't do it it is too hard and give up that opportunity.
Kingsford: Shari does that apply to the development of Mr. Ewing, Fothergill. Is that

going to be addressed at that time too?
Stiles: Nampa Meridian Irrigation District has some concerns about the way things
have developed with no license agreement from them. Which we have been asking
the developers to work out. We don't have the staff to do that ourselves and there
has been I guess landscaping placed within the drainage there which is definitely
something they don't want to have to deal with.
Kingsford: Any other questions Council?
Morrow: Do you have comments regarding both Gary's presentation and Shari's?
Merkle: The problem with Saddleview final plat No. 2 to the north of us we have
Parkwood Meadows, to the south of us we have Kentfield Manor, across the drain is
Sunnybrook and Fieldstone and those are. already approved final plats and most of
them are recorded. There is no provisions, correct me if I am wrong, for any kind of
greenbelt or Bureau of Reclamation or anything for cooperation of a greenbelt along
those. So if we do it in Saddleview you are going to have something from top of
Saddleview to the bottom of Saddleview and then nothing to the north and nothing
to the south. Unless you can go back and retro fit and work with all the homeowners
and property on each side of the drain for 1/2 mile. I don't think that is a problem if
the City and Nampa Meridian can come to an agreement on what Nampa Meridian will
allow, that has been the problem in the past. Nampa Meridian just doesn't want
anything to do with it. So, if the City and them can work it out we don't have a
problem, we just don't want to get caught in the middle of the City requiring
something Nampa Meridian is not going to allow. So, I guess in a nutshell if they can
get something worked out we will comply with what the City wants.
Kingsford: Any other questions?
Morrow: I guess my question of Shari would be we are landlocked on both sides,
what is the percentage or the odds of that ever becoming a reality with respect to a
pathway?
Stiles: I think that there is a possibility that federal funding could be made available
to do that. I would just not want to see fences encroaching clear up to the edge of
the drain and having to deal with another stretch there.
Kingsford: I think there is a right of way easement existing, so if we could get that
license it wouldn't be landlocked. We would have to have a license agreement to use
their easement in which case.

Morrow: So, it is potentially something that can be accomplished without a
tremendous expense to the existing property owners and with some sense of
efficiency.
Kingsford: Something our Comp Plan and so on that we would like to incorporate all
of those gray areas.
Merkle: Regarding coming back and retro fitting these areas I know fieldstone across
the drain, it depends on which side you want to dot, Fieldstone and Sunnybrook have
license agreements for the homeowners allowing them to fence to a certain point to
the bank. The same with Parkwood Meadows No. 1 and 2, there is an encroachment
agreement that is in place for that development to put fences on the bank. So, not
only do you have to deal with Nampa Meridian and Bureau of Reclamation you have
to deal with each of those individual lots that has encroachment agreements to do
what they are doing right now. So, you might consider that.
Stiles: Well, I think if the Bureau of Reclamation came in and that was a project they
were supporting, I don't know at this point, but I'm just saying I want to leave that.
Merkle: That is fine.

preliminary plat was that the developer/owner enter into a Development
Agreement addressing subdivision access linkage and fire services.
Impact fees to help procure a satellite fire station should be
determined.
The Nine Mile Drain has been designated for future pathway development
by the Federal Government. A pathway concept design plan must be
submitted to the Bureau of Reclamation for their approval and compliance
with the Ada County Pathway Plan. The City needs evidence that this is
being followed up with the Bureau of Reclamation. I will be meeting
with John Anderson in two weeks and will determine if Nampa—Meridian
Irrigation District's restrictions make the requirement to provide a
bike/pedestrian path unattainable for this subdivision. No fencing may
encroach on the Nine Mile Drain easement (50 feet from centerline).
Final Plat approval should not be given until these items are addressed.

RE: Tuthill Estates No. 2 Subdivision
Dear Councilmen:
I have reviewed the application for Tuthill Estates Subdivision
No. 2 find that it includes approximately 49 homes at the median
value of $100,000. We also find that this subdivision is located
in census tract 103.10 and in the attendance zone for Linder
Elementary, Meridian Middle School and Meridian High School.
Using the above information we can predict that these homes, when
completed, will house 17 elementary aged children, 14 middle
school aged children, and 18 senior high aged students. At the
present time Linder Elementary is at 134% of capacity, Meridian
Middle School is at 126% of capacity and Meridian High School is
at 123% of capacity.
The Meridian School District is not opposed to growth in our
district, however this subdivision will cause increased over-
crowding in all three schools. There is little opportunity to
shift attendance boundaries since the surrounding schools are
also well over capacity. Before we could support this
subdivision, we would need land dedicated to the district or at
least made available at a minimum price for a school site in this
area. The site would need water and sewer service available. In
addition we would need to pass another bond issue for the
construction of schools.
The cost per student for newly constructed schools, excluding
site purchase price and offsite improvements, exceeds $5,000
per elementary student and $10,000 per middle or high school
student.

We are in a difficult position and need your help in dealing with
the impact of growth on schools.
