MOTION CARRIED: All Yea ITEM #3: TABLED NOVEMBER 8, 1995: RAMON YORGASON: REQUEST FOR REIMBURSEMENT OF WELL DEVELOPMENT FEES FOR CROSSROADS SUBDIVISION: Kingsford: As I recall Mr. Smith you were going to make a presentation on that am 1 correct? Smith: Thank you Mr. Mayor and Council members. I have met with the engineer from Hubble Engineers to discuss this issue and up to the time when the project was tabled before you everything had been answered with the exception of the secondary supply or the one point connection for City water. Bruce Stuart and I have both been in discussion with Hubble Engineers concerning that and they will or 1 shall say a point of secondary connection can be made. Right now the well that has been drilled on the site is supplying water to the common areas only. The sprinkler system for the common areas is separate from the sprinkler system for the residential lots. So that when this secondary connection is made from the City system only the residential lots will be supplied water from the City. The common area will continue to be sprinkled by the well that they drilled on site. That was one of our concerns because they had so much common area we didn't want to be providing City water to that. When I talked to Gene Smith today from Hubble Engineers Meridian City Council December 5, 1995 Page 4 CJ he wasn't sure who was going to provide that secondary connection point. Because at this point in time he informed me the Nampa Meridian Irrigation District is the operator and owner and operator of that system. That the developer of Crossroads subdivision has entered into a contractual agreement with Nampa Meridian for the ownership • and operation and maintenance of it. So he wasn't sure whether Nampa Meridian is the one responsible for installing that secondary point of connection or if the developer was responsible. I have not seen the agreement between Nampa Meridian and the developer so I don't know what it says. Kingsford: It seems to me we would want to have that before we release any funds back. Smith: The agreement? Kingsford: Right, and know who is going to be making that connection and so forth. Smith: Right. I guess that would be, well, I guess we would have to look at that agreement and see if it was spoken to number 1. If it wasn't spoken to then we would have to get an agreement from one or the other of them for installation of it. Because as I told the engineer from Hubble Engineering the intent of this is to be able to provide the residents with water from a single point connection. That we are not going to allow individual connections. Kingsford: Questions of the Council? When is a reasonable time that you think they may be able to accomplish those items for us? Smith: The installation of it? Kingsford: No, some sort of a contractual agreement as to who is going to do it and when. Is it reasonable to have that iced by the next meeting? Smith: I would think so yes. There shouldn't be a problem with it. They should be able to agree between themselves, between the 2 developer and Nampa Meridian as to who is going to be doing this. I have got a feeling that probably Nampa Meridian is going to require that the developer install the site the facilities. I only say that because I think that is what happened at Cherry Lane Village Subdivision. Kingsford: I think that is reasonable too. Smith: I do too, and 1 know that these guys are anxious to get this thing approved and get it taken care of. If you want to make that a condition of approval of releasing the funds and then have them, if they have a problem with that we can revisit it at the next Council ` . • Meridian City Council December 5, 1995 Page 5 meeting. I can bring the agenda item back to the City Clerk if you want to handle it that way. Kingsford: It would certainly be a way to take it off the table. What is the Council's pleasure? ION JIM JOHNSON, Chairman MOE ALIDJANI JIM SHEARER CHARLIE ROUNTREE TIM HEPPER September 20, 1995 We have done an inventory, from our permits issued records, of the existing building sites in this subdivision and find that one (1) permit for a sprinkler system connecting to city water was (mistakenly) issued. To date there have been 34 building permits issued and apparently all of those, except this one, are being provided irrigation water through the pressurized imgation system. This system utilizes a pump system taking surface water from a ditch that is located along the north boundary of the subdivision area. An alternative source of water to the ditch water has not been provided. City water lines are not presently located near the pump station so this type of alternative water is not feasible at this time. (It would be feasible when Phase 7 of the development is done.) Therefore at this time, when ditch water is not available the pressurized irrigation system is not operable. Either a shallow well needs to be built or the city needs to allow across-connection and backflow devise with city water for each home being built. Reportedly, the developer has entered into anownership/maintenance-operation agreement with the Nampa & Meridian Irrigation District. Since an alternative water source to the ditch water is not being provided at this time it appears the property owners will still need to rely on city water for the time period ditch water is not available. . The Owner will provide all labor, materials, and equipment necessary to do the work. described in this Agreement and as stated in the Plans and Specifications, which constitute a part of this Agreement. This. Agreement Contains all of the agreements between Owner and Nampa & Meridian Irrigation District. Any changes must be in writing vn a Change Order form. Should any conflict occur between the Plans, Specifications, or other documents and this .Agreement, this Agreement will be followed. INSURANC$. Owner will provide a Worker's Compensation insurance policy far all persons working under his direction and a General Liabi~.ity Insurance policy with limits of at least $100,000 for any one occurrence and $1,000,000 total for all occurrences. If Nampa & Meridian Irrigation District wants proof of insurance from Owner, owner's insurance company will provide a certificate of ~:nsurance on request. If Nampa & Meridian .Irrigation District wants owner to obtain additional insurance, Nampa & Meridian Irrigation District must request it in writing before this Agreement is signed. At Nampa & Meridian Irrigation Districts request, Owner will provide at his expense, "all risk" insurance including theft, vandalism, fire, and Acts of God coverage throughout the work in an amount equal to the Total Cash Price of the improvements. Th~.s insurance will be provided before Owner begins work. If Owner does not provide this insurance, Nampa & Meridian Irrigation District wi7.1 have the right~to obtain this insurance as Owner's agent and Owner agrees to reimburse. Nampa & Meridian Irrigation District at the time Nampa & Meridian Irrigation District purchases this insurance. 5. PERMITS. Ownex is responsible, unless Owner and Nampa & Meridian Irrigation District agree otherwise in a,separate wrzting, to pay for and obtain all necessary permits, surveys, CONSTRUCTION CONTRACT FOR URBAN IRRIGATION SYSTEM IN CROSSROADS SUBDIVISION PHASES 1, 2 & 3 - Page 2 and other documents or approvals that may be required by the Public Authorities for the performance of the work. Should Owner provide Plans or Specifications, owner will also be responsible to make sure that they meet all the regulations and requirements of the Public Authorities. 6. SITE IDENTIFICATION. At Nampa & Meridian Irrigation Districts request, Owner will show Nampa & Meridian Irrigation Districts representatives the location of all pipelines, valves, clean-out boxes, dividers and other facilities included in the . Project. If Owner is not certain of their location, Nampa & Meridian Irrigation District may require that the lines be staked before construction commences. If Owner makes an error and tells Nampa & Meridian Irrigation District the wrong locations, Owner will make any necessary changes before Nampa & Meridian Irrigation Aistrict approves the completed work. 7. SITE ~ BIIILD][NG CONDITIONS. Owner is responsible, unless Ownex and Nampa & Meridian Irrigation District agree otherwise in a separate writing, to pay for the removal of all trees, debris, obstructions either above or below ground, .and correction of any unforeseen conditions or defects, that are necessary for completion of the work. 8. ACCESS. Where necessary, Owner will arrange for access through a neighbor's property so that. he can do the work. Owner will be responsible far any damage to the neighbors property other than acts of negligence by agents or representatives o~ CONSTRUCTION CONTRACT FOR URBAN IRRIGATION SYSTEM IN CROSSROADS SUF3DIVI5ION PHASES 1, 2 & 3 - Page 3 • Nampa & Meridian Irrigation District. If that neighbor withdraws his consent and Owner cannot go through his property, then Owner is not responsible for any delays or additional costs to finish the work. 9. DAHAGE TO WORK. As between the Owner and Nampa & Meridian Irrigation District, Owner is responsible for any damages caused by owner, Acts of God, or others not under Nampa & Meridian Irrigation District's control. 10. UTILxTY SERVICE. Gwner is responsible for obtaining any utility service for water, gas, and electricity as needed for Owner to do the wank. Nampa & Meridian Irrigation District is not responsible for any delays in obtaining utility service or due to interruption of utility service to the site. 11. START of WORR TO C02dPLETI0N. Owner will begin the work w~.thin ninety (90) days after the date of this Agreement. The date of this Agreement shall be the date Crossroads Subdivision is actually, fully and finally annexed to Nampa & Meridian Irrigation District, if at all. See paragraph 17. However, Owner must first obtain the necessary izzsurance and permits. Owner will work through to completion, and shall complete the work prior to 31 March 1995 , subject to delays permitted under this Agreement. 12. WORRMANSFiIP. owner will do the work in a workmanlike manner. If no local building code applies, Owner will do the work according to industry standards or common trade practices or manufacturer's specifications. owner is responsible for clean-up after his work and will leave the site in broom clean condition. When owner finishes any segment of the work, Nampa & Meridian Irrigation District has the right to notify Owner in writing of any defects it finds. Nampa & Meridian Irrigation District shall not be required to approve and accept the urban irrigation system, and place it in service, until all defective work has been corrected by the Owner. 13. WORK STOPPAGE. If owner'stops work for seven (7) days or more, except for delays permitted under this Agreement, Nampa & Meridian Irrigation District has the right to give Owner written notice by certified mail of Nampa & Meridian Irrigation District's request that Owner continue the work. If owner does not continue the work within seven (7) days after receiving'. this notice, Nampa & Meridian Irrigation District, at its option, may complete the work and Owner agreds to pay Nampa & Meridian Irrigation District the entire cost of completing the work, plus a reasonable amount to cover Nampa & Meridian Irrigation District's administrative expenses, and all out-of-pocket costs and attorney's fees resulting from arbitration ar litigation, or both. MATCHING MATEFZA~. Where materials are to be matched, .owner will make every reasonable effort to do so, but does not guarantee a perfect match. 15. SUBSTITUTIONS. When necessary, Owner has the right to use different .construction procedures or to substitute material of equal quality to the material described in the Specifications if the results of the work aze substantially the same. Owner will provide Nampa & Meridian Irrigation District with a Change order for any Changes he will make before he continues the work. 16. CHANGES. If owner wants to change any of the work he is to do, he must request that change from Nampa & Meridian Irrigation District in writing. Owner and Nampa & Meridian Irrigation District will sign a Change Order form describing the change, if Nampa & Meridian Irrigation District approves the change. The Change Order will became a part of this Agreement. Owner also .agrees to pay for any changes required by the Public Authorities, or necessary for him to do the work according to the local building code, upon completion of the Change Order work. 17. INSPECTION, ACCTPTANCE, WAIVER(S) OF LIEN 6c PAYMENTS. It is understood by and between owner and Nampa & Meridian Irrigation District that Crossroads Subdivision, Fhases 1, 2 & 3, is not within the jurisdictional boundazies of Nampa & Meridian CONSTRUCTION CONTRACT FOR URBAN IRRIGATION SYSTEM IN CROSSROADS SUBDIVISION PHA3E3 1, 2 & 3 - Page 6 ~ ~ Irrigation District. In order for Nampa & Meridian Irrigation bistrict to own, operate and deliver water as contemplated by this agreement, it is necessary for owners' property, as well as ~.. H property within crossroad Subdivision, which may be owned by third parties to be within the jurisdictional boundaries of the Nampa & Meridian Irrigation District. To effectuate this boundary change, Owner will request that Nampa & Meridian Irrigation District annex all property within the Crossroads subdivision phases 1, 2 and 3. It is expressly understood and - agreed that unless and until the Crossroads Subdivision, phases 1, 2 and 3, are actually, fully and finally annexed by Nampa & Meridian Irrigation District, including the exhaustion of appeal time nr process, the terms and conditions of this contract cannot be fulfilled and this contract does not become effective. Nothing in this oo»tract is intended, by either party, to portend the discretion each has regarding application for annexation, relinquishment of water rights and annexation. However, if Owner does not complete and file with Nampa &. Meridian Irrigation District their application for annexation of all of the property within Crossroads Subdivision, whether owned by owner or a third party, within ten (lob days, including weekends and holidays, of the date the last of the signatures is affixed to this agreement, then this contract does not become effective. Time is of the essence. It is understood and agreed that relinquishment of water rights in favor of Nampa & Meridian Irrigation District, if made, will occur simultaneously with annexation, if accomplished. should. annexation be denied, for whatever reason, then this contract does not became effective. Should this annexation be granted then the terms and conditions of this contract shall be in full force and effect. Any work performed pursuant to this contract prior to completion of annexation of the land, including appeal time, shall be at the sole risk and expense of the party performing said work. owner agrees that it will not assert wavier or estoppel, or any other such theory, against Nampa & Meridian Irrigation District based on any action taken by owner in anticipation of annexation to Nampa & Meridian Irrigation District as contemplated by this agreement. When Owner claims that any portion of the work is complete and ready for inspection and approval, he will ask the Public Authority (when required) to inspect and approve the work. When the Public Authority or Owner, br both, have inspected and approved the work, and owner has done the work according to paragraph Z2, Nampa & Meridian Irrigation District agrees to CONSTRUCTION CONTRACT FOR URBAN IRRIGATION SYSTEM IN CROSSROADS SUBDIVISION PHASES 1, 2 & 3 - Page 8 • accept the work and assume responsibility for operation attd maintenance of the urban irrigation system. ~, . ~. owner will provide Nampa & Meridian Irrigation District with Owner's Waiver(s) of Lien and other Waiver(s) of Lien as evidence of Owner's payment for all employees, sub-contractors and material suppliers listed on a notarized Contractor's Affidavit at the time of completion of the work. Upon completion Owner will deliver the project to Nampa & Meridian Irrigation District free of liens. 18. STATUTORX REQUIREMENTS OF IbAHO CODE § 43-330H. The following provisions are included in this Agreement as required by Idaho Code § 43-330B. A. The cost of construction of the irrigation system apportioned against the lots in Crossroads Subdivision Phases 1, 2 & 3 as specified in Addendum A, which is attached to this Agreement and incorporated by reference. The apportionment is based on the estimated costs of construction of the distribution system, which is $ 61,000.00 ~ If the final costs of construction are more or less than the• estimated costs, this Agreement will be supplemented with a revised Addendum A which shall allocate the actual costs of construction. against the lots in Crossroads Subdivision Phases 1,• 2 & 3, based on the ratio that the acreage in each lot bears to the total acreage in all lots in the subdivision. e. Any portion of the cost of construction that is not paid upon completion of construction by the owner or owners, or by a third party on their behalf, shall constitute a lien against the lots in the Crossroads Subdivision Phases 1, 2 & 3, securing payment of the balance of the construction cost and payment of interest on any deferred installments of the construction cost. C. The annual payments to be made by each lot CONSTRUCTION CONTRACT FOR URBAN IRRIGATION SYSTEM IN CROSSROADS SUBDIVISION PHASES 1, 2 & 3 - page 9 • owner on the deferred balance of the construction costs are set forth in Addendum B, attached to this Agreement and incorporated by reference. ~~ • D ~ z;ie annual installment payments set forth in Addendum B shall be included in the annual assessments levied by Nampa & Meridian Irrigation District against each lot in Crossroads Subdivision Phases 1, 2 & 3, and the levy and collection of those installments shall be, as nearly as practicable, in accordance with the assessment, levy and collection of other assessments levied upon lands in Nampa & Meridian Irrigation District. E. Any deferred annual installment payments of principal and accrued interest as set forth in Addendum B may be prepaid in while or in part at any tune without penalty, but any prepayment of principal shall be not less than one-half of the amount of the annual installmel~t payment of principal next coming due, but the prepayment privilege authorized by this subparagraph shall not be applicable where the construction costs have been financed through a local improvement district. F. If the pumping station and pipeline serving the crossroads subdivision Phases 1, 2 & 3 also serve other lands, the cost o.f the pumping station and pipeline has been apportioned by Nampa & Meridian Irrigation District to all lands which are planned to be served by the pumping station, so that each acre of irrigable land to be served by the pumping station will be assessed and required to pay the same amount. G. The Owner hereby grants to Nampa & Meridian Irrigation District an easement for the installation, operation, maintenance, repair and replacement of those portions of the irrigation system located on any portion of the Crossroads Subdivision Phases 1, 2 & 3. The location of the easement shall be determined by the location of the pipelines and other facilities, as finally installed, and the width of the easement shall be five (5) feet on either side of the centerline of each pipeline, unless otherwise specified in Addendum C, attached to this Agreement and incorporated by reference. 19. OWNERSHIP of DISTRIBUTION SYSTEM. The pressurized CONSTRUCTION CONTRACT FOR URBAN IRRIGATION SYSTEM IN CROSSROADS SUBDIVISION PHASES ]., 2 & 3 - Page 10 • irrigation system constructed under this Agreement shall be the property of, and shall be owned by, Nampa & Meridian Irrigation ~. :, District. 20. OPERATION AND MAYNTENANCE BY NAMPA ~ MERIDrAN IRRIGATION DISTRICT; ASSESSMENTS FOR OPERATION AND MAINTENANCE. As provided in Idaho Code § 43-33oF, the pzessurized irrigation system constructed under- this Agreement shall be operated, maintained, repaired and replaced by Nampa & Meridian Irrigation District, and Nampa & Meridian Irrigation District may levy and collect annual assessments against each lot served by the irrigation system to defray the cost and expense of such operation, maintenance, repair or replacement. The Board of Directors of Nampa & Meridian Irrigation bistrict shall apportion to each lot a.n Crossroads Subdivision Phases 1, 2 & 3 a portion of the cast of operation, maintenance, repair and replacement of the irrigation system, on the basis of the ratio between the acreage in that lot and the total acreage in all lots 'in~ Crossroads Subdivision Phases 1, 2 & 3. 21. ENTIRE AGFt.~F.HENT. 'This Agreement conta~.ns the entire agreement between the parties hereto with respECt to the subject matter of this Agreement. 22. GOVERNING LAW. Corrie: It was to meet staff questions, I understand did they meet with you and answer your questions? Stiles: I didn't have any on that, maybe Gary did. Corrie: Gary, can you help us on this one Crossroads? Smith: Mr. President, Council members, I did receive a revised legal description for the boundary of the subdivision. I think I had a couple other comments. Morrow: Did you questions have to do with the turnarounds on Congressional and Eisenhower Drives and the lot area of Lot 23 and Block 8 is less than 8,000 square feet? Smith: Right, as I understand it the Ada County Engineer is not allowing subdividers to plat for a turnaround so they either have to make provisions on the subdivision plat or their { • • • Meridian City Council July 19, 1994 Page 3 ownership of the adjacent land and make provisions there for the turnaround. But the County Engineer is not allowing them to show a turn around easement at the end of a dead end street outside of the subdivision boundary. I don't know the why's or wherefores of that. Morrow: And how does that apply to what we are dealing with here? Their tum grounds for these 2 streets are outside of the subdivision, is that the issue? Smith: 1 believe that on the plat that I have reviewed there was nothing shown on the plat that I reviewed concerning the tum around or how the turn around was going to be accomplished. Morrow: And so at this point we still have not resolved that issue. Smith: 1 can't recall on the development plans how that is shown, I just don't know right off hand. Typically what they are doing is they are showing it on the development plans if they are the owner of the adjacent property. Morrow: Now, you had 5 comments with respect to this. And number 1, the number of lots and street alignment comply with the appropriate part of the previously approved preliminary plat. So, that is okay, the area of Lot 23 Block 8 is less than 8,000 square feet has that been addressed? Smith: I have not heard from them on that, but 1 am assuming that is pretty easily solved problem. Morrow: Label north-south tie distance as North Eagle Road, State Highway 55 that is fairly simple. And then submit sheet number 2 for review, 2 bearings in the written legal submitted are slightly different than shown on the plat, has that been corrected? Smith: Yes, they have submitted that sheet. Morrow: So, the 2 outstanding issues are items 2 and 3, the tum grounds and the 8,000 square feet of Lot 23 Block 8, is that correct? Smith: Right, and like I say, the turn grounds, if the property owner owns the adjacent property where the tum grounds will be built what they have been doing is just building the turn grounds on that property since they are the owners of it, they are building the turn grounds on that property. The County Engineer is not allowing them to show that easement on the plat for reasons I don't know. We also find that this subdivision is located in census tract 103.11 and in the attendance zone for Chief Joseph Elementary, Lake Hazel Middle School and Meridian High School. Due to overcrowding at Chief Joseph Elementary students from this subdivision will likely be bused to Silver Sage Elementary. Using the above information we can predict that these homes, when completed, will house 17 elementary aged children, 15 middle school aged children, and 12 senior high aged students. At the present time Chief Joseph Elementary is at 118 of capacity, Lake Hazel Middle School is at 113 of capacity and Meridian High School is at 116$ of capacity. The Meridian School District is not opposed to growth in our district, however this subdivision will cause increased over- crowding in all three schools. There is little opportunity to shift attendance boundaries since the surrounding schools are also well over capacity. Before we could support this subdivision, we would need land dedicated to the district or at least made available at a minimum price for a school site in this area. The site would need water and sewer service available. In addition we would need to pass another bond issue for the construction of schools. The cost per student for newly constructed schools, excluding site purchase price and offsite improvements, exceeds $5,000 per elementary student and $10,000 per middle or high school student. We are in a difficult position and need your help in dealing with the impact of growth on schools. STORMWATER MANAGEMENT RECOMMENDATIONS We recommend that the first one half inch of stormwater be pretreated through a grassy Swale prior to discharge to the subsurface to prevent impact to groundwater and surface water quality. The engineers and architects involved with the design of this project should obtain current best management practices for stormwater disposal and design a stormwater management system that is preventing groundwater and surface water degradation. The inspection request line is available 24 hours a day, 365 days a year, inspections will be performed Monday - Friday, between 8:00 AM and 5:00 PM, excluding holidays. Other Permits are Required for the installation of any electrical wiring, plumbing piping and mechanical installations related to gas fired equipment. Permit Revocation/Expiration. The Building Official reserves the right to revoke any permit issued in error or on the basis of incorrect information. Permits expire in 180 days if: work is never commenced, or is discontinued for a period exceeding 180 days or 6 months. At Nampa & Meridian Irrigation .Districts request, owner will show Nampa & Meridian Irrigation District's representatives the location of all pipelines, valves, clean-out boxes, dividers and other facilities included in the Project. If Owner is not certain of their location, Nampa & Meridian Irrigation District may zequire that the lines he staked before construction commences. If Owner makes an error and tells Nampa & Meridian Irrigation District the wrong locations, Owner will make any necessary changes before Narrpa & Meridian Irrigation Aistrict approves the completed work. 7. SITE ~ BUILDING CONDITIONS. IITILITY SERVICE. Gwner is responsible for obtaining any utility service for water, gas, and electricity as t~c~ecled for Owner to da the work. Nampa & Meridian Irrigation Die>t~•ict is not responsible for any delays in obtaining utility service or due to interruption of utility service to the site. 11. START OF WORK TO C02~iPLETION. Owner wil]. begin the work within ninety (90) days after the date of this Agreement. The date of this Agreement shall be the date Crossroads s~ibdivision is actually, fully and finally annexed to Nampa & Meridian Irrigation District, if at all. See paragraph 17. However, owner must first obtain the necessary insurance and permits. Owner will work through to completion, and shall complete the work prior to 31 March 1995 , subject to delays permitted uncxer this Agreement. 12. WORKMANSHIP. Owner will do the work in a workmanlike manner. If Owner'stops work for seven (7) days or more, except for delays permitted under this Agreement, Nampa & Meridian Irrigation District has the right to gj.ve owner written notice by certified mail of Nampa & Meridian Irrigation District's request that Owner continue the work. If owner does not continue the work within seven (7) days after receiving this notice, Nampa & Meridian Irrigation District, at its option, may complete the work and Owner agrees to pay Nampa & Meridian Irrigation District the entire cost of completing the work, plus a reasonable amount to cover Nampa & Meridian Irrigation District's administrative expenses, and all out-of-pocket costs and attorney's fees resulting from-arbitration or litigation, or both. In order for Nampa & Mer_i.dian Irr.igat.ion District to own, operate and deliver water as contemplated by this agreement, it is necessary far owners' property, as well as property within Crossroad Subdivision, which may be owned by third parties to be within the jurisdictional boundaries cif khe Nampa & Meridian Irrigation District. To effectuate this • boundary change, Owner will request that Nampa & Meridian Irrigation District annex all property within the Crossroads Subdivision phases 1, 2 and 3. It is expressly understood and agreed that unless and until the Crossroads Subdivision, phases 1, 2 and 3, are actually, fully and finally annexed by Nampa & Meridian Irrigation District, including the exhaustion of appeal times nr process, tho terms and aonditians of this contract cannot be fulfilled and this contract does not become effective. Nothing in this contract is intended, by either party, to portend the discretion each has regarding application for annexation, relinquishment of water rights and annexation. The cast of construction of the irr_igatic~n system apportioned against the lots in Crossrnac3s Subdivision Phases 1, 2 & 3 as specified in Addendum ~!, which is attached to this Agreement and incorporatc~ci t:y reference.. The apportionment is .based on the estimated costs of construction of the distribution system, which is $__61,000.00 If the final costs of construct ion are more or less than the estimated costs, this Agreement will be supplemented with- a revised Addendum A which shall allocate the actual costs of construction against the lots in Crossroads Subdivision Phases 1,. 2 & 3, based on the ratio that the acreage in each lat bears to the total acreage in all lots in the subdivision. B. Any portion of the cost of construction that is not paid upon co?~-~'. ,f construction by the Owner or owners, or by a third party on their behalf, shall constitute a lien against the lots in ttie Crossroads Subdivision Phases 1, 2 & 3, securing payment of the balance of the construction cost and payment of interest on any deferred installments of the construction cost. If the pumping station and pipeline serving the Crossroads Subdivision Phases 1, 2 & 3 also serve other lands, the cost o.f the pumping station and pipeline has been apportioned by Nampa & Meridian Irrigation Distriot to all lands which are plani:ed to be served by the pumping station, so tYtat each acre of irrigable land to be served by the pumping station will be assessed and required to pay the same amount. The Owner hereby grants to Nampa & Meridian Irrigation District an easement for the installation, operation, maintenance, repair and replacement of those portions of the irrigation system located on any portion of the crossroads .Subdivision Phases 1, 2 & 3. In this Agreement certain words appear which have the following meaning: "Owner" or "Owners" mean the owner (s ) of the land to which irrigation water will be distributed by the urban irrigation system that is the subject of this Agreement. _ "Plans" means drawings or diagrams graphically showing the work to be done. "Specifications" means the statements describing the materials, dimensions, and workmanship for the work to be done. "Agreement" means this written and signed Agreement (contract) the Owner and Nampa & Meridian Irrigation District have entered into for the work to be done. 2. STATUTORY AUTHORITY. This Agreement is made under the authority of Idaho Code § 43-330A. 3. PLANS & SPECIFICATIONS. The Owner will provide all labor, materials, and equipment necessary to do the work described in this Agreement and as stated in the Plans and Specifications, which constitute a part of this Agreement. This Agreement contains all of the agreements between Owner and Nampa & Meridian Irrigation District. Any changes must be in writing on a Change Order form. Should any conflict occur between the Plans, Specifications, or other documents and this Agreement, this Agreement will be followed. INSURANCE. I~f Nampa & Meridian Irrigation District wants proof of insurance from Owner, Owner's insurance company will provide a certificate of insurance on request. If Nampa & Meridian Irrigation District wants Owner to obtain additional insurance, Nampa & Meridian Irrigation District must request it in writing before this Agreement is signed. At Nampa & Meridian Irrigation District's request, Owner will provide at his expense, "all risk" insurance including theft, vandalism, fire, and Acts of God coverage throughout the work in an amount equal to the Total Cash Price of the improvements. This insurance will be provided before Owner begins work. If Owner does not provide this insurance, Nampa & Meridian Irrigation District will have the right to obtain this insurance as Owner's agent and Owner agrees to reimburse Nampa & Meridian Irrigation District at the time Nampa & Meridian Irrigation District purchases this insurance. 5. PERMITS. At Nampa & Meridian Irrigation District's request, Owner will show Nampa & Meridian Irrigation District's representatives the location of all pipelines, valves, clean-out boxes, dividers and other facilities included in the Project. If Owner is not certain of their location, Nampa & Meridian Irrigation District may require that the lines be staked before construction commences. If Owner makes an error and tells Nampa & Meridian Irrigation District the wrong locations, Owner will make any necessary changes before Nampa & Meridian Irrigation District approves the completed work. 7. SITE ~ BIIILDING CONDITIONS. Owner is responsible, unless Owner and Nampa & Meridian Irrigation District agree otherwise in a separate writing, to pay for the removal of all trees, debris, obstructions either above or below ground, and correction of any unforeseen conditions or defects, that are necessary for completion of the work. 8. ACCESS. Where necessary, Owner will arrange for access through a neighbor's property so -that he can do the work. If that neighbor withdraws his consent and Owner cannot go through his property, then Owner is not responsible for any delays or additional costs to finish the work. 9. DAMAGE TO WORK. As between the Owner and Nampa & Meridian Irrigation District, owner is responsible for any damages caused by Owner, Acts of God, or others not under-Nampa & Meridian Irrigation District's control. 10. UTILITY SERVICE. Owner is responsible for obtaining any utility service for water, gas, and electricity as needed for Owner to do the work. Nampa & Meridian Irrigation District is not responsible for any delays in obtaining utility service or due to interruption of utility service to the site. 11. START OF WORK TO COMPLETION. Owner will begin the work within ninety (90) days after the date of this Agreement. The date of this Agreement shall be the date Crossroads Subdivision is actually, fully and finally annexed to Nampa & Meridian Irrigation District, if at all. See paragraph 17. However, Owner must first obtain the necessary insurance and permits. Owner will work through to completion, and shall complete the work prior to subject to delays permitted under this Agreement. 12. WORKMANSHIP. Owner will do the work in a workmanlike manner. Where additional Plans or Specifications are not provided, Owner will do the work so as to comply with the local CONSTRUCTION CONTRACT FOR URBAN IRRIGATION SYSTEM IN CROSSROADS SUBDIVISION PHASES 1, 2 & 3 - Page 4 building code. If no local building code applies, Owner will do the work according to industry standards or common trade practices or manufacturer's specifications. Owner is responsible for clean-up after his work and will leave the site in broom clean condition. When Owner finishes any segment of the work, Nampa & Meridian Irrigation District has the right to notify Owner in writing of any defects it finds. Nampa & Meridian Irrigation District shall not be required to approve and acceat the urban irrigation system, and place it in service, until all defective work has been corrected by the Owner. 13. WORK STOPPAGE. If Owner stops work for seven (7) days or more, except for delays permitted under this Agreement, Nampa & Meridian Irrigation District has the right to give Owner written notice by certified mail of Nampa & Meridian Irrigation District's request that Owner continue the work. If Owner does not continue the work within seven (7) days after receiving this notice, Nampa & Meridian Irrigation District, at its option, may complete the work and Owner agrees to pay Nampa & Meridian Irrigation District the entire cost of completing the work, plus a reasonable amount to cover Nampa & Meridian Irrigation District's administrative expenses, and all out-of-pocket costs and attorney's fees resulting from arbitration or litigation, or both. If Owner steps the work, he will be responsible for CONSTRUCTION CONTRACT rOR URBAN IRRIGATION SYSTEP'i IN CROSSROADS SUBDIVISION P?3ASES 1, 2 & 3 - Page 5 protecting the building site, materials and work performed, unless and until Nampa & Meridian Irrigation District commences work to complete the Project. 14. MATCHING MATEFt?A~. Where materials are to be matched, Owner will make every reasonable effort to do so, but does not guarantee a perfect match. 15. SUBSTITUTIONS. When necessary, Owner has the right to use different construction procedures or to substitute material of equal quality to the material described in the Specifications if the results of the work are substantially the same. Owner will provide Nampa & Meridian Irrigation District with a Change Order for any Changes he will make before he continues the work. 16. CHANGES. If Owner wants to charge any of the work he is to do, he must request that change from Nampa & Meridian Irrigation District in writing. Owner and Nampa & Meridian Irrigation District will sign a Change Order form describing the change, if Nampa & Meridian Irrigation District approves the change. The Change Order will become a part of this Agreement. Owner also agrees to pay for any changes required by the Public Authorities, or necessary for him to do the work according to the local building code, upon completion of the Change Order work. 17. INSPECTION, ACCEPTANCE, WAIVER(S) OF LIEN & PAYI~N'PS. It is understood by and between Owner and Nampa & Meridian Irrigation District that Crossroads Subdivision, Phases 1, 2 & 3, is not within the jurisdictional boundaries of Nampa & Meridian CONSTRUCTION CONTRACT FOR URBAN IRRIGATION SYSTEM IN CROSSROADS SUBDIVISION PIiASES 1, 2 & 3 - Page 6 Irrigation District. In order for Nampa & Meridian Irrigation District to own, operate and deliver water as contemplated by this agreement, it is necessary for owners' property, as well as property within Crossroad Subdivision, which may be owned by third parties to be within the jurisdictional boundaries of the Nampa & Meridian Irrigation District. To effectuate this boundary change, Owner will request that Nampa & Meridian Irrigation District annex all property within the Crossroads Subdivision phases 1, 2 and 3. It is expressly understood and agreed that unless and until the Crossroads Subdivision, phases 1, 2 and 3, are actually, fully and finally annexed by Nampa & Meridian Irrigation District, including the exhaustion of appeal time or process, the terms and conditions of this contract cannot be fulfilled and this contract does not become effective. Nothing in this contract is intended, by either party, to portend ,the discretion each has regarding application for annexation, relinquishment of water rights and annexation. However, if Owner does not complete and file with Nampa & Meridian Irrigation District their application for annexation of all of the property within Crossroads Subdivision, whether owned by Owner or a third party, within ten (10) days, including weekends and holidays, of the date the last of the signatures is affixed to this agreement, then this contract does not become effective. Time is of the essence. Owner has previously sold lots within the Crossroads Subdivision phases 1, 2 and 3 to third CONSTRUCTION CONTRACT ~'OR URBAN IRRIGATION SYSTEM IN CROSSROADS SUBDIVISION PHASES 1, 2 & 3 - Page 7 parties who are not parties to this contract. It is Owner's sole responsibility to obtain any and all necessary signatures and any and all information for application for annexation of those third parties' property in completing the application for annexation. It is understood and agreed that relinquishment of water rights in favor of Nampa & Meridian Irrigation District, if made, will occur simultaneously with annexation, if accomplished. Should annexation be denied, for whatever reason, then this contract does not become effective. Should this annexation be granted then the terms and conditions of this contract shall be in full force and effect. Any work performed pursuant to this contract prior to completion of annexation of the land, including appeal time, shall be at the sole risk and expense of the party performing said work. Owner agrees that it will not assert wavier or estoppel, or any other such theory, against Nampa & Meridian Irrigation District based on any action taken by owner in anticipation of annexation to Nampa & Meridian Irrigation District as contemplated by this agreement. When Owner claims that any portion of the work is complete and ready for inspection and approval, he will ask the Public Authority (when required) to inspect and approve the work. When the Public Authority or Owner, or both, have inspected and approved the work, and Owner has done the work according to paragraph 12, Nampa & Meridian Irrigation District agrees to CONSTRUCTION CONTRACT FOR URBAN IRRIGATION SYSTEM IN CROSSROADS SUBDIVISION PH.~SES 1, 2 & 3 - Page 8 f accept the work and assume responsibility for operation and maintenance of the urban irrigation system. Owner will provide Nampa & Meridian Irrigation District with Owner's Waiver(s) of Lien and other Waiver(s) of Lien as evidence of Owner's payment for all employees, sub-contractors and material suppliers listed on a notarized Contractor's Affidavit at the time of completion of the work. Upon completion Owner will deliver the project to Nampa & Meridian Irrigation District free of liens. 18. STATIITORY REQUIRII~NTS OF IDAHO CODE § 43-330B. The following provisions are included in this Agreement as required by Idaho Code g 43-330B. A. The cost of construction of the irrigation system apportioned against the lots in Crossroads Subdivision Phases 1, 2 & 3 as specified in Addendum A, which is attached to this Agreement and incorporated by reference. The apportionment is based on the estimated costs of construction of the distribution system, which is $ If the final costs of construction are more or less than the estimated costs, this Agreement will be supplemented with a revised Addendum A which shall allocate the actual costs of construction against the lots in Crossroads Subdivision Phases 1, 2 & 3, based on the ratio that the acreage in each lot bears to the total acreage in all lots in the subdivision. B. Any portion of the cost of construction that is not paid upon completion of construction by the Owner or Owners, or by a third party on their behalf, shall constitute a lien against the lots in the Crossroads Subdivision Phases 1, 2 & 3, securing payment of the balance of the construction cost and payment of interest on any deferred installments of the construction cost. C. E. Any deferred annual installment payments of principal and accrued interest as set forth in Addendum B may be prepaid in whole or in part at any time without penalty, but any prepayment of principal shall be not less than one-half of the amount of the annual installment payment of principal next coming due, but the prepayment privilege authorized by this subparagraph shall not be applicable where the construction costs have been financed through a local improvement district. F.
