Seller and Purchaser shall execute such escrow instructions, not inconsistent with the terms of this option, as may be requested by the escrow agent from time to time. Seller shall provide title insurance in the amount of the purchase price. All other closing costs shall be shared equally. 5. Taxes and assessments for the year 1994, rentals under existing leases and tenancies, and utilities shall be prorated between the parties as of the date of closing of escrow. 6. The sale transaction shall close when the escrow agent is able to comply with the provisions hereof. If closing is not accomplished on or before January 15, 1995, or such extended period thereafter as mutually agreed to by the parties, at the election of either party, the escrow shall be terminated, and all deposits made on the account of the purchase price and installments deposited in escrow shall be returned to the respective parties entitled thereto. 7. The Seller shall continue possession of the property until the close of escrow and shall maintain, to the best of their ability, the same in the present condition, reasonable wear from ordinary use excepted. Possession shall be transferred to Purchaser on closing. 8. Risk or loss from fire or other casualty to the property shall be Seller's until the transfer of possession as herein provided. In the event of fire or other damage to the property OPTION TO PURCHASE REAL PROPERTY - Page 3 ~ ~ during the term of this option, at the election of either party, this option can be terminated; in which event the consideration paid for the option shall be refunded, or alternatively, the parties may agree on an equitable adjustment of the purchase price. Seller is not responsible to replace or repair any damage to the premises during the term of this option. 9. In further consideration for the sum paid for this option, the Seller shall not further sell, convey, or encumber the property herein described during the period of this option. 10. This option and the contract resulting from the exercise thereof shall bind and enure to the benefit of the heirs, administrators, executors, successors and assigns of the respective parties. All rights of Purchaser hereunder may be assigned, but notice of each assignment shall be given in writing to the Seller. Seller is relying upon the credit and financial status of Purchaser. Seller shall have the right to approve any assignment of Purchaser's interest under this option. This approval will not be unreasonably withheld. 11. Time is of the essence of this agreement. 12. Except as otherwise provided herein, in addition to the acts of deed recited herein and contemplated to be performed, executed and/or delivered by either party, the parties hereto agree to perform, execute and/or deliver or cause to be performed, executed and/or delivered any and such further acts, deeds and assurances that either party may reasonably require to consummate the transaction contemplated hereby. Whenever the content hereof shall so require, the singular shall include the plural, the neuter gender shall include the male and female genders, and vice versa. 14. This agreement embodies the entire agreement between the parties relative to the subject matter hereof, and there are no oral or parol agreements existing between the parties concerning the subject matter hereof which are not expressly set forth herein and covered hereby. 15. The Seller agrees that Purchaser or their authorized agents, upon reasonable notice to Seller, may enter the premises for all lawful purposes in connection with the purchase of the subject property. 16. Purchaser shall acquire no rights at law or in equity in the title to the property by virtue of this agreement. The option price received shall be, not on account of the purchase price, but as a payment for this option in the event it is not exercised. If the option is exercised, the option price received shall be applied to the total purchase price of the property. 17. The parties acknowledge that the subject property is security for a note and deed dated December 5, 1988, executed between Mohammad E. Alidjani and Helen Alidjani, grantors, and Joint School District No. 2 as beneficiary. The parties further acknowledge that Lot 1 is subject to the terms and conditions of a real estate Lease Agreement entered into between Maranatha Christian School and Mohammad E. and Helen F. Interested prospects repeatedly commented on the appearance of the school building and to the fact kids are coming in and out of the building. Ultimately such observations proved to be a hindrance to the sale of our property. The vacant property appears to have been a magnet for young people since the day it was vacated. Its deserted appearance invites vandalism--an observation not only by us, but by other neighbors and the Meridian Police Department. We know the Police Department has responded to the school site on numerous occasions. It is surprising there hasn't been a serious incident of some kind in this building. Gentlemen, the property is an eye sore and embarrassment to downtown Meridian as it stands now. In conclusion I would encourage and approve of the commerical use of this site as intended. Alidjani and Mrs. Alidjani. My position prior this was that we ought to wait until they resolve their differences and I am convinced that those differences are going be resolved any time soon. I think the threat to the City and the surrounding neighbors and we ought to press forward. I bring that to the table for discussion by you. and the rest of the Council. Kingsford: 1 would certainly agree with you and entertain that for a motion that we have the attorney press forward with whatever we can do in the way of condemnation or securing that. Helen Alidjani, 2023 Turnberry Way, was sworn by the City Attorney. Alidjani: I would like to rezone the old school plaza from R-15 to Limited Office and I would n Meridian City Council February 7, 1995 Page 21 like to clarify that Mr. Thom had noted that there were tenants going into the building that he had. I don't have any tenants secured. I don't have a phase 1, 2 or 3 plan and I don't have control over Lot 2. I do understand that if the rezone is given that the property must comply with City ordinances and with the City departments when the remodel permit is taken out. Kingsford: So, Helen you are not requesting rezone then on Lot 2 which you do not control, you cannot rezone it. Morrow. Who controls Lot 2? Alidjani: Apostolic Church Morrow: That is a separate ownership. Kingsford: Any questions for Helen? Tolsma: Do you have any plans for it? Alidjani: To sell it. Tolsma: I am sure you have had some comments from the neighbors across the street, from the old school (inaudible) would like to have some idea what the plan was or if there was a plan for Limited Office. Alidjani: I am sorry Ron I don't have a plan, I don't want to make any promises. If it is zoned Limited Office then we will comply or the owner will comply with all the rules that the City has. I don't have a plan other than selling it. Morrow. I think Ron the better way to and quite candidly being in the industry it is a little tough to try to sell something with some sort of plan. I am sensitive to Ms. Alidjani's position from that standpoint. I am also sensitive to the neighbors concerns. I think probably the forum to deal with that is that we should reserve the right of design review within the perhaps with the approval of the zone change or something. I am sure that would be agreeable to Ms. Alidjani. Alidjani: If you would explain it to me it probably would. Tolsma: His comments were not really against the Limited Office he was more for the Limited Office than the R-15 but he was just kind of concerned about what kind of limited office it was going to be there. There are several things allowed in Limited Office. Meridian City Council February 7, 1995 Page 22 Alidjani: I am sure whatever falls under your ordinances. Tolsma: I think Walt's (inaudible) would probably be appropriate also. Morrow: Design review Helen simply means that say a developer of the building which could be you or Mr. Alidjani or anyone of a number of other people could come forward and say these are my plans and this is a rendering of what it is going to look like, these are the proposed tenants we vwuld like to have your approval of these plans and the City staff would review that and say yes these are acceptable or if you are going to have Helen's Newspaper you need 3 parking spaces instead of 2 or something like that. Some minor modifications to the proposal to make it more acceptable to neighborhoods. Alidjani: Would that be at the time of the permit taken out for remodel or would it be at a time of ownership transfer or at the time of Kingsford: I think that would be a building permit issue. Alidjani: That would be fine. Morrow. It would be prior to that from the standpoint that when we issue the building permit the building permit would incorporate those changes. Alidjani: That would be acceptable, I have looked through a little bit of what you do and your planning agreement and I think that should cover it. That would be fine. Morrow: I have no other questions. Kingsford: Any other questions for Helen? Thank you, anyone else from the public that would like to offer testimony on this continued public hearing? Seeing none I will close the public hearing, Council members. Tolsma: Mr. Mayor, I move that we approve the findings of fact and conclusions of law. Kingsford: You have probably, Counselor correct me, not a whole lot of changes from the standpoint of substance but different ownership should that be amended findings then or can we approve these and amend those findings to (inaudible)? Crookston: I believe we have the same ownership we have a different applicant. They would need to be amended but 1 think you can approve them with that amendment to show a different applicant. 1 will change the findings. Meridian City Council February 7, 1995 Page 23 Morrow. A quick question in terms of that and since we are amending them to reflect the applicant change we can also amend them to incorporate the requirement of design review. I checked with the area around the plumbing shop and there is adequate parking to accommodate the employees cars both in front and behind the shop. I have recommended the signs stay up and the enforcement be carried out. Crookston: I can go ahead and prepare the ordinance but I would like to have those findings approved next meeting. Kingsford: We have the ordinance right here that I just read Counselor, another $50.00. We were given a copy and it is my understanding from our strategic planning session that we were going to review that copy at tonight's meeting. I have some items that I wish to review concerning that. On page 7, under item 5, to read the item it says, "Use work time for personal business including selling of goods or services to the general public or proselytizing religious or political views to members of the public during the work day. Employees should minimize the amount of work time spent on similar activities engaged in wi#h fellow employees." 1 don't see that ought to happen. Kingsford: What item are you on there? Morrow: 1 am on item #5, page 7. Corrie: You want that eliminated completely? Morrow: I don't think they should even be doing it is my point. Because what is minimum amount of time to you and I, maybe 5 minutes to somebody else it might be an hour. Kingsford: So strike minimize and put eliminate? Morrow: Yes, that is a common sense deal.
