to order by Mayor Grant P. Kingsford at 7:30 P. M.:

ITEM #1: PRELIMINARY PLAT ON THE LANDING SUBDIVISION, TABLED AT
PRIOR MEETING:
Kingsford: Maybe Mr. Giesler could update the Council on his
Findings.
Giesler: We met with the necessary individuals regarding this
and we had asked that our concerns be answered about the
intersection of Franklin and Linder Road. The four way stop will
be in by the end of this week. We also had some concerns that
the amount of traffic that could be building up on Franklin Road
because of the four way stop, so we asked that their Engineer do
a study on that to see what the time frame would be that a person
would have to wait at that stop sign during peak hours. We did
get this study.
Kingsford: I did speak with the Engineer about this.
Eng. Smith: I did talk with Terry Little at ACRD and he said
that they had gone through the calculations that were submitted
and that everything checked out as far as the calculations were
concerned. The original recommendation by the Highway District
was that no more than 200 additional lots beyond the point of
Pintail and Canvasback be developed until construction of another
street be completed to either Meridian or Franklin Road. Of
course if the construction is out to Linder then that would put

the additional cars back onto Linder and to Franklin and at that
time Terry Little indicated that additional study would need to
be made concerning a signal at that intersection. The one thing
that I did notice from the study that Pat did was the time of
delay at the intersection calculated to be 19.1 seconds per
vehicle which according to the standards placed it in a level of
service of "C". Level of service "C" is 10-20 seconds average
stop delay is an average traffic delay. In my mind the level of
service "C" is being stretched to almost the end on this
calculated delay, but all that aside the Highway District did
accept this report for this intersection as a four way stop.
Kingsford: One of the concerns that I had when Gary was going
over this with me and talked about those 200 lots in that area
being a maximum load until you have another entrance either onto
Linder or Franklin. In your future projections did that take
into account say the southwest intersection of Franklin and
Linder, the northwest quadrant and the small area on the
northeast.
Pat Dobie: Mr. Mayor those future traffic projections were based
upon a multiple of the existing traffic flows. They weren't site
specific. The Ada Planning Association has projected a certain
growth in traffic volume over the next twenty years in this
section of the community. What I did there and what is customary
in these type of traffic studies is to project the future traffic
based upon a multiple of the existing traffic using those numbers
that APR has developed. I ran that out for eight years, to the
year 2000, added that onto the existing traffic volumes and then
added to that the traffic that would result from the development
of two hundred lots in the Landing Subdivision.
Tolsma: It says "that the traffic study prepared by Bell-Walker
Engineers be reviewed by ACHD and the study concluded that no
congestion problems would exist at Linder and Franklin Road
intersection after the connection to Waltman Lane was completed"
I was under the assumption that they wasn't going to hook to
Waltman Lane.
Clerk Niemann: That's the old study.
Dobie: In the previous study that was done, what Hell-Walker
analyzed was a future traffic condition where an extension would
be made to the east over to Meridian Road via Waltman Lane. Now
I understand that the subdivision was approved, at least by ACRD,

with the condition that no more than 200 lots develop in the
subdivision before an alternative access to the east, not
necessarily Waltman but by way of some road connecting over to
Meridian. The 200 lots was established because that's gCHD
Standard for the maximum number of lots on a single access
subdivision. So they are requiring that the development of a
back-up access way and it doesn't have to be Waltman Lane but it
does have to be some alignment extending to the east.
Kingsford: I think more specifically doesn't it speak more to an
emergency access rather than an alternative?
Dobie: I can't answer that, I'm not that familiar with this
specific language.
Discussion Held (see tape):
Eng. Smith: Suggested the City need to stay a little closer to
the Highway District on their approval of subdivisions in our
area to make sure that their looking down the road far enough to
see that we do have an intersection that could be becoming a
problem. I don't know whether analysis of this problem would
need to come by physical counts at the intersections,
investigation of traffic accidents or physical investigation of
delays at the intersection, I don't know how this all happens but
it appears the Highway District needs our assistance with hands
on help as to what is happening at the intersections. I guess
from that standpoint we are going to have to be in closer touch
with them and keep them advised as to what we see happening. I
think on the other hand the Highway District needs to take a look
at what is happening with our street system as they approve
subdivisions. I do know that the level "C" service based on the
analysis that your on the upper end of that level "C".
Dobie: q 20 second delay is very close to what you experience at
a signalized intersection. So although it's approaching the
upper limit of that level of service range for an unsignalized
intersection, it's not that uncommon and it wouldn't be that
different from what you would be experiencing during the same
peak period flow if a signal were in place at the intersection.
As far as alternatives here, the long term solution is the
reconstruction of Franklin Road. gCHD has this road programmed
for five lane facility with a signalized intersection and a fully
channelized five lane intersection at that location, which would
improve both Linder and Franklin. That project is in their five

year plan, although it's currently neither budgeted nor
scheduled. It has been identified as a high priority project.
What your Engineer has suggested is probably a very good course
of action and that's to encourage the Highway District to get a
date and to get a budget figure tacked onto that project. Maybe
that work could be done and those facilities could be available
before the traffic from these subdivisions materialize.
Kingsford: Didn't the Highway District come up with a computer
modeling for the whole County, a traffic flow that they are
supposed to keep updating?
Dobie: There's a model that's been maintained by ITD and by APA
that's been in existence for over a decade. I don't think that
it's been updated recently. Explanation further.
Giesler: Mr. Dobie on a 20 second delay, what does that consider
is it like three cars sitting at the sign or waiting?
Dobie: It would be about six vehicles.
Kingsford: For the Council's information, we did receive a
letter on September 15th from Gary Fors with regard to an
agreement that was apparently struck between Mr. Ted Johnson
himself on an earlier phase that both parties agreed to a fence
between the properties that has not been accomplished.
Dave Turnbull: If that's so we would be happy to build the
fence.

Currenty the preNminary plat for the Landing Subdivision and final plats for
Phases 4 and 5 are being reviewed by the Merfdfan City Council. The item was
tabled at the September 15, 1992, meeting in order to aNow more time to review
the potential trat'fic impacts of the development.
landing Subdivision -Traffic Impact Analysis

Following the action to table, a meeting was held (9-18-92) with members
of the Meridian City Council, the Planning Commission, ACHD, Meridian Staff and
the developer to discuss the traffic Issues. At that meeting the following
irdormation pertinent to the review process was identified:
1. ACHD had previously reviewed and approved the prelhr~inary plat of the
Landing Subdivision subject to a condition that no more than 200 Tots be
developed until a connection was made from the subdivision to Meridian
Road via Waltman Lane.
2. A Traffic Study prepared by Beil WaNcer Engineers had been reviewed by
ACHD. That study concluded that no congestion problems would e~tist at
the Lhxier - Franidin Road Intersection after the connection to Waltman
Lane was completed.
3. ACHD is planning to reconstruct Franldin Road to to a fnre lane road with a
signaNzed hitersection at Linder. This reconstructbn is in the ACHD 5 year
plan. However, the project has not been scheduled or budgeted at this
time.
4. This fa{t ACHD is planning to instaN the addttional signs for an AN-Way Stop-
Control (AWSC) at the Linder - FranMin Road Intersection.
It was concluded that further anaysis of the Linder - Franldin Road
Intersection was needed. The analysis was to focus on the worst case' that
could occur. This would involve an analysis of the intersection with the AN-Way
Stop-Control "m place (no signaNzation), with 200 lots twill out in tha landing
Subdivision, and vrtth no connection yet developed to Meridian Roed via Waltman.

Findings
The following capacity analysis for the Linder - Franidin Road Intersedion
was based on the assumptions iderriified above as the "worst case' scenario for
the irrtersedion.
The capacity of an AIFWay Stop-Controlled ~tarsection is measured by the
average stop delay per vehicle on the main approaches. The critical question in
this case is: iNhat is the delay e~erlenced at the Linder - Franldin Road
bdersedbn at the PM Peak Hour for westbound traffic on FrankAn Road?
PM Peak Hour traffic has been found to be the critical period ~ areawide
traffic studies. At this intersection Frenklin Road is considered to be the main
road, and Linder is the secondary road.
Based upon the analysis that follows it was determined that the Linder -
Franldin Road Intersection would operate at a Level of Service 'C' with a buildout
of up to 200 lots in the Landing Subdivision, plus the natural growth in traffic
anticipated on the road system through the year 2000. M LOS-C rating indicates
that the intersection would operate within acceptable standards. Therefore, it can
be said that the capacity e>asts on the current road system to accommodate the
200 additional lots in the Landing Subdivision wRhout roconstruding Franklin Road
or connecting to Wartman Lane.

subdivision called "The Landing" at a portion of the west half of
section 13, township 3 north, range 1 west, Boise P•teridian,
Meridian City, Ada County, Idaho. ide wish to express here our
concern that this said sub-division does not in any way .affect the
delivery of our irrigation systems or our ditch rigttts. 47e will
need to have proper drainage of our irrigation ditch installed so
that it connects to an existing drainage ditch. Currently our
ditch appears to go through an alfalfa field, the proposed site
for the subdivision, and might involve the plans for proposed
phases four, five and six.

Turnbull: Basically RCHD has requested that Waltman Lane be
abandoned and realigned further to the north. We have provided a
stub out to the location that they have requested, they will take
it from that point it becomes their responsibility. Secondly we
have provided other stub outs farther to the south on both the
east and the west. There's been a restriction placed on how many
units can be developed before we actually connect emergency
access to the present Waltman Lane for fire department access and
there is a further restriction on how many units can be developed
until we provide another access to the west.

Giesler: Eng. Smith do we have a time frame on a signal at
Linder Rd. and Franklin?
Eng. Smith: There's no time frame on the signalization at that
intersection.

Fors: At a previous meeting I requested a fence be built between
the subdivision and my business, as of yet this hasn't been done
and it was agreed to. I would like to know from any of you
whether its going to be done or not.
Kingsford: I'm sure that if he agreed to it and it is in the
minutes that it will be done. Anyone else to testify?
Kathryn Townley, 521 Waltman Lane, was sworn 6y the attorney.
Townley: You've mentioned Waltman Lane, does that mean it's
still a possibility that in fifteen years that it would be access
to the subdivision?
Kingsford: I don't think they have arrived at what they are
going to adopt as far as that intersection. Thank you. Anyone

Mike Swenson, 815 Waltman Lane, was sworn by the attorney.
Swenson: Basically we have one concern and that is our
irrigation rights come from the east side of that property which
is .our main source of water for irrigating. We do have the water
rights as far as we know.

Swenson: Yes.
Kingsford: I'm sure that if you have water rights it's unlawful
to separate the land from the water so those would have to be
honored. Thank you. Anyone else to testify?
Matt Lorcher, 740 Waltman Lane, was sworn by the attorney.
Lorcher: We've got property bordering this subdivision and I see
on the new plat he's got a future access road dead ending on our
property line. I was wanting to know what that is going to do
later on down the road? If the County later on might say well we
need your farm land to put a road through here and condemn it or
anything like that.
Kingsford: That's certainly a possibility. We don't want to
land-lock you so you couldn't subdivide that if that was your
desire and that would grant access to it. Your certainly right
that if the Highway District were to decide that they needed
access they would have to pay what the prevailing price was but
they could in fact use that.
Fars: Basically I will be landlocked with this subdivision.
Kingsford: You have access currently onto Linder don't you?,
Fors: Yes.
Dave Turnbull: Your absolutely correct on the water rights we
can't separate them from their water rights. This property is
zoned R-4 and we spent the last six months trying to design it to
everybody's satisfaction. We have thrown a park into the project
and our lots are of substantial size. We've done everything we
can to resolve the traffic issue.
Kingsford: Thank you. Anyone else to testify? No response. I

Corrie: I have a question for the Engineer. On your memorandum
there was a question about building without a second access. On
August 5th we have a copy of the revised one and a copy of ACHD
approval. Has that been corrected?

Dave Turnbull: These houses will be built in phases, not all at
one time. We were going to offer was that the Council approve
the project to proceed with the next two phases, being 27 lots in
phase four and 30 lots in phase five and then based on the City's
satisfaction with RCHD's commitment to adequately address the
Franklin and Linder intersection. Secondly if ACHD wasn't able
to address the concerns of the Council on the intersection, the
owners would consider funding the costs for signalizatian of that
intersection based upon the current intersection to be reimbursed
by ACHD through impact fees.
Kingsford: I'd suggest we do schedule a meeting with ACHD and
see if we can hit a remedy.
Turnbull: When's the next Council meeting?
Kingsford: October 6th.
Turnbull: That's to late for us.
Kingsford: We can't do anything now since we've already tabled
this.
ITEM #il: DEPARTMENT REPORTS:
Jim Shearer: We had the bid opening on Friday for the parking
lot. We received four bids this time. The low bid was
519,612.00, in that original plan we had some railroad ties to
build up a retaining wall along Meridian Street. We bid as an
add alternate to put concrete curb instead of the railroad ties
in and that low bid for alternate #i was 51,449.00. We put in
the full width sidewalk, brick strip and a new apron on Idaho
Street. We put that in as an add alternate and that portion come
in at 53,668.00 and our low bid if you took both alternates comes
out to be 524,729.00. I would recommend that you award to the
low bidder who is Rountree Company hoth the base bid and both
alternates.
Kingsford: It is my recommendation that this be awarded to the
low bidder.

the bid to the Rountree Company for 524,729.00.

Clerk Niemann: It's a permanent easement.
Kingsford: In Mr. Mitchell's letter it spoke of parking behind the unit, is that stil
your plan?
Olsen: No.
Kingsford: That has changed?
Olsen: Yes, it has.
Kingsford: How do you plan to deal with the power poles and that sort of thing?
Olsen: It was all marked on the proposed site plan.
Giesler: I don't believe ACHD's comments were in for P & Z, do you have any problems
with those comments?

Fors: I haven't seen the final plat on this phase. The one concern that I have is
the traffic pattern, they will have to come out onto Linder Road.

There isn't any reason not to punch it out onto Waltman Lane and enhance into Meridian
Road, which I think in the future will be done anyhow. A little respect for the neighborhood
is in good consideration. Also I do have a business that adjoins this on the south,
I would like to see a fence put in along the property line.
Nick Hallett, 7500 Hidden Valley Drive, was sworn by the attorney.
Hallett: Is this for 89 homes? I am here representing Meridian School District and
we've not become-very involved in opposing growth. The School District recognizes that
we need economic development, a good economy for our economony and our school district
both. There comes a point and time that we have to address the overcrowding needs
in our school district. Explained overcrowding in schools at Meridian now. We've reached
a point where we have to oppose residential growth in our school district unless we
can get a pledge from officials responsible for growth. We need your support.
Kingsford: What your asking for is basically support for bond issue and support for
development fees. What has happened with the issue of Lottery money and the possibility
of using that as a 50/50 match in a bond issue.
Hallett: We intend to use the proceeds from the lottery fund for this coming year and
the next year to help us meet the demands in that bond issue. If we could use a combination
of all three the development fee, the lottery and the bond issue it would help.
We need support going into that.
Tolsma: Would your development fee be similar to the one that ACRD is proposing?
Hallett: Basically what we are proposing is just 38 of construction value of residential
homes.
Kingsford: Thank you, those are concerns that we all share. Anyone else from the public
who wishes to testify?
Dan Battazzo, 3076 Gretchen Way, was sworn by the attorney.
Battazzo: I am here to support Dr. Hallett in the things that he just expressed to
you.
Luther Hartshorn, 465 Linder Rd., was sworn by the attorney.
Hartshorn: At the SW corner of this development there is one lot that faces onto Linder
Road and that piece of property isn't really like the rest of the development. That
piece of property ought to be taken and used for square footage for a burin or some sort
of green belt thing along the sidewalk. At Franklin & Linder Road that intersection
already needs to have a stop light. We increased housing we are going to need to sort
of traffic regulation.
Robin Frazier, 3301 Kingswood Way, Boise, was sworn by the attorney.
Frazier: Voiced concerns about classsroom overcrowding. I would like to see no more
growth in our school district until we get some schools on line.

north with fencing abutting Linder Road and the other one having their front yard
there.

Crookston: Your comments about the burin along the interstate. We have had problems
in Crestwood Estates with, there was initially a desire to have a burin with a six
foot fence on top of the berm and that was not allowed, so you should be aware of this.
Johnson: May request a fence on top of the burin along the interstate.
Crookston: Excuse me that's what I meant, along the interstate.
Ted Johnson, 5330 Farrow St., Boise, was sworn by the Attorney.
Johnson: I am the developer of this project. I have been in land development for
23 years in Boise. We want to bring a good quality project to Meridian, we think
that this location is ideally suited for this. We plan to do slot with trees and
planting of shrubs, we do think alot of noise and traffic sound.
Hepper: What was the size of the homes.
Johnson: Most of them will be 1400 to 1500 sq. ft.
Hepper: You will probably_be going 1300 or. more.
Johnson: The lots are quite large and they would lend themselves to the larger homes.

Rittmueller: I have nothing against the subdivision, I'd like to raise a few issues
for you folks to consider. I currently live very close to Clover Creek. It's a
real nice subdivision, one of the things i would concern myself with before we put
in a subidivision like this especially with the number of potential h_omes..aad things - ___.
like that is the ability to address traffic issues--up front and make some adjustments
to intersections, traffic lights, etc. before it all happens. Along with that would
be some ideas for providing-schools &-parks. Another tfiing, hov are we going to ___ _.__

Atty. Crookston: I think it would be appropriate to table this
item, give the applicant an opportunity to decide whether or not
they want to go forward with it. Hy going forward would mean
either they apply for a rezone and that particular rezone in
essence could catch up to the conditional use application at the
point where they are at the same level before this body and the
Planning and Zoning Commission could make recommendations on both
items and have them processed to the Council at the same level.

Grow: I'm here this evening on behalf of the applicant who was
unable to meet this public hearing. I will address any concerns
or thoughts that the Commission might have. I understand that
the biggest issue has to do with traffic and extending the
development through to Waltman Lane. The applicant has asked
that the Commission consider allowing the applicant to go forward
with the condition that they will work together with Ada County
Highway District to resolve that access to Waltman Lane.

Rountree: Have you seen the latest comments from ACRD?
Grow: No I haven't.
Rountree: They specifically address the issue of Waltman Lane.
They are recommending that it not be allowed. Read comments from
Ada County Highway District. A) Terminate Waltman Lane at the

Both of these applicants present serious access and circulation problems.
We request that the applications be deferred until these problems can be
satisfactorily resolved.
1. The Landings.
ACHD staff has requested the applicant to redesign and resubmit the
preliminary plat altered to do the following:
a. Terminate Waltman Lane at the east boundary of the subdivision.
Pedestrian and emergency access may be provided between Waltman
Lane and the subdivision interior.
b. Stub out a new collector street to the north or east near the north-
east corner of the subdivision. Much of the property northeaster-
ly of this location is still undeveloped and the collector will be
extended out to Franklin or Meridian Roads as the property devel-
ops.
c. Provide a collector street out to the west project boundary near
the mid-section line. No direct lot access to this street will be
allowed .
2. Day Care Center at Cherry Lane and NW 11th.
This proposal presents some serious circulation and safety problems.
a. Because of the shape of the property, the applicant is proposing a
circle drive in/out on Cherry Lane which ordinarily would be good
to avoid vehicles having to back out onto Cherry Lane. However,
in this case, the eastern access point is only a few feet from the
NW 11th Street intersection, causing a serious conflict between
vehicles turning into the day care and vehicles entering Cherry
Lane from NW 11th Street.

Dear Councilmen:
I have just reviewed the preliminary plans for The Landing #3.
This planned development will accelerate the need for Joint
School District No. 2 to construct additional classrooms and/or
to adjust school attendance boundaries. Meridian Schools do not
have excess capacity. Nearly every school in the district is
beyond capacity.
The Meridian School District supports economic growth for Idaho
and specifically the district's area, but such growth produces a
need for additional school construction. We ask for a
development fee statute on new home construction or a real estate
transfer fee to help offset the costs of building additional
school facilities. We require support for these revenue sources
from developers and other interests seeking planning and zoning
approval for residential projects. If this support is lacking
then we ask that additional residential development be denied.
School bus service may be restricted if adequate turnarounds and
loading areas are not provided.
Residents cannot be assured of attending the neighborhood school
as it may be necessary to~bus students to available classrooms
across the district.
We ask that you assure the developer will provide walkways, bike
paths and safe pedestrian access.

I have reviewed this submittal and•have the following comments
for your consideration as conditions of the applicant during the
hearing process.
1. Some lots need to be reviewed for building area or lot size.
a. Size: Lat 25 - Block B; Lot 28 - Block 1;
b. Building Area: Lot 20 - Block 7; Lot 70 - Block 5;
Lot 9 - Block 13; Lot 56 - Block 5.
2. Block 5 is interrupted by Waltman Street therefore block
numbers and lot numbers need to be revised.
3. A temporary turnaround needs to be shown at the west end of
Waltman Street.
Is Waltman Street to be considered a collector as our
transportation plan states? If so, should right of ,way be
60 feet?
4. Fire hydrant and street light locations need to be moved a
little.. The new locations will be forwarded to Johnson
Engineering.
5. Any and all irrigation or drainage ditches passing through
this subdivision shall be piped, with material acceptable to
the users or maintaining agency, with clean-out structures
at maximum 300 foot intervals and grated inlet structure.
6. The 15' wide access between Lots 46/47 - Block 1 shall be an
all-weather gravel surface, fenced on both sides.
THE LANDING SUBDIVISION NO. 2 - PRELIMINARY PLAT
7. What is the water source for the pressure irrigation system?
8. All street names shall he shown in accordance with the Rda
County Street Name Committee.
9. The secondary access to this subdivision continues to be a
question that has not been answered. Providing stub roads
is all well and goad but, actual traffic flow does not take
place until the roadways are built and connected.
Terry Little @ ACHD said this subdivision cannot build out
without the second access. The point where one access can
satisfactorily serve must be established and no development
should proceed beyond that without access No. 2.
10. Similarly to the access question, water flow to this
subdivision needs to be analyzed for domestic use and fire
flow. It is expected that an additional tie to our water
system will be necessary.

project.. An emergency access/pedestrian/bike way

Terry Little and I met with Ted Johnson, Mike Tanner, and Roy
Johnson on July 28, 1992 and agreed to the following:
1. Waltman Lane will not be extended to serve this
project. An emergency access/pedestrian/bike way
will be extended from Waltman into the project.
2. A collector standard street (60' right-of-way; 41'
back-to-back) will be extended out to the east
property boundary from S. Loon Ave. at least 125'
north of W. Pintail Drive. No lot access to this
street will be allowed.
3. W. Waltman Lane will be extended to the west
property boundary as a local street standard. Lot
access will be allowed. It will eventually extend
west to Linder Road when the intervening property
is developed.
4. Counting from the intersection of S. Canvasback
Ave. and W. Pintail Drive, 100 lots may be
developed prior to the emergency access connection
to Waltman Lane is made.
5. Counting from the intersection of S. Canvasback
Ave, and W. Pintail Drive, 200 lots may be
developed prior to the construction of another
street connection to Linder, Franklin, or Meridian
Roads.

NOTICE OF HEARING
NOTICE IS HEREBY GIVEN pursuant to the Ordinances of the City
of Meridian and the laws of the State of Idaho, that the Planning
and Zoning Commission of the City of Meridian will hold a public
hearing at the Meridian City Hall, 33 East Idaho Street, Meridian,
Idaho, at the hour of 7:30 o'clock p.m. on July 14, 1992, for the
purpose of reviewing and considering the Application of SKYLINE
DEVELOPMENT, INC., for the preliminary plat of a portion of the
West 1/2 of Section 13, Township 3 North, Range 1 West, Boise
Meridian, Ada County, Idaho, which property contains 82.65 acres
and is generally located on the East side of Linder Road south of

Company a quasi municipal corporation of the State of Idaho,

IT IS AGREED:
and accompanying appurtenances as shown on the included draw-
ings.
2. DEVELOPER shall pay all costs for all materials, labor,
equipment and related expenses necessary to complete the improve-
ments described in Paragraph 1 of this agreement. DEVELOPER
covenants to pay for and be solely responsible for all liens,
encumbrances, assessments and unpaid obligations resulting from
and relating to said improvements. All improvements shall be
completed within one year from the date of this agreement.
3. DEVELOPER covenants that all improvements described in
Paragraph 1 of this Agreement shall be completed:
a. in compliance with State codes;
b. in accordance with the drawings and specifications
on file with the COMPANY, if any.
c. in a manner acceptable to the COMPANY
4. Prior to the construction or installation of any on-site
improvements, DEVELOPER shall deposit with the COMPANY a surety
bond equaling one hundred and ten percent (1108) of the estimated
construction and engineering costs to ensure prompt and faithful
performance of this Agreement. For purposes of this Agreement,
one hundred and ten percent (1108) of the estimated construction
and engineering costs amount to Five thousand and no /100
($5000.00). Whenever DEVELOPER shall be, and is declared by the
COMPANY to be in default of this Agreement, the Surety may
remedy the default or shall complete this Agreement in accordance
with its terms and conditions or obtain a bid or bids for submis-
sion to the COMPANY for completing this Agreement in accordance
with its terms and conditions and, upon determination by the
COMPANY and Surety of the lowest responsible bidder, arrange for
a contract with such bidder and the COMPANY and make available
as work progresses, sufficient funds to pay the cost of comple-
tion of the improvements described in Paragraph 1 of this Agree-
