SECTION 3. PRESIDENT. The President shall be the chief executive officer and general
manager of this corporation and shall have charge of the conduct of this corporation's regular
business and affairs. The President shall submit a report of acts and business of this corporation
to each regular meeting of the Board and shall perform all such other duties and make all such
other reports as may from time to time be required by the Board and Executive Committee.
SECTION 4. TREASURER. The Treasurer shall perform such duties as may from time to
time be assigned by the Board.
SECTION 5. SECRETARY. The Secretary shall keep a full and complete record of the
proceedings of the Board; keep the seal, if any,of this corporation and affix the same to any
instruments executed by the officers of this Auto Club which may require it; make a report to
this Auto Club at the annual meeting of the Board and perform generally such other duties as
may from time to time be assigned by the Board.
ARTICLE VIII
EXPENDITURES AND CONTRACTS
SECTION 1. CONTRACTS. The Board may, except as otherwise provided in these Bylaws,
authorize any officer or agent of this Auto Club to enter into any contract or execute any
instrument in the name of and on behalf of this Auto Club. Such authority may be general or
confined to specific instances. Unless so authorized by the Board, or unless inherent in the
authority vested in the office under the provisions of these Bylaws, no officer, agent or employee
of this corporation other than the Chairperson or the President will have any power or authority
to bind this corporation by any contract. The President will have the authority to execute
contracts on behalf of this Auto Club without specific authorization of the Board, provided that
such contracts are within the authority granted in general resolutions and policies approved by
the Board.
SECTION 2. NO BORROWING ON PAPER. No funds shall be borrowed on this Auto
Club's paper unless authorized by the Board.
ARTICLE IX
ENFORCEMENT OF RULES
The President and such additional officers as the President shall designate, shall have the
authority to establish and enforce rules and regulations of this Auto Club and to expel any
member, or terminate or suspend a person's membership, for violation of such rules and
regulations.
