GRANT OF ACCESS AND UTILITIES EASEMENTS
This Grant of Access and Utilities Easements (collectively, the "Easements" or
singularly the"Easement") is made as of the day of 2022, by and
between Paramount Owners Association, Inc., an Idaho non-profit corporation
("Grantor"), and 2 North Homes, LLC, an Idaho limited liability company ("Grantee").
W I T N E S S ET H:
For good and sufficient consideration, it is agreed:
Section 1. Recitals.
1.1 Grantor owns that certain real property located in Ada County, Idaho, which
is more particularly described on Exhibit 'A' attached hereto and made a part hereof
('Grantor's Property"). Grantee owns a parcel of real property adjacent to Grantor's
Property which is more particularly described on Exhibit attached hereto and made a
part hereof("Grantee's Property").
1.2 Grantee desires a non-exclusive easement for ingress, egress and access
by vehicular, pedestrian and other motorized and unmotorized traffic over and across that
portion of Grantor's Property legally described and depicted in Exhibit 'C' attached hereto
and made a part hereof("Easement Area") for purposes of access, ingress and egress to
and from Grantee's Property.
1.3 Grantee also desires a non-exclusive easement within the Easement Area
for the installation, continued operation, maintenance, repair, alteration, inspection and/or
replacement of all underground utilities necessary and appropriate for the development of
Grantee's Property.

Section 2. Grant of Easements.
2.1 For good and valuable consideration,the receipt and sufficiency of which are
acknowledged, Grantor hereby grants to Grantee the following non-exclusive easements
across the Easement Area:
a. An easement for ingress, egress and access to and from Grantee's
Property and each lot within Grantee's Property by vehicular, pedestrian
and other motorized and unmotorized traffic; and
b. An easement for the installation, continued operation, maintenance,
repair, alteration, inspection and/or replacement of all underground
utilities necessary and appropriate for the development of Grantee's
Properly (and all lots within Grantee's Property) including without
limitation water, sewer, electric, gas, cable, internet, storm drain, and
irrigation facilities. Grantee is also granted the perpetual right of ingress,
and egress over Grantor's Property adjacent to the Easement Area as
necessary for Grantee's exercise of its Easement rights hereunder.
The parties acknowledge and agree that the easements granted hereunder are to serve the
lots platted and developed on Grantee's Property and may be used and enjoyed by all
owners, guests, contractors, subcontractors, invitees, tenants and other users of said lots.
2.2 No structures, fences or other improvements or obstructions are to be
constructed or permitted to exist in the Easement Area without both parties' prior written
consent. In the event that Grantee disturbs any of Grantor's land or improvements in
connection with the exercise of its rights hereunder, Grantee shall restore the land or
improvements affected thereby substantially to the condition existing prior to the time of
such disturbance.
Section 3. Compliance with Laws. Grantee shall comply with all federal, state,
county, and municipal laws, ordinances, and/or regulations now or hereinafter in effect from
time to time and shall obtain all necessary permits or licenses which are applicable to
Grantee's use of the Easement Area.
Section 4. Maintenance of Easement Area. Grantor shall at all times maintain,
repair and replace the surface of the Easement Area as necessary to keep it at all times in
good and safe condition at Grantors sole expense; however, Grantor shall not disturb any
of Grantee's facilities within the Easement Area and shall notify Grantee in writing of any
work Grantor plans to undertake within the Easement Area.
Section S. Covenants Run with the Land. These Easements shall be a burden upon
the Grantor's Property and shall be appurtenant to and for the benefit of Grantee's Property
and all lots within Grantee's Property and shall run with the land.
Section 6. Attorneys' Fees and Costs. In any suit, action or appeal therefrom to
enforce or interpret this Easement, the prevailing party shall be entitled to recover its costs
incurred therein, including reasonable attorneys'fees.

Section 7. Successors and Assigns. These Easements and the covenants and
agreements made herein shall inure to the benefit of, and be binding upon, Grantor and
Grantee, and their successors and assigns.
Section 8. Notices. All notices given pursuant to this Easement shall be in writing and
shall be given by personal delivery, by United States Mail Certified, Return Receipt
Requested, or other established express delivery service (such as Federal Express),
postage or delivery charge prepaid, addressed to the appropriate party at the address set
forth below.
