I am the sole member of East River Valley Street, LLC ("ERVS"), an Idaho limited liability company. 2. ERVS is the record owner of the property described in the true and accurate Warranty Deed attached hereto and incorporated herein as Exhibit A (the "Property"). 3. ERVS is aware of, and supportive of, GFI—Meridian Investments LLC's ("GFI") efforts to make application to the City of Meridian and the Idaho Transportation Department seeking approvals that would include the construction of: (1) a direct access onto State Highway 55 generally in the location depicted on the draft preliminary plat attached hereto and incorporated herein as Exhibit B; and (2) an access from the existing parking lot on the Property headed north across the Property to the GFI-owned property as also depicted on the draft preliminary plat. 4. ERVS is, and will continue to, cooperate with GFI to make any dedications and/or grant any easements and/or licenses necessary to facilitate the construction and direct access onto State Highway 55 and the access from the parking lot on the Property headed north across the Property to the GFI-owned property depicted on the draft preliminary plat. 5. ERVS agrees to indemnify, defend and hold the City of Meridian and its employees harmless from any claim or liability resulting from any dispute as to the statements contained herein or as to the ownership of the Property which is the subject of this affidavit. 6. ERVS hereby grants permission to City of Meridian staff to enter into only that portion of the Property needed for access to the GFI-owned property and connectivity from the Property north to State Highway 55, which areas are depicted on Exhibit B (collectively, the "Inspection Areas"), for the purpose of site inspections related to processing said application(s).
