FOR VALUE RECEIVED, the receipt and sufficiency of which is hereby acknowledged,
Mary Kay Cope, an unmarried woman, and Reynold Ray Ragsdale, as the personal representative
of the estate of Dwayne Barton Cope, who acquired title as Dwayne B. Cope (collectively,
"Grantor"), hereby grant, bargain, sell, and convey unto GRH Meridian I-84 LLC, an Idaho limited
liability company, whose current address is 855 W. Broad St., Ste. 300, Boise, Idaho 83702
("Grantee"), the following described real property, located in Ada County, Idaho (the "Premises"):
See Exhibit A attached hereto and incorporated herein by this reference.
TOGETHER WITH all right, title, and interest in and to all rights, easements, tenements,
privileges, improvements, fixtures, licenses, permits, personal property, intangible property, and
appurtenances thereto, including all water rights and ditch or irrigation company shares associated
therewith; streets, alleys and rights of way adjacent thereto; all mineral rights appurtenant thereto;
the reversion and reversions, remainder and remainders, rents, issues, and profits thereof; and all
estate, right, title, and interest in and to the Premises, as well in law as in equity.
TO HAVE AND TO HOLD the Premises with its appurtenances unto Grantee, its
successors, heirs, and assigns, forever.
AND Grantor does hereby covenant to and with Grantee that Grantor is the owner of the
Premises in fee simple and that the Premises is free from all liens, claims, or encumbrances, except
real property taxes and assessments for the current year that are not yet due and payable. Grantor
hereby covenants to and with Grantee and its successors, heirs and assigns that Grantor shall
warrant and defend the same from all lawful claims whatsoever.
