RECITALS
WHEREAS, Landlord and Tenant are the current parties under that certain Site Lease with
Option dated as of May 28, 2004, with a commencement date of November 15, 2004, as
supplemented by that certain Addendum to Site Lease with Option, originally by and between
VoiceStream PCS II Corporation, a Delaware corporation ("Voice Stream"), as tenant, and
Landlord, as landlord (the "Lease");
WHEREAS, Tenant is the successor in interest under the Lease to VoiceStream;
WHEREAS, the parties have modified the terms of the Lease by that certain First
Amendment to Site Lease with Option dated the same date as this Memorandum, by and between
Landlord and Tenant, and wish to provide record notice of the existence of the Lease as amended
thereby (hereafter, the Lease is referred to as the "Amended Lease") and the status of certain rights
and interests thereunder through the recording of this Memorandum in the Public Records of Ada
County, Idaho; and

WHEREAS, the Amended Lease pertains to certain real property leased to Tenant,
together with access and utility easements granted to Tenant, more particularly described in the
Amended Lease (the "Leased Premises"), located on a portion of Landlord's property that is more
particularly described on Exhibit "A" attached hereto and incorporated by this reference
("Landlord's Property").
OPERATIVE PROVISIONS
NOW, THEREFORE, for good and valuable consideration, the receipt and sufficiency of
which is hereby acknowledged, Landlord and Tenant hereby agree as follows:
1. The recitals hereinabove are true and correct and are incorporated herein by this reference.
2. Landlord hereby acknowledges, ratifies, and confirms Tenant's interest in and to the
Amended Lease.
3. The terms and provisions of the Amended Lease are hereby restated and incorporated
herein by this reference.
4. The Amended Lease provides that the initial term of the Amended Lease is five (5) years,
commencing on November 15, 2004, with eleven (11) renewal terms of five (5) years each
thereafter. The term of the Amended Lease, including all renewal terms, if exercised, will
expire on November 14, 2064.
5. The Amended Lease pertains to a portion of that certain real property described on Exhibit
"A" attached hereto. A description of the Leased Premises, together with the access and
utility easements granted to Tenant, may be attached hereto as Exhibit `B".
6. The parties consent to the recording of this Memorandum in the public records of the
county in which the Leased Premises is situated, and agree that this Memorandum shall be
executed in recordable form.
7. This Memorandum may be executed in counterparts, each of which shall constitute an
original instrument.

1. Sundance Investments Limited Partnership and VoiceStream PCS II Corporation
("Original T-Mobile Tenant") entered into that certain Site Lease With Option dated May 28,
2004, for certain real property as described on Exhibit A attached hereto and incorporated herein
by reference (the "Land").
2. T-Mobile Lessor and Crown are parties to (a) a Master Prepaid Lease (the "MPL")
and (b) a Management Agreement (the "MA"), each with an effective date of November 30,
2012, pursuant to which T-Mobile Lessor (as successor to Original T-Mobile Tenant) has
granted to Crown and Crown has accepted, either (y) a leasehold or sub -leasehold interest in the
Land, together with the telecommunications tower located thereon, and such other improvements
as more fully set forth in the MPL or the MA, as applicable (collectively, the "Site"), or (z) an
exclusive right to operate, manage and administer the Site, in either case, subject to the terms,
conditions and reservations in the MPL or the MA, as applicable.
3. The MPL and the MA each have a term that commenced on November 30, 2012 and
shall terminate or expire, with respect to the Site, on the Site Expiration Date or Technical
Closing Date, as applicable, and as determined in accordance with the MPL and the MA, but in
no event later than December 31, 2049.
4. Crown has an option to purchase T-Mobile Lessor's right, title and interest in the Site
in accordance with Section 20 of the MPL.

MEMORANDUM OF LEASE
This Memorandum of Lease is entered into on this day of JUL 3 1 2007 , 200,
by and between T-Mobile West Corporation, a Delaware Corporation, with an office at 2601 W.
Broadway Rd., Tempe, AZ 85282 (hereinafter referred to as "LESSOR") and Boise City MSA
Limited Partnership d/b/a Verizon Wireless, with an office at One Verizon Way, Basking Ridge,
New Jersey 07920 (hereinafter referred to as "LESSEE). !mil 4+0woo
LESSOR and LESSEE entered into a Lease Supplement on the day of
JUL 3 1 2007 20_, for the purpose of installing, operating and maintaining a radio
communications facility and other improvements. All of the foregoing are set forth in the Lease
Supplement.
2. The term of the Lease Supplement is for five (5) years commencing on
