Box 2720 Boise, ID 83701 ACCESS EASEMENT AGREEMENT This Access Easement Agreement("Agreement")is made this Kp day of January 2006, by GE, LLC, an Idaho limited liability company("GELLC"), whose address is 1908 Jennie Lee Drive, Idaho Falls, Idaho 83404 ("GELLC"), Sundance Subdivision Owners' Association, Inc., an Idaho non-profit corporation, whose address is 6223 N. Discovery Way, Suite 120, Boise, Idaho 83713 ("Sundance"), and Gary L. Voigt and Eric C. Guanell, as tenants in common, whose address is 1908 Jennie Lee Drive, Idaho Falls, Idaho 83404 (collectively "Voigt"). RECITALS A. GELLC is the owner of Lots 21, 22, 25 and 26, Block 7, Sundance Subdivision No. #2, according to the official plat thereof, filed in Book 88 of Plats at Pages 10,025 through 10,026, records of Ada County, Idaho (the "Plat"). Lots 21, 22, 25 and 26, Block 7 of the Plat shall be referred to herein as the "GELLC Property." B. Sundance is the owner of Lots 20 and 24, Block 7 of the Plat (hereinafter the "Sundance Property"). C. Voigt is the owner of Lot 19, Block 7 of the Plat (hereinafter the "Voigt Property"). D. GELLC desires to further subdivide the GELLC Property for the purpose of creating a commercial center. E. GELLC desires to obtain from Sundance and Sundance desires to grant to GELLC a twenty foot (20')wide, non-exclusive access easement on, over, across and through that certain portion of Lot 20, Block 7 of the Plat, legally described and graphically depicted on Exhibit A, attached hereto and incorporated herein by this reference (the "Sundance Easement Parcel #1"), for the purpose of vehicular and pedestrian ingress and egress to and from N. Meridian Road and the GELLC Property. F. GELLC further desires to obtain from Sundance and Sundance desires to grant to GELLC a twenty foot(20')wide, non-exclusive access easement on, over, across and through that certain portion of Lot 24, Block 7 of the Plat, legally described and graphically depicted on Exhibit B, ACCESS EASEMENT-1 S:\CLIENTS\6976\1\Sundance Access Easement Final.DOC attached hereto and incorporated herein by this reference (the "Sundance Easement Parcel#2"), for the purpose of vehicular and pedestrian ingress and egress to and from E. Ustick Road and the GELLC Property. G. GELLC desires to obtain from Voigt and Voigt desires to grant to GELLC a twenty foot(20')wide, non-exclusive access easement on, over, across and through that certain portion of the Voigt Property, legally described and graphically depicted on Exhibit C, attached hereto and incorporated herein by this reference (the "Voigt Easement Parcel"), for the purpose of vehicular and pedestrian ingress and egress to and from N. Meridian Road and the GELLC Property. NOW THEREFORE, in consideration of the above recitals which are incorporated herein by this reference, the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows: 1. GRANT OF EASEMENT. 1.1 Sundance hereby establishes, declares, grants and creates, subject to the terms contained herein, a twenty foot (20') wide, non-exclusive access easement on, over and across the Sundance Easement Parcel#1 for access to and for the benefit of the GELLC Property (the "Sundance Access Easement#1"). 1.2 Sundance hereby establishes, declares, grants and creates, subject to the terms contained herein, a twenty foot (20') wide, non-exclusive access easement on, over and across the Sundance Easement Parcel#2 for access to and for the benefit of the GELLC Property (the "Sundance Access Easement#2"). The Sundance Access Easement#1 and the Sundance Access Easement#2 may be collectively referred to herein as the "Sundance Access Easement." 1.3 Voigt hereby establishes, declares,grants and creates, subject to the terms contained herein, a twenty foot(20')wide, non-exclusive access easement on,over and across the Voigt Easement Parcel for access to and for the benefit of the GELLC Property(the"Voigt Access Easement"). The Sundance Access Easement and the Voigt Access Easement may be collectively referred to herein as the "Access Easement." 2. PURPOSE AND USE OF EASEMENT. The Access Easement granted herein shall be used for the purpose of vehicular and pedestrian ingress and egress on, over, across and under the Sundance Easement Parcel#1 and the Voigt Easement Parcel to and from N. Meridian Road and the GELLC Property, and on, over, across and under the Sundance Easement Parcel#2 to and from E. Ustick Road and the GELLC Property, all in accordance with the terms and conditions set forth below, including the right to construct, replace, repair and maintain entrance drives, constructed in accordance with all applicable standards of all governmental or quasi-governmental agencies with jurisdiction thereof. Sundance and Voigt shall not be permitted to grant any rights inconsistent with the rights granted hereunder or to use the Sundance Easement Parcel #1, Sundance Easement Parcel #2 or the Voigt Easement Parcel in any manner which would interfere with the rights granted hereunder. 3. EASEMENT IMPROVEMENTS AND MAINTENANCE. The owner of the GELLC Property shall construct, replace, repair and maintain entrance drives on the Sundance Easement Parcel #1, the Sundance Easement Parcel #2 in accordance with all applicable standards of all governmental or quasi-governmental agencies with jurisdiction thereof and in accordance with all applicable covenants governing the GELLC Property. ACCESS EASEMENT—2 S:\CLIENTS\6976\1\Sundance Access Easement Final.DOC 4. INSURANCE. During the existence of the Access Easement created hereunder,the owner of the GELLC Property, at such owner's sole cost and expense, shall maintain appropriate levels of coverage of public liability insurance insuring against all liability arising out of and in connection with the use of the Access Easement. 5. ASSIGNMENT. GELLC shall have the right to assign all of GELLC's rights and obligations under this Agreement,to any owners association formed for the purposes of governing, managing and maintaining the GELLC Property without the prior consent of the other Parties. 6. NOTICE. Any notice under this Agreement shall be in writing and be delivered in person or by public or private 24-hour overnight courier service (so long as such service provides written confirmation of delivery) (including U.S. Postal Service Express Mail) or by confirmed facsimile. Any notice given by facsimile shall be verified by electronic confirmation. All notices shall be addressed to the Parties at the addresses set forth above. Any notice shall be deemed to have been given on (a) actual delivery or refusal, (b) the day of delivery to the overnight courier, or(c)the day facsimile delivery is electronically confirmed. 7. MODIFICATION. This Agreement shall not be modified unless expressly agreed to in writing by the Parties hereto, their successors or assigns. 8. ENFORCEMENT. GELLC, their successors or assigns, shall have the power and authority to commence and maintain actions and/or suits to restrain and enjoin any breach or threatened breach of this Agreement, and to enforce by injunction or otherwise, all provisions hereof. 9. HEADINGS. The headings of the several sections contained herein are for convenience only and do not explain, define, limit, amplify, or aid in the interpretation, construction or meaning of the provisions of this Agreement. 10. RECITALS AND EXHIBITS. The recitals and exhibits contained herein are incorporated herein as if set forth in full herein. However, in the event of any conflict between such recitals and/or exhibits and the terms and conditions of this Agreement, this Agreement shall control. 11. TIME OF THE ESSENCE. All times provided for in this Agreement, or in any other document executed hereunder,for the performance of any act will be strictly construed,time being of the essence. 12. GOVERNING LAW. This Agreement shall be governed by the laws of the State of Idaho, and be performed in the State of Idaho. 13. BINDING EFFECT. All of the easements, covenants, conditions and declarations contained herein shall be a burden on those portions of the Sundance Property and the Voigt Property upon which the Access Easement is located,shall be appurtenant to and for the benefit of the GELLC Property, and shall run with the land. In the event of a breach hereunder by any party, the non-breaching parties shall have all remedies available at law or in equity, including injunctive or other equitable relief. In any suit, action or appeal therefrom to enforce or interpret this Agreement, the prevailing party shall be entitled to recover its costs incurred therein, including reasonable attorneys'fees and disbursements,and also including reasonable attorney's fees and costs associated with any appeal of a judgment. The prevailing party will be that party which was awarded judgment as a result of trial or arbitration, or which receives a payment of money from the other party in settlement of claims asserted by that party.
