SPECIAL WARRANTY DEED
FOR VALUE RECEIVED, LOUISIANA-PACIFIC CORPORATION, a Delaware
corporation ("Grantor"), does hereby grant, bargain, sell and convey to MERIDIAN
INVESTMENTS, LLC, an Idaho Limited Liability Company ("Grantee"), the real property in
Ada County, State of Idaho, described on Exhibit A attached hereto ("Property").
TO.HAVE AND TO HOLD the Property, together with all water and water rights, ditch
or irrigation company shares, streets, alleys and rights of way adjacent thereto, all mineral rights
appurtenant thereto, and all and singular the tenements, hereditaments, and appurtenances
thereunto belonging or in anywise appertaining, the reversion and reversions, remainder and
remainders, rents, issues, and profits thereof; and all estate, right, title, and interest in and to the
Property, as well in law as in equity unto the Grantee, its successors and assigns forever. Grantor
hereby covenants to and with Grantee that Grantor is the owner in fee simple of the Property;
that the Property is free of encumbrances except for the matters referred to on Exhibit B; and that
Grantor shall warrant and forever defend all and singular the Property unto the Grantee and
Grantee's successors, heirs and assigns, as the case may be, against every person whomsoever
lawfully claiming, or to claim the same, or any part thereof, by, through or under Grantor, but not
otherwise.
