THIS DEED, Made this Z~~a day of ,
1984, between UPLAND INDUSTRIES CORPORATION, a orporation
of the State of Nebraska, (hereafter "Grantor"), and
CITY OF MERIDIAN, a municipal corporation of the State
of Idaho, whose postal address is 728 Meridian Street,
Meridian, Idaho 83642, (hereafter "Grantee");
WITNESSETH, That Grantor, for and in considera-
tion of the sum of One Dollar ($1.00), to it paid by
Grantee, the receipt whereof is hereby confessed and
acknowledged, has granted, bargained, sold and conveyed,
and by these presents does grant, bargain, sell and convey
unto Grantee a PERPETUAL EASEMENT solely for utility
purposes, within, over and across the property of Grantor
situate in the City of Meridian, County of Ada, State
of Idaho, described in Exhibit A hereto attached and
hereby made a part hereof.
This deed is made subject to all outstanding
leases and other outstanding rights, including, but not
limited to, those for highways and other roadways and
rights of way for irrigation ditches, pipelines, pole
and wire lines and the right of renewals and extensions
of the same, and subject also to all conditions, limita-
tions, restrictions, encumbrances, reservations or inter-
ests of any person which may affect the said land, whether
recorded or unrecorded.
It is expressly made a condition of this
easement that if Grantee, its successors or assigns,
shall abandon the premises of Grantor in the location
described in Exhibit A, or any portion of said premises,
for the purposes of this easement, then and in that event

Northeast Quarter (NE4) of Section 8, Township 3 North, Range
1 East of the Boise Meridian, in the City of Meridian, Ada County,
Idaho, more particularly described as follows:
Beginning at a point on the west line of the Northeast
Quarter (NE4) of said Section 8, which point bears North 00 degrees
31 minutes 12 seconds East, 400.01 feet from the center of said
Section;
thence along said west line, North 00 degrees 31 minutes
12 seconds East, 66.00 feet;
thence South 89 degrees 54 minutes 19 seconds East,
570.24 feet to the beginning of a curve, concave northwesterly,
