OF
HIGH DESERT DEVELOPMENT LINDER VILLAGE, LLC
The undersigned, constituting all of the Members of High Desert Development Linder
Village, LLC, an Idaho limited liability company ("Company"), agree as follows:
The Members are currently the negotiating the terns of an operating agreement that will
govern the Members' relationships with each other as Members and with the Company, but have
not yet executed a final, binding agreement. In order to allow the Company to achieve its stated
goals and purposes, the Members have detennined that it is in the best interest of the Company to
delegate an agent to act on the Company's behalf.
THEREFORE, it is
RESOLVED, that Joe Huarte, acting for and on behalf of the Company, and as
Company's act and deed, is hereby authorized and empowered to execute and deliver any
documents and agreements on the Company's behalf, to otherwise act for the Company and
carry out its stated purposes, and to do or cause to be done any and all additional acts and things
that in his judgment may be necessary to carry out the foregoing resolutions and all action so
taken and all certificates, instruments, and other documents so executed and delivered are ratified
and approved in all respects; and
RESOLVED, that any acts authorized under this consent and performed before its
execution with respect to its content are hereby ratified, affirmed, and approved.
The effective date of this consent is ZJAY { S'- , 2020.
