FOR VALUE RECEIVED , the receipt and sufficiency of which is hereby acknowledged ,
Blue Spruce Land Company LLC, an Idaho limited liability company (hereinafter referred to as
the "Grantor"), hereby grants, bargains, sells , and conveys unto Evans Development LLC, an Idaho
limited liability company, whose current address is 7761 W. Riverside Drive Ste. 100, Garden City,
ID 83714 (hereinafter referred to as the "Grantees') all of Grantor's right title and interest in and to
the real property legally described on Exhibit A, attached hereto and incorporated herein by this
reference (hereinafter referred to as the "Premises") .
TOGETHER WITH all water and water rights, ditch or irrigation company shares , streets,
alleys and rights of way adjacent thereto , all development rights , air rights and mineral rights
appurtenant thereto , and all and singular the tenements , hereditaments , and appurtenances
thereunto belonging or in anywise appertaining , the reversion and reversions , remainder and
remainders, rents, issues, and profits thereof; and all estate , right, title , and interest in and to the
Premises, as well in law as in equity.
TO HAVE AND TO HOLD the Premises with its appurtenances , unto Grantee , its
successors, heirs and assigns, forever.
AND the Grantor for itself, its successors and assigns hereby covenants to and with the
Grantee , its successors and assigns , that Grantor is the owner in fee simple of the Premises, that
the Premises is free and clear from all liens , claims and encumbrances , except for (1) reservations
or restrictions in federal patents or state or railroad deeds or in laws providing for such patents or
deeds ; (ii ) building and zoning regulations and ordinances of any governmental entity; (iii) the lien
of real property taxes not yet due and payable ; and (Iv) all matters of record , and that Grantor will
warrant and defend the same forever from all other lawful claims whatsoever.
