Addendum no 3 to Hillsdale Park Transfer agreement regarding taxes and recording date 08 31 18ADDENDUM NO.3 TO AGREEMENT TO TRANSFER REAL PROPERTY (HILLSDALE PARK) THIS ADDENDUM TO THE ABOVE -CAPTIONED AGREEMENT is entered into this 31St day of August, 2018 by and between the City of Meridian, a municipal corporation organized, existing and authorized under Chapter 1, Title 50, Idaho Code ("City" or "Grantee") and the Young Men's Christian Association of Boise City, an Idaho Nonprofit Corporation, dba Treasure Valley Family YMCA. ("YMCA" or "Grantor"). RECITALS A. On the 13th day of December, 2016, City and YMCA entered into an Agreement to Transfer Real Property ("Agreement"). B. The Agreement provides that the YMCA will pay prorated real property taxes ("taxes") prior to closing. C. The amount of taxes due are unknown at this time, and the Parties desire to move forward to Closing upon making arrangements for payment of the taxes when the amount due becomes known. D. All other contingencies, commitments, and obligations in the Agreement have been satisfied and the parties desire to record the Grant Deed on August 31, 2018. NOW, THEREFORE, in consideration of foregoing recitals, which are made a part of this Addendum and not mere recitals, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Agreement shall be modified in the following particulars: Section 1.10 of the Agreement shall he amended as follows: 1.10 Prorated Taxes. Taxes assessed by Ada County on the Real Property, if any, shall be prorated and paid by Grantor for the period prior to Closing as of the last assessments. available be€ere-G—lesiflg. YMCA agrees to pay to the Ada County Assessor all applicable Rroperty taxes on the Real Property through the date of Closing at such time as the amount due can be determined, but no later than September 30, 2018, ALL OTHER TERMS OF THE AGREEMENT SHALL REMAIN THE SAME. Each party hereto represents and warrants that each person executing this ADDENDUM No. 3 on behalf of such party is, at the time of such execution, duly authorized to do, and is fully vested with the authority to bind such party in all respects.
