Pursuant to our Certificate of Zoning Compliance application for a stand-alone
Einstein's Oilery building located at 1805 W. Island Green.
The proposed project is located on parcel of land which is part of a larger
development at the Northwest corner of Linder and Chinden in the C -C zoning
district.
The project consists of a stand-alone, 3,092 square foot oil changing facility
consisting of metal panels and stucco. The site is part of larger development and as
such it will have cross access with the other parcels and also will have its own
access onto Island Green.

DECLARATION OF RESTRICTIONS,
GRANT OF EASEMENTS,
AND MAINTENANCE AGREEMENT
THIS SECOND AMENDMENT TO DECLARATION OF RESTRICTIONS,
GRANT OF EASEMENTS, AND MAINTENANCE AGREEMENT (this "Second
Amendment") is made as of the 21 day of November, 2016, by and between Chinden & Linder
Crossings, LLC, an Idaho limited liability company ("Declarant"), and PH Chinder, LLC, an
Idaho limited liability company ("PH Chinder").
RECITALS
A. Declarant entered into that certain Declaration of Restrictions, Grant of Easements,
and Maintenance Agreement dated July 22, 2015, and recorded August 6, 2015, as Instrument No.
2015-071585 in the Official Records of Ada County, Idaho, as amended by that certain First
Amendment Declaration of Restrictions, Grant of Easements, and Maintenance Agreement dated
and recorded April 11, 2016, as Instrument No. 2016-030014 in the Official Records of Ada
County, Idaho (the "Declaration"), covering certain real property located in the City of Meridian,
County of Ada, State of Idaho, as further described in the Declaration (the "Project").
B. Section 8.5 of the Declaration provides that the Declaration may not be amended
except by the written approval of the Consenting Owner and the Owners and Prime Lessees of the
Project containing not less than 70% of the total square footage of land contained within the
Project.
C. Declarant is the Consenting Owner and PH Chinder, as the Owner of Parcel 1, and
Declarant, as the Owner of all of the other Parcels, constitute all of the Owners within the Project.
D. Declarant and PH Chinder desire to amend the Declaration to reconfigure Parcels
3 and 4, among other things, as set forth in this Second Amendment.
AGREEMENT
NOW, THEREFORE, in consideration of the foregoing Recitals, the mutual covenants and
agreements contained in this First Amendment and other good and valuable consideration, the
parties amend the Declaration as follows:

1. Defined Terms. Any capitalized term not otherwise defined in this Second
Amendment shall have the same meaning as ascribed to such term in the Declaration.
2. Site Plan. The Site Plan attached as Exhibit A to the Declaration is deleted and the
Site Plan attached as Exhibit A to this Second Amendment is substituted therefore in all instances.
3. Parking Easement for Parcel 4. The Owner of Parcel 3, as grantor, hereby grants to
the Owner of Parcel 4 and its respective tenants, contractors, employees, agents, customers,
licensees, and invitees, and the subtenants, contractors, employees, agents, customers, licensees,
and invitees of such tenants, for the benefit of Parcel 4, as grantee, a nonexclusive easement for
vehicular parking upon, over, across that portion of the Common Area striped for vehicular
parking, as the same may be changed from time to time, located on Parcel 3, provided, however
that said use of vehicular parking shall only be used by grantees after 5:00 p.m., Monday through
Saturday, and all day Sunday.
4. Signs. Notwithstanding anything contrary set forth in Section 4.3 (Signs) of the
Declaration, the Owner of Parcel 3 shall be allowed to install free standing signage in the maximum
allowable size permitted by all appropriate governmental authorities. Except for the matters
specifically set forth above, the Declarant shall otherwise retain all rights of approval as set forth
in Section 4.3 of the Declaration.
Restrictions on Use. The following Sections 5.5 and 5.6 are hereby added to the
Declaration:
"5.5. Automotive Service Restriction. Other than Parcels 1, 2, and 3, in
no event shall any other portion of the Project be used for automotive service or
repairs, such uses including but not limited to oil changes, transmission services,
cooling system services, air conditioning services, power steering services, gear
box services, brakes, and shocks. Notwithstanding the foregoing, this restriction
shall not preclude an auto parts store or car wash with or without a polishing tunnel
from operating within the Project. This provision is for the benefit and enforceable
by Nobel Holdings, LLC, or its successor or assigns ("Einsteins"). This provision
shall terminate upon Einsteins failure to operate a lube and oil service on Parcel 3
and such failure lasts for longer than 18 months, other than due to a remodel that
Einsteins is using diligent efforts to complete. Green Star, the beneficiary of the
fast-food restriction set forth in Section 5.2, is the current ground lessee of Parcel
2 under a long term ground lease with Declarant as the ground lessor. In the event
said ground lease is terminated and Declarant reacquires possession of Parcel 2 then
the foregoing restriction in this Section 5.5 shall also encumber Parcel 2, in which
case Declarant shall memorialize the same with a recording. This Section 5.5 may
not be revised without the prior written consent of the Owner of Parcel 3.
5.6 Parcel 3 Restrictions. Parcel 3 shall initially be used for a typical
Einsteins Oilery facility. Any other use shall be subject to the Declarant's prior

written approval, such approval not to be unreasonably withheld, conditioned or
delayed, and immediately upon the commencement of said change in use on Parcel
3, Section 5.5 (Automotive Service Restriction) of this Declaration shall be void,
no longer enforceable, and the parties agree to cooperate to record an amendment
to the Declaration to memorialize the same. In no event shall any portion of Parcel
3 be used as a car wash, a vehicle polishing tunnel or a convenience store with or
without an attached gas station. No additional use restrictions may encumber or
burden Parcel 3 without the prior written consent of the Owner of Parcel 3."
6. Proportionate Share. Section 6.2.3 of the Declaration is deleted and the following
is substituted therefore:
"6.2.3. The proportionate share to be borne by each Owner shall be the
percentage obtained by dividing the site area of each Parcel by the total site area of
the Project (excluding Parcels 10 and 11), with such proportionate currently
represented by the table below, as the same may be changed from time to time by
lot line adjustments or consolidation of Parcels:

7. Ratification. Except as modified by this Second Amendment, the Declaration shall
remain unchanged and in full force and effect. The parties hereby ratify and confirm the
Declaration, as amended by this Second Amendment. In the event of any conflict between this
Second Amendment and the Declaration, the terms of this Second Amendment shall prevail.
8. Counterparts. This Second Amendment may be executed in one or more
counterparts, each of which shall be deemed an original but all of which together shall constitute
one and the same instrument.
