Rich 2016-079038 BOISE IDAHO Pgs=10 LISA BATT 08/25/2016 09:15 AM CITY OF MERIDIAN, IDAHO $37.00 (Space Above For Recorder's Use) TEMPORARY CONSTRUCTION EASEMENT This TEMPORARY CONSTRUCTION EASEMENT ("Easement") is made on August 23, 2016 ("Effective Date"), between the Western Ada Recreation District, a body corporate and politic established under the laws of the state of Idaho, whose address is 30 E. Franklin Road, Meridian, Idaho ("Grantee"), and the City of Meridian, a municipal corporation established under the laws of the state of Idaho ("Grantor"). WHEREAS, Grantee is renovating the Meridian Pool, and desires to use a portion of property owned by Grantor for staging materials and equipment during such renovation, and Grantee is willing to allow such use; NOW, THEREFORE, in consideration of the benefits to be received by Grantor, and other good and valuable consideration: I. Temporary easement. Grantor does hereby give, grant and convey unto Grantee a temporary easement over and across the premises and property described in Exhibit hereto ("Premises"), as depicted in Exhibit B, for the uses depicted in Exhibit C, for the time period described in Exhibit D, for the purpose of staging materials and equipment during the renovation of the Meridian Pool. To have and to hold the said easement and right-of-way unto the said Grantee, shall be temporary. II. Term. This Easement shall expire on April 7, 2017. III. Restoration of easement. Grantee specifically agrees that within thirty (30) days of the conclusion of Grantee's use of the Premises for the purpose described herein, Grantee shall restore the Premises and adjacent property to that existent prior to such use, as directed by the Director of the Meridian Parks and Recreation Department or his designee. If Grantee fails to restore the Premises as described in this paragraph, Grantor may undertake such restoration, and Grantee shall be responsible for all costs related thereto. Grantee shall reimburse Grantor for the cost of necessary repairs and/or restoration within fourteen (14) days of Grantor's invoice for such costs. TEMPORARY CONSTRUCTION EASEMENT — WARD PAGE I OF 9 IV. Compliance with laws and policies. Grantee shall be responsible for ensuring that any and all use of the Premises is in compliance with all laws and with Grantor's policies regarding use of its parks and/or facilities. V. Termination. A. Grounds. Grounds for termination of this Easement shall include, but shall not be limited to; an act or omission by either party which breaches any term of this agreement; an act of nature or other unforeseeable event which precludes or makes impossible the performance of the terms of this agreement by either party; or a change in or occurrence of circumstances that renders the performance by either party a detriment to the public health, safety, or welfare. B. Process. Either party may terminate this Easement by providing fourteen (14) days written notice to the other at the address above. Such notice shall include a description of the breach or circumstances providing grounds for termination. A twenty-four (24) hour cure period shall commence upon provision of the notice of intention to terminate. If, upon the expiration of such cure period, cure of the breach or circumstances providing grounds for termination has not occurred, this Easement shall be terminated upon mailing of notice of termination. VI. Assignment. This Agreement and each and all of the terms and conditions hereof shall apply to and are binding upon all employees, agents, contractors, officials, officers, servants, guests, invitees, successors, and assigns of the parties. VII. No agency. Neither Grantee nor Grantee's employees, agents, contractors, officials, officers, servants, guests, and/or invitees shall be considered agents of Grantor in any manner or for any purpose whatsoever in their use and occupancy of the Premises. VIII. Indemnification. Grantee and each and all of Grantee's employees, agents, contractors, officials, officers, servants, guests, invitees, successors, and assigns shall indemnify and save and hold harmless Grantor from and for any and all losses, claims, actions, judgments for damages, or injury to persons or property and losses and expenses caused or incurred by Grantee or any employee, agent, contractor, official, officer, servant, guest, invitee, successor, or assign of Grantee, at or in its use of the Premises or any lack of maintenance or repair thereon and not caused by or arising out of the tortious conduct of Grantor. IX. No warranty. Grantor makes no warranty or promise as to the condition, safety, usefulness, or habitability of the Premises; Grantee accepts the Premises for use as is, both at the Effective Date of this Agreement and throughout Grantee's use of the Premises. X. Non -waiver. Failure of either party to promptly enforce the strict performance of any term of this Agreement shall not constitute a waiver or relinquishment of any party's TEMPORARY CONSTRUCTION EASEMENT - WARD PAGE 2 OF 9 right to thereafter enforce such term, and any right or remedy hereunder may be asserted at any time after the governing body of either party becomes entitled to the benefit thereof, notwithstanding delay in enforcement. XI. Exhibits. All exhibits to this Agreement are incorporated by reference and made a part of this Agreement as if the exhibits were set forth in their entirety in this Agreement. XII. Entire Agreement. This Agreement contains the entire agreement of the parties and supersedes any and all other agreements or understandings, oral or written, whether previous to the execution hereof or contemporaneous herewith. XIII. Applicable law. This Agreement shall be governed by and construed and enforced in accordance with the laws of the State of Idaho. XIV. Approval required. This Agreement shall not become effective or binding until approved by the respective governing boards of both Grantor and Grantee.
