WITNESSETH:

AS A GIFT to Grantee, Grantor does hereby grant and convey to Grantee all of the real property
located in the County of Ada, State of Idaho, described on "Exhibit A" attached hereto and made a part hereof
(hereafter "Subject Real Pioperty").
TOGETHER with all and singular the tenements, hereditaments and appurtenances thereunto
belonging or in anywise appertaining.
This conveyance by Grantor to Grantee is made subject to the following:
1. All taxes and assessments levied and assessed against the Subject Real Property,
including liens and assessments of any irrigation district, for the year 1997 and
thereafter. All such taxes and assessments, including liens and assessments of any
irrigation district, for the year 1996 shall be pro -rated between Grantor and Grantee
as of the date of this Deed of Gift. All such taxes and assessments, including liens
and assessments of any irrigation district for the year 1995, and before shall be paid
by Grantor.
Easements and rights-of-way for roads, ditches, tunnels and utilities, which
easements and rights-of-way are of record on or before July 12, 1996, at 7:30 a.m.
or visible upon a physical inspection of the Subject Real Property.
Exceptions, reservations, terms, covenants and conditions of record on or before July
12, 1996, at 7:30 a.m.
Section 2. Acceptance.
By its acceptance below, Grantee shall be deemed to have accepted and agreed to comply with the
conditions and restrictions set forth in this Deed of Gift.

Directors of BOISE RESEARCH CENTER, INC. an Idaho Corporation ("Corporation"),
and pursuant to §30-1-44, Idaho Code, and in lieu of a formal meeting of the Board of
Directors, the following actions of the Board of Directors of the Corporation shall be
deemed to be unanimously adopted:
RESOLVED that the Corporation convey as a charitable donation to the
City of Meridian certain real property located east of Black Cat Road
between Cherry Lane Road and Ustick Road comprising 17.48 acres for
the purpose of constructing, operating, and maintaining a portion of the 9 -
hole Cherry Lane Golf Course expansion,
RESOLVED that David W. Turnbull, as Vice -President of the
Corporation, is authorized, empowered, and directed, in the name or on
behalf of the Corporation, to do or cause to be done any and all such
further acts and things and to execute any and all such further documents
as he may deem necessary or advisable to carry into effect the purposes and
intent of the foregoing resolutions.
