THIS MEMORANDUM OF UNDERSTANDING ("MOU") is entered into this I
day of , 2014, by and between THE CITY OF MERIDIAN ("CITY"), and
ALLIED WASTES RVICES OF NORTH AMERICA, LLC, DBA REPUBLIC SERVICES
OF IDAHO ("REPUBLIC").
RECITALS
A. REPUBLIC is the waste and recycling collection services contractor for the
CITY.
B. REPUBLIC donates recycling collection services and container rent in CITY
parks.
C. REPUBLIC agrees to donate, on a monthly basis, 80% of any recycling revenue
generated from the sale of recycling commodities generated within CITY parks, to the
CITY.
D. REPUBLIC agrees to use a conversion formula of 42 lbs. per loose cubic yard for
recyclable materials collected within CITY parks. This weight represents the average
loose weight per cubic yard of plastic bottles and aluminum cans which are the targeted
materials for recycling at CITY parks. All weights will be calculated based on the driver -
recorded cubic yards per park, per visit, as recorded in REPUBLIC'S information system.
E. REPUBLIC agrees to report the volume and weight of recyclable materials
collected in CITY parks in the REPUBLIC -generated quarterly and annual reports to the
CITY.
AGREEMENT
NOW, THEREFORE, in consideration of foregoing recitals, which are made a part of this
MOU and not mere recitals, the terms and conditions set forth below, and for other good
and valuable consideration, the receipt and sufficiency of which are hereby
acknowledged, it is mutually agreed as follows:
1. REPUBLIC, pursuant to the terms and conditions hereof, will ensure the accurate
reporting of recyclable materials collected in permanent recycling containers located in
CITY parks on a quarterly basis, and will rebate 80% of the recycling revenue, when the
sale of the recyclable commodities results in a positive payment to REPUBLIC, the
entire amount of said commodity payment, to the CITY.
2. REPUBLIC also agrees to report the volume and estimated weight of all
recyclable materials collected in REPUBLIC -provided temporary recycling containers
placed in CITY parks during CITY sponsored events; and will rebate 80% of the
commodity revenue generated from the sale of said recyclables to the CITY.

3. It is agreed that the parties may periodically recalculate the conversion formula
articulated in Recital C above provided that the City of Meridian approves the change in
advance of its application.
4. It is agreed that nothing contained in this MOU shall conflict with the
FRANCHISE AGREEMENT TO PERFORM SOLID WASTE COLLECTION SERVICES
assigned to REPUBLIC by the CITY on April 1, 2012.
5. The parties hereby warrant that the person executing this MOU on behalf of each
party is, at the time of its execution, duly authorized to do so by its governing body, and
is fully vested with the authority to bind that party in all respects.
