Miscellaneous Documents - Agreement, Resolutions, CorrespondenceA G R E E M E N T THIS AGREEMENT, Made and entered into this / day of April, 1969, by and between the MERIDIAN COMMUNIT SWIMMING POOL, INC,, an Idaho corporation, hereinafter called First Party, and the CITY OF MERIDIAN, a municipal corporation, hereinafter called Second Party, both of Ada County, Idaho, W I T N E S S E T H: - WHEREAS, First Party contemplates and plans to build a swimming pool located within the City Limits of the City of Meridian, and WHEREAS, it is the desire of Second Party to operate and maintain the pool, and WHEREAS, it is the desire of First Party that Second Party do the aforementioned. NOW THEREFORE, it is mutually agreed betweenthe parties hereto, the consideration being the mutual covenants herein e n g contained, that upon completion of said pool the Second Party shall take over the operation, maintenance and control of the pool and shall assume all obligation and expenses connected there- with. Further, that any and all revenues obtained from the pool or adjoining concessions shall belong to the Second Party. This agreement is contingent upon the First Party completing .the pool and having the same in a complete operating condition. This agreement shall be binding upon the heirs, successors, assigns and the legal representatives of the parties hereto. CherryLane Meridian, Idaho Re: $80000 Western Ada Co. Recreation District Swimming Pool Bonds Dear Jim: When I last met with your Board we tentatively considered selling the bond issue in December. I believe I mentioned at that time that the bond attorneys were still reviewing the organization of the District. I have enclosed a copy of their latest correspondence by which they summarize their analysis of the District's organization and request many additional legal showings before they can approve sale of the bonds. In talking with Jay Longeteig he indicates the most timely manner to handle the problem is to accept the suggestion of Chapman and Cutler (page 7 in red) and have the lst regular session of the 42nd Idaho Legislature validate the organization of the District. This would j hopefully enable us to sell the bonds by March, 1973. I have conferred with Sumner Johnson on this matter and without greater definition as to when bond proceeds will be available, it would be hard to say what effect it would have on the present con- struction schedule. The pertinent factors, consid- ering all possibilities of financing, are as follows: (1) Revenue Bond for Golf Course and Swimming Pool A. The City has the legal authority to issue revenue bonds for these purposes. B. The City would have to manage both facilities; otherwise the issue would be construed as an industrial revenue bond, which is illegal in Idaho. C. Any financial support from the Treasure Valley Mall Corporation would have to legally flow through as operating revenues of the facilities. D. The most important factor is that any prospective investors would construe a golf course/swimming pool revenue bond as very marginal; therefore if we were fortunate enough to develop a market for the bonds, the interest rate received would, I'm sure, be almost pro- hibitive (8-8,%). The basic rationale applicable in this respect is that municipal golf courses and swimming pools cannot generate sufficient revenues to support their operations and repayment of bond principal and interest. (2) General Obligation Bond for both purposes issued by Meridian A. Meridian does not have the legal capacity to issue a large enough bond with a $2,5 million assessed valuation, upon which there is a 10% bonded debt limitation, and even if they could issue enough bonds, it would jeopardize their future bonding capacity for municipal improvements. The District has the capacity to issue a large enough bond with an assessed valuation of $8.3 million (107, bond debt limit), but not the legal authority to issue for a golf course. B. As I mentioned, your attorney is in the process of preparing legislation which can be approved this session, if submitted to the legislature very soon, which will give the District legal power to issue for the purpose of constructing a golf course. C. The project could be self-supporting by the Treasure Valley Mall Corporation, thereby eliminating the need for tax increases. It would be a most attractive package in this respect because of two facts: a general obligation bond of this high quality could be sold in the current bond market for 54 to 5,% and a project pre- sented to the District's electorate which doesn't need an increase in taxes would, in all probability, be approved. P. PETERSON Acting Director The Idaho Park Board will hold its regular quarterly meeting October 4 and 5, in Lewiston, Idaho. A portion of this meeting will be devoted to hearing requests from political subdivisions who have a potential outdoor recreation project, which they wish to submit for federal Grants -in -Aid. Projects approved by the Park Board and the Federal Government are eligible for 50% reimbursement of project costs. Final approval or rejection of the project will not be given by the Board at this meeting. The purpose of the presentation is to familiarize the Board with the general scope of the project and to ascertain its eligibility for funding. If you have a potential outdoor recreation project you wish to discuss with the Park Board, you should notify the Idaho Department of Parks not later than September 22, 1971. After that date, the Department will notify those subdivisions who wish to appear of the exact time and date for their presentation. It is proposed that this district, when it becomes a legal entity, will implement the necessary bond issue election to finance the local participant's share of the cost of the swimming pool. EXHIBIT 4 Answers to Questions Contained in Appendix B, A of Booklet Outdoor Recreation - Aid for Local Participation Question 1. The City of Meridian presently has clear title to the land that is proposed to be used for the swimming pool and said land is to be made available for the recreational district which is to be developed for construction of the proposed facility. Question 2. The total cost for the improvements to be constructed is estimated to be $200,000. Question 3. Time is of the essence. Upon favorable tentative approval of the Board of Outdoor Recreation (BOR) grant, it is proposed that the procedures for creating a recreational district will be immediately implemented to include Meridian and the imme- diate trade area of the community. This will be followed by the necessary bond issue to finance the local half of the improvements. It is hoped that a construction project could be awarded by February 1, 1972, with the completion of the pool by July 1, 1972. Question 4. The local source of funds to meet the project cost would be a combination of pledges in the amount of $25,000 cash and a recreation district bond issue in the amount of $75,000 which gives a total of $100,000 for the local share of the cost. The advanced payment of the 50 per cent project cost which is to be ultimately reimbursed by BOR grant funds is to be done through the process of a loan, the details yet to be worked out. Question 5. There are no nonrecreational uses of the property. Question 6. The project is to be developed on the basis of the construction to be performed by contract which is to be awarded using the conventional process of competitive bid from plans and speci- cations as prepared by the district's consulting engineer. Question 7. Many civic organizations and community leaders have pledged these contributions amounting to $25,000 towards the constructionf of a community swimming pool contingent upon the balance of the funds being raised in the form of federal grants and a general obligation bond issue. Question 8. The City of Meridian has tentatively agreed with the Meridian Community Swimming Pool Association for the maintenance and operation of the swimming facility. Said maintenance and operation will be funded by utilization of the pool revenue to be supplemented by the general funds of the City of Meridian. Answers to Questions, continued Question 9. Several years ago the Meridian Community Swimming Pool Association initiated this project and had a loan approved through the Farmers Home Administration (FHA). After the loan application was submitted, the Association encountered numerous delays extending for a period of several years and during this interim the State of Idaho adopted new swimming Pool construction standards. Due to a combination of infla- tion as a result of the delays and increased construction cost as a result of higher swimming pool standards, the pro- ject cost estimates were projected to be considerably more than the amount of the FHA loan that was currently approved. Based on the advice from FHA personnel, the Association authorized final plans and specifications and proceeded to call for construction bids without amending their FHA loan application. It was proposed that once the bids were in and the total project costs were tabulated, then the Association would amend its loan application to include the actual amount needed. Two days before the scheduled construction bid open- ing, the federal government discontinued any further or additional loans for swimming pool facilities through the FHA. The net result was that the Association did not have sufficient funds to award the construction project. Question 10. There is a very critical need for a swimming pool facility to serve the City of Meridian and surrounding trade area and, as such, we expect the public to favorably support a bond issue for this facility. Supt. J. Lowell Scott said that the new six -room addition at Eagle grade school was 97% completed, and would soon be ready for inspection. He said that the Eagle grade school had been restored to its original condition, by the removal of the temporary room in the multi-purpose room and the removal of the partition in the music room. In the past, two temporary rooms with partition -walls were in the multi-purpose room, used as classrooms; and the music room was divided into two classrooms. Architect named The board approved the signing of a contract with architect Lewis Keys for the designing of the new junior high school at McMillan Road and Highway 69 (the Eagle highway). Supt. Scott said the plans were progressing rapidly, and bids would be invited by the middle of September. It was reported that all teaching positions in the district were now filled. The board authorized business manager E. G. Oldham to call for bids on coal, gasoline, fuel oil, - milk, and cottage cheese. Oldham was also asked to obtain quotations for black -topping around the new addition at the Eagle school. Discussion was held with Ron VanOrder concerning a proposed lease -purchase of band instruments. The board asked the music director to obtain prices from other sources, so it could be determined if the lease -purchase were advisable. Lunchroom equipment Cecil Olsen, of the school lunch division of the State 'Department of Education., advised the district that application has been made for federal funds to purchase school -lunch equipment for the new schools. The funds, totaling $41,064.75, will be allocated to Idaho by the U.S. Dept, of Agriculture. A letter from Jack Barney, chairman of Ada County commissioners, stated that cutting a road at the top of the hill for Eagle grade school would not solve the problem, and that more adequate signs would be needed. The ordinances appear as Public Notices in this issue_ Annexed by Ordinance 184 were the north side of Cherry Lane from Nest 2nd to West 8th, the Catholic Toa students named rectory, the James Stone property, the Roberts property, a portion of Cluff property, and a portion of the roadway at .Meridian Street and Cherry Lane, not previously recorded as being within the city. After the passage of Ordinance 183, attorney James Scanlan formally notified the council that he would protest the annexation on behalf of his clients, owners of Ross Furniture and Elm Grove trailer court. The ordinance includes the store and trailer court, and extends from Cherry Lane Road (Highway 30) south to the line of Gruber Avenue. The city council also approved a plat of a proposed Gregory Subdivision No. 2. The plan includes 31 residential lots, and totals about eight or nine acres, south of the high school. Passed by the council was a resolution providing for a law-enforcement planning agency in Meridian. The resolution is published as a Public Notice in this issue. Officials explained that the action was taken to associate the city with the Omnibus Crime Bill, and to qualify for grants for training, planning, research, nd other points of law enforcement. He said that the plan, as outlined, represented estimated . costs of approximately $142,000 -- an increase, of $17,000 above the original estimate. McClure. The loan was obtained by the Meridian Community Swimming Pool, Inc. J. D. Petty, president of the group, said the pool would be located on land at the Meridian city park. He said the project would include the pool, dressing rooms, deck area, sidewalks, chain-link fence, bleachers, parking area, and landscaping, plus construction of necessary roadways. Total cost $125,000 Total cost of the project will be approximately $125,000, of which $25,000 will be paid by the local association. Mr. Petty said that details of the major part of the local funds will be announced soon. Under the plan, there will be at least 100 members of the swimming pool group, which will be a non-profit organization. In addition to Petty as president, officers include Wayne Skiver, vice president; John O. Fitzgerald, secretary; and George Judd, treasurer. Memberships will be sold beginning immediately, at $10. FHA loan regulations require that two-thirds of the members be rural residents or farmers. (Under the regulations, "rural" applies to all the valley area, including Meridian, excluding only the area within the city limits of Boise.) Ralph Hunter has been named membership chairman for the project. The swimming pool will be designed to serve the entire area. With a total population of 26,000 in the area, about 3,000 are expected to use the pool each year.
