THIS AGREEMENT, Made and entered into this / day of
April, 1969, by and between the MERIDIAN COMMUNIT SWIMMING POOL,
INC,, an Idaho corporation, hereinafter called First Party, and
the CITY OF MERIDIAN, a municipal corporation, hereinafter called
Second Party, both of Ada County, Idaho, W I T N E S S E T H: -
WHEREAS, First Party contemplates and plans to build a
swimming pool located within the City Limits of the City of
Meridian, and
WHEREAS, it is the desire of Second Party to operate and
maintain the pool, and
WHEREAS, it is the desire of First Party that Second Party
do the aforementioned.
NOW THEREFORE, it is mutually agreed betweenthe parties
hereto, the consideration being the mutual covenants herein

contained, that upon completion of said pool the Second Party
shall take over the operation, maintenance and control of the
pool and shall assume all obligation and expenses connected there-
with. Further, that any and all revenues obtained from the pool
or adjoining concessions shall belong to the Second Party.
This agreement is contingent upon the First Party completing
.the pool and having the same in a complete operating condition.
This agreement shall be binding upon the heirs, successors,
assigns and the legal representatives of the parties hereto.
IN WITNESS WHEREOF, the parties hereto have hereunto set
their hands and seals, the day and year in this agreement first
above written.

A RESOLUTION AUTHORIZING THE GRANTING OF AN EASEMENT FOR INGRESS
AND EGRESS AND WATER AND SEWER LINES OVER CERTAIN CITY PROPERTIES
TO THE WESTERN ADA RECREATION DISTRICT, AND AUTHORIZING THE
GRANTING OF A LEASE TO CERTAIN OTHER CITY PROPERTIES TO THE
WESTERN ADA RECREATION DISTRICT,
BE IT,ORDAINED BY THE MAYOR AND CITY COUNCIL OF THE CITY
OF MERIDIAN, ADA COUNTY, IDAHO:
WHEREAS, the City of Meridian, Ada County, Idaho, has deter-
mined that there is a severe shortage of municipal recreation
facilities for the residents of said City, and
WHEREAS, the City wishes to improve the recreation
facilities and environmental quality of the City and surrounding
area,
WHEREAS, the Western Ada Recreation District is a political
subdivision of the State of Idaho, including within its bounda-
ries the City of Meridian and adjacent territories, and is
now planning to construct a swimming pool and other recreational
facilities within the limits of the City of Meridian, and
WHEREAS, the proposed location of such s-wimming pool will
require an easement for ingress and egress and for water and s8-wer
lines over property owned by the City, and a long-term lease of
a small portion of property owned by the City.
NOW, THEREFORE, be it resolved by the City of Meridian,
Ada County, Idaho, that Don M. Storey, Mayor and Harold Cox,
City Clerk, be empowered to execute a Grant of Easement to said
District, a copy of which is attached hereto and marked Exhibit
11111, and further empowered to execute a Lease with said District,
a copy of which is attached hereto and marked Exhibit 1121', and
further empowered to execute a easement for a water main and
a sewer line, a copy of which is attached hereto and marked
Exhibit 1131'.
ADOPTED by the Council of the City of Meridian, this 10th

WHEREAS, The Western Ada Recreation District proposes
to build a swimming pool which will be partially located on
land leased from the City of Meridian pursuant to a lease
agreement dated June 26, 1972, and
WHEREAS it is in the interest of all parties that the
swimming pool continue to operate in the event the lease from
the City to Western Ada Recreation District is cancelled for
any reason,

supply line, that will servu the Meridian Pool, with Mayor Dia H. Storey.
At that time Mayor Storey Indicated that the location should be modified.

the proposed water line proceeds westerly into Last First Street and make

Mayor Storey's suggestion was that the water line location be
revised for the last two described runs of pipeline to keep the water main
on the south side of the said park access road. This chauge would result
in approximately the some cost to the District and would eliv4usta disruption
to the park roadway or lawn,

Re: Western Ada Recreation District
I write as attorney for the Western Ada Recreation
District. While my client recognizes its responsibilities
to you under its current construction contract, I would like
to suggest that perhaps all parties could be satisfied by
your sale of the existing pump in the wet well near the
boundary of our property to the District for the sum of
$600.00.
The District will offer to buy it on those terms,
contingent to approval of BOR funding on this item. Application
has already been made to the BOR, and a decision is expected
very shortly. If BOR funding is not available, we would be
interested in exploring alternative methods with you.

Dear Jim:
When I last met with your Board we tentatively considered selling the
bond issue in December. I believe I mentioned at that time that the
bond attorneys were still reviewing the organization of the District.
I have enclosed a copy of their latest correspondence by which they
summarize their analysis of the District's organization and request
many additional legal showings before they can approve sale of the
bonds.
In talking with Jay Longeteig he indicates the most timely manner to
handle the problem is to accept the suggestion of Chapman and Cutler
(page 7 in red) and have the lst regular session of the 42nd Idaho
Legislature validate the organization of the District. This would j
hopefully enable us to sell the bonds by March, 1973.
I have conferred with Sumner Johnson on this matter and without
greater definition as to when bond proceeds will be available, it
would be hard to say what effect it would have on the present con-
struction schedule.

Gentlemen:
This letter is to request that you allot some
time on your agenda at your next monthly meeting next
Monday, May 7, 1973, to consider our request for a con-
veyance of the 15 acres of city land which immediately
adjoins our swimming pool project.
At present, we have plans for development of
this area into a park for the use of the residents of
Meridian and the surrounding area, which plans will be
shown you Monday night. We have been orally assured by
the Idaho Department of Parks that a project such as this
would be eligible for matching funds on a 50-50 basis from
the Bureau of Outdoor Recreation. Additionally, through
Francis Frost's military connections, we have obtained a
tentative commitment from LTC Dale Knox, 321st Engineer
Battalion to do much of the labor involved in preparing
the area for recreational use.

their October 5th meeting with regard to your proposed Meridian Swimming
Pool Project.
The Board placed your project as No. 1 on the priority list for funding
with Fiscal Year 1973 Land & Water Conservation Funds, contingent upon
establishment of a Recreation District and passage of a Bond issue to
assure funds at the local level. This virtually assures state approval
of your project if the Bond issue passes. Fiscal Year 1973 Funds become
available on July 1, 1972.

After our conversation Thursday, I thought I would reiterate
the feasibility of the project in writing. The pertinent factors, consid-
ering all possibilities of financing, are as follows:
(1) Revenue Bond for Golf Course and Swimming Pool
A. The City has the legal authority to issue revenue bonds for
these purposes.
B. The City would have to manage both facilities; otherwise the
issue would be construed as an industrial revenue bond, which
is illegal in Idaho.
C. Any financial support from the Treasure Valley Mall Corporation
would have to legally flow through as operating revenues of the
facilities.
D. The most important factor is that any prospective investors would
construe a golf course/swimming pool revenue bond as very marginal;
therefore if we were fortunate enough to develop a market for the
bonds, the interest rate received would, I'm sure, be almost pro-
hibitive (8-8,%). The basic rationale applicable in this respect
is that municipal golf courses and swimming pools cannot generate
sufficient revenues to support their operations and repayment of
bond principal and interest.
(2) General Obligation Bond for both purposes issued by Meridian
A. Meridian does not have the legal capacity to issue a large enough
bond with a $2,5 million assessed valuation, upon which there is
a 10% bonded debt limitation, and even if they could issue enough
bonds, it would jeopardize their future bonding capacity for
municipal improvements.

(3) General Obligation Bond for both purposes issued by the Western Ada
County Recreation District
A. The District has the capacity to issue a large enough bond with
an assessed valuation of $8.3 million (107, bond debt limit), but
not the legal authority to issue for a golf course.
B. As I mentioned, your attorney is in the process of preparing
legislation which can be approved this session, if submitted to
the legislature very soon, which will give the District legal
power to issue for the purpose of constructing a golf course.
C. The project could be self-supporting by the Treasure Valley Mall
Corporation, thereby eliminating the need for tax increases. It
would be a most attractive package in this respect because of two

The Idaho Park Board will hold its regular quarterly meeting October 4 and 5,
in Lewiston, Idaho. A portion of this meeting will be devoted to hearing
requests from political subdivisions who have a potential outdoor recreation
project, which they wish to submit for federal Grants -in -Aid. Projects
approved by the Park Board and the Federal Government are eligible for 50%
reimbursement of project costs.
Final approval or rejection of the project will not be given by the Board at
this meeting. The purpose of the presentation is to familiarize the Board
with the general scope of the project and to ascertain its eligibility for
funding.
If you have a potential outdoor recreation project you wish to discuss with
the Park Board, you should notify the Idaho Department of Parks not later
than September 22, 1971. After that date, the Department will notify those
subdivisions who wish to appear of the exact time and date for their
presentation.

Final Swimming Pool Grant Application
Subsequent to the Preliminary Grant Application for the City of
Meridian's Swimming Pool at Salmon, Idaho on July 29, 1971, a citizen's
committee in Meridian, assisted by the City Administration, has been
active in petitioning for the formation of the Western Ada Recreation
District. It is proposed that this district, when it becomes a legal
entity, will implement the necessary bond issue election to finance
the local participant's share of the cost of the swimming pool.
We are aware that an official approval of this request is not
possible from your department until the district has assurance that
it can finance it's share of the costs; however in order to pass a bond
issue for the local share, we feel it is quite essential that the
district's voters know that these grant funds will be available when
the bond issue is passed. Therefore, we would request your approval of
this request, contingent upon the passage of the bond issue for the
balance of the local share.

Statement of Project Scope
The proposed project is to be a complete swimming pool facility
including pool, deck area, fence, lighting, bath houses, office building,
mechanical filtration equipment, heating equipment and full site development
including grading, drainage, sanitary sewer service, water service, access
road, parking and landscaping.

Answers to Questions Contained in

Outdoor Recreation - Aid for Local Participation
Question 1. The City of Meridian presently has clear title to the land
that is proposed to be used for the swimming pool and said
land is to be made available for the recreational district
which is to be developed for construction of the proposed
facility.
Question 2. The total cost for the improvements to be constructed is
estimated to be $200,000.
Question 3. Time is of the essence. Upon favorable tentative approval
of the Board of Outdoor Recreation (BOR) grant, it is proposed
that the procedures for creating a recreational district will
be immediately implemented to include Meridian and the imme-
diate trade area of the community. This will be followed by
the necessary bond issue to finance the local half of the
improvements. It is hoped that a construction project could
be awarded by February 1, 1972, with the completion of the
pool by July 1, 1972.
Question 4. The local source of funds to meet the project cost would be
a combination of pledges in the amount of $25,000 cash and
a recreation district bond issue in the amount of $75,000
which gives a total of $100,000 for the local share of the
cost. The advanced payment of the 50 per cent project cost
which is to be ultimately reimbursed by BOR grant funds is to
be done through the process of a loan, the details yet to be
worked out.
Question 5. There are no nonrecreational uses of the property.
Question 6. The project is to be developed on the basis of the construction
to be performed by contract which is to be awarded using the
conventional process of competitive bid from plans and speci-
cations as prepared by the district's consulting engineer.
Question 7. Many civic organizations and community leaders have pledged
these contributions amounting to $25,000 towards the constructionf
of a community swimming pool contingent upon the balance of
the funds being raised in the form of federal grants and a
general obligation bond issue.
Question 8. The City of Meridian has tentatively agreed with the Meridian
Community Swimming Pool Association for the maintenance and
operation of the swimming facility. Said maintenance and
operation will be funded by utilization of the pool revenue
to be supplemented by the general funds of the City of Meridian.
Answers to Questions, continued
Question 9. Several years ago the Meridian Community Swimming Pool
Association initiated this project and had a loan approved
through the Farmers Home Administration (FHA). After the
loan application was submitted, the Association encountered
numerous delays extending for a period of several years and
during this interim the State of Idaho adopted new swimming
Pool construction standards. Due to a combination of infla-
tion as a result of the delays and increased construction
cost as a result of higher swimming pool standards, the pro-
ject cost estimates were projected to be considerably more
than the amount of the FHA loan that was currently approved.
Based on the advice from FHA personnel, the Association
authorized final plans and specifications and proceeded to
call for construction bids without amending their FHA loan
application. It was proposed that once the bids were in and
the total project costs were tabulated, then the Association
would amend its loan application to include the actual amount
needed. Two days before the scheduled construction bid open-
ing, the federal government discontinued any further or
additional loans for swimming pool facilities through the
FHA. The net result was that the Association did not have
sufficient funds to award the construction project.
Question 10. There is a very critical need for a swimming pool facility
to serve the City of Meridian and surrounding trade area
and, as such, we expect the public to favorably support a
bond issue for this facility.

This is in further reply to your letter concerning an appli-
cation for assistance to establish a recreational facility filed
by the Meridian Community Swimming :Pool, Inc., Idaho.
Our Idaho State Office reported that this agency had agreed to
lo" 41009000 toward the construction of this swizaing pool.
Atter bids for construction were obtained, it was found that
they were well above the estimated figure of 125000. The
Corporation's officials Were not willing to proceed to construct
a facility of the type that could be obtained for 4125,000, and we
were not able to lend additional funds because of our restrictive
bucFuet. The application, therefore, was canceled.
Thank you for your continued interest in the grogram of the Farmers
Home Administration.

It is with humility that we come to you for assistance. The com-
munity of Meridian has always prided itself in taking care of its own needs.
But now we seem to have reached the end of the line in our community swimming
pool project.
Our citizens and civic groups have pledged approximately $25,000 in
cash and have further signed memberships in an association to assure repay-
ment of any loan that may be'obtained to finance the project.
The project will serve a 200 square mile area of urban and rural
communities including Meridian, Kuna, Eagle, Star and the westerly residential
area of greater Boise. This area has no swimming facilities now. Besides
providing needed recreational facilities, it will permit the teaching of
swimming to our young people for water survival during the rest of their lives.
The Meridian Community Swimming Pool, Inc. has obtained a loan com-
mitment of $100,000 from the Farmers Home Administration for the project.
They thought they had an additional $50,000 loan commitment, which is the
amount needed before a construction contract (a bid for which was received on
August 18) can be awarded. This additional loan was not approved at the last
hour.
Apparently, the only hope for the Meridian Community Swimming Pool,
Inc. to successfully culminate seven years of hard work is an additional loan
from FHA. Therefore, we are asking your help in doing all you can for our
community to obtain this loan. Thank you very much.

We need your advice, guidance and assistance. Our community has
been working for seven years in an effort to build a swimming pool to serve
the trade area of Meridian. This area encompasses some 200 square miles of
urban and rural communities and includes Meridian, Kuna, Eagle, Star and the
westerly residential area of greater Boise.
We thought we had reached our goal with all phases of the pool pro-
ject in a "go" position until the bottom dropped out last week. After re-
ceiving a construction bid, that was well within our projected cost estimates,
we were advised by the Farmers Home Administration that supplemental funding
for our project had been withdrawn.
Because of absolutely no swimming facilities of any kind, we not
only are failing in providing needed recreational facilities but are unable to
teach our children the needed fundamentals of swimming for survial in water.
Our people along with many civic groups have recognized the need for swimming
facilities and have generously pledged approximately $25,000 in cash for the
project. In addition, they have taken out association memberships to assure
the repayment of the loan needed for the balance of the project.
Based on present commitments, the Farmers Home Administration can
provide us with a loan of $100,000. The meridian Co munity Swimming Pool, Inc.
needs an additional loan commitment of $50,000 from FHA. We can use all the
help you can give us in obtaining the additional loan.

Meridian annexes sec�ians;

Meridian city councilmen
Monday approved two ordinances.,
annexing adjoining areas to the
city. The ordinances appear as
Public Notices in this issue_
Annexed by Ordinance 184 were
the north side of Cherry Lane from
Nest 2nd to West 8th, the Catholic
Toa students named
rectory, the James Stone property,
the Roberts property, a portion of
Cluff property, and a portion of the
roadway at .Meridian Street and
Cherry Lane, not previously
recorded as being within the city.
After the passage of Ordinance
183, attorney James Scanlan
formally notified the council that
he would protest the annexation on
behalf of his clients, owners of Ross
Furniture and Elm Grove trailer
court. The ordinance includes the
store and trailer court, and extends
from Cherry Lane Road (Highway
30) south to the line of Gruber
Avenue.
The city council also approved a
plat of a proposed Gregory
Subdivision No. 2. The plan
includes 31 residential lots, and
totals about eight or nine acres,
south of the high school.
Passed by the council was a
resolution providing for a
law-enforcement planning agency in
Meridian. The resolution is
published as a Public Notice in this
issue. Officials explained that the
action was taken to associate the
city with the Omnibus Crime Bill,
and to qualify for grants for
training, planning, research, nd
other points of law enforcement.
Swimming pool plans
City engineer Sumner Johnson
displayed a set of tentative plans
for the community swimming pool,
to be located in the city park. He
said that the plan, as outlined,
represented estimated . costs of
approximately $142,000 -- an
increase, of $17,000 above the
original estimate.
Attorney John Fitzgerald, an
officer of the Meridian Community
Swimming Pool, Inc., said that he
believed an adjustment could be
made in the F.H.A. loan to cover
the increase. To date, the F.H.A.
has approved a loan of $100,000,
with $25,000 to be raised locally.
Of that amount, $15,500 was
pledged last week by the Meridian
Athletic Association Auxiliary.

The loan was obtained by the
Meridian Community Swimming
Pool, Inc. J. D. Petty, president of
the group, said the pool would be
located on land at the Meridian
city park.
He said the project would
include the pool, dressing rooms,
deck area, sidewalks, chain-link
fence, bleachers, parking area, and
landscaping, plus construction of
necessary roadways.
Total cost $125,000
Total cost of the project will be
approximately $125,000, of which
$25,000 will be paid by the local
association. Mr. Petty said that
details of the major part of the
local funds will be announced
soon.
Under the plan, there will be at
least 100 members of the
swimming pool group, which will
be a non-profit organization. In
addition to Petty as president,
officers include Wayne Skiver, vice
president; John O. Fitzgerald,
secretary; and George Judd,
treasurer.
Memberships will be sold
beginning immediately, at $10.
FHA loan regulations require that
two-thirds of the members be rural
residents or farmers. (Under the
regulations, "rural" applies to all
the valley area, including Meridian,
excluding only the area within the
city limits of Boise.) Ralph Hunter
has been named membership
chairman for the project.
The swimming pool will be
designed to serve the entire area.
With a total population of 26,000
in the area, about 3,000 are
expected to use the pool each
year.
Many jobs involved
In addition to the community
benefit from the pool, the
construction will provide 2,200
man -days of labor -- for
carpenters, grading crews, masons,
electricians, and others.

Petty. "The pool will provide a
much-needed recreational facility

The Idaho Parks Board, at their recent quarterly meeting in Burley,
Idaho, rescinded a policy which disallowed swimming pools and golf
courses from participation in the Land and Water Conservation Fund
program. Applications for these projects will be considered for
funding at the next Board meeting which is scheduled for July.
As you are probably aware, the Land and Water program provides 50%
reimbursement for costs incurred in the acquisition and/or develop-
ment of land for outdoor recreation purposes. A shortage of funds
in past years caused the Board to eliminate swimming pools and golf
course projects from participation in the program because of their
relatively high cost. Also, these projects rate rather low on the
basis of priority criterea established for the program. An antici-
pated significant increase in funds for the coming fiscal year
prompted the Board to change their policy.
If you are considering any type of Outdoor Recreation project and
desire financial assistance please contact the Idaho Department of
Parks for information concerning the Land and Water Conservation
Fund program.
