REAL ESTATE PURCHASE AND SALE AGREEMENT
Benchmark Land Company LLC an Oregon limited liability company, or assigns,
(hereinafter referred to as "Purchaser"), hereby agrees to purchase, and Eugene
and ArdyceM10uenzer (hereinafter referred to as "Seller"), hereby agrees to sell,
ail in accordance with the following terms, provisions and conditions, an
approximately 35 acre parcel including any existing buildings, known as Tax
14.4 - Q. Parcel #S1204417466, lying west of Black Cat Road and south of Ustick Road,
adjacent to the City of Meridian, County of Ada, State of Idaho, hereinafter the
"property'.
1. Earnest Money: Purchaser's promissory name in the amount of Ten
Thousand Dollars •($10,000) is given herewith as Earnest Money Deposit, and
shall be redeemed for cash and placed into an escrow account bearing interest
in favor of the Purchaser within five (5) days of the conclusion of the Due
Diligence Period discussed in section 3 below, provided Purchaser concludes
that development of Property is feasible, and elects to proceed beyond the .Due
Diligence Period. If Purchaser pn:Nieeds beyond the Due Diligence Period, said
earnest money shall then be non-refundable (unless Seller fails to perform all of
Its obligations under this Agreement), shall be released to the Seller, and shall
apply to the purchase price.
2. Purchase Price, Terms of Pa meat: The purchase price shall below-

Closing. Purchaser may close on Property in two phases as follows: (A) First
closing shall be a minimum of approximately 17.5 acres. The exact size of the
parcel for the first closing shall be determined by the Purchaser's development
plans. The size and shape of said parcel shall not deny Seller access to the
remaining portion of the Property that Purchaser has not as yet purchased. (B)
Second closing, which shall be the balance of Property, may occur up to 24
months fallowing the first closing. The urchase price for the balance of the
Property shall be at a base price of � er acre, .
which shall Increase, commencing the date of the�ini acing, at MiFrate of six
percent (6%) per annum.
3. Due Diligence Period: Commencing the day a fully executed original
copy of this Agreement is provided to Purchaser, Purchaser shall have a period
cf up to one hundred twenty (120) days to determine the feasibility of developing
Property. Such feasibility shall include, but not be limited to, Purchaser
completing soils reports, surveys, and an environmental audit to determine the

the Purchaser shall work wit the Seller to determine the first parcel to be closed_
The Seller shall have the right to approve which parcel shall be the first to be
closed and agrees that such approval shall not be unreasonably withheld and
shall be limited to reasons of adverse impacts on the firming of, or access to,
the remaining portion of the Property. The determination of feasibility shall be to
Purchaser's sole satisfaction, If Purchaser determines that developing Property
is not feasible, this agreement shall be terminated, and the Earnest Money
deposit referenced in paragraph 1. above shall be returned to the Purchaser. If
Purchaser concludes that it is feasible to develop the site, Purchaser shall so
notify Seller in writing, Purchaser ;shall redeem the note, as outlined in section 1
above, the Ten Thousand ($10,000) dollar earnest money shall then become
non-refundable but shall apply to the purchase price, and it shall be immediately
released to Seller.
4. Purchaser's Development Plans for Property: It Is Purchaser's
intention to purchase and develop Property as a single family subdivision. Seller
will cooperate fully in Purchaser's obtaining approvals from the City of Meridian,
and other governing authorities as required, for subdividing Property. Seller also
agrees to approve the preliminary plat. Purchaser may also purchase the Langly
family property which is adjacent to the Property, and combine the Property and
the Langly property into a single roaster site plan. Failure to secure the Langly
property will not curtain the purchase and development of the Property.
•Purchaser shall work with Seller in cr4ting a Master Site Plan f'Plan� and Seller
shall have the "r' ht to approve such Plan prior to its submittal to the City of
Meridian_ Said approval shall not be unreasonably withheld and shall be limited
to reasons of adverse impacts on Seller's farming operations or access to the
remaining portion of the Property.
5_ Seller's Right To Continue Farming Property: Seller shall retain
possession of, and shalt have the right to continue farming, that portion of the
Property that Purchaser has not as yet closed the purchase thereof. I p
6, Seller's Right to Retain Gated Pipe and Other Removable Equipment:
Seller shall retain the ownership to, and the right to remove, all gated pipe and
other removable farm equipment.
7. Purchaser to Remove Existing Residence: It shall be Purchaser's
responsibility to remove the existing residence from the Property.

8. Conveyance and Condition of Title: Title to Property shall be conveyed
by Seller to Purchaser at closing by Statutory Warranty Deed, free and clear of
all liens, encumbrances and defects.
9. Title Insurance: At closing, Seller shall pay for and cause Pioneer Title
Company to deliver to Purchaser an ALTA standard form policy, in the amount of
the purchase price, showing good and marketable title. In this regard, and as
soon as reasonably possible fallowing the date of execution of this Agreement by
Purchaser, Seller shall cause Pioneer Title Company to issue to Purchaser a
preliminary commitment for such ti#le insurance policy, together with full copies of
any exceptions set forth therein (hereinafter "Preliminary Commitment'),
Purchaser shalt have ten (101) days after delivery of said Preliminary Commitment
within which to notify Seiler, in writing, of Purchaser=s disapproval of any
exceptions shown on the Preliminary Commitment_ If Purchaser does not so
notify Seiler, then Purchaser shall be deemed to have approved of the title as
shown on the Preliminary Commitment. In the event of disapproval by Purchaser
of any exceptions, encumbrances, or defects, as set forth in the Preliminary
Commitment, Seller shall have ten (10) days from delivery of Purchaser's notice
to eliminate any disapproved exceptions from the policy of title insurance to be
issued in favor of Purchaser. If the disapproved exceptions are not eliminated by
that date, and cannot be eliminated by Seller by the payment of funds deposited
by Purchaser at or before closing, Purchaser or Seller may terminate this
Agreement by so notifying the other party in writing within ten (10) days of the
conclusion of the preceding ten (1 0) day period, and neither Purchaser nor Seller
shall have any further rights, duties or obligations hereunder, except that the
earnest money note, and any earnest money previously delivered by Purchaser
to Closing Agent shall be immediately returned by closing agent to Purchaser"
10. Right of Entry Prior to Clasing: Prior to Closing, Purchaser or its agents
may enter Property from time to time to inspect Property, and perform soils tests
and surveys as needed. Purchaser shall indemnify and hold harmless Seller
from and against any claim arising from work performed on Property, at
Purchaser's request, prior to closing. j
11. Seller's Warranties: Seller warrants and represents that the following
are now true and shall be true as o`thte Date of Closing:
11.1 There exists no condemnation or eminent domain proceedings now,
nor are any anticipated with respect to Property.
11.2 There are no legal actions, suits or other legal administrative
proceedings including, but not limited to Internal Revenue Service, local, county,
State or Federal agencies, pending, threatened against or which may affect

Property, and Seller is not aware, of any facts which might result in any such
actions, suit or other proceedings.
11.3 Seller has no knowledge of the storage, production, for disposal of
any hazardous waste on Property by Seller during Seller's ownership of
Property. Seller has not received notice that any prior owner has stored,
produced, or disposed of any hazardous waste on Property.
1'1.4 Except as disclosed hy Seller in writing, Seller has not placed any fill
material on the site, nor allowed any fill material to be placed on the site during
Seller's ownership of Property, which is in violation of governmental regulations,
which was not properly engineered, inspected and approved, and which could
adversely affect Purchaser's development plans.
11.5 There are no parties in possession of any portion of the premises as
lessees, tenants, at -sufferance, invitees, or purported purchasers which has not
been specifically disclosed in writing by Seller.
11.6 No special assessments have been levied or are in the process or
pending- In the event there are any assessments levied against Property, all
said assessments that affect Seller's ownership shall be Seller's responsibility.
11.7 There are no outstanding claims against Property which have not
been paid, or which will not be paid, by the close of escrow.
12. Conditions Precedent to Closing: ,this transaction is subject to the
following: Purchaser obtaining final development approval from the City of
Meridian, that is satisfactory to the Purchaser, (iii) Approved development
construction engineering plans fmrn City of Meridian.
13. Miscellaneous items to be: provided by Seiler: Seiler shall provide any
appraisals, engineering, tests, surveys and copies of all studies relating to
Property, which are in Sellers possession.
14. Closing Dates: Not later than 60 days following satisfaction of the above
referenced Conditions Precedent referenced in section 12 above, but in no event
more: than 365 days fallowing the date this agreement is fully executed, unless
the development process has been delayed by the administrative process,
provisions for which are detailed in section 15 below. Purchaser may, at
Purchaser's election, close on or before the dates referenced above, however in
no event before January 1, 1997,
15. Extension of Agreement: If the applicable approvals needed for
subdividing Property are delayed by appeal, or because hearing dates have
been reset or postponed by the City of Meridian or other governing authorities,
Purchaser may extent! this Agreement beyond the closing date referred to in
paragraph 14 above, by depositing an additional Fifteen Hundred ($1,560)

shall the closing be delayed beyond December 31, 1997.
16. Presentation of Offer: This offer is being presented by Benchmark Land
Company LLC as Purchaser through Art 1=innell of Caldwell Banker Aspen 0
Realty, Inc., 870 N. Linder Road, Suite G, Meridian, Idaho 83642, telephone: L:-0

17. Accommodating a 1031 Exchange: If Seller desires to transfer Property
through an exchange transaction under Section 1031 of the Internal Revenge
Code, Purchaser agrees to cooperate with such transaction so long as (a) such
cooperation is at the sole expense of Seller, (b) Purchaser assumes no
additional risk or liability nor lase,. any remedies or rights due to the exchange
transaction, (c) the closing on (Property is not delayed as a result of the
exchange, (d) Seller executes and delivers a statutory warranty deed directly to
Purchaser, and (e) Purchaser is not obligated to hold title to any additional
property. Seller agrees to indemnify, hold harmless, and defend Purchaser from
and against any and all claims, damages, costs, liabilities, losses, and expenses
(including reasonable at orneys' fees) arising out of the exchange transaction.
18. Escrow: This transaction iia be closed at Pioneer Title Company of Ada
County, 821 W. State Street, Boise, Idaho 83702, telephone: 208-335-6700
Escrow fee to be shared co -equally between Purchaser and Seller. Title
insurance and any excise tax to be paid by Seller. Taxes, interest, and other
applicable items to be prorated Els of the day of closing_ Any deferred taxes
(including but not limited to any real estate taxes deferred pursuant to Idaho's
farm or forest deferral), liens, and assessments to be paid current by Seller as of
the day of closing.
19. Legal Fees and Modifications To This Agreement In the event of any
litigation arising out of this agreement, the losing party shall pay all attorneys'
fees and costs reasonably incurred by the prevailing party in connection with the
litigation, and in the appeal sof salme. Any modification to the terms of this
Agreement shall only be in writing, properly executed by both the Seller and
Purchaser.
20. Severability: If any term or prevision of this Agreement or the application
thereof to any person or circumstance shall to any extent be invalid or

unenforceable, the remainder of this Agreement and the application of such term
or provision to person or circumstances other than those as to which it is held
invalid or unenforceable shall not be effected thereby, and each term or
provision of this Agreement shall -be valid and enforceable to the fullest extent
permitted by law.
21. tnfegration: This Agreement contains the entire agreement and
understanding of the parties with respect to the purchase and sale of Properly
and supersedes all prior and co4amporaneous agreements between them with
respect to such purchase and sale.
22. Remedies: In the event She condition set forth in Section 12 are fully
satisfied or waived by Purchaser ,and Purchaser nevertheless fails, through no
fault of Seiler, to close its acquisition of Property, Seller's sole remedy shall be to
retain the earnest money paid by Purchaser. In the event Seller fails, through no
fault of Purchaser, to close its sale of Property, Purchaser shall be entitled to
pursue any remedies available at law or in equity, including without limitation the
remedy of specific performance.
23. Governing Law: This Agreement shall be governed by and construed in
accordance with the laws of the Stiate of Idaho.
24. Time is of the Essence: Time is of the essence of this Agreement. This
Agreement shall be mutually accellited on or before September 15, 1996.

As required in the final plat application materials, the following statements of compliance/conformance
are being submitted for your records:
1. The proposed streets will be built to Ada County Highway District Standards and dedicated to
the District. All proposed sidewalks will be 5' in width and shall meet the requirements of the
City of Meridian.
2. As addressed in the City's findings, the proposed residential development is in compliance with
the Meridian Comprehensive Plan. Annexation was approved and the site was rezoned for single
family residential development.
3. The proposed development will connect to City sewer and water. As noted in the plans, sewer
and water are available and will be connected to Phase 1.
4. Street names are approved. A list and a drawing from the Street Name Committee are attached
for your review. No conflicts with the City grid system are noted.
5. The final plat and plans meet all requirements and conditions setforth in the preliminary plat. If
any errors are noted, such errors will be corrected prior to receiving the City Engineer's and/or
County Engineer's signature on the final plat.
6. Final plat and plans will conform to the provisions and requirements of the Meridian City
Ordinance.
7. The final plat and plans comply with acceptable engineering and surveying practices and local
standards.

Will: I have reviewed this final plat and my project file and find it to be in
conformance with the requirements of my department. In that regard, I have signed
Sheet No.2 in the appropriate space and with this memo, I am transmitting Sheet
No.1 and Sheet No.2 to you for your review and signature.
In addition, I am transmitting the developer's original Letter of Credit guaranteeing
installation of fencing, street lights and landscaping. I am also including a copy of
the contractor bid for the fencing and landscaping. The value of the streetlights was
calculated at our standard $1500 per light. This should fulfill all of the requirements
for your signature, however, if you need anything else give me a call.

Letter of Credit No. SP -3177/228 in your favor for an amount not exceeding US$82,096.00 (U.S. Dollars
Eighty Two Thousand Ninety Six and 00/100), expiring at the counters of Bank of the West, Emerald
Boise Branch, 9140 West Emerald, Ste. 100, Boise, Idaho 83704, or Bank of the West, International
Department, 180 Montgomery Street, San Francisco, CA 94104.
Funds under this Credit are available to you by your sight draft(s) drawn on us bearing the clause: "drawn
under Bank of the West Letter of Credit No. SP -3177/228" accompanied by your statement, dated and
signed reading as follows:
"We, City of Meridian, certify that Benchmark Land Company has failed to comply with the
terms and conditions of that certain contract for street lights, fencing, landscaping and public
improvements associated with the project known as Turnberry Subdivision No. 2 located in ADA
County, Idaho and that the amount drawn in due and payable for failure to perform as required".
Such statement to identify specific areas of noncompliance.
Partial drawings are allowed.
This Letter of Credit shall be deemed automatically extended for periods of one y ear beyond its then
expiration date unless at least thirty (30) days prior to the then expiration date we have sent you our notice
in writing, by certified mail or courier of our intention not to consider this Letter of Credit renewed for
such additional period(s) and to cancel it.
This Letter of Credit is subject to the "Uniform Customs and Practice for Documentary Credits (1993
Revision) the International Chamber of Commerce Publication No. 500
We hereby agree with you that drafts drawn under and in compliance with the terms of this Credit will be
duly honored upon presentation to us, to er with the original of this Letter of Credit.

#2. These are 100 watt high-pressure sodium lights on steel poles, owned by the
City of Meridian with a maintenance agreement with Idaho Power.

The revisions are related to Mr. Freckleton and Ms.
We have made the requested revisions except for
Number 4 references "retention". The ponds are designed to discharge the pre -developed runoff
offsite; hence they are termed "detention" facilities.
Number 7.1 references two common lots adjacent to Black Cat Road. These are landscape lots per
City requirements, not drainage lots. Therefore, a drainage easement is not necessary.
Also, regarding Site Specific 9, the required house and garage can fit on the lot based on the City's
required setbacks and frontages.

This matter coming before the City Council for Final Plat approval
pursuant to § 11-9-604 H Municipal Code of the City of Meridian this 19`' day of
January, 1999, and the Council finding that the Administrative Review is complete
which has included certain comments and conditions as stated in a letter to the Mayor
and Council from which are herein found fair and reasonable, and the Council having
considered the requirements of the preliminary plat the Council takes the following
action:
IT IS HEREBY ORDERED THAT:
1. The Final Plat of as evidenced in Plat bearing the job reference
#980604\TBR2-PLT BKB 09/21/98, Sheet 1 of 2, is Conditionally
Approved subject to those conditions of Staff comments as set forth in
ORDER OF CONDITIONAL APPROVAL OF FINAL PLAT FOR TURNBERRY

the Memorandum to the Mayor and City Council from which are herein
found fair and reasonable, a true and correct copy of which is attached
hereto marked Exhibit "A" and by this reference incorporated herein with
the additional requirements that:
1.1 All codes will need to be met.
1.2 Street name signs need to be installed before construction is
started.
1.3 All common lots will need to be kept clear of trash and weeds. -
1.4 Roads need to be constructed before building is started.
1.5 After written approval from the appropriate entities are submitted,
the central sewage and central water can be approved.
1.6 Plans must be submitted to and approved by the Idaho
Department of Health & Welfare, Division of Environment
Quality for central sewage and central water.
1.7 Run-off is not to create a mosquito breeding problem.
1.8 Stormwater to be pretreated through a grassy swale prior to
discharge to the subsurface to prevent impact to groundwater and
surface water quality.
1.9 The engineers and architects involved with the design of the
project shall obtain current best management practices for

stormwater disposal and design a stormwater management system
that is preventing groundwater and surface water degradation.
1.10 Any encroachments must be covered with a license agreement.

signature of the City Cleric and the City Engineer verifying that the plat
meets the City's requirements shall be signed only at such time as:
a. The Plat dimensions are approved by the City Engineer; and
b. The City Engineer has verified that all off-site improvements are
completed and/or the appropriate performance bond has been
issued guaranteeing the completion of off-site improvements.

Kuntz: Mayor and Council, two of the three items I've handed you are informational

Commission has given final approval. The first item which is on the agenda tonight is a
memo from me requesting authorization to accept Visa or Master Card for payment of
Parks and Recreation services. That would be including program fees, park facility
reservations, and I'm happy to answer any questions.
Bentley: Mr. Mayor, Tom, do you have a shredder in your office?
Kuntz: No.
Bentley: You have some way of taking care of your carbons off of these?
Kuntz: I guess I hadn't considered that.
Bentley: I think it's really important that we do that especially if we take any of these

We have reviewed this submittal and offer the following comments, as conditions of the final plat.
These conditions shall be considered in full, unless expressly modified or deleted by motion of the
Meridian City Council:
GENERAL COMMENTS
1. Any existing irrigation/drainage ditches crossing the property to be included in this project,
shall be tiled per City Ordinance 11-9-605.M, unless a variance has been granted . Plans will
need to be approved by the appropriate irrigation/drainage district, or lateral users
association, with written confirmation of said approval submitted to the Public Works
Department.
2. Any existing domestic wells and/or septic systems within this project will have to be removed
from their domestic service per City Ordinance Section 5-7-517. Wells may be used for non-

3. Submit a plan approval letter to the Public Works Department from the entity having
jurisdiction over design and construction of the pressurized irrigation system. A letter of
credit or cash will be required for these improvements prior to signature on the final plat.
4. Indicate on the final plat map any FEMA Flood Plains affecting the area being platted, and
detail plans for reducing or eliminating the boundary.
5. Coordinate fire hydrant placement with the City of Meridian Public Works Department.
6. Please submit a copy of the Ada County Street Name Committee's final approval letter for
the subdivision name, lot and block numbering, and street names. Make any corrections
necessary to conform.

7. Please address, in written form, all items contained in this memorandum (both General and
Site Specific) and submit to the City Clerk's office by 5:00 PM, January 18, 1999. Prior to
development plan approval, three copies of the revised plat must be reviewed by the Public
Works Department for compliance with all conditions of plat approval.
SITE SPECIFIC COMMENTS
1. This final plat generally conforms to the approved preliminary plat.
2. Six -foot -high, non-combustible, permanent fencing is required to be in place along the
subdivision boundary. A delineating fence shall be installed around the perimeter of all
common areas. Fencing shall be installed on lot lines and not within common areas. A letter
of credit or cash will be required for these fences prior to signature on the final plat.
3. Submit for approval detailed landscaping plans, including sizes and species of vegetation and
fencing details, for all common areas. A letter of credit or cash will be required for these
improvements prior to signature on the final plat. All landscaping and pedestrian walkways
are to be completed prior to obtaining certificates of occupancy.
4. Provide five -foot -wide sidewalks in accordance with City Ordinance Section 11-9-606.B.
Applicant shall be required to install five -foot -wide sidewalks along the entire Black Cat Road
frontage of this development. Sidewalk along the frontage of Turnberry Subdivision No. 1
will be required prior to obtaining certificates of occupancy, as the improvements were not
completed in that phase.
5. Sanitary sewer service to this site will be via an extension of the mains installed as part of the
first phase of this development. Applicant will be responsible to construct the sewer mains
to and through this proposed development. Subdivision designer to coordinate main sizing
and routing with the Public Works Department. Sewer manholes are to be provided to keep
the sewer lines on the south and west sides of centerline.
6. Water service to this site will be via an extension of existing mains installed as part of the first
phase of this development. Applicant will be responsible to construct the water mains to and
through this proposed development. Subdivision designer to coordinate main sizing and
routing with the Public Works Department. We have been experiencing lower than desirable
fire flows in this vicinity. With the development of this phase of Tumberry Subdivision and
Ashford Greens Subdivisions Nos. 3 & 4, the flows will be further degraded. It is anticipated
that, when the 10" diameter water main is installed between the Lakes at Cherry Lane No. 4
and Ashford Greens Subdivision, this low flow situation will be resolved.
7. All street signs, road base, street lights, pressurized irrigation system, domestic water system
(activated fire hydrants), and fencing are to be installed prior to obtaining building permits.

side lot lines adjacent to the subdivision boundary: Lot 2, Block 4; Lots 20 & 24, Block 5;
Lots 14 & 28, Block 6; Lot 3, Block 1; and Lots 5-7, Block 9.
11. Lot 3, Block 1, and Lot 6, Block 4, don't meet the minimum frontage requirement of the City
of Meridian and a variance was not granted on these lots. Please adjust these lots to conform.
12. Add the `BTW Corner, NE 1/4, SE 1/4, Section 4" identification to the appropriate point on the
face of the plat.
13. Revise the "1998" date on the plat to read "1999."
14. Provide documentation from Ada County Highway District that bonding has been provided
for future crossings of the Safford Lateral prior to signature on the final plat. This
documentation needs to be provided by a detailed letter/description from Ada County
Highway District and not merely by the Highway District's signature on the final plat.

STORTNIWATER MANAGEMENT RECOMMENDATIONS
We recommend that stormwater be pretreated through a grassy Swale prior to
discharge to the subsurface to prevent impact to groundwater and surface water
quality. The engineers and architects involved with the design of this project
should obtain current best management practices for stormwater disposal and
design a stormwater management system that is preventing groundwater and
surface water degradation. Manuals that could be used for guidance are:

Idaho Cities And Counties. Prepared by the Idaho Division Of
Environmental Quality, July 1997.

This letter is in response to your memo to the Mayor and City Council dated January 14, 1999. The
following comments correspond to the numbering in your memo:
General Comments:
1. Understood—A variance was approved with respect to the tiling of the Safford Lateral.,
however, all other ditches will be appropriately tiled as noted in the plans.
