Dear Mr. Keys:
Enclosed for the consideration of the City of Meridian are two dupli-
cate originals of a crossing agreement which grants the City the right
to cross. the Ninemile Drain with a 6-inch sewerline.
Please present these agreements to the City and if they are in agree-
ment with the terms and conditions contained therein, have both copies
signed and notarized as indicated and returned to this office for
final execution.

further clearance i t ma~~ recs.; re from the parties owning t'^e ~!nderlyi ng
fee to the land on which: tie cross~nc is located.
~l. The Grantee: ~ree~: as follows:
a. There i s res~~^ved to the United States aid its
assigns, the prior right to use any of the right-of-way hereir.

appurtenant irrigation and power structures and facilities, without
any payment made by ire ±~itc~_` States for such right.
b. The Grantee further agrees that if the corlstructior; of
any or all of such structures and "aclit~es, across, under or upon
said riCiylt-of-way should be made more expens-'ve by reason of the
existence of improvements or works of the Grantee thereon, such
additional expense is to be estimated by the Secretary of the ?nterior,
whose estimate i_s to be fina and binding upon the parties hereto.
Within th-rty days after demand is mace upon the Grantee far payment
of any such sums, the ~arantee mill make payment thereaf to the United
States or any of its assigns constructing such structures and
facilities across, over and under said right-of-way of the United
States. As an alternative to payment, the Grantee, a.~, its sale cost
and expense and within the time Yim'ts established by the Government,
may remove or adapt faci ~ it-'<~s constructed and operated ,,y i t on
said ric'~t-of-way ~,;o accommodate the aforementioned s `.ructur~~s and
fa.ci 1 i ti es of th.e '..kn i ted .Sty: `r =s . The Gr~.ntee sha11 bear the cost to
tY~e Gcve ~nment o' ~:~:y ce~',s occasioned by the fa i 1 ure of the Grantee
to remove or adapt its ¢~ac 1 i t~ ~~:~. wi ti'i r; the time limits specified.
c. There is also reserved to the :,'nited States the right
of ~ts officers, agents, emp~'Lyees, ':icensees and perm~~~ps, aY~ a„

d. The Grantee further agrees that the United States and

or wor~<s by reason of the exer~ i se of the r'` ~-`~ts here reserv~}c; nor

1.2. The Grantee here'~y agrees to indemnify and hold harmless

agreement.
I3. upon ter^~ination of th-:s a~!reement for any reason, the
Grantee shall at the optioY~~f the Contracting Officer .remove a?1
structures and facilities p' ~:~.ced upon the ~re;ri ses by the Gr~.ntee
and shah; restore the premises occupied by such structures and
faci l i t es -~o a cor,di ti on satisfactory to the Contracting 0-'~fi cer.
If the Grantee fa='s to remove its structures anc! faci?ides within
sixty (60, days after the termi Kati hn of tn~ agreement, provided
such reeuest has been made by the Contracting Officer, such structures
anti faci 1 ;ties, at the opti ,r rf the Contracting 0~ --;cer, sha"~ l
become the r~roperty o;' the !'Hired S"rates.
IrL. ?he provi si ors of this agr=eement spa? ? apply to and bind
the successors and assigns of the parties hereto, but r,o assignment
or trar:sfe;^ of t+iis agreement or any part or interest t°~erein sha':l

?5. This agreement shat' terminate.
a. At the option of the Contracting Officer if the Grantee
fails to cof~,ply with any of the terms and conditions thereof.
b. At the option of the Contracting Officer upon discon-
ti nuance by the Grantee of the use of the area covE •~_ `;,° Lhi s agree-
ment for a period of six {6~ con~~e~~:rive manths.
c. At the reG~~est of the Grantee by giving written notice
to the Contract~`~g Oft ;.cer.
i6. The Grantee here~~y agrees as follows:
