This SECOND ADDENDUM TO PROFESSIONAL SERVICES CONTRACT is made
this da of Se tember, 2011, by and between City of Meridian, a municipal corporation

or anized under the laws of the State of Idaho ("City"), and DMH Enterprises, an assumed

business name or anized under the laws of the State of Idaho, whose address is 1116 Dawn
g
Drive, Boise, Idaho ("Contractor").
WHEREAS, City and Contractor entered into a Professional Services Contract on
November 24, 2009 ("Contract") and a First Addendum thereto on June 21, 2011("First
Addendum"); and
WHEREAS, it is the Parties' intention that, except as expressly set forth herein, the
Contact and the First Addendum remain in full force and effect;
NOW, THEREFORE, in consideration of the foregoing, City and Contractor hereby agree
as follows:
A. That the term of the Contract, unless earlier terminated or extended, shall expire on
September 30, 2012.
B. That, except as expressly modified by this Second Addendum, all provisions of the Contract
and the First Addendum shall remain in full force and effect. No other understanding,
whether oral or written, whether made prior to or contemporaneously with this Addendum,
shall be deemed to enlarge, limit or otherwise affect the operation of the Contract, the First
Addendum, or this Second Addendum.
IN WITNESS WHEREOF, the parties shall cause this Second Addendum to be
executed the date first above written.
