WHEREAS, City and Contractor entered into a Professional Services Contract on
November 24, 2009 ("Contract") and a First Addendum thereto on June 21 2011 "Fir

WHEREAS, it is the Parties' intention that, except as expressl set forth herein the

Contact and the First Addendum remain in full force and effect;
NOW, THEREFORE, in consideration of the foregoing, City and Contractor hereb a ee

A. That the term of the Contract, unless earlier terminated or extended, shall ex ire on

B. That, except as expressly modified by this Second Addendum, all rovisions of the Contract

and the First Addendum shall remain in full force and effect. No other understandin

whether oral or written, whether made prior to or contemporaneousl with this Addendum

shall be deemed to enlarge, limit or otherwise affect the operation of the Contract the First
Addendum, or this Second Addendum.
