ADA COUNTY HIGHWAY DISTRICT COMMISSIONERS
NOTICE IS HEREBY GIVEN that the City Council of the City of
Meridian and the Commissioners of the Ada County Highway District will
hold a Special Joint Workshop at the Ada County Highway District's
Auditorium, 318 East 37th Street, Garden City, Idaho, on Monday,
October 4, 2004 at 12:00 pm noon. They will be discussing planning
and service issues and items concerning both agencies such as:
- status I update reports on current and future projects in Meridian,
- update on Meridian Transportation Management Plan,
- discussion of storm water retention ponds - maintenance and
landscaping issues,
- other issues time permitting.

f "PROJECTu shall mean the ACHD construction project commonly known as "Locust Grove Storm
Drain Pondfl, located on Locust Grove Road, near the intersection of Franklin Road.
SECTION 2. RESPONSmILITlES OF ACHD.
a. ACHD shall direct the contractor to provide the following materials and services on the
PROJECT for the benefit of CITY:
1. Install a drip irrigation system in such areas as set forthinthe approved plans;
2. Irrigation lateral lines shall be warranted for one (1) years after acceptance by CITY.
3. Maintain and repair the drip irrigation systeIllas provided in Special Provision
8000 of the Contract. Irrigation drip heads shallbe warranted for one (1) year after
acceptance by the CITY;
4. Supply and plant trees in areas within the public rights-of-way as set forth in the
approved plans; .

SECTION 5. DAMAGES. In the event that such breach fails to be cured, the party demanding performance
may recover such costs against the breaching party as it may incur to cure the breach.
SECTION 6. NOTICES. Any and all notices required to be given by either of the parties hereto shall be in
writing and deemed delivered when either: (i) delivered personally, or (ii) sent by fax to the other party; or (ill)
deposited in the United States Mail, certified, return receipt requested, postage prepaid, addressed to the other
party at the address set forth in the first paragraph of the Recitals section of this document, or such other fax
telephone number or mailing address as may be provided by written notice of such change given to the other in
the same manner as above provided.

SECTION4~~OTICE OF BREi\CH OF AGREEMENT. In the event that any party to this Agreement fails
to comply Wi~t~<? responsibiIitie~(ll; set forth herein, any other party to this Agreement may demand
performance afte~il?reviding notip<?itci the defaulting party of the breach and setting forth the actions necessary to
cure the breach. Sllc~~etice sIplJprovide for thirty (30) days to cure such breach or a reasonable time as may be
required consideringthe:s~onand the optimum planting time.
SECTION 5. DAMAGES. In the event that such breach fails to be cured, the party demanding performance
may recover such costs against the breaching party as it may incur to cure the breach.
SECTION 6. NOTICES. Any and all notices required to be given by either of the parties hereto shall be in
writing and deemed delivered when either: (i) delivered personally, or (ii) sent by :fax to the other party; or (iii)
deposited in the United States Mail, certified, return receipt requested, postage prepaid, addressed to the other
party at the address set forth in the first paragraph of the Recitals section of this document, or such other :fax
telephone number or mailing address as may be provided by written notice of such change given to the other in
the same manner as above provided.

SECTION 7. BINDING EFFECT. Upon the execution of this AGREEMENT, it shall be binding upon and
inure to the benefit of the parties hereto and their successors.
SECTION 8. ENTIRE AGREEMENT: MODIFICATION. This AG~gMENT constitutes the
entire understanding between the parties respect to this transaction. AnYJ:I1odification must be in writing
and signed by both parties. .
