ADDENDUM TO LICENSE AGREEMENT
ENDUM TO LICENSE AGREEMENT, made and entered into this ..,~ day of

_,, 201 I, by and between NAMPA & MERIDIAN IRRIGATION DISTRICT, an irrigation
district organized. and existing under and by virtue of the laws of tl~e State of Idaho {District), and the CITY
OF MERIDIAN, 33 East Idaho, Meridia~7, Idaho 83642 (Licensee), is made with reference to the following
i~acts;
The Dist~•ict and Licensee entered into a certain License Agreement dated. January 4, 201 l ,
recorded as Instrument No, I 11003860, Records of Ada County, Idaho. The purpose of the
License Agreement is to permit Licensee construct and instal I a 1 ~" Class A Reuse Main
under and across the Nine Mile Drain and the Five Mile Drai~~ and within the District's
easement, all within Licensee's ~•ight-of-way where Ten Mile Road intersects the Nine Mile
Drain and. the Five Mile Drain in Meridian, Ada Co~u~ty, Idaho. Licensee now ~•epresents
to tl~e Dist~•ict that Licensee desires to modify and amend said License Agreement to
approve and permit Licensee to change the location where the 1.6" Class A Reuse Main will
cross the Five Mile Drain approximately 390 feet west of Ten Mile Road and within the
District's easement for the Five Mile Drain. Execution of this addendum in accordance with
these facts will affect or change the terms of said License Agreement.
NOw, THEREFORE, for and i~~ consideration of the premises and of the covenants, agreements and
CO11d1t10l1S llereinaftea• set forth and those set forth in the License Agreement referred to above naming the
parties hereto as parties, the parties agree as follows:
1. Exhibit C, of said License Agreements is hereby amended to approve and permit Licensee
to change the location of the crossing of the Five Mile Drain with a 16" Class A Reuse Main to
approximately 390 feet west of tfle Ten Mile Road and within the District's easement. for the Five Mile Drain
(the prior location of the crossing o1' the Five Mile Drain is no longer authorized). The construction
described in this Addendum shall be in accordance with those portions of certain plans attached hereto as
Exhibit D-1 and by this reference made a part hereof.
2, Construction of the faci I ides authorized by th is Addendum shat l be completed one year from
die date of this Addendum. Ti~~~e is of tl~e essence.
3. Said License Agreement is hereby affirmed and shall remain in full force and effect except
as 111odlfled by this AddelldUnl. Licensee acknowledges a~}d agrees that it is bound by the covenants,

conditions and agreements contained in said License Agreement.
4. The Licensee agrees to pay reasonable attorney fees and recording fees for preparation and
recording of this Addendum.
5. The covenants, conditions and agreements contained herein and in said License Agreement
shall constitute covenHts to run with, and running with, all of the lands of Licensee described in Exhibit A
of said License Agreement, and shall be binding on each of the parties hereto and on all parties and all
persons claiming under Chem or either of there, and the advantages hereof shall inure to the benefit of each
of the parties hereto and their respective successors and assigns.
