Alaska Way Meridian, ID 83642 (208) 880-1695 OfficelCell (208) 893-5325 Faz July 5, 2007 ' City of Meridian Mayor and City Council 33 East Idaho Avenue Meridian, ID 83642 ' RE: Proposed Black Cat Sewer Trunk Cooperative Constriction and Reimbursement Agreement 30" and 27"Sewer Trunkline from Overland Road to Stoddard Road Dear Honorable Mayor and City Council: ' On behalf of Shepherd's Creek LLC, Linder 109 LLC, and Tuscany Development, Inc., RMR Consulting, Inc. is pleased to submit this request for approval of our planned construction of the Black Cat Trunk through the Southridge and Beazwood Subdivisions later this summer. This request ' was initiated by Shepherd's Creek LLC as a response to a condition of approval of the SS lot Shepherd Creek Subdivision that states that no building permits will be allowed until its sewer discharge bypasses the existing Beaz Creek Lift Station. In addition, we aze not allowed to commence construction of our subdivision until the City Engineer obtains a reasonable assurance of the bypass completion. As such, the somewhat unknown timing of construction of the Southridge and Bearwood Subdivisions dictates that Shepherd's Creek LLC pursues a means of constructing ' these lines in a known and timely manner with reimbursement provided. While being critical to the development of Shepherd Creek, Bearwood, and Southridge, this section ' of the Black Cat trunk is also critical to the completion of a functional Black Cat Trunk system serving the City of Meridian south of I-84 now and in the decades to come. The Black Cat Trunk system has been initiated by the City in the last few years and is currently a dry 36-inch main line in t Overland Road just north of I-84 with a capacity of over 24,000 future connections (see Area Exhibit). Currently, over a dozen existing or proposed subdivisions south of Victory Road are temporarily discharging into the Ten Mile Trunk system which is at or neaz capacity, with any new subdivisions, such as Shepherd Creek, not allowed to proceed until the situation is alleviated. Completion of this ' segment will allow the Shepherd Creek subdivision and the south half of the Bear Creek subdivision to flow into the currently dry Black Cat Trunk and reduce the burden on the Ten Mile Trunk system by 1651ots immediately. Other future segments of the Black Cat Trunk currently under design will ' connect the remainder of Bear Creek and upstream to the existing 27-inch sewer main installed by the Tuscany Development in Victory Road approximately 1.5 miles from the Bear Creek Lift Station. With this final connection, the Black Cat Trunk will be a functional, continuous sewer system and the Ten Mile Trunk will be relieved of over 2,500 existing or approved connections that are currently temporarily flowing or set to flow and instead will go into the Black Cat Trunk as master planned and required by existing capacity limitations in the Ten Mile Trunk system. HISTORY s With the approval of the Bear Creek Subdivision in 1999, the Beaz Creek LLC committed to ' contribute a special Black Cat Trunk Fee of $1,500 per lot ($534,000) to apply to the design and construction of the future Black Cat Trunk system. From 2001 to 2005, this special fee was collected by the City of Meridian prior to final plat signatures on each phase of Beaz Creek and m addition to the standazd building permit sewer connection fees. At the time, the Black Cat trunk was several ' miles away with an unknown timing. As such, the project was approved with a temporary lift station and force main system to the Ten Mile system in Overland Road. In addition, the developer ' constructed approximately $250,000 of downstream sewer improvements to alleviate a constriction in the Ten Mile system at Linder and Franklin Roads. Since that time, the sewer main at that location is at or neaz capacity again with additional new development including essentially all lots south of ' Victory Road that are temporarily dischazging to the Ten Mile Trunk pending the Black Cat Trunk completion. ' SCOPE AND BID The construction plans for "Southridge Subdivision, Overland Sewer Trunk" and "Bearwood Subdivision Phase 1" were released for bids on June 1, 2007 to 3 highly qualified underground utility contractors. Sommer Construction, Brown Construction, and Knife River provide sealed bids on June 13~, 2007 at the office of the City Engineer in accordance with the bid documents prepared by RMR Consulting, Inc. The bid opening was witnessed by City of Meridian personnel and included specific price per lineaz foot per foot of depth in accordance with Section 9-4-19 (Cooperative and Reimbursement Agreements) of City Code. The apparent low bidder was Brown Construction at a ' total bid of $1,378,569. The bid was not awazded pending concurrence by the Meridian City Council and approval of the construction and reimbursement agreement format. The work to be completed includes: ' 30-inch Sewer (16' - 24' Deep) 1,931 Feet 27-inch Sewer (14' - 28' Deep) 5,174 Feet ' 21-inch Sewer (16' - 28' Deep) 3,721 Feet Total Sewer Length 60" Manholes (14'-28' Deep) Overland and Linder Pavement 14' Gravel Access Road 10,826 Feet (over 2 Miles) 1 TIIVIING AND REIlVIBURSEMENT 43 Each Replace 2,939 Feet Insta117,887 Feet-if required by timing of roads Linder 109 LLC's "ordinary" construction schedule for Southridge would be to complete Lines "A1" and "A2" over the winter of 2007/2008 with other utilities and complete the Overland Road Realignment paving in the Spring 2008. In the spirit of cooperation, Linder 109 LLC is willing to contract with Brown Construction and RMR Consulting, Inc. upon approval of this reimbursement request to complete Line "A1" in August 2007. Linder 109 LLC is requesting that the reimbursable costs allowed by Ordinance be reimbursed lump sum upon completion and acceptance by the City of Meridian in late 2007. Tuscany Development, Inc.'s stated construction schedule is winter 2007/2008 to coincide with paving of lots within the first phase of Bearwood Subdivision in the Spring of 2008. However, this schedule could be delayed due to high lot supply and reduced demand in the current uncertain real estate market. Tuscany Development, Inc. and Shepherd's Creek LLC have agreed to allow Shepherd's Creek LLC to contract with Brown Construction to build the Black Cat Trunk through the future Bearwood Subdivision immediately to facilitate Shepherd Creek serviceability and to help the overall sewer situation in Meridian. Shepherd's Creek LLC is requesting full reimbursement from the City of Meridian upon completion and acceptance with the condition that Tuscany Development, Inc. pay a "connection fee" equal to the non reimbursable portion of the construction cost prior to signature on the Phase 1 final plat estimated in Spring/Summer 2008. The timing and details are shown on the attached Oversizing Reimbursement Summary with the Net Cost to each party as follows: City of Meridian ' Southridge Bearwood Shepherd Creek Total $612,820 60% $192,344 19% $209,186 21 $5,000 (Plus overall financing and construction of Black Cat Trunk within the Shepherd Creek Subdivision concurrently) $1,019,349 Lines Al and B -Overland to Stoddard Road As shown on the attached Summary, the total includes Engineering, Survey, Project Management, and a $32,517 City Administration Fce (5%) as provided in the Ordinance. The oversizing reimbursement does not include any pavement replacement or gravel access road costs to be reimbursed, with these costs to be borne by the developer. The standard building permit sewer connection fees of $2,372 per lot will total over $3,871,000 to be collected over the buildout of the 3 subdivisions alone. The sewer fee collected or to be collected by the total current existing and/or approved subdivisions on the Black Cat trunk south of Overland Road is over $12,000,000 (see attached). CONCLUSION 1 We are requesting City Council concurrence on proceeding forward with a final construction and oversizing reimbursement agreement for the above sections of the Black Cat Trunk to be constructed by September of 2007 in accordance with the attached documentation. The public-private partnership formed by the proposed agreement would allow the time-certain construction of large sewer infrastructure with private financing to help mitigate current sewer capacity issues in the Ten Mile Trunk and also set the foundation for projected growth in the decades to come. Upon completion and acceptance of the sewer lines by Shepherd Creek, Southridge, and Bearwood Subdivisions this fall, the City would acquire the functioning sewer systems at a 40% discount from previous sewer works projects with 100% City financing. The easement documents will be prepazed for both Line "A1" and Line "A2" at Linder 109 LLC's expense. Shepherd's Creek LLC will be responsible for the construction contract with Brown Construction and Linder 109 LLC will be responsible for payment of Brown Construction for Line "A1" and Line "A2" pursuant to the attached reimbursement documentation. Shepherd's Creek LLC, through RMR Consulting, Inc. will be responsible for construction management to insure proper construction of these lines ' through City acceptance and reimbursement. Any additional costs or fees outside of the scope of Brown Construction's contract, should they arise during construction of this segment of the Black Cat Trunk shall be Linder 109 LLC's expense. All testing, inspections, surveying, staking, and engineering shall be Linder 109 LLC's expense. Linder 109 LLC understands time is of the essence for sewer trunk construction and all possible efforts will be made to construct Line "A1" to Linder Road during the month of August 2007 with Line "A2" completion expected to be in October 2007, with both dates subject to timing of ACHD road closure approvals and the timing of the final Reimbursement Agreement. The amount to be reunbursed by the City of Meridian upon completion and acceptance of Line "A1" and Line "A2" shall be calculated based on the formula as provided in the proposed Black Cat Sewer Trunk Reimbursement Agreement by RMR Consulting,. Reimbursement To Sewer User: Should a sewer user at his own expense construct an extension to the sewer system in a public right of way or easement with prior approval of the city and in accordance with the standards and designs of the city and which sewer line extension has been determined by the city to be able to benefit properties other than the user's, the sewer user constructing the extension may be reimbursed for the proportionate cost of the sewer benefiting adjacent or other properties by entering into an agreement with the city if any of the following apply: 1. The sewer extension lies outside the sewer user's property and provides sewer service to other property. 2. The sewer extension is within the sewer user's property and is a gravity sewer larger than eight inch (8") diameter. 3. The eight inch (8") gravity sewer within the sewer user's property is required to be greater than ten feet (10') deep to serve upstream properties. 4. The sewer extension includes a permanent lift station. 5. The sewer extension includes a temporary lift station which the city requires to be oversized to serve adjacent or upstream properties. B. Eligibility: To be eligible for reimbursement, the user must: 1. Desi n the sewer extension in substantial accordance with the city of Meridian master sewer 9 ' plan; 2. Receive city approval of the sewer extension construction plans, 3. Construct the sewer extension in accordance with approved plans and city of Meridian standard specifications and details; 4. Solicit and receive three (3) bids for the sewer extension and select the lowest responsive bid as determined in a bid opening. The user must notify the public works department of the bid opening forty eight (48) hours in advance and provide the opportunity for a public works department representative to attend the bid opening during normal working hours; 5. Receive preliminary plat approval from city council for the development to be served by the sewer extension. Sewer extensions intended to serve nonsubdivision projects, and for which the developer seeks a reimbursement agreement, must receive approval for a reimbursement agreement from city council prior to construction plan approval by the city. C. Developer Reimbursement Agreements: The city shall not be required to enter into a reimbursement agreement and whether or not to enter into such an agreement shall be at the sole discretion of the city council; provided however, that: 1. No reimbursement agreement shall have a duration greater than ten (10) years unless the city is a beneficiary of the agreement. ' 2. A reimbursement agreement may provide for interest to be paid to the sewer user. 4. The city may charge and may receive a five percent (5%) administrative fee against the amount reimbursable to the sewer user for administration, accounting, aud~ing, and payment of the reimbursement payments made to the sewer user so extending the sewer line and having reached a reimbursement agreement with the city. 5. The reimbursement agreement shalt be personal to the sewer user entering into it and shall not ' be assigned without the written consent of the city, which consent will not be unreasonably withheld 6. The agreement will terminate when the user has been fully reimbursed if the agreed upon reimbursement amount is paid prior to the end of the term of the agreement. 7. The agreement shall be binding on the sewer user and his assigns, sucxessors, heirs and executors and may be recorded as an encumbrance against the property of the sewer user. 8. The sewer user shall be required to indemnify and hold the city harmless from any and all liability whatsoever until the sewer line has been accepted for maintenance by the city. 9. Said lines, after acceptance, shall become part of the city sewer system and be the sole property of the city. D. Methods Of Reimbursement: The reimbursement to the party constructing off site or oversize or over depth sewer will be from the sewer assessment fees owed or paid by the user as required under subsection 9-4-18~ of this chapter. E. Amount Of Reimbursement: 1. Off Site Gravity Sewer Extensions: The amount of reimbursement to the user shall be based on the projected proportion capacity that the user's project requires. The amount of reimbursement shall be based on actual construction costs, and may include reasonable-engineering, surveying, construction staking, project management and easement acquisition costs. 2. On Site Grav"rty Sewer Extension: The amount of reimbursement to the user constructing "oversize" or "over depth" gravity sewer shall be based on the percentages in the following table. Only construction costs are eligible for reimbursement for "oversize" of "over depth" on site gravity extensions. Reimbursement To City: Where the city constructs.a sewer line extension, either on its own or in conjunction with another person or entity, the city may enter into a reimbursement agreement as authorized above such that the city is reimbursed for its costs of construction, engineering, legal costs and interest. Sewer Assessment Fee: Notwithstanding any of the provisions of this chapter, any person, firm, partnership, corporation or association or property owner who has not otherwise paid for, or contributed proportionately toward, the costs and expenses of constructing a sewer line, whether that construction has been performed by the city, a local improvement district or a private entity, or combination thereof, and who subsequently desires to connect to the city sewer system, shall be required to pay, in add~ion to the required connection charges of subsection 9-4-25B of this chapter and the monthly user charges of section 9-4-24 of this chapter, an additional connection charge which shall be known as an "assessment fee". The assessment fee shall be computed on an "equivalent residential unit", or "ERU" basis, B. Fee Set By City Council: The sewer assessment fee for each parcel of ground connected to a trunk sewer line shall be established and set by the city council. The sewer assessment fee may different for residential, commercial, and industrial uses and may be different for differing uses within those three (3) classfications depending upon the considerations of efFluent quality but shall be as consistent as possible under similar factual circumstances. The sewer assessment fee shall be assessed in terms of equivalent residential units. C. Wastewater Treatment Assessment Fee: A treatment fee shall be required for every sewer user initiating sewer service, changing use of a property already connected to sewer or increasing the discharged wastewater flow.
