' Dear Honorable Mayor and City Council:
On behalf of Linder 109 LLC and RMR Consulting, Inc. we aze pleased to submit this request for
' approval of our planned construction of the Black Cat Trunk through the Southridge Subdivision later
this fall. This request is a companion item to the 30" and 27" Cooperative Construction and
Rembursement Agreement subnutted concurrently.
' This section of the Black Cat trunk is critical to the completion of a functional Black Cat Trunk
system serving the City of Meridian south of I-84 now and in the decades to come. The Black Cat
Trunk system has been initiated by the City in the last few years and is currently a dry 36-inch main
line in Overland Road just north of I-84 with a capacity of over 24,000 future connections (see Area
Exhibit).
' The Overland Road realignment approved with the Southridge Subdivision by the City of Meridian
and neaz approval with ITD and ACHD for the Ten Mile Interchange design, require that master-
' planned infiastructure be completed prior to paving Overland Road.
SCOPE AND BID
The construction plans for "Southridge Subdivision, Overland Sewer Trunk" and "Bearwood
Subdivision Phase 1" were released for bids on June 1, 2007 to 3 highly qualified underground utility
' contractors. Sommer Construction, Brown Construction, and Knife River provide sealed bids on
June 13m, 2007 at the office of the City Engineer in accordance with the bid documents prepared by
RMR Consulting, Inc. The bid opening was witnessed by City of Meridian personnel and included
specific price per linear foot per foot of depth in accordance with Section 9-4-19 (Cooperative and
Reimbursement Agreements) of City Code. The apparent low bidder was Brown Construction at a
total bid of $1,378,569 for all 30", 2T' and 21" sewer line within both the Southridge and Bearwood

Subdivisions. The bid was not awazded pending concurrence by the Meridian City Council and
approval of the construction and reimbursement agreement format.
The work to be completed includes:

Linder 109 LLC's "ordinary" construction schedule for Southridge would be to complete Lines "Al"
and "A2" over the winter of 2007/2008 with other utilities and complete the Overland Road
Realignment paving in the Spring 2008. Linder 109 LLC will contract with Brown Construction and
RMR Consulting, Inc. upon approval of this reimbursement request to complete Line "A2" in
November 2007 a$er the Ridenbaugh Canal is dry. Linder 109 LLC is requesting that the
reimbursable costs allowed by Ordinance be reimbursed lump sum upon completion and acceptance
by the City of Meridian in late 2007.
The timing and details aze shown on the attached Oversizing Reimbursement Summary with the Net
Cost to each party as follows:

Line A2 - 21" Sewer Overland to Ten Mile
As shown on the attached Summary, the total includes Engineering, Survey, Project Management,
and a $12,885 City Administration Fee (5%) as provided in the Ordinance. The oversizing
reimbursement does not include any pavement replacement or gravel access road costs to be
reimbursed, with these costs to be borne by the developer. The standazd building permit sewer
connection fees of $2,372 per lot will total over $3,871,000 to be collected over the buildout of the 3
subdivisions alone. The sewer fee collected or to be collected by the total current existing and/or
approved subdivisions on the Black Cat trunk south of Overland Road is over $12,000,000 (see
attached).
t CONCLUSION
t We aze requesting City Council concurrence on proceeding forwazd with a final construction and
oversizing reimbursement agreement for the above section of the Black Cat Trunk to be constructed
by late 2007 in accordance with the attached documentation. The public-private paztnership formed
' by the proposed agreement would allow the time-certain construction of lazge, master-planned sewer
infrastructure with private financing to help set the foundation for projected growth in the decades to
come. Upon completion and acceptance of the 30", 2T' and 21" sewer lines by Shepherd Creek,
Southridge, and Bearwood Subdivisions this fall, the City would acquire the functioning sewer
systems at a 40% discount from previous sewer works projects with 100% City financing..

' Dear Bidders:
On behalf of Shepherd's Creek LLC, you have been pre-selected to bid the Black Cat Trunk
Sewer Project, consisting of approximately 1931 L.F. 30" Sewer Main, 5174 L.F. 2T' Sewer
Main, 3721 L.F. 21" Sewer Main, 60 L.F. 30" Steel Casing, 43 E.A. 60" manholes,
pavement replacement, gravel access road, permits, traffic control, inspections, and all other
appurtenant work to complete the project from the existing trunk in Overland Road to the
entrance of the Bear Creek Subdivision on Stoddard Road and the existing trunk in Overland
Road to Ten Mile Road.
The project design is included in the attached two (2) separate plan sets, with the work to be
completed as one project, with the section from Overland to Stoddard Road (30" and 2T~
being the first priority:

BID OPENING
Sealed bids shall be hand-delivered to the City of Meridian, Office of the City Engineer, on
June 13~', 2007, at 10:00 AM for the bid opening with the low-bidder to be announced. This
project is developer financed, but due to the requested oversizing reimbursement, the
Meridian City Council will be required to approve the reimbursement prior to the Notice to
Proceed. The anticipated date for the Notice to Proceed is in July 2007.

Sewer and Manhole pricing shall include pipe, bedding, labor, dewatering, existing utility
crossings, erosion and sediment control, manhole blockouts for future connections, permits,
inspections/testing, and traffic control.
6. Pavement Replacement -Replace existing Overland, Linder, Stoddard, and Ten Mile
Road pavement to the satisfaction of the Ada. County Highway District.
7. Gravel Access Road -All sewer main outside of pavement shall have a gravel access
road in accordance with the standards of the Meridian Public Works Department.
TOTAL BID- PRICE
Tlie Total Bid Price shall be the sum of #1, #2, #3, #4, #5, #6, and #7 in the appropriate
categories and shall be the total price required to build and receive acceptance from the City
of Meridian for the project as described above and shown on the plans.

Enclosed is our bid for the above mentioned project. Our proposal is based upon The
Land Group drawings for Southridge Subdivision dated 4/16/07 and Engineering
Solutions drawings for Bearwood Subdivision No.1 dated 5/29/07. Our qualifications are
as follows:
' Construction stakin b owners.

No bond has been included.
No offsite disposal of excavated material included. Excavated material will be left on
either Southridge or Bearwood site. Excavated material from the existing roadways will
be placed on either Southridge or Bearwood site.
' No import backfill has been included.
' "Pavement Replacement" is based on 3" thickness. If it is found that additional
pavement depths will be required, these costs will be negotiated.
' Traffic control for the project is included and based upon "Full Road Closures".
Concrete and bridge work in the Ridenbaugh Canal will be done by others. Our
proposal includes restoration of the existing banks only.
Proposal is based on work between MHW05 & MHW06 (Ridenbaugh Canal) being
' completed after water is out of the canal, approximately October 15, 2007.
City of Meridian inspection fees are to be paid by owner. This cost can be incorporated
' into our proposal if required for $7,470.00, as based upon normal City of Meridian
inspection fees.
' Final price will be determined by measured quantity times unit price.
This proposal may be withdrawn if not accepted within 10 days of issuance.

Oversizins Reimbursment Participation
Black Cat Sewer Trunk -Overland To Linder -Line "Al"
Black Cat Sewer Trunk -Overland to Ten Mile -Line "A2"
Linder 109 LLC will grant the City of Meridian public utility easements for the purpose
of construction of the Black Cat Sewer Trunk through the property as shown on the
Construction Plans for the "Southridge Subdivision -Overland Road Sewer Trunk", after
preliminary acceptance of the Black Cat Sewer Trunk Reimbursement Agreement by the
Meridian City Council on June 26, 2007. The easement documents will be prepared for
both Line "A1" and Line "A2" at Linder 109 LLC's expense.
Shepherd's Creek LLC will be responsible for the construction contract with Brown
Construction and Linder 109 LLC will be responsible for payment of Brown
Construction for Line "A1" and Line "A2" pursuant to the attached reimbursement
documentation. Shepherd's Creek LLC, through RMR Consulting, Inc. will be
responsible for construction management to insure proper construction of these lines
through City acceptance and reimbursement. Any additional costs or fees outside of the
scope of Brown Construction's contract, should they arise during construction of this
segment of the Black Cat Trunk shall be Linder 109 LLC's expense. All testing,
inspections, surveying, staking, and engineering shall be Linder 109 LLC's expense.
Linder 109 LLC understands time is of the essence for sewer trunk construction and all
possible efforts will be made to construct Line "A1" to Linder Road during the month of
August 2007 with Line "A2" completion expected to be in October 2007, with both dates
subject to timing of ACHD road closure approvals and the timing of the final
Reimbursement Agreement.
The amount to be reimbursed by the City of Meridian upon completion and acceptance of
' Line "A1" and Line "A2" shall be calculated based on the formula as provided in the
proposed Black Cat Sewer Trunk Reimbursement Agreement by RMR Consulting, Inc.
This letter is anon-binding agreement with completion dates conditional upon the City of
Meridian's timely acceptance of the reimbursement methodology and subject to timely
execution of a formal agreement between Linder 109 LLC and the City of Meridian.

9-4-19: COOPERATIVE AND REIMBURSEMENT AGREEMENTS:
A. Reimbursement To Sewer User: Should a sewer user at his own expense construct an extension to
the sewer system in a public right of way or easement with prior approval of the city and in
accordance with the standards and designs of the city and which sewer line extension has been
determined by the city to be able to benefit properties other than the user's, the sewer user
constructing the extension may be reimbursed for the proportionate cost of the sewer benefiting
adjacent or other properties by entering into an agreement with the city if any of the following apply:
1. The sewer extension lies outside the sewer user's property and provides sewer service to other
properly.
2. The sewer extension is within the sewer user's property and is a gravity sewer larger than eight
inch (8") diameter.
3. The eight inch (8") gravity sewer within the sewer user's property is required to be greater than
ten feet (10') deep to serve upstream properties.
4. The sewer extension includes a permanent lift station.
5. The sewer extension includes a temporary lift station which the city requires to be oversized to
serve adjacent or upstream properties.
B. Eligibility: To be eligible for reimbursement, the user must:

2. Receive city approval of the sewer extension construction plans;
3. Construct the sewer extension in accordance with approved plans and city of Meridian standard
specifications and details;
4. Solicit and receive three (3) bids for the sewer extension and select the lowest responsive bid as
determined in a bid opening. The user must notify the public works department of the bid opening
forty eight (48) hours in advance and provide the opportunity for a public works department
representative to attend the bid opening during normal working hours;
5. Receive preliminary plat approval from city council for the development to be served by the sewer
extension. Sewer extensions intended to serve nonsubdivision projects, and for which the developer
seeks a reimbursement agreement, must receive approval for a reimbursement agreement from city
~ council prior to construction plan approval by the city.
C. Developer Reimbursement Agreements: The city shall not be required to enter into a reimbursement
agreement and whether or not to enter into such an agreement shall be at the sole discretion of the
city council; provided however, that:
1. No reimbursement agreement shall have a duration greater than ten (10) years unless the city is
a beneficiary of the agreement.
2. No reimbursement agreement shall pay to the sewer user paying for or constructing a sewer line

extension more than one hundred percent (100%) of his actual engineering and construction costs,
it being noted that in most cases at least some of the cost would ordinarily be assessed to the
sewer user's own property.
3. A reimbursement agreement may provide for interest to be paid to the sewer user.
4. The city may charge and may receive a flue percent (5%) administrative fee against the amount
reimbursable to the sewer user for administration, accounting, auditing, and payment of the
reimbursement payments made to the sewer user so extending the sewer line and having reached
a reimbursement agreement with the city.
5. The reimbursement agreement shall be personal to the sewer user entenng mto it and shall not
be assigned without the written consent of the city, which consent will not be unreasonably withheld.
6. The agreement will terminate when the user has been fully reimbursed if the agreed upon
reimbursement amount is paid prior to the end of the term of the agreement.
7. The agreement shall be binding on the sewer user and his assigns, successors, heirs and
executors and may be recorded as an encumbrance against the property of the sewer user.
8. The sewer user shall be required to indemnify and hold the city harmless from any and all liability
whatsoever until the sewer line has been accepted for maintenance by the city.
9. Said lines, after acceptance, shall become part of the city sewer system and be the sole property
of the city.
D. Methods Of Reimbursement: The reimbursement to the party constructing off site or oversize or
' over depth sewer will be from the sewer assessment fees owed or paid by the user as required
under subsection 9-4-18B of this chapter.
' E. Amount Of Reimbursement:
1. Off Site Gravity Sewer Extensions: The amount of reimbursement to the user shall be based on
the projected proportion capacity that the user's project requires. The amount of reimbursement
shall be based on actual construction costs, and may include reasonable engineering, surveying,
construction staking, project management and easement acquisition costs.
2. On Site Gravity Sewer Extension: The amount of reimbursement to the user constructing
"oversize" or "over depth" gravity sewer shall be based on the percentages in the following table.
Only construction costs are eligible for reimbursement for "oversize" of "over depth" on site gravity
extensions.

F. Reimbursement To City: Where the city constructs. a sewer line extension, either on its own or in
conjunction with another person or entity, the city may enter into a reimbursement agreement as
authorized above such that the city is reimbursed for its costs of construction, engineering, legal

A. Sewer Assessment Fee: Notwithstanding any of the provisions of this chapter, any person, fine,
' partnership, corporation or association ar property owner who has not otherwise paid for, or
contributed proportionately toward, the costs and expenses of constructing a sewer line, whether
that construction has been performed by the city, a local improvement district or a private entity, or
combination thereof, and who subsequently desires to connect to the city sewer system, shall be
required to pay, in addition to the required connection charges of subsection 9-4-256 of this chapter
and the monthly user charges of section 9-4-24 of this chapter, an additional connection charge
which shall be known as an "assessment fee". The assessment fee shall be computed on an
"equivalent residential unit", or "ERU" basis,
B. Fee Set By City Council: The sewer assessment fee for each parcel of ground connected to a trunk
sewer line shall be established and set by the city council. The sewer assessment fee may be
different for residential, commercial, and industrial uses and may be different for differing uses
within those three (3) classifications depending upon the considerations of effluent quality but shall
be as consistent as possible under similar factual circumstances. The sewer assessment fee shall
be assessed in terms of equivalent residential units.
' C. Wastewater Treatment Assessment Fee: A treatment fee shall be required for every sewer user
initiating sewer service, changing use of a property already connected to sewer or increasing the
