We are returning herewith the City of kertdtan's copy
of a Cooperative Htghway Maintenance Agreement, which has
been duly executed by the Commissioner of Highways.

SECOND PARTY AGREES
1`- To be responsible for and maintain, at second party's expense, the
sanitation facilities, street flushing, gutter and sewer cleaning, water facilities
and to keep said portion of street and highway clean otherwise.
2 - To undertake and be responsible for all costs pertaining to the in-
stallation and maintenance of proper street lighting and all traffic control de-
vices) including traffic signals, stop signs and other regulatory and warning
signs, in accordance with National standard Practices, as established by the
American Association State Highway Officials and the Institute of Traffic Engineers,
on all urban highway extensions within the corporate limits. Should the instal-
lation, rearrangement or removal of any of the aforementioned traffic control
devices be deemed necessary by the State because of non-conformance with the above
prescribed standards, all costs incidental:to such installation, rearrangement or
removal will be borne by the second party.
FIRST PARTY AGREES
1 To install, and maintain all necessary destination signs and ,route
markers and to furnish all equipment, material and 'labor ;for maintaining traffic
and lane lines (but'not to include cross -walk, parking lines or other pavement
markings).
REP "BURSE TENT BY STATE
The State will reimburse the party of the second part, the cost of
materials, equipment use and labor expended by second party in connection with
such maintenance to be performed by second party at State expense, as determined
by the accounting records made and kept by the party of the second part, true
copies of which must be furnished the State; that payments based on said records

as approved, by the State, will be made by the State to second party, at the end
of each fiscal year (July 1 to June 30). The State. Department of Highways must
certify in writing its approval of any accounting of expense items charged to the
State before payment will be approved and made to second party. The cost of
maintenance to second party from the State, shall not exceed the sum of
Two Hundred Sixty -Five and 25/100 Dollars
(p265:25 ),,in any one fiscal year.
It is understood that street maintenance costs may vary as the result
of varying weather and atmospheric conditions throughout the State. Specifica
tions,as to the particular work to be performed, the manner in which the work is

to be performed, the ,unit price and cost of materials and work, is set out, at-
tached hereto marked Exhibit B and made a part hereof.
It is further understood that in the .event, by the nature of this.Agree-
ment, some particular act or provision in connection with the execution thereof is
not specifically provided for herein, said act or provision shall be supplied only,
after having first been agreed to in writing and signed and executed by the parties,
.whichagreement b shall be su pplemental Hereto, that any and all such supplemental

agreements shall be made in duplicateand copies thereof shall be attached to
copies hereof and .said supplemental agreement will not be of any,force and effect
until it is so executed and so attached. '
