THE COUNTY OF AD'A, by and through its Board of Cq=1977,

City of Boise, County of Ada, State of Idaho, hereinafter referred tows
"County". and Ad13AIDIAN BIRB DISTRICT, by, and through its Board of
Commissioners o City of Meridian, County of Ada, State of Idaho, hereinafter
,referred to as "Fire District".
The parties to this Agreement, in consideration of the mutual covenants
and stipulations set out herein, agree as follows:
I,
That the emergency telephone system commonly known as the 911
Telephone System to be installed in the City -County Law Enforcement Center in
Boise, Ada County, State of Idaho, shall be in effect for the Fire District by
the tat day of aaaquat•�►, 197$. ,.,liei4lian Fire, DiaErict agrees to provide
the. Emergency 911 Telephone System to residents of the Meridian Fire District.
II .
That the County will provide and the Meridian Fire District shall
be obligated to compensate the County for the following equipment in amounts
not to exceed the costs set forth below, plus installation costs, said equipment
to be used in conjunction with the Emergency 911 Telephone System:
That the Meridian Fire District shall also fully compensate the
County for the cost of installation of the equipment set forth in paragraph U.
TV.
That the Meridian Fire District ,shall
assume the total costs of
the inspections required by the Federal Communications Commission for
the use of the Emergency 911 Telephone System and related equipment.
V.
That the cost of maintenance of the equipment set forth in paragraph II
is subject to negotiation and shall be incorporated in a separate contract between
the County and the Fire District.
VI.
That the Meridian Fire District is responsible and shall take the

mainisin e4equete liability, insurance for

the Emergency 911 Telephone System and its related equipment as the system
and equipment pertains to the Fire District; 'its addition, adequate liability insurance
must be secured and maintained for the negligence of their agents and employees
whose duties include functions related to the Emergency all Telephone System
and relate equipment t
That the Meridian Fire District shall hold,barmless and indemnify
the County and any agency of the County for any claim asserted against
of either party that is not contained in this written contract shall be valid or
binding; and this contract may not be enlarged, modified or altered except in
writing signed by the County and Fire District and endorsed thereon .
VIII.
Both the County and the Fire District shall have an affirmative duty.
to comply with all Federal, State and local laws and regulations that are
applicable to this Agreement..
IX.
This Agreement shall inure to the benefit of and be binding upon the
successors and assigns of the respective parties.
IN WITNESS WHEREOF, The ,parties have executed this Agreement at
Boise', Ada County, Idaho, on the day and year first above written.
