Agreement made this --------Tenth_ ~.~ay of __sIa~&.----------------- 19___--~--, between NORCO, 1522 River St. Iloise, Idaho, (Dist-ributor) and (Name) ____._C.if~__t~f__~e~3a~.-3,ax1i__r.~~_Il~p~.._____ (Address) ---~~7~'~.~,.~x~~--~d~l~t------------------•------------------------------------------- (Consumer) . 2. ~VHEREA.S, Distributor is engaged in the sale and distribution of `Elud'e' oxygen, Argon, Nitrogen, and `Preset-O-L~ite' acetylene in cylinders, which cylinders are loaned to the Consumer for such purpose; and 3. WHEREAS, Distributor has purchased a quantity of cylinders which it has leased ~i~o the manufacturer of said gases in order to obtain an ample supply of cylinders to be Moaned to its customers; and 4. WHEREAS, Consumer desires, ~to ~h~ave a. certain number of cylinders reserved ~b-y Distributor for Consum- er's use and •t,o be released from its obligation to pay demurrage with i:espect tosuch number of cylinders. 5. THEREFORE, IT IS AGREED AS FOLLOWS: Distributor wil'1 allot to the use of Consumer for a period of TWEllT~TY (20) years from the date hereto with option of renewal a botal ~of ___c~xe~__________ Style-__LK____ of______21t1t.-__ Cubic Foot cylind~.er for______4xy~~1,__ and ____ x_ ~ Style_X- ~____ of_____ x_ x__x _____Cubic Foot cylinder for acetylene. Distributor will maintain at all times during such period a sufficient number of cylinders for delivery of oxygen and acetylene to con- sumer in return for an empty cylinder whenever requested by Consumer provided the total quantity of the respective types of cylinders in the possession of the Consumer at any one time does not e~oceed the quan- tities hereinabove specified. 6. With respect to the aforesaid quantity of cylinders alloted to Consumer no demurrage will be charged the Consumer if any cylinder is not returned within thirty (30) days after delivery. Distributor reserves the right Uo make a d'emurr°age charge ~of fo`ur cents per day per cylinder on any additional cylinders that the consumer has in his service over and above the quantity covered by this agreement; which demurrage charge the Consumer agrees to pay. 7. In consideration of the foregoing Consumer will pay to the Distributor upon the execution of this agree- ment the sum of Fif~y_ ~nd__~10f~,.QQ_______________________Dollars ($______~i}:..~(~ per each ______IIx~g®n________ cylinder and the sum of ___~__x_x_x--x x_x-_x-x_x-_x_-_--___--Dollars ($_____~c__ac_~_x) per each acetylene cylinder. 8. The Distributor agrees to exchange the above mentioned cylinder for full cylinders at prices in effect ai time of delivery, such prices to be f. o. b. Distributor's Warehouse. 11. CYLINDERS ARE LOANED TOCONSUMER ONLY AND NO TITLE THERETO PASSES T'O CONSUMER. Consumer agrees to be responsible for all cylinders so loaned while in Consumer's possession, and will pay to Distributor on demand for all loss or damage to any cylinder resulting from any cause while in Con- sumer's~ poss~essi~o~n. Consumer shall not have any cylinder refilled except through the Distributor. 12. Upon failure of Consumer to comply with each and every provision Hof th~s• lease, distributor may at its option ~wiHhaut notice cancel this lease. 13. THIS AGREEMENT IS NOT TRANSFERABLE. Cylinders must be returned to Distributor at expira- tion of this lease or a new lease agreement is to be made between the parties hereto. Customer shall for a period of Twenty (20) years froth the date hereof, have the privilege of exchanor~ing said Cylinder(s) or nay Cylinder(s) subsequently exchanged therefor, when empty, for any full Cylinder(s) of like type and capacity then owned by Compatry upon payment to Company of the contract price of the gas contained in the full Cylinder(s) as provided in the Service Agreement simultaneously executed herewith and attached hereto, and made a part hereof, or any other Service Agreement(s) hereafter entered into by the parties hereto. This Agreement shall in all respects be subject to the terms and conditions of said Service Agreement(s) ex- cepting only that for so long a time as this Agreement is in effect and not terminated by Customer, then Customer shall not be liable for demurrage charges as otherwise provided. Customer shall at any time have the right to terminate this Agreement and. return the Cylinder(s) for refund of the sum as above set forth, less demurrage charges as provided in the Service Agreement(s) above mentioned which would have been paid during the period of this Agreement in the absence thereof.
