Agreement for membership in IEC Group, Inc., between ` ~ ~ ^~ ~~-~ ~~~ 4' ~" ~ c~ I ~=i ~ ("Member") and
IEC Group, Inc., ("IEC"). ,
The IEC, agrees to provide services based on the membership package (see attached membership benefits/dues sheet).
Member agrees to pay the annual dues of ~ 2'w `~' `t.
The Merber's annual dues cover a twelve month period of membership (the Membership year). The Membership year com-
mences upon the acceptance of the Member's application by the IEC. The membership will automatically be renewed for the next
membership year unless the Member gives written notice of cancellation at least thirty days. (30) before the beginning. of the next
membership year.
The full amount of the Member's dues are payable upon acceptance of the Member's application and at the beginning of any fol-
lowing Membership year. Members may opt to pay their membership dues on a monthly or quarterlJ~" installment basis. The
monthly payment includes a ten percent (10%) service charge. ~~"

Based upon the above selection, ( installment(s) of $ ! ~ ~-~ ~ ~ shall be paid to the IEC on a(n)

Reasonable travel expenses, for all on-site reviews or other on-site consulting, including but not limited to, lodging, meals,
mileage, and air fare shall be reimbursed by the member and are not included in the Member's annual dues.
In the event that the Member is unable to make the installment payment in a timely fashion then the IEC has the right to collect
the remaining portion of the annual dues owing. on the option. Any account unpaid after sixty days (60) will be charged at an
interest rate of 12% per annum.
The IEC does not act as the member's attorney on compliance issues, therefore, an attorney-client relationship does not exist. On
issues of legal importance the Member is to contact its attorney for advise on those issues. In the event that a claim is made against
the Member by a third party the Member agrees to indemnify and hold the IEC harmless from any and all of said claim.
Any controversy or claim (except those subject to the jurisdiction~il limits of small claims court) arising out of or
relating to this membership, shall be settled by binding arbitration in accordance with the Commercial Arbitration
Rules of the American Arbitration Association, and judgment upon the award rendered by the arbitrator(s) maybe
entered in any court having jurisdiction thereof. Either party may petition a court of competent jurisdiction for any
appropriate provisional remedy without waiving the rights and obligations contained in this paragraph. Any arbi-
tratio~'~olpducted in accordance with this provision shall take place in Boise, Idaho.
