JANITORIAL SERVICES
JANITORIAL AGREEMENT
This AGREEMENT made between the City of Meridian (OWNER), a political subdivision
of the State of Idaho, and Cvs~ C(FF,~I~,l y ~2yic~ z hereinafter called

The OWNER and JANITOR, in consideration of the mutual covenants hereinafter set
forth, agree as follows:
1. WORK.
The JANITOR is to perform janitorial services as set forth hereafter, in the
buildings and at the frequency set forth in the Specifications.
• Vacuum all carpets and dust all furniture with polish.
• Shampoo all carpets with a shampoo approved by the OWNER.
• Mop all tiled floors with a cleaner.
• Wax all tiled floors with an OWNER approved wax or polish, including
polishing of floors with a mechanical polisher.
• Empty all trash containers and discard all materials specified by OWNER.
• Wash all windows with a window cleaner, inside and outside.
• Clean all bathrooms, including toilet and lavatory bowls and refill all paper
towel and toilet paper dispensers.
• Change burned out light bulbs as needed.
Clean light fixtures.
• Clean heating and cold air ducts.
• Clean window blinds with a cleaner compatible with slat and string material.
• Wash walls and door moldings to remove markings.
2. COMPENSATION.
The OWNER shall pay the JANITOR the sum of $ ~ a ~ 3. 3 3 per month
for the services described herein and in the Specifications.
Generally, payment will be sent to the JANITOR by the 15th day of the month
following OWNER's receipt of the JANITOR's invoice.
In addition, the OWNER will compensate the JANITOR for any additional
services as agreed to in Writing between OWNER and JANITOR.
3. MATERIALS AND EQUIPMENT.
JANITOR agrees to provide all materials and equipment necessary to perform all
listed services as a part of the compensation listed above. OWNER will provide a
storage area at each building site for these materials.
4. EMPLOYEES.
JANITOR agrees to provide OWNER with a list of names and addresses of all
employees who will be working at each building in performing the janitorial services. If
OWNER disapproves of any such employee (s), in writing, JANITOR agrees not to use
such employee (s) in the work. JANITOR further agrees to use care in selecting
trustworthy employees and in supervising them.
5. INDEMNIFICATION.
JANITOR agrees to indemnify, defend, and hold harmless OWNER, and its
officers, agents and employees, from and against any and all claims, losses, actions, or
judgements for damages or injury to persons or property arising out of or in connection
with the acts and/or any performances or activities of JANITOR, JANITOR's agents,
employees, or representatives under this Agreement.
6. INSURANCE.
JANITOR agrees to obtain and keep in force during its acts under this Agreement
insurance in amounts and types as specified in the Specifications. Certificates of
Insurance for all required insurances shall be submitted to the OWNER prior to OWNER
signature to this Agreement.
7. COMPLIANCE WITH LAWS.
JANITOR agrees to comply with all federal, state, city, and local laws, rules and
regulations.
8. KEYS.
OWNER will give one set of keys to JANITOR for access to the premises, and
JANITOR must obtain the approval of OWNER as to any employee who is given access
to the keys. JANITOR shall be responsible for the costs of re-keying any locks required
by JANITOR's loss of keys.
9. INDEPENDENT CONTRACTOR.
The parties agree that JANITOR and all its employees are independent
contractors for OWNER and in no way employees or agents of OWNER and are not
entitled to workers compensation or any benefit of employment with the OWNER.
OWNER shall have no control over the performance of the Agreement by JANITOR,
except to specify the time and place of performance and the results to be achieved.
JANITOR shall be responsible for the payment of any and all taxes due for the
compensation received under this contract.
10. TERMINATION.
This Agreement may be terminated immediately by OWNER for breach of this
Agreement by JANITOR and either party may terminate this Agreement by 30 days
written notice of termination to the other party.
11. DISPOSAL OF TOXIC SUBSTANCES.
JANITOR agrees to dispose of any and all toxic substances used in the premises
in accordance with federal, state and local statutes and regulations and further agrees
to indemnify OWNER from any liability resulting therefrom.
12. ATTORNEY FEES.
Reasonable attorney fees shall be awarded to the prevailing party in any action
to enforce this Agreement or to declare termination or forfeiture of this Agreement.
13. AGREEMENT DOCUMENTS.
The documents which comprise the entire agreement between OWNER and
JANITOR concerning the work consist of the following:
a. This Agreement
b. Certificates of Insurance
c. Notice of Award
d. Acceptance of Notice of Award
e. Specifications
f. Invitation to Bid
g. Information for Bidders
h. JANITOR's Bid
i. Documentation submitted by JANTOR prior to Notice of Award
There are no agreement Documents other than those listed above.
14. AGREEMENT TIME PERIOD.
The work under this Agreement shall

15. MISCELLANEOUS.
a. No assignment by a party hereto of any rights under or interest in the
Agreement Documents will be binding on another party hereto without the written
consent of the party sought to be bound; and specifically but without limitation moneys
that may become due and moneys that are due may not be assigned without such
consent (except to the extend that the effect of this restriction may be limited by law),
and unless specifically stated to the contrary in any written consent to an assignment no
assignment will release or discharge the assignor from any duty or responsibility under
the Agreement Documents.
b. OWNER and JANITOR each binds itself, its partners, successors, assigns
and legal representatives to the other party hereto, its partners, successors, assigns
and legal representatives in respect of all covenants and obligations contained in the
Agreement Documents.
16. OTHER PROVISIONS.
IN WITNESS WHEREOF, OWNER and JANITOR have signed this Agreement in
triplicate. One counterpart each has been delivered to OWNER and JANITOR. All
portions of the Agreement Documents have been signed or identified by OWNER and
JANITOR on their behalf.

The OWNER has considered this Bid submitted by you for the above described
Work in response to its Advertisement for Bids and Information for Bidders.
You are hereby notified that your Bid has been accepted for:
Providing Janitorial Services at six (6) city staff occupied buildings

You are required to fully execute the Agreement and furnish the required

SPECIFICATIONS
Description of Work.
The work contemplated under this Agreement consists of providing janitorial services
to City owned and leased buildings named and located as follows:

It is the intent of these specifications that the Janitor furnish all necessary labor, equipment,
cleaning materials and paper goods and shall perform all cleaning operations and frequency
thereof as shown on the following schedule.

Conditions of Work.
The Janitor has informed himself/herself of the conditions relating to the work and it is
assumed that he/she has inspected each site at which the work is to be done and has made
himself/herself familiar with the required cleaning functions and frequency at each site as
shown in the previously listed Schedule of Janitorial Service.
Insurance.
The Janitor shall not commence work under this Agreement until he/she has furnished
the Owner with satisfactory proof of the carriage of insurance as specified herein.
A. Workmen's Compensation Insurance: The Janitor shall maintain, during the
life of this Agreement, Workmen's Compensation Insurance for all employees
employed on this work.

B. Comprehensive General Liability: The Janitor shall maintain this insurance
against death or injury to persons or damage to property during this life of this contract
in such form as it will protect the Janitor and Owner from all as above provided in the

The City of Meridian shall be explicitly named as an additional insured and Owners and
Contractors Protective Coverage included.
Special Provisions
Time for Cleaning -Cleaning operations shall not commence in any of the listed
buildings prior to 5:00 p.m., Monday through Friday.
Employees -All employees who will be working in the listed buildings are required to
undergo a background investigation as conducted by the Meridian Police Department. Only
employees with a satisfactory background check shall be allowed to access the work areas.
