THIS AGREEMENT entered into this day of , 2000, between CItY Of Meridian hereinafter referred to as the "CLIENT' and J-U-B
ENGINEERS, Inc., an Idaho corporation of Boise, Idaho, hereinafter referred to as " J-U-B ".
WITNESSETH:
WHEREAS, the CLIENT intends to construct South Slouah Trunk Sewer Extension outlined in Attachment "A", hereinaffer
referred to as the PROJECT; NOW, THEREFORE, the CLIENT and J-U-B in consideration of their mutual covenants herein agree in respect as set
forth below.
CLIENT INFORMATION AND RESPONSIBILITIES
The CLIENT will provide to J-U-B all criteria and full information as to CLIENT'S requirements for the Project, including design objectives and
constraints, space, capacity and performance requirements, flexibility and expandability, and any budgetary limitations; and fumish copies of
all design and construction standards which CLIENT will require to be included in the Drawings and Specifications.
The CLIENT will fumish to J-U-B, as required for performance of J-U-B 's services, data prepared by or services of others, if available,
including, without limitation, borings, probings and subsurface explorations, hydrographic surveys, laboratory tests and inspections of samples,
materials and equipment; appropriate professional interpretations of all of the foregoing; environmental assessment and impact statements,
surveys of record, property descriptions; zoning, deed and other land use restrictions; and other special data or consultations as may be
available, all of which J-U-B may use and rely upon in performing services under this Agreement.
The CLIENT will arrange for access to and make all provisions for J-U-B to enter upon public and private property as required for
J-U-B to perform services under this Agreement.
In addition, the CLIENT will furnish to J-U-B : AS Outlined In Attachment "A".

Remarks:
The Notice to Proceed, by the Client, verbal or written, constitutes acceptance of this Agreement.
THE TERMS AND CONDITIONS, INCLUDING RISK ALLOCATION, ON THE REVERSE SIDE ARE PART OF THIS
AGREEMENT. THE CLIENT AGREES TO SAID TERMS AND CONDITIONS.

AGREEMENT FOR CIVIL ENGINEERING SERVICES

SECTION 1 -PROJECT UNDERSTANDING
1. Project Understanding and Location Description
1.1 The Owner intends to construct the South Stough Trunk to the easterly right-of-
way of Eagle Road as generally shown on the 1998 Sewer Master Plan Update.
Generally, this trunk shed is served with the South Slough Trunk (approximately
3,900 lineal feet) and a 10 Ustick Interceptor, (approximately 2,900 lineal feet).
The project limits are shown on Exhibit 1 and generally include: 1) South Slough
Trunk from Kamay Drive easterly along Leslie Drive and crossing Eagle Road, 2)
Ustick Interceptor from Leslie Way north to Ustick and easterly crossing Eagle
Road.
1.2 Several alignment alternatives exist and are shown on the accompanying Exhibit 1,
attached to this agreement. There are critical easements requiring acquisition for
this project. Assumptions have been made in this Agreement, to estimate J-U-B's
level of effort and fees. Depending on the complexities of each easement
negotiation, these estimates may vary significantly. RECEIVE

2. Owner Information and Responsibilities: ~~y~yFN
The following data and/or services are to be provided by the OWNER without cost~o'th~P
J-U-B.
2.1 Provide ongoing review of J-U-B's work and timely consideration of policy issues
within a time acceptable to both the OWNER and J-U-B.
2.2 Assign OWNER contact person to attend meetings with the Engineer, as required
for easement negotiation, and to serve as liaison with affected property owners
and private development. Provide timely review of easement issues and
provisions.
2.3 Provide access to relevant record drawings, master plans, and other relevant
information of record.
2.4 Provide copies of existing sewer easements, license agreements, and other
existing legal instruments that may exist on the South Slough Trunk Sewer and
existing City easements that may be relevant to the project.
2.5 Provide City personnel and equipment to field locate existing city facilities and
expose other utilities that may represent a conflict to the proposed
improvements. This may entail exploratory excavations to determine exact
locations and depths of critical utilities prior to design.
2.6 Pay for all permits, fees, or other payments required to secure permitting for
construction of the proposed improvements.
2.7 Provide copies of all preliminary and final plats within the project area.
2.8 Assist J-U-B with organization and administration of a neighborhood meeting. Mail
a flyer to the adjoining landowners informing them of the project.

2.9 Pay for all costs associated with the acquisition of easements required to
construct the project.
2.10 Identify locations of future collection sewer stub-outs.
SECTION 3 -PRELIMINARY AND FINAL DESIGN
3. Services to be Performed by J-U-B:
J-U-B shall furnish services specifically limited to the following:
3.1 Project Meetings
A. Kickoff Meeting: J-U-B shall attend akick-off meeting with the OWNER for
the purposes of obtaining project information and to receive any general
direction the OWNER may have with respect to proceeding with the
project.
B. Project Review Meetings: Periodic project meetings will be held as
necessary to discuss project schedule and issues that develop over the
duration of the project.
C. Neighborhood Meetings: A neighborhood meeting(s) may be required to
discuss project with the affected residents before entering the
construction phase. J-U-B will coordinate such meeting with the OWNER
and conduct. OWNER shall mail an informational flyer to property owners
prior to the meeting.
3.2 Preliminary Design
A. Alternative Alignments: J-U-B will refine the conceptual alignment
alternatives as generally shown on Exhibit 1. This will include the
following:
1. Each alternative will be reviewed for conformance with the master
plan. Aerial mapping from the Owner's 1998 Sewer Master Plan will
be utilized to evaluate alternatives for general routing and service
depth, in addition to field review, Ada County base mapping, and
input from the OWNER.
2. Trunk and interceptor sizing wilt be evaluated for service area
modifications, which differ from the 1998 Sewer Master Plan,
namely, areas serving the southeast corner of Ustick and Eagle
Roads via Ustick Interceptor.
3. J-U-B will identify where easements are needed for each
alternative and contact property owners. During this phase, it is
assumed that J-U-B will meet with property owners two (2) times,
to determine general concerns and feasibility of obtaining the
necessary easements.
4. Initial contact will be made to permitting agencies to determine
general design issues and constraints that may affect routing.
5. Initial screening of the alternatives will be performed with the
OWNER and opinions of cost developed for the selected

alternatives. Screening considerations are anticipated to include
construction cost, implementability, availability of easements,
permitting issues, etc.
6. J-U-B will meet with the OWNER and establish a preferred
alternative for final design.
3.3 Monument, Benchmark and Right-of-way Research and Control
J-U-B shall research the Ada County Surveyor's records for survey monuments to
aid in establishing horizontal control for the preferred alternative. J-U-B's
previous horizontal control work completed for the OWNER, in the 1998 Sewer
Planning Project, and 1999-2000 Waterline Projects will be utilized to the
maximum extent feasible. The horizontal coordinate system will be translated to
a common point in the 1983 Ada County G.I.S. system. J-U-B will locate in the
field monuments of record that may be disrupted as a part of construction. J-U-B
shall reference these monuments on the Construction Plans provided to the
OWNER. In addition, J-U-B shall depict on the construction plans, other
monuments, or land corners that have adequate evidence of existing. Vertical
control shall be based on the 1988 NAVD datum elevation. Research will be
performed to generally identify rights-of-ways. J-U-B shall set temporary
benchmarks (T.B.M.s) and horizontal control points at 500-foot intervals along the
alignment of the project required for proper construction control. TBM's and
horizontal control points shall be delineated on the final Construction Plans
provided to the OWNER. Stationing basis for Eagle Road crossings will reference
Idaho Transportation Department (ITD) roadway stationing.
3.4 Topographic Survey
J-U-B shall complete topographic surveys along the selected Trunk and Interceptor
routes. Limits of topographic survey are: 1) Generally, a 75-foot wide strip of land
will be surveyed with additional site survey as needed at waterway crossings, and
boring locations. The survey shall locate all relevant features necessary for a
proper design of the project. In particular, locating private domestic wells that
may represent regulatory a separation concern. At a minimum, these items shall
include topography features such as fences, utility poles, surfacing, culverts,
drainage structures, significant vegetation, drain flowlines and top of bank
elevations, sidewalks, curbs, gutters, driveways, utilities, edge of pavement, and
shall also include a search for monuments of record, physical survey of monuments
and property pins that are found.
3.5 Desi n
A. Design of Trunk and Interceptor: J-U-B shall be responsible for preparing
the design in conformance with OWNER's and local agencies' policies
including NMID and ACHD. J-U-B shall be responsible for design
considerations such as minimizing surface disturbance, optimizing service
depth of trunk sewer, constructability, minimizing impact to drains,
dewatering, traffic access, utility conflicts, and other items necessary for

proper construction of the project. Surface restoration requirements will
be identified on the drawings.
B. Eagle Road Crossings: Borings will be designed to route the Trunk and
Interceptor beneath Eagle Road, in accordance with Idaho Transportation
Department (ITD) utility permit requirements.
C. Drain Crossings: It is assumed that one (1) drain crossing will be required
and will be designed as an open trench crossing. It is assumed that a joint
permit U.S. Army Corps 404 and Idaho Department of Water Resources
(IDWR) permitting will be required. Permitting is provided under a
separate task. J-U-B will design crossings to conform to agency permitting
requirements and provide a high degree of constructability.
3.5 Topography and Design Drafting
J-U-B shall perform design drafting in AutoCAD 2000 that can be converted to be
compatible with the OWNER's current computer-aided drafting system (Version
14). The anticipated scale of the plan and profile drawings shall be 1" = 20'
horizontal and 1" = 2' vertical scale. All drawings will include Meridian Public
Works title blocks, City sewer department standard notes, vicinity maps, sheet
indexes, north arrows, and bar scales. The design drawings shall utilize the
OWNER's standard symbols and shall identify pipe size, type, slope, invert
elevations, ground surface elevations, surface repair required, boring details,
property lines, found monuments and property corners where there is sufficient
documentation of their existence, rights-of-ways, easement boundaries, street
names, elevation benchmarks, survey control, topographic features, significant
landscaping, irrigation facilities, utilities, pay limits, and any special details
necessary for a biddable product. The drafting shalt be performed on a 22" x 34"
vellum, ANSI standard size "D" sheets.
3.6 Specifications and Contract Documents
Specifications and Contract Documents shall be in accordance with the 1999
Edition of the Idaho Standard Public Works Construction (ISPWC) format and
standard revisions thereof. J-U-B shall be responsible for preparing special
provisions necessary for the project and shall prepare the contract documents on a
word processing system compatible with Microsoft Word, Windows 1998.
3.7 Plan Review
Upon 90% completion of the plans and specifications, J-U-B shall submit review
sets of plans to all affected utilities, NMID, ITD, and ACHD and two sets for the
OWNER'S final review and approval.
3.8 Final Revisions
J-U-6 shall incorporate all appropriate revisions as suggested by the OWNER and
the utilities in the final set of plans and specifications.

3.9 Opinion of Probable Construction Cost
J-U-B shall develop and issue to OWNER an opinion of probable construction cost
for the construction project and any bid alternatives.
SECTION 4 - SUBCONSULTANTS
4.1 Geotechnical Investigation and Borehole Locations
Services will be retained from Terracon to provide geotechnical services as
outlined on Terracon's attached proposal No. 62002206, herein refered as
Attachment "C". J-U-B will field survey borehole and monitoring well locations
for reference on the construction plans.
SECTION 5 -EASEMENTS PERMITTING Et AGENCY COORDINATION
5.1 Easements• Property Owner Meetings -Preferred Alternative
Where new easements are required for construction of the project, J-U-B shall
meet individually with affected property owners to negotiate requirements and
develop easement provisions. For the purpose of estimating fees, five (5) separate
easements are assumed, each requiring four (4) separate meetings to finalize
negotiations. J-U-B's level of effort for completion of this Task is particularly
variable depending on the complexities of each negotiation.
5.2 Easement Appraisal, Descriptions and Exhibits
If an appraisal process is required to secure easements, J-U-B shall have the land
appraised by Idaho Land and Appraisal Company or other appraiser acceptable to
the OWNER. J-U-B shall also prepare the necessary easement legal descriptions
and exhibits in the OWNER's standard format for the OWNER to secure the
necessary right-of-way for construction. Title reports may be required on each
affected property. For the purpose of estimating fees, it is assumed that four (4)
properties will be affected.
5.3 Drainage/Irrigation District Permitting
Permitting with Nampa-Meridian Irrigation District (NMID) is variable on the final
alignment of the project. It is assumed that one crossing license agreement will
be required, in addition to a license agreement to construct the Trunk along the
South Slough Drain. J-U-B will meet with NMID to determine design constraints,
and prepare the necessary license agreement applications, legal descriptions and
exhibits.
5.4 U S Army Corps of Engineers\Idaho Department Water Resources Permitting
An on-site meeting will be performed with USACE and IDWR to determine if a joint
404 permit is require for drain crossings. For the purpose of estimating scope of
services, one (1) joint 404 permit application is assumed. J-U-B will complete the
necessary application and exhibits. A wetland delineation or inventory study is not
included in this work, if required by USACE.

5.5 Agency and Utility Coordination, Research, and Permitting
A. J-U-B shall coordinate alignments with ACHD and ITD to establish
acceptable corridors. J-U-B shall prepare the necessary ITD Utility
Crossing permits to construct the bored undercrossing of Eagle Road that
will be required for the Trunk and Interceptor. Coordination with ACHD
and ITD is anticipated to include: 1) Determining if any road or structure
improvements are anticipated in the foreseeable planning period.
2) Obtaining pertinent design requirements and material specifications for
proposed improvements. 3) Obtaining record drawings of improvements in
the project vicinity. 4) Identifying approval time required to complete the
permitting process. J-U-B will submit construction plans to ACHD and ITD
for approval.
B. J-U-B shall contact and receive utility information from gas, power,
telephone, storm drainage, cable T.V., street lighting, traffic signals,
irrigation, and other utilities that may be affected by the proposed
construction. Utilities depicted on drawings as a result of this task will not
be verified. Utility location must be verified during project construction.
D. Coordination and the submittal of final construction plans and specifications to
the Idaho Division of Environmental Quality, shall be performed by the J-U-B.
SECTION 6 -BID AND AWARD SERVICES
6.1 Bidding Publishing and Administration
J-U-B will provide 25 sets of the contract documents required for bidding
purposes. Plans and contract documents will be distributed through J-U-B's Boise
office. J-U-B will provide bid administration services to coordinate the Bid process
with the OWNER, prepare addenda when necessary during the Bid process to
clarify bidding requirements, issue addenda, and assist in answering bidders'
questions. Manholes may be field staked during the bidding process, for general
bidder reference.
6.2 Prebid Meeting
J-U-B will attend and administer a Prebid meeting with potential bidders and the
OWNER. A written meeting summary shall be developed by the J-U-B, for possible
incorporation into addenda.
6.3 Bid Opening and Award
J-U-B will conduct the bid opening, review bids, prepare a bid abstract, provide
recommendation for contract award to OWNER, and prepare necessary contract
documents to award the project.

SECTION 7 -CONSTRUCTION SERVICES
7.1 Preconstruction Conference
J-U-B will arrange and conduct apre-construction conference for the project with
the contractor, OWNER, ACHD, and affected utilities.
7.2 Construction Staking
The J-U-B shall provide one (1) set of construction control stakes in accordance
with the approved plans that allow the contractor to construct the sewer main.
The following stakes will be provided:
A. Manholes: Three (3) stakes per each manhole consisting of one (1)
centerline stake and two (2) offset stakes. Each stake will be marked with
the cut/fill to the manhole invert.
B. Pipeline: Stake at 100-foot stations beginning at the manholes. At each
station, three stakes shall be provided consisting of one (1) pipe centerline
stake and two (2) stakes at 30-foot offsets. Each stake shall be marked
with the cut/fill to the pipe invert. A series of three (3) stakes will also be
provided 50 feet forward and 50 feet back of each manhole.
7.3 Construction Administration
J-U-B will assist the OWNER as requested with the applicable payment requests,
review of construction permits, resolution and negotiation of change orders,
issuance of substantial completion, perform a final walk-through and other
contract close-out procedures.
SECTION 8 -FEE SCHEDULE

Gentlemen:
At your request we are pleased to submit this proposal to provide geotechnical services for the
proposed sewer line located between Eagle Road and Locust Grove Road, about'/4 mile south of
Ustick Road, near Meridian, Idaho.
PROJECT UNDERSTANDING
We have discussed the project with you and understand that it consists of constructing 10-inch to
18-inch sewer lines with invert depths as deep as 18 feet below the existing ground surface.
For purposes of discussion, three segments will be constructed. Segment 1 will begin near the
intersection of Eagle Road and Ustick Road, proceed west along Ustick Road to Leslie Way, then
south along Leslie Way about 1000 feet to a "T" intersection with Segments 2 and 3. Segment 2
will begin near the intersection of Eagle Road and Leslie Drive and proceed west along Leslie
Drive to Leslie Way and the intersection with Segments 1 and 3. Segment 3 proceeds west from
the intersection with Segments 1 and 2, roughly parallel with the South Slough, to the east end of
Kamay Drive.
ANTICIPATED CONDITIONS
We anticipate the subsoils will consist of fine grained silts and clays overlying sand and gravel.
Typically some cementation is present in these soils. Groundwater may be relatively shallow
during the irrigation season. Segments 1 and 2 are accessible with a truck mounted drill rig.
A track mounted drill rig will likely be required to access Segment 3.
SCOPE OF SERVICES
In general, the scope of services will include drilling eight borings, obtaining soil samples for
laboratory testing, conducting laboratory tests, and preparing a brief report of our findings.
More specifically, the individual tasks are as outlined below.

Terracon
1. Field Investigation -Eight borings will be drilled to a depth of about 20 feet. One boring
will be drilled near the intersection of Eagle Road and Ustick Road, one near the
intersection of Eagle Road and Leslie Drive and six at locations selected by J-U-B
Engineers, Inc. along Segments 2 and 3. The borings will be logged by our field
engineer/geologist and samples will be obtained as the drilling progresses. If requested,
monitoring wells will be installed in selected borings. Following drilling, the borings will be
backfilled. Auger cuttings will be used for borings outside of roadways. Borings drilled
through existing pavement will be backfilled with silica sand and patched with cold-mix
asphalt. If water is encountered in the borings, they will be backfilled with bentonite to
slightly above the water level and with cuttings or sand, as appropriate, to the surface.
Prior to drilling, boring sites will be cleared for utilities by "Digline". Per discussions with
ACHD and ITD, trafFc control will consist of signs and cones. Access permits will be
required from ACRD and ITD. Terracon will assist in obtaining the necessary permits;
however, we understand associated fees will be paid by the City of Meridian.
2. Laboratory Testing -Samples obtained in the field will be taken to the laboratory for visual
classification by the project engineer and a limited number of laboratory tests, including
moisture content, Atterberg limits and gradation.
3. Analysis and Report -The data obtained in the field and laboratory will be analyzed and
summarized in a brief report of our findings. Pavement section recommendations will be
made for Leslie Drive. Laboratory test results and logs of the borings will be included.
FEE
Our fee for the services outlined above will be determined in accordance with the attached unit
price fee schedule. The cost is estimated to be in the range of $6,500.00 to $7,000.00 for the
services outlined above. If unexpected subsurface conditions are encountered or the project
scope is altered from that described above, this fee may increase. We will not exceed the latter
figure without prior discussion and approval from you. We have based this estimate on utilizing a
track-mounted drill rig for three borings along. Segment Sand atruck-mounted drill rig for the
remaining borings.
The above fee estimate does not include the installation of monitoring wells. Monitoring wells (to
a depth of 20 feet with a locking cover) may be added for an additional cost of $400.00 per well.

ASSUMPTIONS
The services and fee outlined above are based on the following assumptions:
1. Boring locations will be marked by J-U-B Engineers, Inc., in coordination with
Terracon.
2. Boring locations and elevations will be determined and a location sketch provided by
J-U-B Engineers, Inc.
3. Authorization to access the various boring locations by Terracon and Haz-Tech Drilling
personnel will be obtained by J-U-B Engineers, Inc.
4. The City of Meridian will be responsible for fees associated with access permits
required by ACHD and ITD.
ACCEPTANCE AND SCHEDULE
Should this proposal meet your approval, please sign and return one copy of the attached Notice
to Proceed, acknowledging our attached Terms and Conditions. We would begin the field
investigation within about 7 to 10 days after receiving Notice to Proceed, depending upon driller
availability. Our completed report will be available within about 2 to 3 weeks after completion of
the field investigation. Preliminary information can usually be provided in advance of the final
report.

TERMS AND CONDITIONS
TERRACON
SECTION 1: SCOPE OF WORK: TERRACON shall perform the services defined in the contract and shall invoice the client for those
services at the fee schedule rates. Any cost estimates stated in this contract shall not be considered as a firm figure unless other-
wise specifically stated in this contract. If unexpected site conditions are discovered, the scope of work may change even as the
work is in progress. TERRACON will provide these additional services at the contract fee schedule rate.
Rates for work beyond the scope of this contract and not covered by the contract fee schedule can be provided. TERRACON can
perform additional work with prior authorization, and will provide confirmation of fees. All costs incurred because of delays in authorizing
the additional work will be billed to the client.
Fee schedules are valid for one year following the date of the contract unless otherwise noted.
Initiation of services by TERRACON pursuant to this proposal will incorporate these terms and conditions.
SECTION 2: ACCESS TO SITES, PERMITS AND APPROVALS: Unless otherwise agreed, the client will furnish TERRACON with right-
of-access to the site in order to conduct the planned exploration.
While TERRACON will take all reasonable precautions to minimize any damage to the property, it is understood by the client that
in the normal course of work some damage may occur, the restoration of which is not part of this agreement.
Unless otherwise agreed, the client will secure all necessary approvals, permits, licenses and consents necessary to the perform-
ance of the services hereunder.
SECTION 3: SOIL BORING AND TEST LOCATIONS: The accuracy and proximity of provided survey control will affect the accuracy
of in-situ test location and elevation determinations. Unless otherwise noted, the accuracy of test locations and elevations will be
commensurate only with pacing and approximate measurements or estimates. If greater accuracy is required, the services of a pro-
fessional surveyor should be obtained.
The client will furnish TERRACON with a diagram indicating the location of the site. Boring and test locations may also be indicated
on the diagram. TERRACON reserves the right to deviate a reasonable distance from the boring and test locations unless this right
is specifically revoked by the client in writing at the time the diagram is supplied. TERRACON reserves the right to terminate this
contract if conditions preventing drilling at the specified locations are encountered which were not made known to TERRACON
prior to the date of this contract.
SECTION 4: UTILITIES: In the performance of its work, TERRACON will take all reasonable precautions to avoid damage or injury
to subterranean structures or utilities.
The client agrees to hold TERRACON harmless and indemnify TERRACON for any claims, payments or other liability, including costs
and attorney fees, incurred by TERRACON for any damages to subterranean structures or utilities which are not called to TERRACON'S
attention and correctly shown on the plans furnished to TERRACON.
SECTION 5: UNANTICIPATED HAZARDOUS MATERIALS: It shall be the duty of the owner, the client, or their representative to ad-
vise TERRACON of any known or suspected hazardous substances which are or may be related to the services provided; such hazard-
ous substances include but are not limited to products, materials, by-products, wastes or samples of the foregoing which TERRACON
may be provided or obtain performing its services or which hazardous substances exist or may exist on or near any premises upon
which work is to be performed by TERRACON employees, agents or subcontractors.
tf TERRACON observes or suspects the existence of unanticipated hazardous materials during the course of providing services,
TERRACON may at its option terminate further work on the project and notify client of the condition. Services will be resumed only
after a renegotiation of scope of services and fees. In the event that such renegotiation cannot occur to the satisfaction of TERRACON,
TERRACON may at its option terminate this contract.
SECTION 6: DISPOSAL OF HAZARDOUS MATERIALS AND CONTAMINATED EQUIPMENT: TERRACON does not create, generate
or at any time own or take possession or ownership of or arrange for transport, disposal or treatment of hazardous materials as
a result of its exploration services. All hazardous materials, including but not limited to samples, drilling fluids, decontamination
fluids, development fluids, soil cuttings and tailings, and used disposable protective gear and equipment, are the property of the
client, and responsibility for proper transportation and disposal is the client's unless prior contractual arrangements are made. All
laboratory and field equipment that cannot readily and adequately be cleansed of its hazardous contaminants shall become the
property and responsibility of the client. The client shall purchase all such equipment and it shall be turned over to the client for
proper disposal unless prior alternate contractual arrangements are made.
SECTION 7: REPORTS AND INVOICES: TERRACON will furnish two copies of the report to the client. Additional copies will be
furnished at the rate specified in the fee schedule. TERRACON will submit invoices to the client monthly and a final bill upon com-
pletion of services. Payment is due upon presentation of invoice and is past due thirty (30) days from the invoice date. Client agrees
to pay a finance charge of one and one-half percent (1~/z%) per month, but not exceeding the maximum rate allowed by law, on past
due accounts. Client also agrees to pay all costs and expenses, including reasonable attorney fees incurred by TERRACON relating
to collection procedures on overdue accounts. Failure of client to abide by the provisions of this section will be considered grounds
for termination of this agreement by TERRACON.
SECTION 8: OWNERSHIP OF DOCUMENTS: All reports, boring logs, field data, field notes, laboratory test data, calculations, estimates,
and other documents prepared by TERRACON as instruments of service, shall remain the property of TERRACON unless there are
other contractual agreements.
SECTION 9: CONFIDENTIALITY: TERRACON shall hold confidential all business or technical information obtained from the client
or his affiliates or generated in the performance of services under this agreement and identified in writing by the client as "confiden-
tial". TERRACON shall not disclose such information without the client's consent except to the extent required for; 1) Performance
of services under this agreement; 2) Compliance with professional or ethical standards of conduct for preservation of public safety,
health, and welfare; 3) Compliance with any court order or other governmental directive and/or; 4) Protection of TERRACON against
claims or liabilities arising from performance of services under this agreement. TERRACON'S obligation hereunder shall not apply
to information in the public domain or lawfully acquired on anon-confidential basis from others.
SECTION 10: STANDARD OF CARE: Services performed by TERRACON under this Agreement will be conducted in a manner con-
sistent with that level of care and skill ordinarily exercised by members of the profession currently practicing under similar condi-
tions in the same locale. No other warranty, express or implied, is made or interided by the proposal for consulting services or by
furnishing oral or written reports of the findings made. The client recognizes that subsurface conditions may vary from those en-
countered at the location where borings, surveys, tests or explorations are made by TERRAC(~N and that the data, interpretations
