REAL ESTATE PURCHASE CONTRACT
AND
RECEIPT FOR DEPOSIT
Subject to the terms and conditions of the Option to Purchase
Real Property to which this Contract is attached, LINDA J. ARNOLD,
hereinafter referred to as the SELLER, hereby acknowledges the
receipt of the sum of TWENTY THOUSAND DOLLARS ($20,000.00) from
RUSSELL D. HUNEMILLER and KAREN E. HUNEMILLER, husband and wife,
hereinafter referred to as the BUYERS, in the form of a retained

parcels of real property situated in the city of Meridian, county
of Ada, State of Idaho, which are more particularly described on
Exhibit "A" attached hereto.
The purchase and sale of said real property, which consists of
approximately 21.90 acres more or less, shall occur on the
following terms and conditions:
SECTION ONE: TERMS.
A. If BUYERS exercise their option on Parcel I, they shall
pay SELLER the sum of ONE HUNDRED FORTY ONE THOUSAND DOLLARS
($141,000.00). cash at the closing of the sale on said parcel;

C. If BUYERS fail to exercise either or both of the Options
under which this Agreement is executed, BUYERS shall not be
obligated to complete the purchases hereunder.
SECTION TWO: CLOSING AGENT AND CLOSING. The closing agent
for the transaction contemplated by and between BUYERS and SELLER
for the purchase of Parcel I and Parcel II shall be PIONEER TITLE
COMPANY OF ADA COUNTY. If the BUYERS execute their option on
Parcel I, the purchase of Parcel I shall close on or before
February 1, 1996. If the BUYERS execute their option on Parcel II,
the purchase of Parcel II shall close on or before July 1, 1996.
All fees charged by the said closing agent associated with the
closing of the purchase of Parcel I and Parcel II, including
document preparation and closing fees for each closing, excluding

from such costs the cost of title insurance, shall be paid one-half
by the BUYERS and one-half by the SELLER.
SECTION THREE: TITLE. At the time of the closing of the
purchase of Parcel I and Parcel II, as provided hereinabove, the
respective titles of Parcel I and Parcel II, shall be free of
liens, encumbrances, easements, restrictions, rights, and
conditions of record or known to the SELLER other than the
following:
A. Current property taxes;
B. Covenants, conditions, restrictions, and easements of
record, if any, provided the same do not adversely affect the
anticipated and desired use of the property by BUYERS; it being
understood and agreed by and between the BUYERS and the SELLER that
the BUYERS desire to establish and create their own covenants,
conditions, and restrictions and easements applicable to and
binding upon Parcel I and Parcel II, and the purchase of either
Parcel I or Parcel II is subject to the removal by the SELLER of
any and all covenants, conditions and restrictions, and easements,
if any, applicable to and binding upon Parcel I and Parcel II; and
C. The SELLERS shall furnish the BUYERS, at the SELLER'S
expense, preliminary title reports and Standard title insurance
policies issued by PIONEER TILE COMPANY OF ADA COUNTY, for Parcel

I and Parcel II showing title vested in the BUYERS' name subject
only to the above. The said preliminary title report shall be
provided by the SELLER to the BUYERS within ten (10) days of the
BUYERS exercising their respective options on Parcel I and Parcel
II. If SELLER is unwilling or unable to eliminate any title matter
disapproved by the BUYERS in writing within five (5) days of the
BUYERS' receipt of said preliminary title report, the BUYERS may
terminate this Agreement. If the SELLER fails to deliver title as
above, the BUYERS may terminate this Agreement.
SECTION FOUR: PROBATIONS. Property taxes and any
irrigation district assessments shall be prorated as of the date
the purchase of Parcel I or Parcel II closes. Any bond or
assessment which is a lien shall be assumed by the BUYERS.
SECTION FIVE: POSSESSION. Possession of each parcel shall
be delivered to the BUYERS on the date the respective purchase of
Parcel I or Parcel II closes. However, during the term of this
Agreement, SELLER shall cooperate with BUYERS' efforts to continue
the development and improvement of the premises, allowing BUYERS to
enter upon the premises and to do all things reasonably necessary
to BUYERS' efforts to continue the development and improvement of
the premises. SELLER shall execute any and all documents,

agreements, and other instruments reasonably necessary to and for
BUYERS efforts to continue the development and improvement of the
premises.
SECTION SIX: VESTING. BUYERS shall instruct the closing
agent to cause title to vest in BUYERS' name, or in the name of
BUYERS' nominee, in such manner as they prefer.
SECTION SEVEN: WATER RIGHTS. On the date the purchase of
Parcel I or Parcel II closes, SELLER shall convey to BUYERS, by
standard form Bill of Sale and through execution of such other
necessary documents or instruments, all water rights in and to the
Nampa-Meridian Irrigation District which are appurtenant to the
subject property.
SECTION EIGHT: ATTORNEY'S FEES. In any action or proceeding
arising out of this Agreement, the prevailing party shall be
entitled to reasonable attorney's fees and costs in addition to
such other amounts as may be awarded.
SECTION NINE: PERSONAL PROPERTY. The foregoing purchase and
sale shall include only the specified real property of the SELLER
and shall not include any personal property of the SELLER.

However, SELLER shall provide BUYERS with copies of all engineering
and other development documents pertaining to the property at no
additional cost to BUYERS.
SECTION TEN: TAX WITHHOLDING. The BUYERS hereby
represent, under penalty of perjury, that they are not foreign
persons within the purview of Internal Revenue Code Section 1445
and that the provisions of the Foreign Investment in Real Property
Tax Act are, therefore, not applicable to this purchase and sale.
SELLER shall be responsible for the reporting of this transaction
to the Internal Revenue Service on form 1099.
SECTION ELEVEN: ENTIRE CONTRACT. All prior agreements
between the parties are incorporated in this Agreement which
constitutes the entire contract. Its terms are intended by the
parties as a final expression of their agreement with respect to
such terms as are included herein and may not be contradicted by
evidence of any prior agreement or contemporaneous oral agreement.
The parties further intend that this Agreement constitutes the
complete and exclusive statement of its terms and that no extrinsic
evidence whatsoever may be introduced in any judicial or
arbitration proceeding involving this Agreement. All

representations of either party upon which the other party may
rely, or is relying, are embodied herein.
SECTION TWELVE: CONDITION OF PROPERTY. Subject to any site
improvements or other charges made by BUYERS or at BUYERS'
instructions, the SELLER warrants, through the date possession is
granted to the BUYERS, that the property shall be maintained in the
same condition as exists upon the date of the execution of this
Agreement.
SECTION THIRTEEN: SELLER'S REPRESENTATION. SELLER warrants
that she has no knowledge or any notice of violations of city,
county, state, federal, building, zoning, fire, health codes or
ordinances, or other governmental regulation filed or issued
against the property. This warranty shall be effective until the
date the purchase of Parcel I or Parcel II closes.
SECTION FOURTEEN: AMENDMENTS. This Agreement may not be
amended, modified, altered, or changed in any respect whatsoever
except by a further agreement in writing executed by the BUYERS and
the SELLER.

SECTION FIFTEEN: REAL ESTATE COMMISSIONS. No licensed real
estate agent has provided any services in connection with the
negotiation and/or consummation of this Agreement. It is,
therefore, understood by all parties to this Agreement that no part
of the purchase price shall be used to pay real estate commissions.
SECTION SIXTEEN: CONTRACT PREPARATION. The parties
acknowledge that this Agreement was prepared by an attorney
employed exclusively by SELLER and that said attorney cannot and
does not represent BUYERS in this matter. BUYERS acknowledge that
they have been advised to have this Agreement reviewed by
independent counsel.
.SECTION SEVENTEEN: TIME OF ESSENCE. The parties hereto
expressly agree that time is of the essence in the performance of
this Agreement. No extension or waiver of any deadline established
hereunder shall be effective against any party unless said
extension or waiver shall have been agreed to in a written
instrument signed by the party to be bound.
SECTION EIGHTEEN: COUNTERPARTS. This Agreement may be
executed in counterparts and the separate counterparts, when

assembled as a single document, shall be binding on all parties to
this Agreement.
SECTION NINETEEN:. FACSIMILE SIGNATURES. The facsimile
transmission of any signed original of this Agreement, and any
retransmission of any signed facsimile transmission shall be
regarded as the same as the delivery of an original. At the
request of either party, the parties will confirm facsimile
transmitted signatures by signing an original document.

OPTION TO PURCHASE REAL PROPERTY
LINDA J. ARNOLD, Optionor, and RUSSELL D. HUNEMILLER and KAREN
E. HUNEMILLER, husband and wife, Optionees, agree to the purchase
and sale of an option on all of that real property located within
the city of Meridian, county of Ada, state of Idaho, which real
property is more particularly described on Exhibit "A" attached to
the end of that Real Estate Purchase Contract and Receipt for
Deposit which is attached hereto. The option between the parties
shall be on the following terms and conditions:
1. In exchange for the grant of said option, Optionees shall
pay to Optionor the nonrefundable sum of TWENTY THOUSAND DOLLARS
($20,000.00) as the option purchase price. Said sum shall be
deemed fully earned and nonrefundable upon the execution of this
Agreement and shall be paid by the Optionees to Optionor
contemporaneously with the execution of this Agreement.
2. In the event Optionees exercise their option to purchase
Parcel II under this Agreement, the foregoing option purchase price
shall be applied and credited to the purchase price for Parcel II.
3. In the event Optionees decide to exercise their option
with respect to Parcel I, Optionees shall give Optionor their
written notice of their election to exercise said option on or

before January 1, 1996. In that event, the escrow on the sale of
Parcel I shall be closed not later than February 1, 1996.
4. In the event Optionees decide to exercise their option
with respect to Parcel II, Optionees shall give Optionor their
written notice of their election to exercise said option on or
before June 1, 1996. In that event, the escrow on the sale of
Parcel II shall be closed not later than July 1, 1996.
5. In the event Optionees shall fail to notify Optionor of
their exercise of their option on Parcel I on or before January 1,
1996, their remaining option on Parcel II shall immediately become
null and void. Optionor shall thereafter be permitted to sell or
otherwise dispose of both Parcel I and Parcel II in such manner as
she shall see fit.
6. In the event Optionees shall exercise their option with
respect to Parcel I, the option purchase price specified above
shall be applied against the $297,000.00 purchase price for Parcel
II.
7. In the event Optionees shall exercise their option with
respect to either or both of the subject parcels, the purchase and
sale of said parcels by Optionees and Optionor shall be consummated
on the terms of the Real Estate Purchase Contract which is attached
hereto.

8. During the term of this Option Agreement, Optionor shall
cooperate with all of Optionees' efforts and endeavors to further
develop the subject property, allowing Optionees to enter upon the
subject property and to do all things reasonably necessary to
Optionees' efforts and endeavors to develop further the subject
property. Optionor shall execute any and all documents,
agreements, and other instruments reasonably necessary to and for
Optionees' efforts and endeavors to further develop the subject
property.
9. Optionees agree that all expenses related to Optionees'
development of the subject property during the period of this
Option Agreement shall be paid by Optionees. Said expenses shall,
under no circumstances, be reimbursed to Optionees by Optionor,
regardless of whether Optionees elect to exercise their option.
10. In the event Optionees fail to exercise their option
under this Agreement, Optionees shall immediately remove or clear
any and all liens which may have been placed against said property
as a result of any contract or agreements entered by Optionees
during the term of this Agreement. Further, Optionees shall
immediately reimburse to Optionor any and all amounts which
Optionor has been required to pay in order to clear title to said
property from any claims for development or other costs incurred

during the term of this Option Agreement so long as said expenses
were not incurred by the Optionor.
11. Optionees shall be permitted to prepare and record a
Memorandum of this Option Agreement against the subject property if

execution, and recordation of a further Memorandum indicating that
the property is no longer subject to Optionees' claims of any sort.

Bentley: Are we stepping on the toes of the Street Name Committee if we are the ones
that are saying that is going to be the name?
Corrie: It sounds like to me they wanted it handed down to somebody, they didn't want to
do it themselves. If they didn't want to do it then I guess we can do it for them and they
would accept that fact and thought that St. Luke's Way was a good name so I guess we
have it within our prerogative to approve the private road and call it St. Luke's Way and
let them get on with their business.

Road from Meridian Road west is not going to be a feasible situation for even the park site.
I wasn't able to confirm that with my assistant but in talking to Mr. Hoffman tonight that is
the information that he got from Brad my assistant. So it doesn't appear that the extension
of the sewer in Ustick Road for this particular development is appropriate. This piece of
property can be served by an extension of a service line from Meridian Road that is
presently stubbed out to this property. And that service line will be property of the
developer of the church it won't be a City line. It will have to be installed in accordance
with the Uniform Plumbing Code and ~spected by our plumbing inspector. In terms of the

Corrie: For the audience this ordinance what it is primarily is determining applicant's
ability for a license has different areas of people who need to be finger printed, such as
the peddlers, solicitors, escort business, private security service operators, citizens on

Morrow: Mr. Mayor I have a question for Counselor, have you read the proposed non-
development agreement and is everything in order?
Crookston: I have not read it, I don't believe that I have it.
Corrie: This came in the 29th of August. Check your file Counselor.
Morrow: Mr. Mayor, while the Counselor is checking his file I think Mr. Smith has a
comment that he wants to make.
Smith: Mr. Mayor and Council members, Will gave me a copy of this non-development
agreement and I have reviewed it. From what I can tell it is pretty comparable to what we
have used in the past. I did have a question about the description of the lots that are being
proposed as non-developed. The legal description that they included in the agreement is
the description for the entire subdivision. I think the legal description since it is not a
platted subdivision no and cannot be referred to as lots and blocks needs to reflect only
those lots that they intend to exclude from development. That is my thought.
Morrow: That being the case Mr. Mayor I would move that we table this until our
September 17 meeting to allow the City Engineer Smith and City Attorney Crookston to
review and have the non-development agreement and legal descriptions in their proper
order.

Kingsford: We have had correspondence that the Bureau of Reclamation has been very
amenable to bike paths and so forth. Nampa Meridian not so much so.
Van Hees: Well, we are lucky we are dealing with the Bureau here.
Kingsford: Any other questions of staff from Council? What is your pleasure?
Morrow: Mr. Mayor, I would move that we approve the final plat for Whitestone Estates
Subdivision subject to the resolution of the bike path issue, the development agreement,
the timing of pedestrian bridges issues and upon completion of those authorize the Mayor
to sign and the City Clerk to attest on the final plat and Gary Smith to sign the final plat.
Kingsford: I really appreciate the Councilman's requirement for me to sign but I don't do
those on the plats. But the others would be glad to sign if that is the Council's
concurrence. Is there a second on the motion?

ITEM #13: FINAL PLAT FOR MORNING GLORY SUBDIVISION NO. 1 BY RUSSELL
HUNNEMILLER:
Kingsford: Questions of the Council for Mr. Hunnemiller?
Morrow: I think what I would like to hear is a presentation by both Gary and Shari they
have a rather lengthy list of comments, site specific comments, in Gary's case of 17. The
major issue in my mind was item 17, the drainage flooding and the pictures that are part
of the presentation. And then obviously Bill Henson of Nampa Meridian has indicated
some concern about the drainage water and the ditches. And then Shari has some 6 items
on her list.
Kingsford: Gary, Shari who wants to be first?
Stiles: Mr. Mayor and Council, I had no major problems with this plat. I guess the main
thing would be the issue of the variance. It was pretty clear during the preliminary plat
approval that their intent was to fence that canal. The only thing was that there is not a

variance in place. Other than that if the applicant has no problems with providing these
other items I have no problem with the plat.
Kingsford: Gary?
Smith: Mr. Mayor and Council members, I think most of our comments were pretty routine
on subdivisions. Engineer Johnson responded in writing to our request or to our
comments as we had requested. He agrees to make the revisions, additions that we had
requested to provide additional information as requested. The issue with the flooding of
the street in Merrywood Subdivision No. 2 has been brought to the Highway District's
attention by myself by a written letter and copies of the photographs that you have in your
packet. I think it goes back to the Highway District not having enough staff to follow
through on the temporary nature of drainage, disposition of drainage at the ends of these
phased constructions. I don't know what kind of response I will get from the Highway
District but I have made contact with them in written format. The developer's engineer Roy
Johnson has stated that they will as part of this phase extend the drainage from this area
which this will, this phase of the subdivision will construct a cul-de-sac at the end of this
street that you see in the upper right hand photograph. At that point drainage will be taken
from that cul-de-sac under Eight Mile Lateral to the North or the south and west to be
disposed of in the Ten Mile stub drain, appropriately disposed of in the Ten Mile Stub
Drain. They have committed to do that work which would be required anyway in order to
take care of the drainage in this cul-de-sac. But nevertheless that would accomplish or
resolve the problem that we have presently. This subdivision is not the first one that has
had that problem. The temporary cul-de-sacs have not been done in a very good fashion.
Kingsford: Well, I suppose the logic would be there that they are fairly costly to put in a
catch basin and drain that isn't needed when it is completed but yet many of them exist for
a year or two years or longer.
Smith: That is correct Mr. Mayor. The big issue is to get a positive drainage from the cul-
de-sac and in a lot of cases that hasn't been accomplished. Luckily we don't have that
much precipitation to deal with. But when we do have it, it creates a problem.
Kingsford: Other questions for Gary?
Morrow: I have a question for Gary, on Bill Henson's comments from Nampa Meridian you
indicated if any drainage leaves the site Nampa Meridian Irrigation District must review
drainage plans. It is recommended that irrigation water be made available to all
developments within the district. The district requires that a land use change/site
development application be filed for review prior to final platting. Is he indicating that there
is not irrigation or what is he trying to tell us here? Is there not irrigation water or

pressurized irrigation?
Smith: There is pressurized irrigation in Merrywood No: 1 and No. 2 and the engineer for
the developer has indicated that the pressurized irrigation will be ,continued into this
subdivision. It will be owned and maintained by the homeowners association. The disposal
of the drainage water that is a standard statement by Nampa Irrigation District, I believe
that they are allowing the amount of drainage pre-development drainage to leave the site.
?'h~ remainder of the drainage is retained or detained on site so that it can't leave at any
greater rate than what it leaves the site at now prior to development. The water has to be
skimmed, the sand sediments removed, the gasses and oils are skimmed off of the water
and then it can leave the site. But that drainage plan needs to be approved by Nampa
ivieridian if they are discharging any into a Nampa Meridian Irrigation District drainage
way.
Morrow: That water in the pictures that we are seeing here in our packet would fall under
that condition?
Smith: Yes sir. That would have to be treated before it was discharged with Nampa
Meridian's approval
Kingsford: Point of interest Russ, is this going to be tied into Merrywood's pressurized
irrigation system, it will be totally separate? Okay, other questions of Gary or the
developer?
Corrie: Mr. Mayor, I have one, the same question in reference to signage of the streets,
you will put those in before you start the building that is correct.
Kingsford: What is the Council's pleasure?
Morrow: Mr. Mayor, I would move that we approve the final plat for Morning Glory
Subdivision No. 1 subject to all City staff, ACHD conditions and authorize the necessary
signatures.

I have reviewed this submittal and offer the following comments, for your information and
consideration as conditions of the Applicant during the hearing process:
GENERAL COMMENT
1. Any existing irrigation/drainage ditches crossing the property to be included in this project,
shall be tiled per City Ordinance 11-9-605.M. Plans will need to be approved by the
appropriate irrigation/drainage district, or lateral users association, with written
confirmation of said approval submitted to the Public Works Department.
2. Any existing domestic wells and/or septic systems within this project will have to be
removed from their domestic service per City Ordinance Section 5-7-517. Wells may be
used for non-domestic purposes such as landscape irrigation.
3. Determine the seasonal high groundwater elevation, and submit a profile of the subsurface
soil conditions, as prepared by a soil scientist, with street development plans.
4. Submit copy of proposed restrictive covenants and/or deed restrictions for our review.
5. Provide a statement as to whether the pressurized irrigation system in this development is
to be owned and maintained by the Irrigation Dist. or the Homeowners Assoc.
6. Prior to the hearing, please address in writing each of the comment within this
memorandum, both "General" and "Site Specific", to the City Engineer's office.

SITE SPECIFIC COMMENTS
This Plat generally conforms to the previously approved Preliminary Plat map.
2. Please submit proof of current ownership of the real property included in the proposed
Final Plat, and consent of record owners if this proposal is not owner developed.
3. Provide a statement of conformance with the approved Preliminary Plat and meeting all
requirements or conditions thereof.
4. Provide a statement of conformance with all requirements and provisions of the Zoning
and Development Ordinance.
5. Provide a statement of conformance with acceptable engineering, architectural and
surveying practices and local standards.
6. Please submit a copy of the Ada County Street Name Committee's approval letter for the
Subdivision and street names. Make any corrections necessary to conform.
7. Lot 1, Block 3 doesn't meet the minimum 65 foot street frontage required in an R-8 Zone
along the N. Mineral Wells Avenue frontages. Indicate on the Final Plat map the front on
this Lot being W. Dayton Court.
8. Verify that the Net Square Footage of all Lots meets or exceeds the minimum allowed in
an R-8 Zone. The Net Square Footage shall be determined exclusive of streets, highways,
alleys, roads, right-of--ways, irrigation easements and land which is used for the

11. Complete the notation for the Corner Perpetuation & Filing by inserting the record
instrument number on the Final Plat Map for the W. 1/4 Corner Section 11.
12. Remove from the Final Plat map the setback dimension references on Lots 3-4, Block 4.
13. The width of Lot 4, Block 4 must be a minimum of 20 feet. Provide the Public Works
Department with a copy of the recorded offsite sewer easement dedicated with the last
phase of Merrywood Subdivision.
14. Please provide a letter from the Ada County Highway District agreeing to the maintenance
responsibility of the right-of--way beyond the hard improvements of the W. Dayton Court
cul-de-sac.
15. Correct the typographical error in the Certificate of Owner's on the line that reads:

17. The current storm drainage system for the last phase of Merrywood Subdivision has
created some significant flooding problems and concerns for public safety. The existing
system simply drains into a large pit dug at the edge of Merrywood Subdivision No. 2.
During heavy rains the pit overflows into the adjacent street. The sides of the pit were dug
steep enough that it would be near impossible for a child to climb out if they fell in.
Earlier this week our inspector confirmed these reports and noticed that our sewer
manholes were under water. A better solution should be developed for the extension of
these facilities. Plans should be developed that would address the problems mentioned
above and also meet the requirements of the Ada County Highway District. (Please refer
to the attached photographs taken 11 /28/95. )

To prevent and treat disease and disability; to promote healthy lifestyles; and to protect and promote the health and quality of our environment.
STORMWATER MANAGEMENT RECONIlVIENDATIONS
We recommend that the first one half inch of stormwater be pretreated through a
grassy swale prior to discharge to the subsurface to prevent impact to groundwater
and surface water quality. The engineers and architects involved with the design
of this project should obtain current best management practices for stormwater
disposal and design a stormwater management system that is preventing
groundwater and surface water degradation. Manuals that could be used for
guidance are:

SUBJECT: Final Plat for Morning Glory Subdivision No. 1 (formerly Merrywood Subdivision)

This final plat generally conforms to the approved preliminary plat.
1. A review of the Merrywood Subdivision files indicates that no variance has been given for
tiling of the Eight Mile Lateral. As the preliminary plat was approved without a variance in place,
and the preliminary plat was presented with fencing of the Eight Mile Lateral, I defer to Council's
judgment as to whether a variance should be required.
2. Applicant to submit detailed landscape plan of berm along Pine Street for approval prior
to construction. A letter of credit, cash, or appropriate bonding will be required for these
improvements prior to signature on the final plat.
3. Submit letter from Nampa-Meridian Irrigation District for subdivision and pressurized
irrigation design approval. A letter of credit, cash, or appropriate bonding will be required for
these improvements prior to signature on the final plat.
4. Permanent perimeter fencing is required to be in place prior to obtaining building permits.
5. Non-combustible fencing shall be installed along the Eight Mile Lateral outside existing
easement prior to obtaining building permits.
6. Proposed restrictive covenants need to be submitted for Council approval.
