On behalf of the developer, I am hereby formally requesting a variance from the maximum fence height as stipulated in the Meridian City Zoning Ordinance. The proposed fence will be installed along maximum height of the top of the fence will curb. a planned landscaped berm, of which the be nine (9) feet above the adjacent back of have attached a plan showing the proposed fence along with the names and addresses of the adjacent property owners and a fee of $50.00. The maximum top elevation of the finished fence shall not exceed 6 feet 8 inches above the elevation of top back of vertical curb constructed along Cherry Lane and/or Linder Road. GIBSON & ASSOCIATES, INC., an Idaho corporation, hereinafter called "General Partners" for descriptive purposes; LARRY M. WOOLF and BARBARA J. WOOLF, husband and wife, ROGER L. WELKER and IDA A. WELKER, husband and wife, and VERNARD V. COCHRAN and BARBARA COCHRAN, hereinafter called "Limited Partners" for descriptive purposes. W I T N E S S E T H: RECITALS: 1. The parties desire to purchase a parcel of real property for development purposes. 2. Each party hereto is willing to invest money and/or services to finance the purchase and ultimate development. 3. Scone and Description: By this Agreement, the parties .agree, to purchase and develop that certain real property described as follows: SEE LEGAL DESCRIPTION ATTACHED HERETO AND BY REFERENCE MADE A PART HEREOF AND DESIGNATED EXHIBIT "A" AND EXHIBIT "B". Eleven point eighteen (11.18) acres will be released free and clear for development, the legal of which is attached hereto as Exhibit "A", and the Limited Partners shall hold a Second Deed of Trust on said 11.18 acres as security. That said Second Deed of Trust shall be recorded in the names of the Limited Partners collectively whose undivided: security interest shall be as set out in Paragraph III hereafter. Gibson & Associates, Inc., to assist in financing the purchase of said property, will hold a first position on said property. All parties acknowledge and agree to cooperate and if necessary agree to subordinate their position or agree to release as necessary to complete the proposed development. Contributions: Larry M. Woolf and Barbara J. Woolf, whose address is 5121 North Farrow Street, Boise, Idaho, 83704, are to contribute the sum of $50,000.00 to the project for which investment they are to receive 80 of the net profit of the project. Roger L. Welker and Ida A. Welker, whose address is P. 0. Box 333, Meridian, Idaho, 83680, are to contribute the sum of $40,000.00 to the project for which investment they are to receive 6% of the net profit of the project. Vernard V. Cochran, whose address is 5731 South Nasturtium, Boise, Idaho, 83705, is to contribute the sum of $5,000.00 to the project for which investment he is to receive .750 of the net profit of the project. Such services, time and skill shall continue for the duration of the project to insure its success. The parties understand that the total of the percentages set out above equal 65.5%. The remaining 34.5% shall be retained to provide funds for additional parties or contributors, bonuses or other incentives as necessary for the success of the development. In the event a percentage of the ultimate net profit has not been dedicated, same shall be divided among all of the then existing partners upon the same percentage basis as they relate to each other. Net profits shall be calculated by first deducting all operating and development expenses, procurement costs, loan repayment, and individual investment reimbursements from the gross return of the project. cif Records and Accounting: The General Partners shall maintain or cause to be maintained a complete set of records, statements and accounts concerning the total operation of the project, in which books shall be entered, fully and accurately, each transaction pertaining to the project. The books will be open at all times for inspection and examination by the parties to the project. Insurance: The General Partners shall obtain all necessary insurance coverage, both liability and casualty, to protect the parties. VI. Assignment and Transfers: No party shall assign or transfer his or her rights or duties in the project without the written express consent of the other parties. VII. Failure of Proiect: If, for any reason, the development is not completed or becomes unfeasible and it. becomes necessary to sell the real property, the net gain, if any, from such sale after repayment of all existing and incurred costs, outstanding loans and reimbursement of actual contributions of each party, shall be divided among the same pro rata basis as set out in Paragraph III above as they relate to each other. VIII. Sales Agents: That Vicki Welker d/b/a Market Enterprise and J. Gibson & Associates, Inc., will be designated joint sales agencies and that the sale manager representing each agency namely, Jim Igel and Cheryl Chatterton, as further incentive, shall ' be entitled to purchase one lot each at a discount to be determined by the General Partners upon formation of the subsequent project entity. That the remaining General Partner and the Limited Partners, the Woolfs, the Welkers, and the Cochrans shall be entitled to receive one lot at a discount to be determined by the General Partners in relationship to their percentage interest upon formation of the subsequent project entity. X. Manaaement Fee: Vicki Welker as Managing Partner who shall be responsible for the day-to-day activities, shall be paid a monthly management fee of $1,500.00 beginning with November, 1992, for a maximum of 16 months. XI. Additional Propert: An approximate one-half acre site plus well may be deemed desirable to purchase in the future for the .benefit of the project. The parties do by this Agreement consent to such purchase if deemed advisable by the General Partners. XII. Incorporation of Business: Prospective General Partners shall have the right to incorporate the business if, in their opinion, it is deemed advisable.
