FOR
PROFESSIONAL SERVICES
THIS AGREEMENT, made this 8t" day of June , 2005, by and
between the City of Meridian, a municipal corporation organized under the laws of the State of
Idaho, hereinafter referred to as "CITY", 33 East Idaho Avenue, Meridian, Idaho 83642, and
Lynda Friesz Public Relations, Inc. ,hereinafter referred to as "CONSULTANT", whose
business address is 816 West Bannock, 4~' Floor, Boise, ID 83702, .
1. Scope of Services: CONSULTANT shall perform all services, and comply in all
respects, as specified in the document titled "Scope of Services" a copy of which
is attached hereto as Exhibit "A" and incorporated herein by this reference,
together with any amendments that may be agreed to in writing by the parties.
2. Time of Performance: This agreement shall become effective upon execution by
both parties, and shall expire on March 30, 2006_ [NOTE: should be no later
than the end of the current fiscal year] unless earlier terminated or extended.
3. Indemnification and Insurance: CONSULTANT shall indemnify and save and
hold harmless CITY from and for any and all losses, claims, actions, judgments
for damages, or injury to persons or property and losses and expenses caused or
incurred by CONSULTANT, its servants, agents, employees, guests, and business
invitees, and not caused by or arising out of the tortious conduct of CITY or its
employees. CONSULTANT shall maintain, and specifically agrees that it will
maintain, throughout the term of this Agreement, liability insurance, in which the
CITY shall be named an additional insured in the minimum amount as specified
in the Idaho Tort Claims Act set forth in Title 6, Chapter 9 of the Idaho Code.
The limits of insurance shall not be deemed a limitation of the covenants to
indemnify and save and hold harmless CITY; and if CITY becomes liable for an
amount in excess of the insurance limits, herein provided, CONSULTANT
covenants and agrees to indemnify and save and hold harmless CITY from and for
all such losses, claims, actions, or judgments for damages or liability to persons or
property. Additionally, CONSULTANT shall maintain Workers Compensation
Insurance, in the statutory limits as required by law. CONSULTANT shall
provide CITY with a Certificate of Insurance, or other proof of insurance
evidencing CONSULTANT'S compliance with the requirements of this paragraph
and file such proof of insurance with the CITY. In the event the insurance
minimums are changed, CONSULTANT shall immediately submit proof of
compliance with the changed limits. Evidence of all insurance shall be submitted
to the City Clerk with a copy to Meridian City Accounting, 33 East Idaho Avenue,
Meridian, Idaho 83642.

4. Independent Contractor: In all matters pertaining to this agreement,
CONSULTANT shall be acting as an independent contractor, and neither
CONSULTANT nor any officer, employee or agent of CONSULTANT will be
deemed an employee of CITY. The selection and designation of the personnel of
the CITY in the performance of this agreement shall be made by the CITY.
5. Compensation: CONSULTANT shall be compensated for professional services
pursuant to and specified in attached Exhibit "A."
6. Method of Payment: CONSULTANT will invoice the City of Meridian
Accounting Department at 33 East Idaho Avenue, Meridian, Idaho 83642 directly
for all current amounts earned under this Agreement at the end of each month or
upon completion of the scope of services. The CITY will pay all invoices within
thirty (30) days after receipt.
7. Notices: Any and all notices required to be given by either of the parties hereto,
unless otherwise stated in this agreement, shall be in writing and be deemed
communicated when mailed in the United States mail, certified, return receipt
requested, addressed as follows:

Either party may change their address for the purpose of this paragraph by giving
written notice of such change to the other in the manner herein provided.
8. Attorney Fees: Should any litigation be commenced between the parties hereto
concerning this Agreement, the prevailing party shall be entitled, in addition to
any other relief as may be granted, to court costs and reasonable attorneys' fees as
determined by a Court of competent jurisdiction. This provision shall be deemed
to be a separate contract between the parties and shall survive any default,
termination or forfeiture of this Agreement.
9. Time is of the Essence: The parties hereto acknowledge and agree that time is
strictly of the essence with respect to each and every term, condition and provision
hereof, and that the failure to timely perform any of the obligations hereunder
shall constitute a breach of, and a default under, this Agreement by the party so
failing to perform.

10. Assignment: It is expressly agreed and understood by the parties hereto, that
CONSULTANT shall not have the right to assign, transfer, hypothecate or sell
any of its rights under this Agreement except upon the prior express written
consent of CITY.
11. Discrimination Prohibited: In performing the Services required herein,
CONSULTANT shall not discriminate against any person on the basis of race,
color, religion, sex, national origin or ancestry, age or disability.
12. Reports and Information: At such times and in such forms as the CITY may
require, there shall be furnished to the CITY such statements, records, reports,
data and information as the CITY may request pertaining to matters covered by
this Agreement.
13. Audits and Inspections: At any time during normal business hours and as often
as the CITY may deem necessary, there shall be made available to the CITY for
examination all of CONSULTANT' S records with respect to all matters covered
by this Agreement. CONSULTANT shall permit the CITY to audit, examine, and
make excerpts or transcripts from such records, and to make audits of all
contracts, invoices, materials, payrolls, records of personnel, conditions of
employment and other data relating to all matters covered by this Agreement.
14. Publication, Reproduction and Use of Material: No material produced in
whole or in part under this Agreement shall be subject to copyright in the United
States or in any other country. The CITY shall have unrestricted authority to
publish, disclose and otherwise use, in whole or in part; any reports, data or other
materials prepared under this Agreement.
15. Compliance with Laws: In performing the scope of services required hereunder,
CONSULTANT shall comply with all applicable laws, ordinances, and codes of
Federal, State, and local governments.
16. Changes: The CITY may, from time to time, request changes in the Scope of
Services to be performed hereunder. Such changes, including any increase or
decrease in the amount of CONSULTANT's compensation, which are mutually
agreed upon by and between the CITY and CONSULTANT, shall be incorporated
in written amendments to this Agreement.
17. Termination: If, through any cause, CONSULTANT, its officers, employees, or
agents fails to fulfill in a timely and proper manner its obligations under this
Agreement, violates any of the covenants, agreements, or stipulations of this
Agreement, falsifies any record or document required to be prepared under this
agreement, engages in fraud, dishonesty, or any other act of misconduct in the

performance of this contract, or if the City Council determines that termination of
this Agreement is in the best interest of CITY, the CITY shall thereupon have the
right to terminate this Agreement by giving written notice to CONSULTANT of
such termination and specifying the effective date thereof at least fifteen (15) days
before the effective date of such termination. CONSULTANT may terminate this
agreement at any time by giving at least sixty (60) days notice to CITY.
In the event of any termination of this Agreement, all finished or unfinished
documents, data, and reports prepared by CONSULTANT under this Agreement
shall, at the option of the CITY, become its property, and CONSULTANT shall
be entitled to receive just and equitable compensation for any work satisfactorily
complete hereunder.
Notwithstanding the above, CONSULTANT shall not be relieved of liability to
the CITY for damages sustained by the CITY by virtue of any breach of this
Agreement by CONSULTANT, and the CITY may withhold any payments to
CONSULTANT for the purposes of set-off until such time as the exact amount of
damages due the CITY from CONSULTANT is determined. This provision shall
survive the termination of this agreement and shall not relieve CONSULTANT of
its liability to the CITY for damages.
18. Construction and Severability: If any part of this Agreement is held to be
invalid or unenforceable, such holding will not affect the validity or enforceability
of any other part of this Agreement so long as the remainder of the Agreement is
reasonably capable of completion.
19. Entire Agreement: This Agreement contains the entire agreement of the parties
and supersedes any and all other agreements or understandings, oral of written,
whether previous to the execution hereof or contemporaneous herewith.
20. Applicable Law: This Agreement shall be governed by and construed and
enforced in accordance with the laws of the State of Idaho, and the ordinances of
the City of Meridian.
21. Approval Required: This Agreement shall not become effective or binding until
approved by the City of Meridian.

South Meridian Area
Introduction
Situation
According to the Community Planning Association of Southwest Idaho, growth in the region has
been over 40% in the last five years. Rapid growth in the region is anticipated for the next 25
years. By the year 2030 the region will attract additional population of about 400,000.
The South Meridian Area is between Meridian and Kuna. Properties in this area have never been
included in any city's Area of Impact. Given the rapid growth of the region, this area will
develop. Current land use in the study area is large lot residential, residential and rural. The
City of Meridian wants to find out what the public sees as a future vision for this area.
Information gathered from public visioning exercises will help develop a Comprehensive Plan
Amendment for the South Meridian Area that provides for quality development and the efficient
provision of services.
The results of the public input will be incorporated into Meridian's Comprehensive Plan.
Phase 1 Summary
Phase 1 of the project included a Public Informational Meeting held in April 2006. The purpose of
the meeting was to discuss the community identity and priorities for Ada County residents living
between Meridian and Kuna. The meeting included a presentation by the City of Meridian Public
Works about the availability of sewer services to residents in the area. A mapping exercise was
conducted to help determine which community the residents identified with the most. The
results of the public input gathered helped determine the Phase 2 "Study Area" boundaries.
Goal, Objectives and Guiding Questions
Goal: Engage in a comprehensive planning process for the South Meridian Area. The planning
process will use extensive public input from citizens within the project area.
Objectives:
^ Develop comprehensive plan for South Meridian using public input about future growth in
the project area.
^ Educate the public about the Comprehensive Plan process and how public input will be
used.
Guiding Questions:
^ What "sense of place" and "quality of life" values are important?
^ What are the environmental assets that need to be protected?
^ What should new development look like?
^ What are your travel and shopping patterns?
^ What quality of life issues and amenities are important?
Project Team Roles and Responsibilities
Lynda Friesz Public Relations, Inc. (LFPR)
LFPR will serve as the project manager handling all day-to-day activities including: billing,
schedule, meeting coordination and team communications.
LFPR will also serve as the lead in the Public Participation program portion of the project. They
will develop and implement the public participation plan and visioning activities. The outcome of
the program is to develop a 5-10 page report that provides details on the public comments and
general themes. The public input will be used to guide the comprehensive plan amendment.

Cogan Owens Cogan, LLC. (COC)
COC will be the lead on drafting the comprehensive plan amendment based on the results of the
public participation activities and the land and market assessment. COC will also assist LFPR in
the public participation process.
COC will develop visual simulations and displays for the public participation process. They can
incorporate the information from the Land and Market Assessment and the public involvement
process to create graphics and displays.
Johnson Gardner, LLC. (Johnson Gardner)
Johnson Gardner will be the lead in the Land and Market Assessment portion of the project. They
will coordinate all activities necessary to develop a study that outlines the findings of existing
land uses, policies, plans, development commitments, environmental conditions, property and
land ownership, infrastructure constraints, market and development potential including industrial,
commercial, and office absorption and land supply, constraints and opportunities analysis for
each, and objectives statement to guide future plan development.
Johnson Gardner will provide technical expertise for the public workshops when needed.
Project Stakeholders
Project stakeholders identified during Phase 1 of the project will be used in Phase 2.
II. Scope of Work
1. Public Participation (LFPR, COC £t Johnson Gardner)
1.1 -Team Meetings and Project Administration. Define project roles and channels of
communication. Attend team meetings as required.
Deliverables:
^ Five (5) monthly progress meetings
^ Invoicing
^ One (1) "Kick-off" team meeting for project initiation
Assumptions:
^ Kick-off team meeting will be held in Meridian; LFPR and Johnson Gardner will
attend the Kick-off meeting. COC will attend if feasible; otherwise they will
participate via teleconference
^ Progress meetings will be conducted via teleconference whenever possible
1.2 -Stakeholder Database. Prepare a database of all interested stakeholders and project
participants that can be used for mailing and telephoning and can be sorted to identify various
groups of stakeholders. Use a format agreed upon with the City of Meridian (generally MS Excel or
Access). Update as needed throughout the project.

Maximum stakeholder list will include 1,500 addresses

1.3 -Public Involvement Plan. Prepare a public involvement plan that details the goals and
objectives, identifies a public involvement strategy, and defines the tools and techniques needed
to implement the public involvement plan.

1.4 -Media Relations. Media relation activities will provide a flow of information to the news
media (newspaper, radio and television) about the project. The flow of information will,
however, rise and fall as the project develops. Our goal is not to keep the project in the news
constantly, but rather to focus media and public attention on the project prior to public
workshops and participation opportunities. Project information will be provided in a pdf version
for posting on the City of Meridian website.

^ Three (3) Press Releases -One (1) prior to each public meeting, and one (1) to
announce the study findings/preferred alternative
^ Two (2) community service bulletins -One (1) distributed to radio and television
stations prior to each meeting

All public information will be provided to the City of Meridian in a pdf format for
posting on the City's website
1.5 -Two (2) Public Meetings. The meetings will be held within the study corridor to gather
public input that will guide the development of the comprehensive plan amendment. The theme
of the first Public Meeting will be Community Visioning and Values. The purpose of the second
Public Meeting will be to present the project alternatives and gather input from the public.
Meeting formats and locations will be determined in coordination with the City of Meridian. It is
anticipated that the first meeting will be in workshop format, and the second will be in open
house format

regardless of whether or not a-mail addresses were provided at earlier meetings
1.6 -Public Involvement Documentation and Evaluation. All aspects of the public involvement
process are to be documented and evaluated.
Deliverables:
^ Record of Public Involvement Processes -summaries of stakeholder comments and
public meetings will be recorded. Summary will include a review of how public
comments were used and incorporated into the final plan
^ Public Involvement Evaluation
Assumptions:
One (1) document will be produced summarizing the above deliverables
Twelve (12) copies will be produced for the City of Meridian
1.7 -Planning and Zoning Hearing. A Planning and Zoning Hearing will be held to gather
comments on the Preferred Alternative and Comprehensive Plan Amendment.
Deliverables:
^ Attend and participate in the hearing
^ Provide project information to P if Z Commission and hearing participants as
needed
Assumptions:
Hearing will be held in Meridian
COC will present alternatives/materials, LFPR will assist COC
2. COMPREHENSIVE PLAN AMENDMENT (COC)
2.1 -Obtain Data. Work with City to obtain data on land ownership, land use and
sensitive/valuable environmental resources.

Data is available via City's GIS system or City can provide from other sources
2.2 -Prepare Maps. Prepare maps and tables summarizing the above; presentation materials
should be clear, concise and easily understandable by the general public - paint a picture in
broad, clean strokes. Nine (9) maps/displays identified may include: Environmental Features,
Sewer Availability, Elevation and Slope, Land Use Map, and up to four (4) alternative land use
scenario displays.

2.4 -Identify and Compare Alternatives. Identify and compare alternative Comprehensive Plan
and zoning designations for the area, considering impacts on existing uses, relative demands for

goals and respond to citizen needs and issues identified through public participation efforts.

3. LAND AND MARKET ASSESSMENT (JOHNSON GARDNER~
3.1 -Study Area Development Demand Issues Analysis
3.1.1 -Frame Key Market Need and Supply Issues. Participate in a project "kick-off" meeting
with Project Team members and appropriate City staff members to properly orient and frame key
market need and supply issues for this assignment.

One (1) two-hour meeting with City staff to review study need and issues
3.1.2 -Summarize Growth Trends. Summarize historic population, household growth and
employment growth trends for the City of Meridian over the last twenty years, incorporating
census data and intercensal estimates. Prepare a comparable summary for the greater Boise/Ada
County metropolitan area, evaluating the City's share of regional growth over time.

Documented Review of 20-Year historical population and detailed employment
growth trends in the Cities of Meridian
Documentation of historical population and employment growth in Meridian as a
function of capture of broader Ada County growth over the 20-year study period

^ Coordination with Planning and Building Services Departments of Meridian and Ada
County with regard to historical data for building permits, population, and other
development activity as necessary
3.1.3 -Review Existing Studies. Review COMPASS/Communities in Motion 25-year population,
household and employment forecasts for Meridian, Kuna and the South Meridian study area in
particular. Provide analysis and context for the potential of those forecasts to over- or
underestimate potential development in South Meridian given findings of Task 3.1.2.

^ Memo summarizing review of COMPASS forecasts for the City of Meridian and the
.Study Area in the context of past, historical population and employment capture
by the City and Blueprint for Growth Planning Scenario Assumptions
Assumptions:
Client-facilitated coordination with COMPASS and its research staff, including
access to most recent TAZ forecasts for the study area and discussions of COMPASS
forecasting assumptions
3.1.4 -Project Growth Scenarios. With City input, project alternative 25-year growth scenarios
for the South Meridian study area in addition to COMPASS forecasts to provide a broader range of
consideration for future development realization in the area. Also provide 25-year employment
forecasts, by specific industry (NAILS), and resulting commercial retail spending growth/demand
by specific industry (NAILS), for the study area analogous to methodologies utilized for population
and households in Step 3.1.3. Discuss the relative strengths and weaknesses of each methodology,
and produce a recommendation with respect to the most appropriate methodological approach.

Three (3) separate forecasts ("High, Medium, Low Growth Scenarios") of 25-year
growth in the Study Area for population and for employment given historic trends
and COMPASS forecast review with recommendation of "Most Likely" Scenario for
planning purposes

shape alternative land use scenarios) and will be available for review at public
meeting 2
3.1.5 -Translate Forecasts. Translate population, household, detailed employment and retail
commercial demand forecasts into associated land needs in South Meridian by use type, including
demand for industrial (business park-flex, general industrial, warehouse/distribution, etc.),
office, retail/services commercial and residential capacity, including by unit type/tenure split.

3.2 -Study Area Supply and Development Issues Analysis
3.2.1 -Assess Planning and Zoning Obstacles and/or Opportunities. Review all existing City and
County planning and zoning issues for the 18-square mile study area as they relate to land need
findings in Steps 3.1.1 through 3.1.4. Issues identified and discussed will be guided, in large part,
by input from the Planning Department of the City of Meridian, further informed by discussions
with appropriate staff at Ada County Development Services Department. A comprehensive
assessment of planning and zoning obstacles and/or opportunities for the South Meridian study
area will result, with attention paid to issues affected by current stages of City of Kuna area of
impact planning.

3.2.2 -Summarize Infrastructure and Public Service Issues. Summarize infrastructure and
public service issues for the study area, which would likely include but not be limited to: the
planned freeway exit/on-ramp at Interstate 84 and South Ten Mile Road, serviceable water,
wastewater and sewerage, planned road/intersection upgrades between Meridian and Kuna,
existing irrigation, and issues of public services provision, including planned jurisdiction and any
other issues that become apparent in discussions with local service providers.

Inventory of site-specific development constraints regarding infrastructure, public
service provision or other issues affecting specific potential uses
Assumptions:
^ Coordination with other pertinent public service providers with help from the
Planning and Building Services Departments of Meridian and Ada County.
3.2.3 -Review Inventory Parcels. Review an inventory of parcels in the study area and identify
issues affecting future development potential. This will likely include, but not be limited to,
opportunities and constraints regarding: ownership and commitments, topography and physical
barriers (irrigation, grade etc.) or features (views, flat grade for industrial, etc.), issues of
environmental protection, existing development that may impact future adjacent possibilities
(e.g. gravel quarry operations, etc.), planned and proposed development in the study area
including potential, proximate planned communities, slated residential development, and any
other topic that becomes apparent during the course of this step.
Deliverables:
^ Focus group/workshop with a representative sample of property owners that
identifies likely property ownership/disposition preferences and other issues
typical across the broader study area
^ Focus group/workshop with a representative sample of developers to identify
typical development plans, timelines and other market issues for the broader
study area
^ Inventory of net buildable land in the Study Area based on a review of all
development constraints and considerations established in Steps 3.2.1 - 3.2.3 of
the analysis
^ Identification of parcels/areas within the broader Study Area that are conducive to
specific uses, i.e. specific residential uses, commercial uses, and industrial uses
based on development issues and constraints identified, and quantification of net
buildable land by particular use

reconciliation of future potential development demand/need in the South Meridian study area
by use types and the likely ability of the study area to accommodate each of those uses given
findings of land supply constraints and opportunities identified during the study process. The
document will be specifically oriented to drawing market-based conclusions for informing
both the public participation process for the South Meridian study area as well as later
comprehensive planning efforts by the City of Meridian.
