Cooperative Agreement with Idaho Transportation Department for I-84 Ten Mile Interchange Project
COOPERATIVE AGREEMENT PROJECT NO. A009(815) I84, TEN MILE IC ADA COUNTY KEY N0.09815 PARTIES S , GREEMENT is made and entered into this ~_ day of by and between the IDAHO TRANSPORTATION DEPAR NT, hereafter called _~ _e STATE, and the CITY OF EIBIDIAN, hereafter called the CITY. P The purpose of this Agreement is to set out the terms and conditions for installation of City water and sewer lines during construction of this project. Authority for this Agreement is established by Section 40-713, Idaho Code. The parties agree as follows: 1. At its own expense, the City will provide for the design of water and sewer lines and furnish all plans, specifications, special provisions and cost estimates to the State to be incorporated in the State project documents. Such documents shall be in the State's format. 2. Prior to advertisement of the project, the City will pay to the State the sum of Three Hundred Twenty-Four Thousand One Dollar and Sixty Cents ($324,001.60), which is the estimated amount for construction of the City's water and sewer line as shown on the attached Exhibit A. 3. The State will advertise for construction of the project, open bids, and prepare a contract estimate of cost based on the successful low bid if it is not over ten (10) percent above the estimate for cost of construction. 4. The State will notify the City should the bids on the water and sewer line project come in above ten percent (10%) of the estimate for cost of construction. ! The State will designate a resident engineer and other personnel, as the State deems necessary, to supervise and inspect construction of the project in accordance with the plans, specifications and estimates in the manner required by applicable state and federal regulations. This engineer, or his authorized representatives, will prepaze all monthly and final contract estimates and change orders, and submit all change orders to the City for their concurrence. Checks for funds owed by the City shall be made payable to the "Idaho Transportation Department", and mailed to the District Three Office at PO Box 8028, Boise, ID 83707- 2028. 7. Upon completion of the project and after all costs have been accumulated, the State will provide a statement to the City summarizing the actual costs for construction of the City's water and sewer line project, indicating an adjustment for or against the City. Any additional funds required from the City shall be paid to the State, Any excess funds paid by the City pursuant to this Agreement will be returned to the City. 8. Each party will indemnify, save harmless and defend regazdless of outcome the other party from expenses of and against suits, actions, claims, or losses of every kind, nature and description, including costs, expenses and attorney fees that may be incurred by reason of any negligence of the indemnifying party in the construction and maintenance of the project. 9, This Agreement shall become effective on the first date mentioned above and shall remain in full force and effect until amended or replaced upon the mutual consent of the State and the City. REAS, the STATE is responsible for obtaining compliance with laws, standards and procedural policies in the development, construction and maintenance of improvements made to the Federal-aid Highway System when there is federal participation in the costs; and WHEREAS, certain functions to be performed by the STATE involve the expenditure of funds as set forth in the Agreement; and WHEREAS, The STATE can only pay for work associated with the State Highway system; and WHEREAS, the CITY is fully responsible for its share of project costs; and NOW, THEREFORE, BE IT RESOLVED: I. That the Agreement for State Highway Project A009(815) is hereby approved. 2. Thai the Mayor and the City Clerk are hereby authorized to execute the Agreement on behalf of the CITY. 3. That duly certified copies of the Resolution shall be famished to the Idaho 'T'ransportation Department.
