Boesiger, Inc., we are pleased to submit the final plat of Sunnybrook Farms No. 4 Subdivision. An overall preliminary plat of Sunnybrook Farms was approved by the City of Meridian a few years ago, but has apparently expired. As a result, we are requesting that Sunnybrook Farms No. 4 be processed as a preliminary/ final plat. Since the subdivision does not meet all of the requirements for submittal as a preliminary/ final plat, we request a variance to Items 3a and 3b of Section 9-604C. A copy of the names and addresses of all property owners within 300 feet of Sunnybrook Farms No. 4 is enclosed. A notarized certification of compliance will be submitted after certified mail has been sent to the subject property owners. BOESIGER, INC., an Idaho corporation, hereinafter sometimes referred to as "Grantor" or "Declarant", and shall be incorporated into and supplement that certain Declaration of Covenants, Conditions and Restrictions for Sunnybrook Farms No. 3, recorded as Instrument No. 8421713, in the office of the County Recorder of Ada County, Idaho ("Declaration"). ARTICLE 1 PROPERTY COVERED/ANNEXATION Grantor is the Owner of the real property in the County of Ada, State of Idaho, described as: Sunnybrook Farm No. 4, according to the official plat thereof, recorded as Instrument No. , records of Ada County, Idaho, ("Phase 4 Property"). Grantor, pursuant to the provisions of Article VII of the Declaration, does hereby annex the Phase 4 Property to the Property covered by the Declaration and said Phase 4 Property hereby becomes subject to the Declaration and encompassed within the general plans and scheme of covenants, conditions, restric- tions, reservations of easements and equitable servitudes and other terms and conditions contained in the Declaration, and the Phase 4 Property shall be considered Property as defined in the Declaration and subject to all of the terms therein. BOESIGER, INC., an Idaho corporation, hereinafter referred to as "Declarant". WHEREAS, Declarant is the owner of certain real property in the County of Ada, State of Idaho, hereinafter referred to as "Property", or "Properties", more particularly described as follows: Sunnybrook Farms No. 3 Subdivision, lying in portions of the E1/2, SW1/4, Section 2, T.3N., R.1W., B.M., according to the official plat thereof, recorded as Instrument No. 8409985, records of Ada County, Idaho (the "Plat"). NOW, THEREFORE, Declarant hereby declares that all of the said Property is and shall be held and conveyed upon and subject to the easements, conditions, covenants, restrictions and reser- vations hereinafter set forth; all of which are for the purpose of enhancing and protecting the value, desirability and attrac- tiveness of said property. Said easements, covenants, restric- tions, conditions and reservations shall constitute covenants to run with the land and shall be binding upon all persons claiming under them, and also that these conditions, covenants, restric- tions, easements and reservations shall inure to the benefit of and be limitations upon all future owners of said Property or any interest therein. ARTICLE I DEFINITIONS 1.1 "Association" shall mean and refer to Sunnybrook Farms Homeowners Association, Inc., an Idaho non-profit corporation, its successors and assigns, which Association was previously formed by Declarant in connection with the platting of Sunnybrook Farms Subdivision No. 2, a subdivision lying in a portion of the E1/2, SW1/4 Section 2, T. 3N., R. 1W., B.M., Ada County, Idaho, according to the plat thereof recorded in the office of the Ada County Recorder ("Phase 2"). 1.2 "Building Lot" shall mean and refer to a Lot, or to any parcel of said property under one ownership which consists of a portion of one (1) of such Lots, or contiguous portions of two (2) or more contiguous Lots if a building is constructed thereon. 1.3 "Committee" shall mean the Architectural Committee described in Article VI hereof. DECLARATION - 1 04-30-84/2-2/DC1-1 { 1.4 "Common Area" shall mean the real property (including the improvements thereto) owned by the Association for the common use and enjoyment of the Owners, and owners of lots within Phase 2, which property is described on Exhibit A attached hereto and incorporated herein. 1.5 "Declarant" shall mean and refer to Max A. Boesiger, Inc., an Idaho corporation, its successors and assigns, if such successors or assigns should acquire more than one (1) undeve- loped Lot from the Declarant for the purpose of development. 1.6 "Lot" shall mean and refer to any plot of land shown upon any recorded subdivision map of the Property. 1.7 "Mortgage" shall mean and refer to any mortgage or deed of trust and "Mortgagee" shall refer to the mortgagee, or beneficiary under a deed of trust, and "Mortgagor" shall refer to the mortgagor, or grantor of a deed of trust. 1.8 "Owner" shall mean and refer to the record owner, whether one or more persons or entities, of a fee simple title to any Lot which is a part of the Property, including contract sellers, but excluding those having such interest merely as security for the performance of an obligation. 1.9 "Properties" or "Property" shall mean and refer to that certain real property hereinbefore described, and such addi- tions thereto as may hereafter be brought within the jurisdiction of the Association, as more particularly set forth herein. 1.10 "Set Back" means the minimum distance as provided by the zoning regulations of the City of Meridian between the dwelling unit or other structure referred to and a given street or road or Lot line. 1.11 "Unit" shall mean one residence which shall be situated upon a Lot. ARTICLE II GENERAL RESTRICTIONS 2.1 Land Use and Building Type. No Lot shall be used except for residential purposes, and no Lot or the Common Area shall be used for the conduct of any trade or business or pro- fessional activity. No building shall be erected, altered, placed or permitted to remain on any Lot other than one designed to accommodate no more than one (1) single-family dwelling, and shall conform to the square footage requirements designated by the Committee. DECLARATION - 2 04-30-$4/2-2/DC-1 2.2 Architectural Control. No building shall be erected, placed or altered on any Lot until the construction plans and specifications and a plan showing the location of the structure have been approved by the Committee as to quality of workmanship and materials, harmony of external design with existing struc- tures, and as to location with respect to topography and finish grade elevation. No fence or wall shall be erected, placed or altered on any Lot nearer to any street than the minimum building setback line unless similarly approved. No dwelling, fence, building, garage or other structure shall be built, erected, placed, materially altered or materially repaired which shall alter the surface colors or texture of any Unit or portion thereof unless and until plans, specifications and color scheme have been reviewed in advance by the Committee and the same has been approved in writing, conditionally or otherwise. The requirements as to design and color shall apply only to the exterior appearance of such improvements, it not being the intent of these restrictions to control interior repair or alteration with the exception of alteration of a garage or carport into living area. Plans of all structures to be erected on any Lot or within the Common Area must be submitted to and approved by the Committee. Complete plans.and specifications of all proposed buildings and structures, together with a detailed plan showing proposed location on a particular Lot, shall be submitted to the Committee before any construction or alteration is commenced, and such construction or alteration shall not be commenced until approval therefor is given by the Committee. As to all improvements, construction and alteration upon any Lot or the Common Area, the Committee shall have the right to refuse to approve any design, plan or color for such improvements, construction or alterations which, in its opinion, are not suitable or desirable for any reason, aesthetic or other- wise. In so passing on such design, the Committee shall have the privilege in the exercise of its discretion to take into con- sideration the suitability of the proposed building or of the structure, the materials of which it _is to be built, and the exterior color scheme in relation to the site upon which it is proposed to be erected. The Committee may also consider whether the proposed structure and design shall be in harmony with the surroundings, the effect of the building or of the structure or alteration therein as planned when viewed from adjacent or neigh- boring property, and any and all other facts.which, in the Committee's opinion, shall affect the desirability of such pro- posed structure, improvement or alteration. Actual construction shall comply substantially with the plans and specifications approved. The exterior design and color scheme of Units and all landscaping shall be approved by the Committee only after con- sultation with the Board of Directors of the Association. DECLARATION - 3 r 04-30-84/2-2/DC-1 2.3 Maintenance of Landscaping. Each Owner shall maintain the landscaping (including, but not limited to, the mailbox serving their respective Lots) on their Building Lot, in a neat, clean, and attractive condition. In the event an Owner should fail to do so, the Association shall have the right to enter upon such Owner's Lot and perform such maintenance repair, or replace- ment as may be required at the sole cost and expense of the Owner. 2.4 Improvements Location. No building or other improve ment shall be constructed in violation of set back requirements set forth on the recorded plat of the subdivision. 2.5 Nuisances. No noxious or offensive activity shall be carried on upon any Lot, nor shall anything be done thereon which may be or may become an annoyance or nuisance to the neigh- borhood. eigh- borhood. 2.6 Temporary Structures. No structure of a temporary character, trailer, basement, tent, shack, garage, barn or other outbuilding shall be used on any Lot at any time as a residence either temporarily or permanently. 2.7 Signs. No sign of any kind shall be displayed to the public view on any Lot except one sign of not more than five (5) square feet advertising the property for sale or rent, or signs used by a builder or the Declarant to advertise the property during the construction and sales period. 2.8 Oil and Mining Operations. No oil drilling, oil deve- lopment operations, oil refining, quarrying or mining operations of any kind shall be permitted upon or in any Lot, nor shall oil wells, tanks, tunnels, mineral excavations or shafts be permitted upon or in any Lot. No derrick or other structure designed for use in boring for oil or natural gas shall be erected, maintained or permitted upon any Lot. 2.9 Livestock and Poultry. No animals, livestock, or poultry of any kind shall be raised, bred or kept on any Lot, except that dogs, cats or other household pets may be kept pro- vided that they are not kept, bred, or maintained for any commer- cial purpose and provided that the keeper of such pets complies with.all city and county laws, rules and regulations. No dog runs or kennels shall be permitted to be kept or placed within five (5) feet of the property line of any Building Lot, or within five (5) feet of a setback line where applicable. Dog runs or kennels shall only be permitted to be placed and maintained to the rear of dwellings and in no event shall such structures be visible from a street. 2.10 Garbage and Refuse Disposal. No lot shall be used or maintained as a dumping ground for rubbish. Trash, garbage or other waste shall not be kept except in sanitary containers. All incinerators or other equipment for the storage or disposal of such material shall be kept in a clean and sanitary condition. DECLARATION - 4 . I., 04-30-84/2-2/DC*-1 C� 2.11 Water Supply. No individual water supply system s.hall be permitted on any Lot. 2.12 Sewage Disposal. No individual sewage disposal system shall be permitted on any Lot. All Lots shall be subject to the following sewer requirements of the City of Meridian: 2.12.1 A monthly sewer charge must be paid after connecting to the Meridian City public sewer system, according to the ordinances and laws of Meridian City. 2.12.2 Each Owner shall submit to inspection by either the Department of Pubic Works or the Department of Building whenever a subdivided Lot is to be connected to the sewage system constructed and installed on and within its property. 2.12.3 The applicant/owner of this subdivision, or Lot or Lots therein, shall and hereby does vest in the City of Meridian the right and power to bring all actions against the Owner of the premises hereby conveyed or any part thereof for the collection of any charges herein stated. This covenant shall run with the land. 2.13 Sight Distance at Intersections. No fence, wall, hedge or shrub planting which obstructs sight lines at elevations between two (2) and six (6) feet above the roadways shall be placed or permitted to remain on any corner lot within the triangular area formed by the street property lines and a line connecting them at points thirty (30) feet from the inter- section of the street lines, or in the case of a rounded property corner from the intersection of the street property lines extended. The same sight -line limitations shall apply on any Lot within ten (10) feet from the intersection of'a street property line with the .edge of a driveway or alley pavement. No tree shall be permitted to remain within such distances of such inter- sections unless the foliage line is maintained at sufficient height to prevent obstruction of such sight lines. 2.14 Declarant's Right. Declarant reserves the right to construct residences and other improvements upon any Lot and to offer the same with completed structures thereon for sale to individual owners. 2.15 Vehicles. Non -working or commercial vehicles of three-quarters (3/4) of a ton or greater, or trailer or other recreational vehicle shall not regularly or as a matter of prac- tice be parked on any Lot or street adjacent to the Properties unless properly garaged. 2.16 Bathrooms. All bathroom, sink and toilet facilities shall be inside residence buildings and shall be connected by underground pipes directly with the sewer system. No television receivers, or radio serials shall be other than the interior of a Unit. • antennae, satellite installed on the Property, 2.18 Hazardous Activities. No activity shall be conducted on or in any Unit, Lot or Common Area which is or might be unsafe or hazardous to any person or property. Without limiting the generality of the foregoing, no firearms shall be discharged upon said Property; no open fires shall be lighted or permitted on any property except in a self-contained barbecue unit while attended and in use for cooking purposes, or within a safe and well- designed interior fireplace. 2.19 Unsightly Articles. No unsightliness shall be per- mitted on any Lot or Common Area. Without limiting the genera- lity of the foregoing, all unsightly facilities, equipment or structure shall be enclosed within approved structures, or appropriately screened from view. Trailers, mobile homes, boats, tractors, vehicles other than automobile campers, snow removal equipment, golf carts, garden or maintenance equipment shall at all times, except when in actual use, be kept in an enclosed structure or screened from view. Refuse, garbage and trash shall be kept at all times in coffered, reasonably noiseless containers which shall be kept within an enclosed structure or appropriate screened from view. Service areas, storage piles, compost piles and facilities for hanging, drying or airing clothing or household fabrics shall be appropriately screened from view. No lumber, grass, shrubs or tree clippings or scrap or refuse of trash shall be kept, stored or allowed to accumulate on any Lot or Common Area. 2.20 Lights. No light shall be emitted from any Lot, Unit or from Common Areas which light is unreasonably bright or causes unreasonable glare. No sound shall be emitted from any Lot or Common Area which is unreasonably loud or annoying, and no odors shall be emitted on any property which are noxious or offensive to others. 2.21 Construction. During the course of actual construc- tion of any permanent improvements, the restrictions contained in this Declaration and any supplemental declaration shall be deemed waived to the extent necessary to permit such construction, pro- vided that during the course of such construction nothing shall be done which will result in a violation of these restrictions upon completion of construction. 2.22 Re -Construction. In any case where it is necessary to reconstruct any improvement in the Common Area, said reconstruction shall be prosecuted diligently, continuously and without delays from time of commencement thereof until such structure is fully completed and painted, unless prevented by causes beyond control and only for such time that such cause con- tinues. DECLARATION - 6 04-30-84/2-2/D 1-1 2.23 Maintenance and Repairs. In ments on any Lot shall suffer damage or cause, the Owner thereof shall undertake or reconstruction thereof within ninety or destruction. ARTICLE III PROPERTY RIGHTS 0 the event the improve - destruction from any the repair, restoration (90) days of such damage 3.1 Owners' Easements of Enjoyment. Every Owner shall have a right and easement of enjoyment in and to the Common Area which shall be appurtenant to and shall pass with the title to every Lot, subject to the following provisions: 3.1.1 -the right of the Association to charge reaso- nable admission and other fees for the use of any recreational facility situated upon the Common Area; 3.1.2 the right of the Association to suspend the voting rights and right to use of the recreational facili- ties by an Owner for any period during which any assessment against his Lot remains unpaid; and for a period not to exceed sixty (60) days for any infraction of its published rules and regulations; 3.1.3 the right of the Association to dedicate or transfer all or any part of the Common Area to any public agency, authority, or utility for such purposes and subject to such conditions as may be agreed to by the members. Such dedication or transfer shall be effective upon the recording of an appropriate instrument executed by the President and Secretary of the Association, and upon which said officers affirm that the transfer or dedication was approved by the Owners of a majority of the Lots, and a majority of owners of lots within Phase 2. 3.2 Delegation of Use. Any Owner may delegate, in accor- dance with the By -Laws, his right of enjoyment to the Common Area and facilities to the members of his -family, his tenants, or contract purchasers who reside on the property. 3.3 Damages. Each Owner shall be liable for any damage to the Common Area which may be sustained by reason of the negli- gent or willful misconduct of said Owner or of his family and guests, both minor and adult. In the case of joint ownership of a Lot, the liability of such Owners shall be joint and several. The cost of correcting such damage shall be as a limited assessment against the Owner and his Lot and may be collected as provided herein for the collection of other assessments. DECLARATION - 7 04-30-84/2-2/DC"TI-1 ARTICLE IV SUNNYBROOK FARMS HOMEOWNERS ASSOCIATION 4.1 Organization of Association. This shall confirm that the Sunnybrook Farms Homeowners Association ("Association") has been organized by Declarant as an Idaho corporation under the provisions of the Idaho Code relating to general non-profit cor- porations in connection with the platting of Phase 2, and is charged with the duties and invested with the powers prescribed by law and set forth in the Articles, By -Laws and this Declaration. Neither the Articles nor the By -Laws shall, for any reason, be amended or otherwise changed or interpreted so as to be inconsistent with this Declaration. 4.2 Membership. Each Owner (including Grantees -and Declarant) of a Lot by virtue of being such an Owner 'and for so long as such ownership is maintained, shall be a Member of the Association, and no Owner shall have more than one membership in the Association, except as hereinafter set forth with respect to voting. Memberships in the Association shall not be assignable, except to the successor -in -interest of the Owner, and all mem- berships in the Association shall be appurtenant to the Lot owned by such Owner. The memberships in the Association shall not be transferred, pledged or alienated in any way except upon the transfer of title to said Lot and then only to the transferee of title to said Lot. Any attempt to make a prohibited membership transfer shall be void and will not be reflected on the books of the Association. This shall confirm that owners of lots within Phase 2 are also Members of the Association according to the terms set forth in the Articles. 4.3 Voting. The Association has two (2) classes of voting memberships. 4.3.1 Class A. Class A members shall be the Owners, and owners of lots within Phase 2, with the exception of the Declarant, and shall be entitled to one (1) vote for each Lot owned. When more than one person holds an interest in any Lot, all such persons shall be members. The vote for such Lot shall be exercised as they determine, but in no event shall more than one (1) vote be cast with respect to any Lot. 4.3.2 Class B. The Class B member shall be the Declarant. Upon the first sale of a Lot to an Owner, Declarant shall thereupon be entitled to four (4) votes for each Lot of which Declarant is the Owner. The Class B mem- bership shall cease and be converted to Class A membership on the happening of either of the following events, whichever occurs earlier: 4.3.2.1 when the total votes outstanding in the Class A membership equal the total votes outstanding in the Class B membership; or DECLARATION - 8 04-30-84/2-2/DC-1 4.3.2.2 on January 1, 1991. 4.4 Board of Directors and Officers. The affairs of the Association shall be conducted by a Board of Directors and such officers as the Directors may elect or appoint, in accordance with the Articles and By -Laws, as the same may be amended from time to time. The initial Board of Directors of the Association shall be appointed by the incorporators or their successors and shall hold office until the first annual meeting, at which time a new Board of Directors shall be elected in accordance with the provisions set forth in the By -Laws. 4.5 Powers and Duties of the Association. 4.5.1 Powers. The Association has all the powers of a non-profit corporation organized under the general non- profit corporation laws of the State of Idaho subject only to such limitations upon the exercise of such powers as are expressly set forth in the Articles, the By -Laws and this Declaration. It has the power to do any and all lawful things which may be authorized, required or permitted to be done by the Association under this Declaration, the Articles and the By -Laws, and to do and perform any and all acts which may be necessary or proper for, or incidental to the proper management and operation of the Common Areas and the performance of the other responsibilities herein assigned, including without limitation: 4.5.1.1 Assessments. The power to levy assessments (annual, special and limited) on the Owners of Lots and to .force payment of such assessments, all in accordance with the provisions of this Declaration. 4.5.1.2 Right of Enforcement. The power and authority from time to time in its own name, on its own behalf or in behalf of any Owner or Owners who consent thereto, to commence and maintain actions and suits to restrain and enjoin any breach or threatened breach of this Declaration or the Articles or the By -Laws, including the Association rules adopted pur- suant to this Declaration, and to enforce by man- datory injunction or otherwise, all provisions hereof. 4.5.1.3 Delegation of Powers. The authority to delegate its power and duties to committees, offi- cers, employees, or to any person, firm or cor- poration to act as manager. Neither the Association nor the members of its Board shall be liable for any omission or improper exercise by the manager of any such duty or power so delegated. 4.5.1.4 Association Rules. The power to adopt, amend and repeal by majority vote of the Board such DECLARATION - 9 04-30-84/2-2/DC 1-1 10 rules and regulations as the Association deems reaso- nable (the Association rules). The Association rules shall govern the use of the Common Areas by the Owners, families of an Owner, or by an invitee, licensee, lessee, or contract purchaser of an Owner; provided, however, that the Association rules may not discriminate among Owners and shall not be incon- sistent with this Declaration, the Articles or By -Laws. A copy of the Association rules as they may from time to time be adopted, amended or repealed, shall be mailed or otherwise delivered to each Owner and a copy shall be posted in a conspicuous place within the Common Area. Upon such mailing or deli- very and posting, said Association rules shall have the same force and effect as if they were set forth in and were a part of this Declaration. In the event of any conflict between any such Association rules and any other provisions of this Declaration, or the Articles or By -Laws, the provisions of the Association rules shall be superseded by the provi- sions of this Declaration, the Articles or the By -Laws to the extent of any such inconsistency. 4.5.1.5 Emergency Powers. The Association or any person authorized by the Association may enter upon any Lot in the event of any emergency involving illness or potential danger to life or property or when necessary in connection with any maintenance or construction for which it is responsible. Such entry shall be made with as little inconvenience to the Owners as practicable and any damage caused thereby shall be repaired by the Association. 4.5.1.6 Licenses, Easements and Rights -of -Way. The power to grant and convey to any third party such licenses, easements and rights-of-way in, on or under the Common Area as may be necessary or appropriate for the orderly maintenance, preservation and enjoyment of the Common Areas and for the preser- vation of the health, safety, convenience and welfare of the Owners, for the purpose of constructing, erecting, operating or maintaining: 4.5.1.6.1 Underground lines, cables, wires, conduits and other devices for the transmission of electricity for lighting, heating, power, telephone and other purposes; 4.5.1.6.2 Public sewers, storm drains, water drains and pipes, water systems, sprinkling systems, water, heating and gas lines or pipes; and 4.5.1.6.3 Any similar public or quasi - public improvements or facilities. DECLARATION - 10 04-30-84/2-2/D-1 r1 LJ The right to grant such licenses, easements and rights-of-way are hereby expressly reserved to the Association and may be granted at any time prior to twenty-one (21) years after the death of the indivi- duals executing this Declaration, on behalf of the Declarant, and their issue who are in being as of the date hereof. 4.5.2 Duties of the Association. In addition to power delegated to it by the Articles, without limiting the generality thereof, the Association or its agent, if any, shall have the obligation to conduct all business affairs of common interest to all Owners, and to perform each of the following duties: 4.5.2.1 Operation and Maintenance of Common Area. Operate, maintain and otherwise manage or pro- vide for the operation, maintenance and management of the Common Area and any other property owned by the Association, including the repair and replacement of property damaged or destroyed by casualty loss and all other property acquired by the Association. 4.5.2.2 Taxes and Assessments. Pay all real and personal property taxes and assessments separa- tely levied against the Common Area owned and managed by the Association or against the Association and/or any property owned by the Association. Such taxes and assessments may be contested or compromised by the Association; provided, however, that they are paid or a bond insuring payment is posted prior to the sale or the disposition of any property to satisfy the payment of such taxes. In addition, the Association shall pay all other taxes, federal, state or local, including income or corporate taxes levied against the Association in the event that the Association is denied the status of a tax exempt cor- poration. 4.5.2.3 Water and Other Utilities. Acquire, provide and/or pay for water, sewer, garbage dispo- sal, refuse and rubbish collection, electrical, telephone and gas and other necessary services for the Common Area owned and managed by it. 4.5.2.4 Insurance. Obtain, from reputable insurance companies authorized to do business in the State of Idaho and maintain in effect the following policies of insurance: 4.5.2.4.1 Fire insurance including those risks embraced by coverage of the type now known as the broad form "all Risk" or special extended DECLARATION - 11 04-30-84/2-2/DC 1-1 coverage endorsement on a blanket agreed amount basis for the full insurable replacement value of improvements, equipment and fixtures located within the Common Area owned and managed by it. 4.5.2.4.2 Comprehensive public liability insurance insuring the Board, the Association, the Declarant and the individual Owners and agents and employees of each of the foregoing against any liability incident to the ownership_ and/or use of the Common Area and any other pro- perty, whether real or personal, owned and managed by it. Limits of liability of such coverage shall be as follows: Not less than Five Hundred Thousand Dollars ($500,000.00) per person and Five Hundred Thousand Dollars ($500,000.00) per occurrence with respect to personal injury or death, and property damage. 4.5.2.4.3 Full coverage directors and officers liability insurance with a limit of Two Hundred Fifty Thousand Dollars ($250,000-00). 4.5.2.4.4 Such other insurance including Workmen's Compensation insurance to the extent necessary to comply with all applicable laws and indemnity, faithful performance, fidelity and otherbonds as the Board shall deem necessary or required to carry out the Association functions or to insure the Association against any loss from malfeasance or dishonesty of any employee or other person charged with the management or possession of any Association funds or other property. 4.5.2.4.5 The Association shall be deemed trustee of the interests of all Members of the Association in any insurance proceeds paid to it under such policies, and shall have full power to receive their interests in such proceeds and to deal therewith. . 4.5.2.4.6 Insurance premiums for the above insurance coverage shall be deemed a common expense to be included in the annual assessments levied by the Association. 4.5.2.4.7 Notwithstanding any other provi- sions herein, the Association shall continuously maintain in effect such casualty, flood and liability insurance and a fidelity bond meeting the insurance and fidelity bond requirements for PUD projects established by the U. S. Department of Housing and Urban Development. DECLARATION - 12 04-30-84/2-2/DC*-1 0 4.5.2.5 Rule Making. Make, establish, pro- mulgate, amend and repeal the Association rules. 4.5.2.6 Architectural Committee. Appoint and remove members of the Committee, all subject to the provisions of this Declaration. 4.5.2.7 Drainage Systems. Operate, maintain, repair and replace, all drainage systems located within the Property and shown on the Plat, which are.. not maintained by public authorities. 4.6 Personal Liability. No member of the Board, or any committee of the Association, or any officer of the Association, or the Declarant, or the manager, if any, shall be personally liable to any Owner, or to any other party, including the Association, for any damage, loss or prejudice suffered or claimed on the account of any act, omission, error or negligence of the Association, the Board, the manager, if any, or any other representative or employee of the Association, the Declarant or the Committee, or any other committee, or any officer of the Association, or the Declarant, provided that such person has, upon the basis of such information as may be possessed by him, acted in good faith without willful or intentional misconduct. ARTICLE V COVENANT FOR MAINTENANCE ASSESSMENTS 5.1 Creation of the Lien and Personal Obligation of Assessments. The Declarant, for each Lot owned within the Properties, hereby covenants and each Owner of any Lot by accep- tance of a deed therefor, whether or not it shall be so expressed in such deed, is deemed to covenant and agree to pay to the Association: 5.1.1 annual assessments or charges, and 5.1.2 special assessments for capital improvements, such assessments to be established and collected as hereinafter provided, 5.1.3 limited assessments as provided in Section 3.3 above. The annual, special and limited assessments, together with interest, costs and reasonable attorneys' fees, shall be a charge on the land and shall be a continuing lien upon the pro- perty against which each such assessment is made. Each such assessment, together with interest, costs and reasonable attorneys' fees, shall also be the personal obligation of the person who was the Owner of such property at the time when the assessment fell due. The personal obligation for delinquent DECLARATION - 13 04-30-84/2-2/D 1-1 assessments shall not pass to his successors in title unless expressly assumed by them. 5.2 Purpose of Assessments. The assessments levied by the Association shall be used exclusively to promote the recreation, health, safety and welfare of the residents in the Properties and for the improvement and maintenance of the Common Area. 5.3 Maximum Annual Assessment. Until January 1 of the year immediately following the conveyance of the first Lot to an Owner, the maximum annual assessment shall be SIXTY AND NO/100THS DOLLARS ($60.00) per Lot, FIVE AND NO/100THS DOLLARS ($5.00) per month). 5.3.1 From and after January 1 of the year imme- diately f ollowing.the conveyance of the first Lot to'an Owner, the maximum annual assessment may be increased each year not more than five percent (5%) above the maximum assessment for the previous year without a vote of the mem- bership of the Association as provided below. 5.3.2 From and after January 1 of the year imme- diately following the conveyance of the first Lot to an Owner, the maximum annual assessment may be increased above five percent (5%) by a vote of three-fourths (3/4) of the owners who are voting in person or by proxy, at a meeting duly called for this purpose. 5.3.3 The Board of Directors may fix the annual assessment at an amount not in excess of the maximum. 5.4 Special Assessments for Capital Improvements. In addition to the annual assessments authorized above, the Association may levy, in any assessment year, a special assessment applicable to that year only for the purpose of defraying, in whole or in part, the cost of any construction, reconstruction, repair or replacement of a capital improvement upon the Common Area, including fixtures and personal property related thereto, provided that any such assessment shall have the assent of two-thirds (2/3) of the votes of each class of members who are voting in person or by proxy -at a meeting duly called for this purpose. 5.5 Notice and Quorum for any Action Authorized Under Sections 5.3 and 5.4. Written notice of any meeting called for the purpose of taking any action authorized under Sections 5.3 and 5.4 shall be sent to all members not less than thirty (30) days nor more than sixty (60) days in advance of the meeting. At the first such meeting called, the presence of members or of proxies entitled to cast ten percent (10%) of all the votes of each class of membership shall constitute a quorum. If the required quorum is not present, another meeting may be called subject to the same notice requirement, and the required quorum at the subsequent meeting shall be one-half (1/2) of the required DECLARATION - 14 04-30-84/2-2/DC-1 C quorum at the preceding meeting. No such subsequent meeting shall be held more than sixty (60) days following the preceding meeting. 5.6 Uniform Rate of Assessment. Both annual and special assessments must be fixed at a uniform rate for all Lots and may be collected on a monthly basis; provided, however, that during the time there is a Class B member, such Class B member's obliga- tion shall be limited to the difference between the amount of regular and special assessments levied against all Lots owned by persons other than Declarant and the amount of the Association's actual expenses. 5.7 Date of Commencement of Annual Assessments - Due Dates. The annual assessments provided for herein shall commence as to all Lots on the first day of the month following the con- veyance of the Common Area. The first annual assessment shall be adjusted according to the number of months remaining 'in the calendar year. The Board of Directors shall fix the amount of the annual assessment against each Lot at least thirty (30) days in advance of each annual assessment period. Written notice of the annual assessment shall be sent to every Owner subject thereto. The due dates shall be established by the Board of Directors. The Association shall, upon demand, and for a reaso- nable charge, furnish a certificate signed by an officer of the Association setting forth whether the assessments on a specified Lot have been paid. A properly executed certificate of the Association as to the status of assessments on a Lot is binding upon the Association as of the date of its issuance. 5.8 Effect of Nonl2ayment of Assessments - Remedies of the Association. Any assessment not pai wit in thirty (30) days after the due date shall bear interest from the due date at the rate of six percent (6s) per annum. The Association may bring an action at law against the Owner personally obligated to pay the same, or foreclose the lien against the property. No Owner may waive or otherwise escape liability for the assessments provided for herein by non-use of the Common Area or abandonment of his Lot. 5.9 Subordination of the Lien to Mortgages. The lien of the assessments provided for herein shall be subordinate to the lien of any first mortgage. Sale or transfer of any Lot shall not affect the assessment lien. However, the sale or transfer of any Lot pursuant to mortgage foreclosure or any proceeding in lieu thereof, shall extinguish the lien of such assessments as to payment which became due prior to such sale or transfer. No sale or transfer shall relieve such Lot from liability for any assessments thereafter becoming due or from the lien thereof. DECLARATION - 15 t04-30-84/2-2/DC-1 ARTICLE VI ARCHITECTURAL COMMITTEE 6.1 Members of the Committee. The Architectural Committee, sometimes referred to as "Committee", shall consist of three (3 ) Members. Fairview Avenue Meridian, ID 83642 6445 Glenwood Boise, ID 83703 Each of said persons shall hold office until such time as he has resigned or has been removed or his successor has been appointed, as provided herein. Members of the Committee may be removed at any time without cause. 6.2 Right of Appointment and Removal. At any time Grantor is the owner of at least ten percent (Io%) of the Lots, Grantor shall have the right to appoint and remove all members of the Committee. Thereafter, the then recorded Owners of a majority of the Lots shall have the power through a duly recorded written instrument executed by the President and Secretary of the Association, to appoint and remove all members of the Committee. Such instrument shall affirm that a majority of the record Owners have approved of the appointment or removal. 6.3 Review of Proposed Construction. The Committee shall consider and act upon any and all proposals or plans and specifi- cations submitted for its approval pursuant to this Declaration, and perform such other duties as from time to time shall be assigned to it by the Board of the Association, including the inspection of construction in progress to assure its conformance with plans approved by the Committee. The Committee shall approve proposals or plans and specifications submitted for its approval only if it deems that the construction, alterations or additions contemplated thereby in the location indicated will not be detrimental to the appearance of the surrounding area of the Properties as a whole, that the appearance of any structure affected thereby will be in harmony with the surrounding struc- tures, and that the upkeep and maintenance thereof will not become a burden on the Association. The Committee may condition its approval of proposals or plans and specifications on such changes therein as it deems appropriate, upon the agreement of the Owner ("applicant") submitting the same to grant appropriate easements to the Association for the maintenance thereof, or to DECLARATION - 16 04-30-84/2-2/D 1-1 a reimburse the Association for the cost of maintenance, or all three, and may require submission of additional plans and speci- fications or other information prior to approving or disapproving material submitted. The Committee may also issue rules or guide- lines setting forth procedures for the submission of plans for approval. The Committee may require such detail in plans and specifications submitted for its review as it deems proper, including, without limitation, floor plans, site plans, draining plans, elevation drawings and descriptions or samples of exterior material and colors. Until receipt by the Committee of any required plans and specifications, the Committee may postpone review of any plan submitted for approval. Decisions of the Committee and the reasons therefor shall be transmitted by the Committee to the applicant at the address set forth in the application for approval within thirty (30) days after filing all materials required by the Committee. Any materials submitted pursuant to this Section shall be deemed transmitted to the applicant within thirty (30) days after the date of filing said materials with the Committee. 6.4 Compensation of Members_. The Members of the Committee shall receive no compensation for services rendered, other than reimbursement for expenses incurred by them in the performance of their duties hereunder. 6.5 Non -Liability of Committee Members. Neither the Committee nor any Member thereof, nor its duly authorized Committee representative, shall be liable to the Association, or to any Owner or Grantee for any loss, damage or injury arising out of or in any way connected with the performance of the Committee's duties hereunder, unless due to the willful miscon- duct or bad faith of the Committee. ARTICLE VII ANNEXATION OF ADDITIONAL PROPERTIES 7.1 Annexation. Declarant presently intends to develop other neighboring properties and may, in Declarant's discretion, deem it desirable to annex some or all of such other properties to the property covered by this Declaration. The annexed proper- ties may, at Declarant's sole discretion, be used and developed for any purpose allowed under appropriate zoning regulations. Such other properties may be annexed to the property and brought within the provisions of this Declaration by Declarant, it suc- cessors or assigns, at any time, and from time to time, without the approval of any Owner, the Association or its Board of Members provided that the FHA and the VA determines that the annexation is in accordance with the general plan heretofore approved by them. As such properties are developed, Declarant shall, with respect thereto, record a Supplemental Declaration which shall annex such properties to the property and which may supplement this Declaration with such additional or different DECLARATION - 17 04-30-84/2-2/Drc-P1-1 • covenants, conditions, restrictions, reservations and easements as Declarant, and FHA and VA may deem appropriate for the other properties or portions thereof and may delete or eliminate as to such other properties such covenants, conditions, restrictions, reservations and easements as are contained herein which Declarant and FHA and VA deem not appropriate for the other pro- perties. ro- perties. 7.2 Additional Properties. Subject to the provisions of Paragraph 1 above, upon the recording of Supplemental Declaration as to other properties containing the provisions as set forth in this Section, all provisions contained in this Declaration shall apply to the added properties in the same manner as if it were originally covered by this Declaration, subject to such modifica- tion, changes and deletions as specifically provided in such Supplemental Declaration. The Grantees of Lots located in the other properties shall share in the payment of assessments to the Association as provided herein from and after the recordation of the first deed of a Lot within the added properties from Declarant to an individual purchaser thereof... 7.3 Procedure for Annexation. The additions authorized under Section 7.1 above, shall be made by filing of record a Supplemental Declaration or other similar instrument with respect to the other properties or portion thereof, which shall be exe= cuted by Declarant or the Owner thereof and shall extend the general plan and scheme of this Declaration to such other proper- ties subject to the changes, modifications, deletions and addi- tions as are applicable to such other properties or portion thereof under such Supplemental Declaration. The filing of record of said Supplemental Declaration shall constitute and effectuate the annexation of the other properties or portion thereof described therein, and thereupon said other properties or portion thereof shall become and constitute a part of the Properties, become subject to this Declaration and encompassed within the general plans and scheme of covenants, conditions, restrictions, reservations of easements and equitable servitudes contained herein as modified by such Supplemental Declaration for such other properties or portion thereof, and become subject to the functions, powers and jurisdiction of the Association and the Owners of Lots in said other properties or portion thereof shall automatically become Members of the Association. Such Supplemental Declaration may contain such additions, modifica- tions or declarations of the covenants, conditions, restrictions, reservations of easements and equitable servitudes contained in this Declaration as may be deemed by Declarant and FHA and VA desirable to reflect the different character, if any, of the other properties or portions thereof, or as Declarant and FHA and VA may deem appropriate in the development of the other proper- ties or portion thereof. DECLARATION - 18 04-30-84/2-2/D 1-1 ARTICLE VIII EASEMENTS • 8.1 Maintenance Easements. Easements for installation and maintenance of utilities and drainage facilities are reserved as shown on the recorded plat. Within these easements, no struc- ture, planting or other material shall be placed or permitted to remain which may damage or interfere with the installation and maintenance of utilities, or which may change the direction of flow of drainage channels in the easements, or which may obstruct or retard the flow of water through drainage channels in the easements. The easement area of each Lot and all improvements in it shall be maintained continuously by the owner of the Lot, except for those improvements for which a public authority or utility company is responsible. ARTICLE IX GENERAL PROVISIONS 9.1 Enforcement. An application form may be obtained at the District office which will provide necessary preliminary information for District review. General Information A. DRAINAGE 1. The District will not accept any increased flow or drainage of decreased quality from a tract of land due to changed use. NO k.. i B. IRRIGATION 1' 1. The water rights of this District are not the same throughout the District. Neither are these always the same on one tract of land. Please understand that the City endeavors to treat each builder/developer in the City equitably and fairly without imposing any undue and/or harsh restri tions. We understand your financial obligations and those of your builders, especially the ones committed to having a home ready for the 1984 Parade of Homes. In the past, the City policy for issuing building permits has required the subdivision off-site improvements (streets, utilities) to be complete. As I related to you on March 21, this policy resulted from several builde s/develope rs requesting building permits and/or water meters prior to improvement completion and then, after permits were issued, not following through with completion of the improvements. You have completed a significant amount of work in Meridian, and have - established a very good track record with the City. We have no doubt that you will complete all off-site improvements in an acceptable manner. Our biggest u: cone in your request was off-site construction and home construction coordi- nation, along with protection of the existing utilities (sewer and water). Now that all underground utilities are installed, conduct an air test on the sanitary sewer. 5. Place a 55 -gallon barricade drum, half filled with sand, on top of each sanitary sewer manhole. Also place a barricade drum adjacent to each water meter or set of meters for protection. 6. Water and sewer service hookups will not be permitted until the subdivision off-site improvements are complete and accepted. 7.I List the six lots, by lot and block number, that will be built on. Building will be allowed on these lots only during completion of off-site construction. 8.I Provide an irrevocable letter of credit bond from your bank, in favor of the City, in an amount of $10,000. 9. Hook-up fees shall be paid by the builders at the time -the building permit is issued. Water meters will not be installed until after the subdivision off-site improvements are complete and accepted. 10. After street construction is complete, the City Water and Wastewater Superintendents will perform a surface inspection of each respective utility for acceptance by the City. Water: 1. Show service line location for Lot 1, Block 12 and Lot 3, Block 11. 2. Show installation of temporary blow -off valve at end of 6" diameter line in "future street" (Leann Way extended). The City suggests a gate valve be attached to the end of pipe and anchored back with J -bolt rods to a concrete thrust block poured around the pipe. The blow -off assembly could then be attached to the valve. (Similar to Meridian City Standard Detail W -5.01(E).) 3. How is the water line to be ended on Chateau Drive at the boundary line between Phase 3 and Phase 4? Will it be extended to the valve juncture at the next "future street"? If so, a temporary blow -off, similar to that described in Item 2 above needs to be installed. 4. The yoke number shown in the "typical water service connection" detail is revised to be a "Ford V.V.92-21". Refer to Meridian Standard Drawing W -5.01(B) for water service nomenclature. Your detail needs to be cleaned up with corrected nomenclature callouts. 5. The finder wire at a valve box shall extend upward along the outside of the valve cover and then inside the valve box at the valve box/ valve cover juncture. This permits access to the wire from the street, but doesn't place the wire at the valve nut level for inter- ference with the valve wrench. 6. Add a statement to the general notes on Sheet 1 that all work shall be done in accordance with the City of Meridian's Standard Drawings and Specifications for Sanitary Sewer and Domestic Water Installa- tions. Item Final Plat & Square Footage Designation Sunnybrook Farms Phase #3 Wayne Gibbs, JUB Engineers was present.representing Sunnybrook Farms Phase #3. i Gibbs explained that Phase #3 will be smaller that Phase #1 and #2. Gibbs said that there will be 22 lots in Phase #3. Gibbs said that there were no problems with the comments by Gary Smith, City Engineer. (Comments on File) The Public Hearing was opened up for comment by Chairman Bob Spencer. Mr. Charles Liggett, 2084 Leann Way, expressed his concern over the reduced square footage homes of 1,000 to 1,300 sq. feet. Liggett said that he felt this size of homes were lower income type housing, and would bring down the value of other homes in the development. Liggett told the Commission that he had his house for sale, but found no response due to the type of housing that was comming into the development. Liggett said that if the houses were 1,300 and up he would have no objection, but added "I don't like the square footage." Mac Boesinger, Developer of Sunny Brook Farms, told the Commission that there are several 1,100 square footage houses in the development now. Boesinger said that quality can not be dictated by size. He added that "small isn't going to cause detoriation", and said that he felt the smaller houses "can be compatible with the larger homes." Boesinger told the Commission that the homes will have good appeal, be well designed, and that it is possible to "build a beautiful smaller home." Commission Member Bob Gielser pointed out that there are only two lots in the Phase #3 development that are designated as 1,000 to 1,100 square feet lots. Most of the lots Giesler said are in the 1,200 to 1,300 square foot bracket. Doug Hasslen, 2880 Leann Way, also expressed his concern over the small square foot houses. Hasslen said that he was lead to believe that the houses would be going larger rather than smaller. Hasslen told the Commission that his home is 2,600 square feet, and there will be a 1,099 square foot home across the street from him. Being there no other Public Comment the Public Hearing was closed by Chairman Bob Spencer. Commission Member Walt Morrow questioned the mixture of squar footage on existing homes Sunnybrook #1, #2. Boesinger said the average homes are 1200 to 1300 square feet. He explained that there are only about.20% that are over 1200.square, _feet. There was discussion. She explained to the Commission that she wishes to convert an exisiting residence into a home -owned hair style salon located at 129 East Pine. Deppe said that there will be one chair only with herself as the operator. When questioned on the response from neighbors, Deppe told the Commission that she had gotten all the required signature minus one. Chairman Bob Spencer opened the Public Hearing. There was no response. Chairman Spencer closed the Public Hearing. Chairman Bob Spencer mentioned to Deppe that if the Conditional Use Permit was to be granted, there would be an additional hook-up fee for sewer and water. Deppe said that she was aware of this. The Motion was made by Giesler and seconded by Morrow to instruct the City Attorney to prepare the Findings of Fact and Conclusions of Law concerning the request by Janet Deppe for a Conditional Use Permit to operate a one chair beauty salon at 129 East Pine, with the stipulation that the operation be limited to one chair only (if Deppe wishes to increase chairs she must come before the Commission again), that the sign be limited to an attractive wood sign with no increase in light from what is presently on the pole, and that Deppe meet all regulations and ordinances. Motion Carried: Morrow, yea; Johnson, yea; Alidjani, yea; Giesler, yea; Item 3 Annexation Request N&D Inc. Mr. Norm Fuller, 1103 W. Camellia, was presented representing N&D Inc. Fuller said that they are requesting annexation of an approximate 4 acre parcel located on 417 S. Meridian Road to be zoned Industrial. Fuller's plan is to develop an Industrial Planned Unit Development on the parcel. It was determined that the property to the South of the proposed annexation is zoned commercial, and the property to the North is zoned residential. Chairman Bob Spencer opened the Public Hearing for comments. There was no response. Spencer closed the Public Hearing. Fuller told the Commission he felt the IUD would be harmonious with the surrounding area. There was much discussion. Commission members concured that they would like to have ACHD's comments available to them before making any kind of a recommendation. Complete all street improvements to the satisfaction of the District, or execute Surety Agreement between the Developer and the District to Guarantee the completion of construction of all street improvements. 3. Furnish copy of Final Plat showing street names as approved by the Local Government Agency having such authority together with payment of fee charged for the manufacturing and instal -tion of all street signs as required. 4. If Public Road Trust Fund deposit is required, make deposit to the District in the form of cash or cashier's check for the amount specified by the District. 5. Furnish easements, agreements, and all other datum or documents as required by the District. 6. Furnish Final Plat drawings for District acceptance, certification, and endorsement. We did bring a new phase into Sunnybrook Farms last spring and in spite of many lots being sold in the area below cost, Sunnybrook Farms #3 has marketed out quite well. The credit being given to assure the quality of our project and a very agressive marketing company. There was a general slowdown in July, August, and Sept- ember. Now we are experiencing a definite upswing in lot sales and it appears that we may well be out of lots for our builders by the first of December. We have geared up our installation of Sunnybrook Farms #4. The sewer was installed, we are now install- ing water and the odds are very good that we can install curbs and sidewalks by November 15. We are concerned that we may run out of lots, therefore shutting down all our marketing and building until March or April. Our builders can''normally`continue building throughout the winter`. It would be a shame indeed, if we were to lose our builders'and marketing momentum -in Sunnybrook. As I see it, there is no possibility of paving after November lst. All other installations including curbs and walks can be finished. We would propose that we complete the base course with 3%4 minus, bladed and rolled, and complete the paving in proper weather con- ditions in the spring. As you'know, there is now issued an irrev- ocable Letter of Credit to Ada County Highway District for the paving which absolutely guarantees everyone, including the new buyers, that the paving will be done. Larry Grensing, 2111 Todd Way: I own the property, Lot 3, Block 10 and object to the way Lot #1 and #2, Block 13 are designed so that the back of these lots both side on my property. There was discussion on this problem as to how the lot could be fen- ced and the setbacks required. There was also discussion on how the home on Lot #1 could be set, this would not effect Mr. Grensing as great if the house was constructed with front facing Todd Way instead of Janell Street. Keith Borup, 2203 Leann Way: Mr. Borup questioned the house size designation on the Plat and asked if these sizes had to be built as shown or could be transferred from one lot to another.
